रजिस्ट्रीकृंत राज्य सरकार की पूर्णतः स्वामित्ताधीन कम्पनी है. की सम्पत्तियों, शक्तियों, ape दायित्व,

4-0) यह अध्यादेश उत्तर wee राज्य औद्योगिक विकास निगम लिमिटेड

(आस्तियों एवं दायित्वों का अन्तरण) अध्यादेश 208 कहा जाएगा
(2) इसका विस्तार सम्पूर्ण उत्तर प्रदेश में होगा।
2-जबू तक किसनदर्भ से अन्यथा अपेक्षित न हो, इस अध्यादेश में;

दिनांक से है;
(दो) “प्राधिकरण का तात्पर्य राज्य सरकार द्वारा गठित उत्तर प्रदेश
राज्य औद्योगिक विकास प्राधिकरण से है.
(तीन) “निगम” का तात्पर्य उत्तर प्रदेश औद्योगिक ढविकास निगम
लिमिटेड. से है, ot कम्पनी अधिनियम, 4955 के अधीन रजिस्ट्रीकूत राज्य
सरकार की पूर्णत: स्वामित्वाधीन कम्पनी है.
(वार) “सरकारी अधिसूचना” का तात्पर्य अधिसूचना संख्या 43 /7—
a-200t-267 भा-97 टीफसी0-, दिनांक 06 सितम्बर, 2008 से है, जो
उत्तर प्रदेश राज्य औद्योगिक विकास प्राधिकरण का गठन करने के लिए
राज्य सरकार द्वारा उत्तर प्रदेश राज्य औद्योगिक क्षेत्र विकास अधिनियम,
sore के उपबंधों के अधीन जारी की गयी है ;
(ata) “अनुसूची” का तात्पर्य सरकोरी अधिसूचना की अनुसूची से है।
3-(॥) नियत दिनांक को और उसी दिनांक ae
निगम की
ante एवं (a) समस्त सम्पत्तियों और समस्त हित, अधिकार तथा सकल व्यापार,
cafe का जंगम और स्थावर सम्पत्तियों सहित सम्पतियां सभी प्रकार के विनिधान

शक्तियां, आवंटन, omer, अंतरण, अंतरण दस्तावेज, अनुदान, सहमति,
प्रतिसंधिदा, रजिस्ट्ीकरण, संविदाएं. लाइसेंस अधिकार, स्वामित्व, किसी प्रकार
का लाभ, जिसे निगम, जहाँ भी स्थित हो, के ger में अवमुक्त किया गया हों
और निगम के स्वामित्व, कर, अधिकार, नियंत्रण और अन्य रूप मैं उसमें
निहित हों, निगम द्वारा उपयोग किये गये अधिभार: चाहे निगम की बी में
प्रविष्टि किये गये हों था न किये गयें हों, किन्तु उपर्युक्त वाणिज्यिक नामों
तक सीमित न हों, किसी प्रकार की अकादमिक सम्पत्ति, मंजूरी, अनुषकित,
विद्युत और अन्य सामान्य उपयोग, टेलीफोन, फैक्स, कार तथा भौटरवान,
इण्टरनेट स्कीम का अधिकार और समझौते पर उपयोग करने का अधिकार,
सभी प्रकार की प्रसंदिदा का लाभ और अन्य हित, जिन्हें सामूहिक रूप से
निगम की सम्पत्ति कहां जाता है, पूर्ण eae, बंधकों, गिरवी, आडमान
आदि के वर्तमान प्रास्थिति के अधीन प्राधिकरण में अन्तरित और निहित समझे
जायेंगे
(ख) औद्योगिक विकास क्षेत्र से संबंधित दायित्वों तथा बाध्यताओं
सहित निगम के समस्त ऋण, दायित्व जो संम्मितितें रूप से निगम के
दायित्व कहें गये हैं, चाहे निगम की बही मैं प्रविष्टि किये गये हों या न किये
गये हों, सम्पत्तियों, Prat और nfs किसी अन्य दस्तावेज के बिनाउत्तर प्रदेश असाधारण RE, 27 जून 2008
प्राधिकरण को अन्तर किये गये और उसमे निहित किम गये सके ऊना
जिसके परिणामस्वरूप वै प्राधिकरण के ऋण, दायित्व, कर्तव्य, बाध्यताएं,
सम्पत्तियाँ और आधिक्य हों जायेंगे। यदि आवश्यक हि तो, निगम को
संबंधित ऋणी व्यक्तियों से ऐसे दायित्वों के अन्तरण की सहमति set करनी
होंगी और ऐसी सम्पतियों और दायित्वों के अन्तरण कं परचात प्राचिकरण
को अवसंसपना विकास और ऑद्योगिक tra की योजनाओं, भारत सरकार
और राज्य सरकार की समस्त योजनाओं, जिन्हें निगम संचालित कर रहा हो,
के कार्यों तथा राज्य शुरकार द्वार समनुदेशित अन्य विकास संबंधी कार्यो का
ावित्व भी ग्रहण करना होगा और उत्तर प्रदेश राज्य औद्योगिक क्षेत्र विकास,
अधिनियम, so76 के सपबन्धों के अधीन उसमें निहित pe, उत्तरदायित्वो
और ted को ग्रहण करना होगा।
(2) निगम की सभी संम्पत्तियों और दायित्व के अन्तरण के परिणामस्वरूप
निगम सेल कम्पनी बनी रहेगी, जिसके दायित्व सरकार द्वारा उपलब्ध करायी गयी.
अंशरपूजी और निगम द्वारा अर्जित लाभ, संचित निधि के रूप में हो जायेंगे और इसका

धनराशि का समैथ से भुगतान प्राधिकरण द्वारा सुनिश्चित किया जायेगा,

निगम द्वारा या उसके विरूद्ध लम्बित या दाखिल किये गये समस्त वाद, कार्यवाहियों

गये समझे जायेंगे;
©) निगम की सम्पत्तियों और दार्थित्वों के अन्तरण के कारण उसके प्रतिफल
का अवधारण, चार्टेड -एकालन्टेन्ट द्वारा नियत दिनांक को निगम की लेखा ah में
उल्लिखित मूल्य के आधार पर किया जायेगा।
4-0) नियत Ree को और उसी दिनांक से; निगम के ere कर्मचारी,
सेवा अवधि में किसी व्यक्धान के बिना प्राधिकरण के कर्मचारी हो जादेंगें और ऐसे कर्मचारियों का
कर्मचारियों की er शर्तें, निगम में नियत दिनांक कौ लागू सेवा शर्तों की अपेक्षा किसी
भी स्थिति में कम अनुकूल नहीं होंगी। निगम के कर्मचारियों के पदों और नाम पद्धति
का अवधारण प्राधिकरण द्वारा सरकार के पूर्व अनुमोदन से किया जायेगा।
(2) निगम के कर्मचारियों कीं प्रसुविधा के लिए सुज़ित भविष्य निधि, उपदान
और अवकाश नगदीकरण के संबंध में एतदुद्वारा यह स्पष्ट रूप से उपबंध किया जाता
है कि समस्त उद्देश्यों और कार्यो के लिए प्राधिकरण, निगम को नियत दिनांक से
प्रतिस्थापित कर देगा, जिससे कि न्यास दिलेखों के उपबन्धों के अधीन ऐसी योजनाओं
और निधियों का संचालन और प्रबन्धन का. निस्तारण समुचित रूप से किया ज़ाय।
Sree इसका यह अर्थ है कि इन निधियों से संबंधित समस्त अधिकार ann
शक्तियाँ और दायित्व आदि प्राधिकरण में निहित हों जाएंगे। एतदद्वारा यह स्पष्ट
किया जाता है कि निगम के समस्त कर्मचारियों की सैवाएँ, सपर्युक्त निधियों, योजनाओं

vr 6-शज्य सरकार अधिसूचना द्वारा, इस अध्यादेश के प्रयोजनों को कार्यान्चित
शक्ति करने के लिए नियम बना सकती है।

ऐसा उपबन्ध कर सकती है जो इस अध्यादेश के उपबन्धों से असंगत न हो और जो.
उसे आवश्यक या समीचीन प्रतीत हो।
(2) नियत दिनांक से दो वर्ष की अवधि की समाधि के पश्चात् TIENT |)
के अधीन कोई आदेश नहीं किया. जायेगा। >
(6) उपधारा (3) के अधीन किया गया प्रत्येक आदेश, इसके किये जाने के
पश्चात यथाशीघर, राज्य विधानमण्डल के प्रत्येक सदन के समझ रखा जाएगा।
