Executive Summary & Key Takeaways

What it means

  • The gazette notification issued by the Ministry of Power on February 12, 2025, announces amendments to the guidelines for tariff-based competitive bidding process for procurement of power from grid-connected wind-solar hybrid projects. These amendments modify the existing guidelines notified on August 21, 2023, and previously amended on November 17, 2023, and February 2, 2024.

Key Changes

  • Addition of clause 5.3: Allows procurers to specify sub-stations in ISTS/InSTS for location-specific bids where developers will connect wind-solar hybrid power projects.
  • Modification of clause 7.4: Change in Law provisions will follow the Electricity (Timely Recovery of Costs due to Change in Law) Rules, 2021, with amendments. Change in Law (CIL) refers to events related to the project from seven days prior to the bid submission deadline.
  • Modification of section 7.7 (b): Defines generator default for not maintaining minimum CUF for two consecutive years (excluding the first contract year). The generator's CUF obligation is reduced to the average of the actual CUF for the default years, and the generator must pay lump-sum damages equivalent to 24 months or the remaining PPA period (whichever is less) of the tariff for the reduction in the yearly minimum CUF obligation. Failure to pay these damages can lead to PPA termination, requiring the generator to pay damages equivalent to 24 months or the remaining PPA period (whichever is less) of the tariff for the contracted capacity with the stipulated minimum CUF.
  • Modification of clause 9.2.1: Procurers can specify technical criteria to ensure proper project implementation while encouraging competition. Developers must install and maintain GPS-enabled Automatic Weather Stations (AWS) as per central government specifications. Technical criteria must ensure compliance with applicable cybersecurity regulations, directives, and guidelines issued by central government authorities.
  • Insertion of clause 11.2: PPA and PSA signing should be completed within 30 days of LoA issuance, extendable up to 12 months, beyond which the LoA will be cancelled. Extension of timelines by the procurer for bidding events will not be considered a deviation from the guidelines.
  • Modification of section 12.4: Distribution licensees or intermediary procurers must approach the Appropriate Commission within 30 days of tariff discovery to adopt tariffs under Section 63 of the Act.
  • Addition of clause 13.1(a1): Allows for the establishment of Earnest Money Deposit (EMD) through Insurance Surety Bonds or other instruments approved in General Financial Rules.
  • Addition of clause 13.2(a1): Allows for the establishment of Performance Bank Guarantee (PBG) through Insurance Surety Bonds or other instruments approved in General Financial Rules.
  • Modification of clause 13.3: Clarifies that the PBG can be encashed to recover damages/dues from the generator and that damages/dues recovered by the Intermediary Procurer will be credited to the Payment Security Fund. The PBG will be returned within 45 days of the actual supply date, with partial release for partial capacity.
  • Modification of clause 19: Deviations from the guidelines or SBDs by the procurer/intermediate procurer require approval from the Appropriate Commission before bidding. The Commission has 60 days to approve or require modifications to bid documents. No fresh approval is needed if deviations were already approved by the Appropriate Government before these amendments.

Impact Analysis

Project Developers

  • Action Item: Project developers should evaluate the financial implications of using Insurance Surety Bonds for EMD and PBG. They should also assess their cybersecurity preparedness and ensure compliance with relevant regulations. Review and update project plans to meet CUF obligations and AWS requirements.

Procurers (DISCOMs/Intermediary Procurers)

  • Action Item: Procurers should update bidding documents to reflect the amended guidelines, including provisions for Insurance Surety Bonds, cybersecurity compliance, and CUF default mechanisms. They should also establish processes for evaluating and approving deviations from the guidelines.

Consumers

  • Action Item: Consumers may benefit from a more reliable and potentially cost-effective supply of renewable energy due to the improved regulatory framework.
