**Executive Summary**
This document is a record of discussion from the 131st meeting of the PPPAC, held on July 28th, 2025, regarding the proposed development of an Integrated Multi Modal Logistic Hub at Nangal Chaudhary in Haryana under a PPP model. The meeting discussed details of the project, sought clarifications, and ultimately recommended the proposal for administrative approval. The project is to be developed on a Design Build Finance Operate Transfer (DBFOT) basis.

* Revenue Streams: Domestic Cargo, EXIM Cargo, Warehousing, Cold Storage, Leasing of Commercial Space.
* Funding: Concessionaire to fund construction (except land acquisition, etc.), debt-equity ratio of 70:30. Land acquisition etc. to be borne by SPV-IMLH.
* Land Acquisition Status: 100% acquired.
* Bidding Parameter: Highest Minimum Guaranteed Revenue Share.
* Bidding Process: Single stage Two Envelope Bid.
* **PPPAC Recommendations:**
* The PPPAC unanimously recommended the proposal for administrative approval.
* The Authority shall ensure necessary changes are incorporated in the DCA and financial analysis before bidding.
* Provisions discouraging gold plating and recognition of incurred TPC at the Commercial Operation Date should be included.
* Eligibility criteria should promote wider participation and optimal competition.
* Revalidation by PPPAC is not required for changes in date/time periods, non-substantial risk allocation changes, or any other changes/modifications that further project success.
**Impact Analysis**
**Stakeholder: Department of Economic Affairs (DEA)**
* **Impact:** The DEA has representatives on the PPPAC and has provided observations on the financial analysis of the project, which will be revisited.
* **Action Required:** To consider the Right of First Refusal on the adjacent land parcel. The Authority has indicated that the Concessionaire will be granted the Right of First Refusal in the event of future development on the adjacent land parcel. The Right of First Refusal may potentially discourage prospective bidders for future development and could also prevent the Authority from fully discovering the market value of the asset. Therefore, this mechanism requires reconsideration.
To revisit schedules A,B,D and G of the DCA to ensure they are correctly laid out.
**Stakeholder: Department of Promotion of Industry and Internal Trade**
* **Impact:** The department serves as the sponsoring authority for the project.
* **Action Required:** To incorporate necessary changes into the DCA and financial analysis before bidding, to ensure provisions are in place to discourage gold plating, and to ensure eligibility criteria promotes wider participation.
**Stakeholder: NICDC Haryana Multi Modal Logistic Hub Project Ltd (SPV)**
* **Impact:** The SPV is responsible for the development of rail and road connectivity for the proposed IMLH.
* **Action Required:** To incorporate any changes/modifications at the CEO/Secretary (DPIIT) level without further need of revalidation by the PPPAC.
**Stakeholder: Concessionaire (Potential Bidders)**
* **Impact:** Responsible for funding construction costs (excluding land acquisition, etc.), operating, maintaining, and managing the entire logistics hub.
* **Action Required:** To develop, operate, maintain, and manage the entire logistics hub.
**Stakeholder: Ministry of Road Transport & Highways (MoRTH)**
* **Impact:** MoRTH is currently reviewing the Model Concession Agreement (MCA) for the Multi Model Logistics Park (MMLP).
* **Action Required:** It is recommended that the relevant changes be incorporated into the bidding documents prior to their issuance.
Ministry of Road Transport & Highways (MoRTH) has to make comments about the project.
**Stakeholder: Department of Legal Affairs**
* **Impact:** Department of Legal Affairs supported the proposal and sought clarification on the status of the proposed site.
* **Action Required:** The Department of Legal Affairs sought clarification on the status of the proposed site.
Department of Legal Affairs has to comment on the legal aspects of the project.
**Stakeholder: NITI Aayog**
* **Impact:** NITI Aayog raised observations on the road and rail connectivity.
* **Action Required:** The road and rail connectivity are intrinsic to the project proposal, however, they are not part of the Condition Precedent.
The authority need to mention whether these connectivity components will be extended to support potential future development on the land parcel adjacent to the proposed IMLH.
**Stakeholder: Department of Expenditure (DoE)**
* **Impact:** Department of Expenditure (DoE) raised observations on the progress of NICDC Haryana Multi Modal Logistic Hub Project Ltd (SPV).
* **Action Required:** Clarification of whether these works will be carried out at once or in line with the Concessionaire's phase-wise development of the IMLH.
