राजपत्र अजधसूचना संख्या 300 के अनुसार और अनुक्रम म,ें भारत सरकार, घरेलू उत्पाददत प्राकृजतक गैस के जलए बाजार मूल्य की खोज करने के जलए एतद्द्वारा जनम्नजलजखत प्रदक्रयाए ाँ अजधसूजचत करती ह:ै 1. यह प्रदक्रया दस्ट्तावेज, संजवदा के प्रावधानों और उपयुुक्त उजल्लजखत राजपत्र अजधसूचना के अनुसार ई-बोली के माध्यम स े एक संजवदाकार द्वारा घरेल ूउत्पाददत प्राकृजतक गैस की जबक्री के जलए प्रदक्रया जनधाुररत करता ह।ै 2. संजवदाकार, अनुलग्नक-I की सूची के अनुसार हाइड्रोकाबुन महाजनदेिालय (डीजीएच) द्वारा सूचीबद्ध की गई एजेंजसयों स े एक स्ट्वतंत्र एजेंसी की सेवाएाँ लगे ा। एजेंजसयों को सूचीबद्ध करने के जनयम और ित ें अनुलग्नक-I के पररजिष्ट-I पर उपलब्ध ह।ै 3. संजवदाकार, संभावी खरीदार द्वारा व्यापक भागीदारी, प्रजतस्ट्पधा ु को बढावा देने और प्राकृजतक गैस के मल्ू य को अजधकतम करने की दजृष्ट स,े जनजवदा/बोली प्रस्ट्ताव को प्रारूजपत करेगा, जजसम ें पात्रता मानदंड, बोली पैरामीटर, मूल्यांकन मानदंड, जनजवदा िुल्क, गैस जबक्री संबंधी समझौते के मुख्य जनयम और ितें एव ं कोई अन्य सुसंगत जानकारी आदद िाजमल ह।ैं 6028 GI/2020 (1)2 THE GAZETTE OF INDIA : EXTRAORDINARY [PART I—SEC.1] 4. संजवदाकार यह सुजनजित करेगा दक बोजलया ाँ जमा करन े के जलए डीजीएच की वेबसाइट पर ललक उपलब्ध करवाने की जतजथ स े कम स े कम 21 ददन का स्ट्पष्ट समय प्रदान दकया जाए। इसके अलावा, संजवदाकार यह सुजनजित करेगा दक बोलीदाताओं द्वारा उठाए गए सभी प्रश्नों के उत्तर/स्ट्पष्टीकरण का समयबद्ध तरीके स े ददए जाएाँ। 5. संजवदाकार, प्राकृजतक गैस के संभावी खरीदारों स े ई-बोली पोटुल के माध्यम स े बोली आमंजत्रत करेगा जजसका कम स े कम एक अग्रं ेजी भाषा के राष्ट्रीय दैजनक समाचार पत्र और कम स े कम एक स्ट्थानीय भाषा के दैजनक समाचार पत्र, डीजीएच की वेबसाइट और संजवदाकार के घटकों की वेबसाइटों सोिल मीजडया सजहत अन्य प्लेटफामों पर व्यापक रूप स े प्रचार दकया जाए। 6. बोली पूरी होने पर, संजवदाकार डीजीएच को बोली बंद होने संबंधी ररपोट ु प्रस्ट्ततु करेगा, जजसम ें प्रजतभाजगयों की सूची, पात्र बोलीदाताओं की सूची, मूल्य और मात्रा के साथ चयजनत बोलीदाता आदद के साथ जववरण हो। इसके अलावा, संजवदाकार और खरीदारों के बीच जनष्पाददत गैस जबक्री करार (जीएसएज) की एक प्रजत डीजीएच को प्रस्ट्तुत की जाएगी। 7. संजवदाकार और चयजनत सचू ीबद्ध एजेंसी के बीच एक अलग व्यवस्ट्था के माध्यम स े संजवदाकार, ई-बोली प्रदक्रया का संचालन के जलए चयजनत एजेंसी को सभी िुल्क और प्रभारों का भुगतान करन े के जलए उत्तरदायी होगा। 8. पूरी कायुवाही, सरकार के अनुमोदन के बगरै , संजवदाकार/जनमाुता द्वारा संचाजलत की जाएगी। तथाजप, सरकार को सूचना मााँगने और हस्ट्तक्षपे करने का अजधकार होगा, यदद यह जवश्वास करने का कारण हो दक जनयम जवरुद्ध काय ु दकया गया ह।ै 9. राष्ट्रीय तले कंपजनयााँ अथातु ओएनजीसी और ओआईएल को भी अपने नामांकन क्षेत्रों स े उत्पाददत प्राकृजतक गैस के बाजार मूल्य की खोज के जलए उपरोक्त ददिाजनदेिों का पालन करेंगी, जहााँ मूल्य जनधाुरण और जवपणन की स्ट्वतंत्रता प्रदान की गई ह।ै 10. बोली प्रदक्रया के जलए एजजें सयों के सूचीबद्ध करने संबंधी सभी मुद्दे डीजीएच द्वारा जवजनणीत दकए जाएंगे। गैस जबक्री संबंधी नीजत के स्ट्पष्टीकरण स े जडु े मुद्द े सरकार द्वारा जवजनणीत दकए जाएाँगे। 11. मौजूदा गैस जबक्री करार जजन्ह ें संजवदा प्रावधानों के संबंध म ें बनाया गया ह,ै उक्त करार/ संजवदा की अवजध तक जारी रहगें े और तत्पिात,् गैस की जबक्री इन ददिाजनदेिों के अध्यधीन होगी। सभी संजवदाकार अपने मौजूदा गैस जबक्री करारों की प्रजत डीजीएच को उपलब्ध करवाएाँगे। अमर नाथ, संयुक्त सजचव अनलु ग्न क-I गैस के मूल् य जनधारु ण के जलए इलेक्रॉजनक प् लेटफॉम ु के माध्य म स े स्ट् वतंत्र रूप स े नीलामी करने के जलए एजेंजसयों का पैनल' तैयार करने के जलए डीजीएच एनआईओ संख् या डीजीएच/एमएम/ईएमपी/2020/ ईएनक्य ू-191 के तहत मैससु दक्रजसल ररस्ट् क एडं इन्र ास्ट् रक्च र सॉल् यिू न जलजमटेड द्वारा बोली की प्रजतदक्रया। ददनांक 18.10.2020 डीजीएच एनआईओ सख्ं या डीजीएच/एमएम/ईएमपी/2020/ईएनक्य ू -191 संिोधन म ें जनधाुररत जनबंधन और ितों के अनुसार ‘भारत म ें उत् पाददत प्राकृजतक गसै के मल्ू य जनधाुरण के जलए इलेक्रॉजनक प् लेटफॉम ु के माध् यम स े स्ट् वतंत्र रूप स े नीलामी करने के जलए एजेंजसयों का पैनल' तैयार करन े के जलए जनम्न जलजखत एजेंजसयों को एतद्द्वारा पैनलबद्ध दकया जाता ह:ै 1. मैससु एसबीआई कैजपटल माकेट्स जलजमटेड 2. मैससु एमजंक्िन सर्ववसेज जलजमटेड 3. मैससु राइट्स जलजमटेड 4. मैससु एमएसटीसी जलजमटेड 5. मैससु दक्रजसल ररस्ट्क एडं इंरास्ट्रक्चर सॉल्यूिन जलजमटेड पैनल तैयार करने के जलए जनबधं न और ितें पररजिष्ट I म ें बताई गई ह ैं और जब तक डीजीएच द्वारा इनम ें संिोधन नहीं दकया जाता ह,ै तब तक यह परू े कायुकाल के दौरान लाग ू रहगें ी। पैनलबद्ध एजेंजसयों द्वारा ई-नीलामी प्रदक्रया के जलए संलग्न प्रारूप के अनुसार जनबंधन और ितें स्ट्वीकार करने और ई- नीलामी प्रदक्रया संचाजलत करने के जलए जहतों के टकराव के संबंध म ें जनधाुररत प्रपत्र म ें वचनबद्धता उपलब् ध करवाना अपेजक्षत ह।ै सभी अजधकार प्राप्त एजेंजसयां इस पत्र के जारी होने की तारीख स े सात ददनों के भीतर वचनबद्धता प्रस्ट् ततु करके जनबंधन और ित ें स्ट्वीकार करने प्रारंभ म ें तीन (03) वषों के जलए होगी। 2. िुल्क और भुगतान: प्राकृजतक गैस संबंधी संजवदाकार (जजसे बाद म ें "जवक्रेता" कहा जाता ह)ै , जवक्रेता और जवक्रेता द्वारा जनयुक्त पनै लबद्ध एजेंसी के बीच सहमत एक अलग व्यवस्ट्था के माध्यम स े प्रदान की गई अपनी सेवाओं के जलए पनै लबद्ध एजेंसी को सभी िुल्क/प्रभारों का भुगतान करेगा। 3. जहत संबंधी परस्ट् पर जवरोध: क) पैनलबद्ध एजेंसी हर समय पेिेवर, उद्देश्यपरक और जनष्पक्ष सलाह/सेवा प्रदान करेगी और नीलामी प्रदक्रया को स्ट्वतंत्र, पारदिी और जनष्पक्ष तरीके स े आयोजजत करेगी और ऐसी सेवाए ं प्रदान करने म ें दकसी भी अन्य असाइनमेंट/काय ुऔर अपन े स्ट्वय ं के नगै म जहतों के साथ टकराव स े बचेंगी। ख) पैनलबद्ध एजेंसी, उनके अपने कार्वमक और उप-सलाहकार या उनके सहयोगी ऐस े दकसी भी काय ु म ें िाजमल नहीं होंग े जो इस पैनल के तहत जहतों के टकराव का कारण बने या उन् ह ें एक स्ट्वतंत्र तरीके स े नीलामी आयोजजत करने म ें असमथ ु बनाए। ग) पैनलबद्ध एजेंसी, उनके अपने कार्वमक और उप-सलाहकार या उनके सहयोगी पैनलबद्ध- एजेंसी और जवक्रेता के बीच दकए गए करार के अनुसार यथा जनधाुररत जवजधसम् मत भुगतानों के अलावा, सेवाए ं देन े वाल े जवक्रेता स े दकसी भी प्रकार के पाररतोजषक प्राप् त नहीं करेंगे। पैनलबद्ध एजेंसी, ई-नीलामी प्रदक्रया के संचालन के जलए गैस के जवक्रेता द्वारा तनै ाती के समय जहतों के टकराव के जलए उपरोक्त ितों के अनुसार दकसी भी परस्ट्पर जवरोधी गजतजवजधयों के बारे म ें डीजीएच को एक घोषणा पत्र उपलब्ध कराना आवश्यक ह।ै 4. अन्य जनयम और ित:ें क) पैनलबद्ध एजेंसी, अकेले अथवा पररसंघ के मामल े म ें सभी सदस्ट् य, भारत म ें उत्पाददत प्राकृजतक गैस की कीमत तय करन े के जलए ई-नीलामी के संचालन के जलए पूरी तरह स े या सभी सदस्ट्य, संयुक्त रूप स े जजम्मेदार होंगे। ख) ई-बोली के जलए उपयोग दकए जान े वाल े सॉफ्टवेयर सॉल्यूिन का सुरक्षा मानक, इलेक्रॉजनक्स और सूचना प्रौद्योजगकी मंत्रालय ( एमईआईटीवाई) द्वारा जनधाुररत मानकों और ददिाजनदेिों के अनुरूप होगा। ई-बोली प्लेटफॉम ु की सुरजक्षत और जवश्वसनीय ई-नीलामी और प्रणली अखडं ता सुजनजित करने के जलए, जनम्नजलजखत सुजनजित दकया जाएगा:  जवकजसत सॉफ्टवेयर और प्रणाली के सही कायाुन्वयन का पता लगान े के जलए लगाई गई प्रणाली को कायुक्षमता, सुरक्षा, प्रदिुन आदद के जलए परीक्षण दकया जाएगा। ददनांक 17 जसतम्ब र, 2009 के पररपत्र स ं 29/09/09 द्वारा जारी केंद्रीय सतकुता आयोग (सीवीसी), की अपेक्षाओं और समय-समय पर यथा संिोजधत पररपत्रों के अनुसार परीक्षण, पूवु तैनाती चरण और संचालन चरणों के दौरान सत्याजपत दकया जाएगा।  स्रोत कोड और जनष्पादन योग्य णाइलों को बोली िरूु होने स े पहल े सुरजक्षत रूप स े एस्ट्क्रो म ें सग्रं हीत दकया जाएगा और बाद म ेंणाइलों का कोई संिोधन नहीं दकया जाएगा।  सभी व्यजक्तगत स्रोत कोड णाइलों और जनष्पादन योग्य णाइलों के हिै को बोली लगाने स े पहल े सही दकया जाएगा और संबंजधत पणधारकों स े साझा दकया जाएगा और ऑजडट रेल्स/लॉग का जहस्ट्सा होगा।  बोली लगाने के दौरान स्रोत कोड के संिोधन का पता लगाने का तंत्र स्ट्वचाजलत होगा और केवल ऑजडट लॉग पढन े के जलए भी भेजा जाएगा। ग) पैनलबद्ध एजेंसी को पनै ल अवजध के दौरान आईएसओ 27001 मानकों का अनुपालन करना होगा।[भाग I—खण् ड 1] भारत का राजपत्र : असाधारण 5 घ) पैनलबद्ध एजेंसी पेरोजलयम और प्राकृजतक गैस मंत्रालय द्वारा समय-समय पर जनधाुररत ददिाजनदिे ों का पालन करेगी। ड.) यदद पैनलबद्ध एजेंसी द्वारा दकसी भी भ्रामक/झूठी घोषणा दी जाती ह ै तो एजेंसी को पैनल स े बाहर कर ददया जाएगा। च) डीजीएच को एक यह अजधकार ह ै दक वह दकसी ऑजडटर/तीसरे पक्षकार या दकसी भी जनयामक प्राजधकरण द्वारा प्रदान की गई ई-नीलामी सेवाओं के सबं ंध म ें पैनलबद्ध एजेंसी की जाचं करा सकती ह।ै पैनलबद्ध एजेंसी, जब भी ऑजडटस/ु तीसरा पक्षकार/जनयामक प्राजधकरण को आवश्यकता होती ह,ै सभी संबंजधत सूचना, ररकॉडु/डेटा प्रस्ट्तुत करत े ह।ैं इस तरह के ऑजडट के दौरान जहां दकसी भी तरह की खामी देखने को जमलती ह,ै तो एजेंसी जल्द स े जल्द इस े ठीक/हल करेगी और इसके समाधान के जलए अपेजक्षत सभी दस्ट्तावेज उपलब्ध कराएगी। छ) पैनलबद्ध एजेंसी के प्रदिुन की जनगरानी और समीक्षा डीजीएच द्वारा तैयार और उपलब्ध समय-समय पर एक स्ट्वतंत्र जनरीक्षण तंत्र द्वारा की जाएगी। यदद जवक्रेता या गैस खरीदारों को एजेंसी के जवरूद्ध को जिकायत, यदद कोई हो, इस तंत्र के माध्यम स े कराई जाएगी। ज) डीजीएच के पास अजधकार ह ै दक वह दकसी भी समय जनयमों और ितों को संिोजधत कर सकता ह ै या पैनल को रद्द कर सकता ह,ै या दकसी भी समय पैनलबद्ध एजेंसी द्वारा ई-नीलामी को रद्द या जनलंजबत कर सकता ह,ै यदद डीजीएच की राय म,ें यह आवश्यक या समीचीन ह ै अथवा जनजहत या राज्य की सुरक्षा के जहत म ें या ई-नीलामी के उजचत संचालन के जलए ऐसा करना आवश् यक ह।ै डीजीएच का जनणुय इस संबंध म ेंअंजतम और बाध्यकारी होगा। झ) पैनलबद्ध एजेंसी द्वारा एनआईओ संख् या डीजीएच/एमएम/ईएमपी/2020/ईएनक्य -ू 191 संिोधन 1 ददनांक 18.10.2020, म ें यथा जवजनधाुररत अन् य सभी सहमत ित ें तब तक लाग ू रहगें ी जब तक दक डीजीएच द्वारा अन्यथा संिोजधत नहीं दकया जाता। ई-नीलामी प्रदक्रया के सचं ालन के जलए जनयमों और ितों की स्ट्वीकृजत और परस्ट्प र जहतों के टकराव के बारे म ें घोषणा हते ुप्रारूप 1.0 हम एतद्द्वारा अवाडु सं. डीजीएच/एमएम/ईएमपी/2020/ईएनक्य-ू 191/ओआरडी-610 ददनांक 02.12.2020 की पावती देत े ह ैं और पैनल बनाने के जलए अवाडु सूचना तथा पररजिष्ट-I म ें यथा-उजल्लजखत जनयमों और ितों पर अपनी स्ट्वीकृजत की पुजष्ट करत े ह।ैं 2.0 हम ई-नीलामी प्रदक्रया आयोजजत करने के जलए गैस जवक्रेता द्वारा जनयुजक्त के समय जहतों के टकराव के संबंध में पररजिष्ट-I म ें उजल्लजखत ितों के अनुसार दकन् ही परस्ट् पर जवरोधी कायुकलापों के संबंध म ें डीजीएच को घोषणा प्रस्ट्तुत करने की भी एतद्द्वारा पुजष्ट करते ह।ैं इन ितों को जनम्नानुसार दोहराया गया ह:ै क) पैनलबद्ध एजेंसी हर समय पेिेवर, उद्देश्यपरक और जनष्पक्ष सलाह/सेवा प्रदान करेगी और नीलामी प्रदक्रया को स्ट्वतंत्र, पारदिी और जनष्पक्ष तरीके स े आयोजजत करेगी और ऐसी सेवाए ं प्रदान करने म ें दकसी भी अन्य असाइनमेंट/काय ुऔर अपन े स्ट्वय ं के नगै म जहतों के साथ टकराव स े बचेंगी। ख) पैनलबद्ध This process document sets the procedure for sale of domestically produced natural gas by a Contractor through e-bidding as per provisions of contract and the Gazette Notification referred above. 2. The Contractor shall engage an Independent agency from the agencies empanelled by Directorate General of Hydrocarbons (DGH) as per the list at Annexure- I. Terms and conditions for empanelment of agencies is available at Appendix-I of Annexure- I. 3. The Contractor shall design the tender/ bid offer, including eligibility criteria, bid parameters, evaluation criteria, tender fee, salient terms and condition of Gas Sales Agreement and any other relevant information, etc., with a view to encourage wider participation from prospective buyers, promote competition and maximize the value of natural gas offered. 4. The Contractor shall ensure that at least 21 days‘ clear time from the date of hosting of the link on DGH website is provided for submission of bids. Further, the Contractor shall ensure that all queries/ clarifications raised by bidders are responded in a timely manner. 5. The Contractor shall invite bids from prospective buyers of natural gas through e-bidding portal widely publicized in at least one English language national daily newspaper and in at least one local language daily newspaper, website of DGH and websites of constituents of Contractor and other platforms including social media. 6. On completion of the bidding, the Contractor shall submit a bid closure report to DGH with details such as list of participants, list of qualified bidders, selected bidders with their price and quantity allocated etc. Further, a copy of all the Gas Sales Agreements (GSAs) executed between Contractor and buyers shall be submitted to DGH. 7. The Contractor shall be responsible for making payment of all fees and charges to the selected agency for conducting e-bidding process through a separate arrangement between contractor and the selected empanelled agency. 8. The entire proceeding will be conducted by the Contractor/producer without any need for approval of the Government. The Government however, will have the right to ask for information and intervene if there are reasons to believe that there is foul play. 9. National Oil Companies viz., ONGC and OIL shall also follow the above guidelines for discovery of market price of natural gas produced from their Nomination fields wherever pricing and marketing freedom has been granted. 10. All the issues pertaining to empanelment of the agencies for bidding process shall be decided by DGH. Issues pertaining to the clarification on the policy of Gas Sale shall be decided by the Government. 11. The existing gas sales agreements, made in connection with contract provisions, would continue till duration of the agreements/contracts and thereafter subsequent sale of gas shall be subject to these guidelines. Duration of the Empanelment: The duration of empanelment will be for an initial period of three (03) years from the date of notification of empanelment unless notified otherwise. 2. Fees and Payments: The Contractor (hereinafter called ―Seller‖) of natural gas shall pay all the fees/ charges to empanelled agency for its services rendered through a separate arrangement agreed between the empanelled agency engaged by the Seller and the Seller. 3. Conflict of Interest: a) Empanelled agency shall provide professional, objective and impartial advice/ service at all times and hold the auction process in an independent, transparent and fair manner and in providing such services avoid conflict with any other assignment/ work and their own corporate interests. b) Empanelled agency, including their personnel and sub-consultants or any of their affiliates shall not engage in any activity that may result in conflict of interest under this empanelment or that may place them in a position of being unable to carry out the auctions in an independent manner. c) Empanelled agency, including their personnel and sub-consultants or any of their affiliates shall not receive remuneration in any form from the Seller engaging it except the legitimate payments as consideration for the services provided, as per the agreement between the empanelled agency and the Seller. Empanelled agency is required to provide a declaration to DGH regarding any conflicting activities as per the above conditions for conflict of interest at the time of engagement by Seller of gas for conducting e-auction process. 4. Other Terms and Conditions: a) The empanelled agency, solely or all the members, in case of consortium, shall be jointly and severally responsible for conducting e-auction for price discovery of natural gas produced in India. b) The security standard of software solution to be used for e-bidding shall be duly compliant with standards and guidelines prescribed by Ministry of Electronics and Information Technology (MeiTY). In order to ensure secure and reliable e-auctions and system integrity of the e-bidding platform, the following shall be ensured:  The deployed system shall be tested for functionality, security, performance, etc. to ascertain correct implementation of developed software and system. The requirements of Central Vigilance Commission (CVC), issued vide Circular No. 29/09/09 dated 17th September, 2009 and as amended from time to time, shall be verified during testing, pre-deployment stage and operation stages.  The source code and executable files shall be securely stored in Escrow before bidding starts and no modification of files be done later.  Hashes of all individual source code files and executable files shall be taken before the bidding and be shared to relevant stakeholders and be part of the audit trails/logs.  Mechanism to detect modification of source code during bidding shall be done automatically and also be sent to read only audit logs. c) The empanelled agency shall remain complied to ISO 27001 standards during the period of empanelment.[भाग I—खण् ड 1] भारत का राजपत्र : असाधारण 9 d) The empanelled agency shall comply with the guidelines prescribed from time to time by Ministry of Petroleum and Natural Gas. e) In case any misleading/false declaration by empanelled agency, the agency shall be liable to be de- empanelled. f) DGH reserves the right to get the empanelled agency audited by an auditor/third party or any regulatory authority in connection with the e-auction services provided. The empanelled agency shall, whenever required by the auditors/third party/regulatory authority, furnish all relevant information, records/data to them. Where any deficiency is observed during such audit, the empanelled agency shall correct/resolve the same at the earliest and shall provide all necessary documents related to resolution thereof. g) The performance of the empanelled agency shall be monitored and reviewed periodically by an independent oversight mechanism, devised and made available by DGH. Complaints/ grievances by the Seller or buyers of gas, if any, against the agency, will be routed through this mechanism. h) DGH reserves the right to modify terms and conditions of the empanelment or cancel the empanelment, or to cancel or suspend the e-auction by the empanelled agency at any time, if in the opinion of the DGH, it is necessary or expedient to do so in public interest or interest of the security of the State or for proper conduct of the e-auction. The decision of DGH shall be final and binding in this regard. i) All other terms and conditions specified under the NIO No.: DGH/MM/EMP/2020/ENQ-191 Revision 1 dated 18.10.2020, as agreed by empanelled agency, shall remain applicable and to be complied by the empanelled agency unless otherwise modified by DGH.
