1. (1) इन जवजनयमों का संजक्षप्त नाम भारतीय दिवाला और िोधन अक्षमता बोडड (स्ट्वैजछिक समापन प्रदिया) (संिोधन) जवजनयम, 2024 ि ै।

(2) य ेरािपत्र में उनके प्रकािन की तारीख को प्रवृत्त िोंग े।

2. भारतीय दिवाला और िोधन अक्षमता बोड ड (स्ट्वैजछिक समापन प्रदिया) जवजनयमन, 2017 (जिन्ि ें इसम ें इसके पश्चात् “मूल जवजनयम” किा गया ि)ै के जवजनयम 3 के उप-जवजनयम (1) म,ें-

(I) खंड (क) म,ें “िैसा भी मामला िो, जिसे यि कथन करते हुए एक िपथनामा द्वारा सत्याजपत दकया िाए, दक – ” वाकयांि के पश्चात ् – (क) उप-खंड (i) में, “ऋण चुका सकेगा;” िब्िों और जचह्न के पश्चात् “और” िब्ि का लोप दकया िाएगा;

638 GI/2024 (1)2 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] (ख) उप-खंड (ii) में, “समापन निीं कर रिा ि;ै” िब्िों और जचह्न के पश्चात ् ‘और” िब्ि अतं ःस्ट्थाजपत दकया िाएगा; (ग) उप-खंड (ii) के पश्चात ्जनम्नजलजखत उप-खंड अंतःस्ट्थाजपत दकया िाएगा, अथाडत्:- “(iii) कारपोरेट व्यजि न,े खंड (ख) के उप-खंड (iii) म ें उजल्लजखत लंजबत मामलों के कारण उद्भूत िोने वाली बाध्यताओं को पूरा करन ेके जलए पयाडप्त प्रावधान दकया ि ै।”

(II) खंड (ख) में, (क) उप-खंड (ii) में, “पंिीकृत मूल्यांकक द्वारा तैयार की गई िो;” िब्िों और जचह्न के पश्चात् “और” िब्ि अंतःस्ट्थाजपत दकया िाएगा । (ख) उप-खंड (ii) के पश्चात्, जनम्नजलजखत उप-खंड अतं ःस्ट्थाजपत दकया िाएगा, अथाडत्:- “(iii) कारपोरेट व्यजि की बाबत लंजबत कायडवाजियों या काननू ी प्राजधकाठरयों के समक्ष जनधाडरणों और लंजबत मुकिमेबाजी के बारे में प्रकटन ।”

3. मूल जवजनयमों के जवजनयम 8 के उप-जवजनयम (1) के खंड (ख) में, “वार्षडक” िब्ि का लोप दकया िाएगा ।

4. मूल जवजनयमों के जवजनयम 37 में, -

(I) उप-जवजनयम (2) म,ें (क) “बारि मिीने” िब्िों के स्ट्थान पर “उप-जवजनयम (1) म ेंजनयत अवजध” िब्ि रखे िाएगं े । (ख) खडं (क) के स्ट्थान पर जनम्नजलजखत खंड रखा िाएगा, अथाडत्:- “(क) उप-जवजनयम (1) म ेंयथा-जनयत -

(i) यथाजस्ट्थजत, िो सौ सत्तर दिन या नब्बे दिन की समाजप्त के और

(ii) उसके पश्चात् यथाजस्ट्थजत, प्रत्येक उत्तरवतद िो सौ सत्तर दिन या नब्ब े दिन की समाजप्त के, पन्रि दिनों के भीतर कारपोरेट व्यजि के जवघटन के जलए आवेिन प्रस्ट्तुत दकए िान े तक, कारपोरेट व्यजि के अंििाताओं की बैिक आयोजित करेगा; और” (ग) खडं (ख) म,ें

(i) “वार्षडक” िब्ि का लोप दकया िाएगा ।

(ii) उप-खंड (iii) में “और” िब्ि का लोप दकया िाएगा ।

(iii) उप-खंड (v) में, “और” िब्ि का लोप दकया िाएगा ।

(iv) उप-खंड (vi) म,ें “।” जचह्न के स्ट्थान पर “;और” जचह्न और िब्ि रखा िाएगा ।

(v) उप-खंड (vi) के पश्चात,् जनम्नजलजखत उप-खंड अतं ःस्ट्थाजपत दकया िाएगा, अथाडत:् - “(vii) जनयत समय के भीतर प्रदिया पूरी न करन े के कारण और प्रदिया परू ी करन े के जलए अपेजक्षत अजतठरि समय ।”

(II) उप-जवजनयम (3) में, “वार्षडक” िब्ि का लोप दकया िाएगा ।

(III)उप-जवजनयम (3) के पश्चात,् जनम्नजलजखत उप-जवजनयम अतं ःस्ट्थाजपत दकया िाएगा, अथाडत्:- “(4) पठरसमापक, अंििाताओं की बैिक के सात दिनों के भीतर, बोडड के समक्ष जस्ट्थजत ठरपोट ड फाइल करेगा ।”

5. मलू जवजनयम के जवजनयम 39 में,-

(I) उप-जवजनयम (7) के स्ट्थान पर जनम्नजलजखत उप-जवजनयम रखे िाएंग,े अथाडत:् -[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 3 “(7) कारपोरेट व्यजि के जवघटन से पूवड, ऐसा जितधारक, िो कारपोरेट स्ट्वैजछिक समापन खाते में िमा की गई दकसी रकम का िकिार िोने का िावा करता ि,ै पठरसमापक के पास रकम की जनकासी के जलए प्ररूप-I में आवेिन कर सकेगा । (7क) पठरसमापक, उप-जवजनयम (7) के अधीन अनरु ोध प्राप्त िोने पर, िाव े का सत्यापन करने के पश्चात्, बोड ड को वि रकम आग ेजवतरण के जलए उसे उन्मोजचत करन े का अनुरोध करेगा । (7ख) बोड,ड उप-जवजनयम (7क) के अधीन अनुरोध प्राप्त करने पर वि रकम पठरसमापक को उन्मोजचत कर सकेगा । (7ग) पठरसमापक, जितधारको को जवतठरत करने के पश्चात,् न्यायजनणाडयक प्राजधकारी को ऐसे जवतरण की सूचना िेगा । (7घ) कारपोरेट व्यजि के जवघटन के पश्चात्, कोई ऐसा जितधारक, िो कारपोरेट स्ट्वैजछिक समापन खाते में िमा की गई दकसी रकम का िकिार िोने का िावा करता ि,ै बोड ड के समक्ष उस रकम की जनकासी के आिेि के जलए प्ररूप-I में आवेिन कर सकेगा । (7ङ) यदि जितधारक से जभन्न कोई अन्य व्यजि, कारपोरेट स्ट्वैजछिक समापन खात े में िमा की गई दकसी रकम का िकिार िोने का िावा करता ि ै तो वि, यथाजस्ट्थजत, पठरसमापक या बोडड का यि समाधान करने के जलए दक वि इस प्रकार िकिार ि,ै साक्ष्य प्रस्ट्तुत करेगा ।”

NOTIFICATION New Delhi, the 31st January, 2024 Insolvency and Bankruptcy Board of India (Voluntary Liquidation Process) (Amendment) Regulations, 2024 No. IBBI/2023-24/GN/REG109.—In exercise of the powers conferred by clause (t) of sub-section (1) of

section 196 read with section 240 of the Insolvency and Bankruptcy Code, 2016 (31 of 2016), the Insolvency and Bankruptcy Board of India hereby makes the following regulations further to amend the Insolvency and Bankruptcy Board of India (Voluntary Liquidation Process) Regulations, 2017, namely: -

1. (1) These Regulations may be called the Insolvency and Bankruptcy Board of India (Voluntary Liquidation Process) (Amendment) Regulations, 2024.

(2) They shall come into force on the date of their publication in the Official Gazette.

2. In the Insolvency and Bankruptcy Board of India (Voluntary Liquidation Process) Regulations, 2017 (hereinafter referred to as 'the principal regulations'), in regulation 3, in sub-regulation (1) -

(I) in clause (a), after the phrase “as the case may be, verified by an affidavit stating that – ” -

(a) in sub-clause (i), the word “and”, after the words and mark “the liquidation;”, shall be omitted.

(b) in sub-clause (ii), after the words and mark “defraud any person;”, the word “and”, shall be inserted.

(c) after sub-clause (ii), the following sub-clause shall be inserted, namely:-4 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] “(iii) the corporate person has made sufficient provision to meet the obligations arising on account of pending matters mentioned in sub-clause (iii) of clause (b).”

(II) in clause (b),

(a) in sub-clause (ii), after the words and mark “by a registered valuer;”, the word “and”, shall be inserted.

(b) after sub-clause (ii), the following sub-clause shall be inserted, namely:- “(iii) disclosure about pending proceedings or assessments before statutory authorities, and pending litigations, in respect of the corporate person.”

3. In the principal regulations, in regulation 8, in sub-regulation (1), in clause (b), the word “Annual” shall be omitted.

4. In the principal regulations, in regulation 37,

(I) in sub-regulation (2),

(a) for the words “twelve months”, the words “the period stipulated in sub-regulation (1)”, shall be substituted.

(b) for clause (a), the following clause shall be substituted, namely:- “(a) hold a meeting of the contributories of the corporate person within fifteen days –

(i) from the end of two hundred and seventy days or ninety days, as the case may be, and

(ii) thereafter at the end of every succeeding two hundred and seventy days or ninety days, as the case may be, as stipulated in sub-regulation (1), till submission of application for dissolution of the corporate person; and”

(c) in clause (b),

(i) the word “Annual” shall be omitted.

(ii) in sub-clause (iii), the word “and” shall be omitted.

(iii) in sub-clause (v), the word “and” shall be omitted.

(iv) in sub-clause (vi), the mark “.”, shall be substituted with the word and mark “; and”.

(v) after sub-clause (vi), the following sub-clause shall be inserted, namely:- “(vii) the reasons for not completing the process within stipulated time period and the additional time required for completing the process.”

(II) in sub-regulation (3), the word “Annual” shall be omitted.

(III) after sub-regulation (3), the following sub-regulation shall be inserted, namely:- “(4) The liquidator shall file the Status Report with the Board within seven days of the meeting of contributories.”

5. In the principal regulations, in regulation 39,

(I) for sub-regulation (7), the following sub-regulations shall be substituted, namely:- “(7) Prior to dissolution of the corporate person, a stakeholder, who claims to be entitled to any amount deposited into the Corporate Voluntary Liquidation Account, may apply to the liquidator in Form-I for withdrawal of the amount.

(7A) On receipt of request under sub-regulation (7), the liquidator after verification of the claim, shall request the Board for release of amount to him for onward distribution.

(7B) The Board on receipt of request under sub-regulation (7A) may release the amount to the liquidator.

(7C) The liquidator shall, after making the distribution to the stakeholder shall intimate the Adjudicating Authority of such distribution.

(7D) After dissolution of the corporate person, a stakeholder, who claims to be entitled to any amount deposited into the Corporate Voluntary Liquidation Account, may apply to the Board in Form-I for an order for withdrawal of the amount.[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 5

(7E) If any other person other than the stakeholder claims to be entitled to any amount deposited to the Corporate Voluntary Liquidation Account, he shall submit evidence to satisfy the liquidator or the Board, as the case may be, that he is so entitled.”

(II) in sub-regulation (8), for the expression “sub-regulation (7)”, the expression “sub-regulation (7D)” shall be substituted.
