दिवाला और िोधन अक्षमता संजिता, 2016 (2016 का 31) की धारा 240 के साथ पठित धारा 196 की
उपधारा (1) के खंड (न) द्वारा प्रित्त िजियों का प्रयोग करते हुए, भारतीय दिवाला और िोधन अक्षमता बोड ड
(कारपोरेट व्यजियों के जलए दिवाला समाधान प्रदिया) जवजनयम, 2016 का और संिोधन करने के जलए
जनम्नजलजखत जवजनयम बनाता ि,ै अथाडत्: -
1. (1) इन जवजनयमों का संजक्षप्त नाम भारतीय दिवाला और िोधन अक्षमता बोड ड (कारपोरेट व्यजियों के
जलए दिवाला समाधान प्रदिया) (चौथा संिोधन) जवजनयम, 2020 ि ै ।
(2) ये रािपत्र में प्रकािन की तारीख को प्रवृत्त िोंग े ।

जवजनयम, 2016(जिन्ि ें इसम ें इसके पश्चात् मूल जवजनयम किा गया िै) के जवजनयम 4क के उप-जवजनयम (2) में,
खंड (क) के पश्चात् जनम्नजलजखत खंड अंतःस्ट्थाजपत दकया िाएगा,अथाडत्:-
“(कक) जिनके बोड ड के पास यथा-रजिस्ट्रीकृत पते, यथाजस्ट्थजत, उस राज्य या संघ राज्यक्षेत्र में िैं,
जिसमें कारपोरेट ऋणी के अजभलेखों में लेनिारों के पतों के अनुसार उस वगड के लेनिारों की संख्या उच्चतर
ि:ै
परन्तु ििां ऐसे राज्य या सघं -राज्यक्षेत्र में पयाडप्त संख्या में दिवाला व्यावसाजयक निीं ि,ै विां ऐस े
दिवाला व्यावसाजयकों पर जवचार दकया िाएगा जिनके पते समीपस्ट्थ, यथाजस्ट्थजत, राज्य या संघ-राज्यक्षेत्र
में ि;ैं ” ।
3. मूल जवजनयमों के जवजनयम 16क में, उप-जवजनयम (9) के स्ट्थान पर जनम्नजलजखत उप-जवजनयम रखा
िाएगा, अथाडत:् -
“(9) प्राजधकृत प्रजतजनजध कायडसूची को, एक वगड के लेनिारों को पठरचाजलत करेगा और सजमजत की
बैिक में प्रभावी रूप से भाग लेने के जलए स्ट्वयं को समथड बनाने िते ु कायडसचू ी की दकसी भी मि पर उनके
प्रारंजभक जवचारों की ईप्सा कर सकेगा:
परन्तु लेनिारों को अपने प्रारंजभक जवचार प्रस्ट्तुत करने के जलए कम से कम बारि घटं े की समय ववंडो
प्राप्त िोगी और उि ववंडो प्राजधकृत प्रजतजनजध द्वारा प्रारंजभक जवचारों की ईप्सा करने के कम से कम चौबीस
घंटे पश्चात् खुलेगी:
परन्तु यि और दक ऐसे प्रारंजभक जवचारों को लेनिारों द्वारा दिए गए मतिान अनुििे ों के रूप निीं
समझा िाएगा ।”।
4. मूल जवजनयमों के जवजनयम 39 में, उप-जवजनयम (3) के स्ट्थान पर जनम्नजलजखत उप-जवजनयम रख े िाएगं े,
अथाडत्:-
“(3) सजमजत,-
(क) उप-जवजनयम (2) के अधीन प्राप्त समाधान योिनाओं का मूल्यांकन मैठरक्स के अनुसार मूल्यांकन
करेगी;
(ख) प्रत्येक समाधान योिना की साध्यता और व्यविायडता के संबंध में अपनी मंत्रणा को अजभजलजखत
करेगी; और
(ग) ऐसी सभी समाधान योिनाओं पर एक-साथ मतिान करेगी।
(3क) ििां केवल एक समाधान योिना के संबंध में मतिान कराया िाता ि ै विां उस े तब अनुमोदित
समझा िाएगा यदि उसे अपेजक्षत मत प्राप्त िोते ि ैं ।
(3ख) ििा ं िो या उससे अजधक योिनाओं के संबंध म ें एक-साथ मतिान कराया िाता ि ै विां उस
समाधान योिना को अनुमोदित समझा िाएगा जिसे उच्चतर मत प्राप्त िोत े ि ैं दकन्तु व े मत अपेजक्षत मतों स े

परन्तु ििां िो या उससे अजधक समाधान योिनाओं को समान मत प्राप्त िोते ि ैं दकन्त ु वे अपेजक्षत मतों
से कम निीं ि,ैं विां सजमजत मतिान से पूवड घोजित टाई-ब्रेकर फामूडले के अनुसार उनमें से दकसी एक योिना
का अनुमोिन करेगी:
परन्तु यि और दक ििां दकसी भी योिना को अपेजक्षत मत प्राप्त निीं िोते ि ैं विां सजमजत, संजिता के
अधीन समय-सीमा के अधीन रिते हुए, उस समाधान योिना के संबंध में पुन: मतिान करेगी, जिसे उच्चतर
मत प्राप्त हुए ि।ैं

समय-सीमा के अधीन रिते हुए, योिना ख के संबंध में, जिसे उच्चतर
मत प्राप्त हुए ि,ैंपुन: मतिान करेगी।
2 70 75 योिना ख का अनुमोिन दकया िाता ि ै क्योंदक उसे उच्चतर मत प्राप्त
हुए ि,ैं िो दक अपेजक्षत मतों से कम निीं ि ैं।
3 75 75 सजमजत, मतिान से पूवड घोजित टाई-ब्रेकर फामूडले के अनुसार योिना
क या योिना ख का अनुमोिन करेगी ।”।

NOTIFICATION
New Delhi, the 7th August, 2020
Insolvency and Bankruptcy Board of India (Insolvency Resolution Process for Corporate Persons)
(FourthAmendment) Regulations, 2020.
No. IBBI/2020-21/GN/REG064.-In exercise of the powers conferred by clause (t) of sub-section (1) of section
196 read with section 240 of the Insolvency and Bankruptcy Code, 2016 (31 of 2016), the Insolvency and Bankruptcy
Board of India hereby makes the following regulations further to amend the Insolvency and Bankruptcy Board of
India (Insolvency Resolution Process for Corporate Persons) Regulations, 2016, namely: -
1. (1) These regulations may be called the Insolvency and Bankruptcy Board of India (Insolvency Resolution
Process for Corporate Persons) (FourthAmendment) Regulations, 2020.
(2) They shall come into force on the date of their publication in the Official Gazette.4 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC. 4]
2. In the Insolvency and Bankruptcy Board of India (Insolvency Resolution Process for Corporate Persons)
Regulations, 2016 (hereinafter referred to as the principal regulations) in regulation 4A,in sub-regulation (2), after
clause (a), the following clause shall be inserted, namely: -
“(aa) having their addresses, as registered with the Board,in the State or Union Territory, as the case may be,which
has the highest number of creditors in the class as per their addresses in the records of the corporate debtor:
Provided that where such State or Union Territory does not have adequate number of insolvency
professionals, the insolvency professionals having addresses in a nearby State or Union Territory, as the case may be,
shall be considered;”.
3. In the principal regulations, in regulation 16A,for sub-regulation (9), the following sub-regulation shall be
substituted, namely: -
“(9) The authorised representative shall circulate the agenda to creditors in a class, and may seek their preliminary
viewson any item in the agenda to enable him to effectively participate in the meeting of the committee:
Provided that creditors shall have a time window of at least twelve hours to submit their preliminary views,
and the said window opens at least twenty-four hours after the authorised representative seeks preliminary views:
Provided further that such preliminary views shall not be considered as voting instructions by the creditors.”.
4. In the principal regulations, in regulation 39, for sub-regulation (3), the following sub-regulations shall be
substituted, namely: -
“(3)The committee shall-
(a) evaluate the resolution plans received under sub-regulation (2) as per evaluation matrix;
(b) record its deliberations on the feasibility and viability of each resolution plan; and
(c) vote on all such resolution plans simultaneously.
(3A) Where only one resolution plan is put to vote, it shall be considered approved if it receives
requisite votes.
(3B) Where two or more resolution plans are put to vote simultaneously, the resolution plan,which receives the
highest votes, but not less than requisite votes,shall be considered as approved:
Provided that where two or more resolution plans receive equal votes, but not less than requisite votes, the
committee shall approve any one of them, as per the tie-breaker formula announced before voting:
Provided further that where none of the resolutionplans receivesrequisite votes,the committee shall again vote
on the resolution planthat received the highest votes, subject to the timelines under the Code.
Illustration. - The committee is voting on two resolution plans, namely, A and B, simultaneously. The voting outcome
is as under:

the tie-breaker formula announced before voting.”.
