1. इि जिजियमों को भारतीय प्रजतभूजत और जिजिमय बोडड (प्रजतभूजत बािार में सहय क्त व्यजक्तयों का प्रमाणीकरण) (संिोधि) जिजियम, 2026 कहा िा सकेगा ।

2. ये जिजियम रािपत्र म ेंइिके प्रकाजित होिे की तारीख को लागू होंगे ।

3. भारतीय प्रजतभूजत और जिजिमय बोडड (प्रजतभूजत बािार म ें सहय क्त व्यजक्तयों का प्रमाणीकरण) जिजियम, 2007 म,ें - 7763 GI/2026 (1)2 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] I. जिजियम 3(1) के परंत क को छोड़कर, िब्द “सहय क्त व्यजक्त”, िब्द “सहय क्त व्यजक्तयों”, िब्द तथा जचह्ि “सहयोगी (सहय क्त) व्यजक्त” और िब्द तथा जचह्ि “सहयोगी (सहय क्त) व्यजक्तयों”, िहााँ कहीं भी ददए हुए हों (जिसमें इि जिजियमों का िीषडक भी िाजमल है), उिके स्ट्थाि पर क्रमिः िब्द “जिधाडठरत व्यजक्त”, “जिधाडठरत व्यजक्तयों”, “जिधाडठरत व्यजक्त” और “जिधाडठरत व्यजक्तयों” आ िाएगाँ े। II. जिजियम 2(1) म,ें

(i) खंड (ग) हट िाएगा;

(ii) खंड (ि) म,ें जचह्ि “।” के स्ट्थाि पर जचह्ि “;” आ िाएगा;

(iii) खंड (ि) के बाद, जिम्नजलजखत िया खंड िोड़ा िाएगा, अथाडत ्– “(ड) “जिधाडठरत व्यजक्त” का अथ ड ह ै – दकसी इंटरमीजडयरी (मध्यिती) का प्प्रंजसपल (प्रधाि-व्यजक्त) या कमडचारी या दफर िेयर बािार (जसक्यूठरटीज़ माकेट / प्रजतभूजत बािार) के कारोबार म ें लगा हुआ कोई एिेंट या जडजस्ट्रब्यूटर या कोई दसू रा व्यजक्त (िैचर ल पसडि), और जिसमें दकसी जिदेिी पोटडफोजलयो जििेिक या जिदेिी िोजखम पूाँिी जििेिक का िह कमडचारी भी िाजमल ह ै िो भारत में कायडरत हो ।” III. जिजियम 2(2) म,ें िब्दों, जचह्िों तथा अंकों “कंपिी अजधजियम, 1956 (1956 का 1)” के स्ट्थाि पर िब्द, जचह्ि तथा अंक “कंपिी अजधजियम, 2013 (2013 का 18)” आ िाएाँग े । IV. जिजियम 4(1) म,ें

(i) खंड (ग) म,ें जचह्ि “।” के स्ट्थाि पर जचह्ि तथा िब्द “; या” आ िाएाँग;े

(ii) खंड (ग) के बाद, जिम्नजलजखत िया खंड िोड़ा िाएगा, अथाडत ्– “(घ) एि.आई.एस.एम. (राष्ट्रीय प्रजतभूजत बािार संस्ट्थाि) द्वारा बोडड के परामि ड से समय-समय पर जिधाडठरत दकया गया कोई पाठ्यक्रम (कोसड) या प्रोगाम उत्तीणड करके ।” V. जिजियम 4(2) म,ें िब्दों, जचह्िों, अंक तथा अक्षरों “प्रधाि-व्यजक्त होते हुए सहय क्त व्यजक्त उप-जिजियम

(1) के खण्ड (क) या खण्ड (ख) या खण्ड (ग) म ें जिजिर्दडष्ट रीजतयों में से दकसी रीजत में प्रमाणपत्र अजभप्राप्त करेगा ।” के स्ट्थाि पर िब्द, जचह्ि, अंक तथा अक्षर “िो जिधाडठरत व्यजक्त प्प्रंजसपल (प्रधाि- व्यजक्त) हो, उसे प्रमाणपत्र उसी तरह हाजसल करिा होगा, िसै ा उप-जिजियम (1) के खंड (क) या खडं (ख) या खंड (ग) या खंड (घ) म ेंबताया गया ह ै।” आ िाएाँग े । VI. जिजियम 4(3) म,ें िब्दों, अंकों तथा जचह्िों “जिजियम 3 के उप-जिजियम (1) के तहत, बोड ड द्वारा बताई िािे िाली तारीख” के स्ट्थाि पर िब्द तथा जचह्ि “यथाजस्ट्थजत, परीक्षा दिे े की तारीख या सी.पी.ई.

हाजसल करि े की तारीख या दफर पाठ्यक्रम (कोसड) या प्रोग्राम (िो एि.आई.एस.एम. द्वारा बोडड के परामिड से जिधाडठरत दकया िाए) म ेंदाजखला लेिे की तारीख” आ िाएाँग े । VII. जिजियम 4(3) म,ें िब्द, जचह्िों तथा अक्षर “खंड (ख)” के बाद और िब्दों “में बताया गया ह”ै से पहल े िब्द, जचह्ि तथा अक्षर “या खडं (घ)” िोड़े िाएगाँ े । VIII. जिजियम 4(4) में, िब्दों, जचह्िों, अंकों तथा अक्षर “सहय क्त व्यजक्त, उप-जिजियम (2) या उप-जिजियम

(3) म ें उजल्लजखत से जभन्न, उप-जिजियम (1) के खण्ड (क) में जिजिर्दडष्ट रीजत म ें प्रमाणपत्र अजभप्राप्त करेगा ।” के स्ट्थाि पर िब्द, जचह्ि, अंक तथा अक्षर “जिस जिधाडठरत व्यजक्त का जिक्र उप-जिजियम (2)[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 3 या उप-जिजियम (3) में दकया गया है, उसे छोड़कर कोई दसू रा जिधाडठरत व्यजक्त प्रमाणपत्र उसी तरह हाजसल करेगा, िैसा उप-जिजियम (1) के खडं (क) या खंड (घ) म ेंबताया गया ह ै।” आ िाएाँगे । IX. जिजियम 5 के िीषडक और जिजियम 5(1) म,ें िब्दों, जचह्िों तथा अंकों “प्रमाणपत्र की जिजधमान्यता कालािजध.- (1) जिजियम 3 के अधीि प्रदाि दकया गया प्रमाणपत्र, प्रमाणपत्र प्रदाि दकये िाि े या उसके प िर्िडजधमान्यकरण, यथाजस्ट्थजत, की तारीख से तीि िषों की कालािजध के जलए जिजधमान्य होगा ।” के स्ट्थाि पर िब्द, जचह्ि तथा अंक “प्रमाणपत्र कब तक मान्य (जिजधमान्य) रहगे ा.- (1) जिजियम 3 के तहत प्रदाि दकया गया प्रमाणपत्र, यथाजस्ट्थजत, प्रमाणपत्र प्रदाि दकए िािे की तारीख या उसकी मान्यता बढाए िािे की तारीख से तीि िषों की अिजध तक या बढाई गई उस दसू री अिजध तक मान्य रहगे ा िो बोडड द्वारा जिधाडठरत की िाए ।” आ िाएाँग े । X. जिजियम 5(2) म,ें

(i) िब्दों तथा जचह्ि “सहयक्त व्यजक्त द्वारा धाठरत प्रमाणपत्र की जिजधमान्यता समाप्त हो िाि े पर,” के स्ट्थाि पर िब्द तथा जचह्ि “िब तक बोडड द्वारा कोई और प्रािधाि ि दकया िाए, तब तक जिधाडठरत व्यजक्त के पास िो प्रमाणपत्र ह ै उसकी मान्यता (जिजधमान्यता) की अिजध समाप्त हो िािे पर,” आ िाएगाँ ;े

(ii) िब्दों, जचह्िों तथा अंक “प्रमाणपत्र को एक समय म ें तीि िषों की कालािजध के जलए प िर्िडजधमान्य दकया िाएगा, परंत सहय क्त व्यजक्त इि जिजियमों के अध्याय IV के अि सार राष्ट्रीय प्रजतभूजत बािार संस्ट्थाि द्वारा जिजिर्दडष्ट सतत ् व्यािसाजयक जिक्षा के कायडक्रम को सफलतापूिडक पूरा करता हो ।” के स्ट्थाि पर िब्द तथा जचह्ि “उसकी मान्यता की अिजध एक बार में तीि िषों के जलए बढाई िाएगी या उस दसू री अिजध के जलए बढाई िाएगी िो बोड ड द्वारा जिधाडठरत की िाए, बित े दक िह जिधाडठरत व्यजक्त इि जिजियमों के अध्याय-IV के अि सार एि.आई.एस.एम. द्वारा जिधाडठरत दकया गया सी.पी.ई. सफलतापूिडक परू ा कर ल े।” आ िाएगाँ े । XI. जिजियम 11 के बाद, जिम्नजलजखत िया जिजियम िोड़ा िाएगा, अथाडत् - “दसू रे जिजियमों म ेंसंिोधि

12. इि जिजियमों की अि सूची में जिि जिजियमों का जिक्र गया ह,ै उिम ें उसी तरीके से और उतिा संिोधि हो िाएगा, िैसा िहााँ बताया गया ह ै।” XII. जिजियम 12 के बाद, जिम्नजलजखत िई अि सूची िोड़ी िाएगी, अथाडत् - “अि सूची [जिजियम 12 देख]ें

1. भारतीय प्रजतभूजत और जिजिमय बोडड (जडबेंचर न्यासी) जिजियम, 1993 में संिोधि जिजियम 17क(4) म,ें िब्दों “सहय क्त व्यजक्तयों” के स्ट्थाि पर िब्द “जिधाडठरत व्यजक्तयों” आ िाएाँग े और िब्दों “असोजसएटेड पसडन्स” के स्ट्थाि पर िब्द “स्ट्पेजसफाइड पसडन्स” आ िाएगाँ े ।

2. भारतीय प्रजतभूजत और जिजिमय बोडड (स्ट्ि-जिजियामक संगिि) जिजियम, 2004 म ेंसंिोधि4 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4]

(i) जिजियम 2(1)(ङक) म,ें िब्दों “सहय क्त व्यजक्तयों” के स्ट्थाि पर िब्द “जिधाडठरत व्यजक्तयों” आ िाएाँग े ।

(ii) जिजियम 2(1)(िक) म,ें िब्दों “सहय क्त व्यजक्तयों” के स्ट्थाि पर िब्द “जिधाडठरत व्यजक्तयों” आ िाएाँग े ।” अजमत प्रधाि, कायडपालक जिदिे क [जिज्ञापि-III/4/असा./374/2026-27] ठटप्पणी : भारतीय प्रजतभूजत और जिजिमय बोडड (प्रजतभूजत बािार में सहय क्त व्यजक्तयों का प्रमाणीकरण) जिजियम, 2007 (अजधसूचिा फा. सं. 11/एलसी/िीएि/2007/4567) 17 अक्तूबर 2007 को भारत के रािपत्र म ें प्रकाजित हुए थ,े और िो अंजतम बार 15 ि लाई, 2025 को भारतीय प्रजतभूजत और जिजिमय बोड ड (प्रजतभूजत बािार म ें सहय क्त व्यजक्तयों का प्रमाणीकरण) (संिोधि) जिजियम, 2025 (अजधसूचिा फा. सं. सेबी/एलएडी-एिआरओ/िीएि/2025/251) द्वारा संिोजधत हुए थे । SECURITIES AND EXCHANGE BOARD OF INDIA

NOTIFICATION Mumbai, the 7th October, 2026 SECURITIES AND EXCHANGE BOARD OF INDIA (CERTIFICATION OF ASSOCIATED PERSONS IN THE SECURITIES MARKETS) (AMENDMENT) REGULATIONS, 2026 F.No. SEBI/LAD-DOP/2026/319.— In exercise of the powers conferred by section 30 read with sections 11, 12 and 19 of the Securities and Exchange Board of India Act, 1992 (15 of 1992), the Board hereby makes the following regulations to further amend the Securities and Exchange Board of India (Certification of Associated Persons in the Securities Markets) Regulations, 2007, namely, -

1. These regulations may be called the Securities and Exchange Board of India (Certification of Associated Persons in the Securities Markets) (Amendment) Regulations, 2026.

2. They shall come into force on the date of their publication in the Official Gazette.

3. In the Securities and Exchange Board of India (Certification of Associated Persons in the Securities Markets) Regulations, 2007, - I. The words “associated person”, “an associated person” and “associated persons” wherever they appear, including in the title of the regulations, except in the proviso to regulation 3(1), shall be substituted with the words “specified person”, “a specified person” and “specified persons” respectively.

II. In regulation 2(1),

(i) clause (c) shall be omitted;

(ii) in clause (l), the symbol “.” shall be substituted with the symbol “;”;

(iii) after clause (l), the following new clause shall be inserted, namely – “(m) “specified person” means a principal or employee of an intermediary or an agent or distributor or other natural person engaged in the securities market business and includes an employee of a foreign portfolio investor or a foreign venture capital investor working in India.”.

III. In regulation 2 (2), the words, symbols and numbers “the Companies Act, 1956 (1 of 1956)” shall be substituted with the words, symbols and numbers, “the Companies Act, 2013 (18 of 2013)”.[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 5 IV. In regulation 4(1),

(i) in clause (c), the symbol “.” shall be substituted with the words and symbols “; or”;

(ii) after clause (c), the following new clause shall be inserted, namely – “(d) by passing a course or programme as may be specified by NISM in consultation with the Board from time to time.” V. In regulation 4(2), after the words and symbols “clause (c)” and before the words and symbols “of sub regulation (1)”, the words and symbols “or clause (d)” shall be inserted.

VI. In regulation 4(3), the words, symbols and numbers “as may be specified by the Board under sub regulation (1) of regulation 3” shall be substituted with the words and symbols, “of appearing for examination or date of obtaining CPE or date of enrolment in course or programme as may be specified by NISM in consultation with the Board, as the case may be”.

VII. In regulation 4(3), after the words and symbols “clause (b)” and before the words and symbols “of sub regulation (1)”, the words and symbols “or clause (d)” shall be inserted.

VIII. In regulation 4(4), after the words and symbols “in clause (a)” and before the words, symbols and numbers “of sub regulation (1)”, the words and symbols “or clause (d)” shall be inserted.

IX. In regulation 5(1), after the words “for a period of three years” and before the words “from the date of the grant”, the words “or for such other extended period as may be specified by the Board” shall be inserted.

X. In regulation 5(2),

(i) before the words “Upon expiry” the words and symbols “Unless otherwise provided by the Board,” shall be inserted;

(ii) after the words “for a period of three years” and before the words “at a time,” the words “or for such other extended period as may be specified by the Board” shall be inserted.

XI. After regulation 11, the following new regulation shall be inserted, namely – “Amendment to other regulations.

12. The regulations specified in the Schedule to these regulations shall be amended in the manner and to the extent stated therein.” XII. After regulation 12, the following new Schedule shall be inserted, namely – “SCHEDULE [See Regulation 12]

1. Amendment to the Securities and Exchange Board of India (Debenture Trustees) Regulations,

1993.

In regulation 17A(4), the words “Associated Persons” shall be substituted with the words “Specified Persons”.

2. Amendment to the Securities and Exchange Board of India (Self Regulatory Organizations) Regulations, 2004.

(i) In regulation 2(1)(ea), the words “Associated Persons” shall be substituted with the words “Specified Persons”.
