Short title and commencement- 1. These Regulations shall be called as the Indian Institute of Management Nagpur Regulations 2021. 2. They shall come into force on the date of their publication in the Official Gazette. 2. Definitions- 1. In these Regulations, unless the context otherwise requires - i. ‘Act’ means the Indian Institutes of Management Act 2017; ii. 'Building Committee' means the sub-committee of the Board constituted for building development; iii. ‘Chief Administrative Officer’ or ‘CAO’ means the chief administrative officer of the Institute; iv. ‘Chief Audit Executive’ means the chief audit executive of the Institute, or CAO until Chief Audit Executive is appointed; v. ‘Chief Vigilance Officer’ or ‘CVO’ means the chief vigilance officer of the Institute, or CAO (Chief Administrative Officer) until Chief Vigilance Officer is appointed; vi. ‘Courses’ means the curricular courses being taught at the Institute; vii. ‘Dean (Academics)’ means the Dean of Academics of the Institute, or Chief Administrative Officer until Dean (Academics) is appointed; viii. ‘Dean (Alumni Relations and Placement) means theDeanofAlumniRelations and Placementof the Institute, or Dean (Academics) until Dean (Alumni Relations and Placement) is appointed; ix. ‘Dean (Executive Education)’ means the Dean of Executive Education of the Institute or Dean (Academics) until Dean (Executive Education) is appointed; x. ‘Dean (Research)’ means the Dean ofResearch of the Institute, or Dean (Academics) until Dean (Research) is appointed; xi. ‘Director’ means the Director of the Institute; xii. ‘Faculty Development and Evaluation Committee’ or ‘FDEC’ means the faculty development and evaluation committee of the Institute; xiii. ‘Faculty Recruitment Committee’or ‘FRC’ means the faculty recruitment committee of the Institute; xiv. ‘Finance Committee and Audit Committee’ meansthesub-committees of the Board on finance and audit; xv. ‘Gender Issues Committee’ meanstheinternalcommittee set up by the Instituteunder the Prevention of Sexual Harassment of Women at Workplace Act 2013; xvi. ‘Head Finance’ means the head of finance of the Institute, or CAO until Head Finance is appointed; xvii. ‘IIM Rules’ means the Indian Institute of Management Rules, 2018; xviii. ‘Institute’ means Indian Institute of Management Nagpurincorporated under the Act; xix. ‘Institute Performance Review Committee’ means the institute performance review committee of the Institute; xx. ‘Internal Audit Committee’ means the internal audit committee of the Institute; xxi. ‘EEP’ means Executive Education Programme; xxii. ‘Officers’ and ‘Professors’ respectively mean the officers and professors of the Institute;[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 17 xxiii. ‘Programme’ means degree/diploma grantingProgramme at the Institute including MBA and Ph.D.; xxiv. ‘Secretary to the Board’ means thesecretary to the Board; xxv. ‘Society’ means Indian Institute of Management Nagpur, organised as a society registered under the Society Registration Act, 1860 prior to the Act coming into effect; xxvi. ‘Standing Disciplinary Committee’ means standing disciplinary committee of the Institute; xxvii. ‘Upgradation’ means elevation in a pay level in the same designation. 2. Words and expressions used, but not defined in these regulations, shall have the same meanings respectively assigned to them in the Act or Rules. 3. Interpretation- 1) Subject to the provisions of the Act, and any Rules made thereunder,the Board shall have the power to frame or amend or modify or rescind these Regulations governing the affairs of the Institute by notification to achieve the objects of the Institute. 2) In the event of any provisions of these Regulations being inconsistent with the provision of existing bye- laws of the Institute, the provisions of these Regulations shall prevail. Chapter II - Board of Governors 4. Board of Governors (BoG) Nominations Committee- (1) The Board shall constitute “Board of Governors (BoG) Nominations Committee” as per composition mentioned in IIM Rules 2018, atleast two months prior to the occurrence of vacancy under eminent persosns and alumni category. (2) The Chairperson of the Board shall preside over the meetings of the Board of Governors Nominations Committee, and the quorum shall be two thirds of the members of the Committee. The procedures applicable to the meetings of the Board of Governors, shall also be followed in the case of meetings of the Board of Governors Nominations Committee. (3) The Board of Governors Nominations Committee, may seek proposals from the Academic council, or Alumni Association, or any other body of the Institute, while recommending names to be considered for appointment under clauses (d) and (g) of sub-section (2) of Section 10 of the Act. (4) The Board of Governors Nominations Committee shall recommend to the Board one month in advance of occurrence of vacancy, two names for each vacancy, and the Board shall consider the recommendations and make the final decision regarding the nomination to the Board, provided that where the Board is not satisfied with the recommendations of the Committee, the Board may ask the Committee to make fresh recommendations in fifteen days’ time. 5. Manner for nomination of faculty members to Board- i. Director to Chair the search committee for the vacant positions in Board, along with two senior faculty members and select the panel to recommend. ii. Director shall forward the name of the faculty members (twice the number of candidates as there are vacancies),one month in advance of occurrence of vacancy, to the Chairperson of the Board. iii. The Chairperson will fill up vacant faculty position of the Board from the list of the names forwarded by the Director. The decision of the Chairperson will be final. iv. The term of office of the faculty member nominated to the Board will be two years from the date of appointment but shall be eligible for re-nomination only after following procedure as laid down in this Regulation, for a total period not exceeding two consecutive terms. Subsequent terms are only possible after a gap of one year. 6. Quorum and procedures to be followed in the conduct of meetings of the Board- 1) The Board shall meet atleastonce in every three months. 2) On a written request by a majority of the members, the Chairperson shall call for a special meeting. If the Chairperson does not, within a period of 15 days from receipt of a valid requisition from such members,call a meeting, then such members may proceed to call for a meeting within a period of 30 days from the requisition made by them. A meeting called by the members shall be held in the same manner as other meetings of the Board.18 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] 3) Every meeting of the Board shall be presided over by the Chairperson and, in his or her absence from any meeting, by a member chosen from amongst themselves by the members present at the meeting.Majorityof the members of the Board including the Chairperson shall constitute the quorum for any meeting of the Board. 4) All questions considered at the meetings of the Board shall be decided by consensus of the members present including the Chairperson. In case of difference of opinion amongst the members, the opinion of the majority present and voting shall prevail. 5) Each member of the Board including the Chairperson shall have one vote by show of hands and if there shall be an equality of votes on any question to be determined by the Board, the Chairperson shall in addition have and exercise a casting vote. 6) The Secretary of the Board shall send a written notice or via e-mail of every meeting to every member of the Board at least fifteen days before the date of the meeting. The written notice shall state the place and the date and time of the meeting. 7) The Chairperson may call a special meeting of the Board at shorter notice to consider any urgent special issues. 8) Chairperson may allow members to attend meetings via video-conference or telephonically. 9) Agenda and all relevant documents forming part of the agenda shall be circulated by the Secretary of the Board to the members at least ten days before the meeting unless such meeting is held at short notice in compliance with these Regulations. 10) Notices of motions for inclusion of any item on the agenda must reach the Secretary of the Board at least ten days before the meeting, except for such meetings held at shorter notice in compliance with these Regulations or with the consent of the Chairperson. 11) Any resolution, except such as may need to be placed before the meeting of the Board, may be adopted by circulation among all its members.Any resolution so circulated shall be as effective and binding as if such resolution had been passed at a meeting of the Board, provided that in every such case a majority of the members of the Board shall have recorded their approval of the resolution. 12) The minutes of the proceedings of a meeting of the Board shall be drawn up by the Secretary of the Board within two weeks and circulated to all members of the Board.The minutes shall be placed for confirmation by circulation or at the next meeting of the Board. 13) Members who are not in a position to attend a meeting of the Board shall seek permission for leave of absence in writing, prior to the meeting. 7 Manner of authentication of the orders and decisions of the Board and maintenance of records thereof- All orders and decisions of the Board shall be authenticated by the signature of the Secretary of the Board or any other person authorised by the Board in his or her behalf. 8 Allowances for the Board members for attending meetings of the Board- The members of the Board shall not be entitled to any remuneration for attending the meetings of the Board. However, members of the Board shall be paid such travelling by business class, stay at hotel and daily allowance as approved by the Board, from time to time, in this behalf in respect of any journeys undertaken by them for attending the meetings of the Board as the case may be. Chapter III – Teaching and Non-Teaching Staff 9. Tenure, remuneration and terms and conditions of employees in service before the commencement of the Act- 1) These Regulations are applicable to the employees of the Institute, either in permanent position or on contract, in service before the commencement of the Act. Any other person in short-term project association or engagement with the Institute shall not be deemed as an employee. A) Tenure: i)Faculty: a) The tenure, probation of Assistant Professor, Associate, and Full Professor shall be as prescribed in the terms and conditions of appointment.[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 19 ii) Non-teaching Staff: a) Person directly recruited or internally promoted to officer Group will be on probation for a period as stipulated in their terms of appointment. b) Person directly recruited or internally promoted in staff Group will be on probation for a period as stipulated in their terms of appointment. c) In case of persons appointed on contract, for a specific tenure, the probation will be as indicated in the appointment letter. iii) The appointment shall be confirmed in writing if the performance during the probation period is found to be satisfactory. If the performance during the probationary period is not satisfactory, the probation period may be extended upto two years, further to the condition that no extension shall, at any one time, be in excess of six months. After such extension of probation, if the employee is found unsuitable for the post, they will be reverted to the original post. In case of a person appointed by direct recruitment, he or she will be terminated from services, as per the terms and conditions of appointement letter. B) Remuneration: i) Regular (Tenured) Faculty: Faculty appointed to the respective posts will be on a scale of pay and allowances as per Government of India guidelines. In addition, incentive payments and compensation top-up as approved by the Board from time to time shall apply. ii) Permanent Employees other than Faculty: The pay scales, dearness allowance, house rent allowance for permanent employees other than faculty shall be as notified by the Institute which is based on the notification issued by the Government of India from time to time. The other allowances admissible to the permanent employees shall be as notified by the Institute from time to time. Currently the Institute follows the prevailing pay commission pay guidelines. C) Terms and Conditions of Employment: i. Permanent employees are governed by the prevailing Institute’s Service Rules. ii. Contract employees are governed by the general service conditions specified in their terms of contract and for admissibility of benefits and other conditions not stipulated in their offer letter, they will be governed by the provisions of the Institute’s Contract Appointment Rules as approved by the Board from time to time. 10. Number, emoluments, duties and conditions of services of Academic, Administrative, Technical and other posts staff - These shall apply to regular employees appointed against permanent positions- 1) Number of posts: Director is delegated to decide the number of posts as per the Institute norms keeping in view the scale and variety of activities of the Institute. He will inform the Board in the next meeting. 2) Duties and Conditions of Service: The employees are required to perform their duties as per the roles and responsibilities specified in their job description. They are governed by the Institute’s Service Rules 11. Qualifications, classification, Terms of office and method ofappointment of the academic, administrative, technical and other staff of the Institute – These shall apply to regular employees appointed against permanent positions. 1) Qualifications: For recruitment of employees on permanent basis, qualifications are as prescribed and approved by the Board from time to time.20 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] 2) Classification: The Institute’s employees or staff are classified into three categories viz., Group A employees or Group A staff, Group B employees or Group B staff, and Group C employees or Group C staff. Group A employees or Group A staff are Officers, Group B employees or Group B staff are the supervisory staff, and Group C employees or Group C staff are the executive and support staff. 3) Graduation of Posts: All posts in the Institute are classified under three groups as noted hereunder: i All faculty members in pay scale of level 10 to 15 Group A Non-faculty staff ii In pay scale of level 10 to 14 Group A iii In pay scale of level 6 to 9 Group B iv In pay scale of level 1 to 5 Group C 4) Terms of Office: a) Faculty: Faculty appointments include probation periods,and evaluation or review of performance, as per the terms specified in service rules. Based on the review result and depending upon the nature of their initial appointment, the faculty concerned may either be: i) Offered extension of probation ii) A tenure position valid till the date of superannuation; or iii) Service terminated following due procedure. 2) Faculty appointed on permanent basis on a regular scale of pay can serve the Institute till sixty-five years (superannuation) b) Non-Teaching Staff: 4) Permanent Non-Teaching staff can serve the Institute till sixty years. 5) Appointment and Recruitment Policy: a) Appointing Authority: Appointing full time Professors, Associate Professors, and Assistant Director upon the Professors against the sanctioned posts recommendation of the i (Note: Such appointments shall, however, be intimated to the Board Faculty Recruitment in the next meeting) Committee ii Chief administration Officer and Librarian Director To appoint Officers in GroupA with Director’s approval(except CAO iii CAO and Library Professional) CAO with the approval iv To appoint regular employees in Groups B and C of Director b) Method of Recruitment: i) Where posts are required to be filled by direct recruitment, such recruitment shall be widely publicised and communicated through advertisement on – institute website, digital media, social[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 21 media, employment portals etc., in such other manner as may be laid in the rules of recruitment in Human Resource manual and shall be on the recommendations by the Competant Authority. ii) The composition of the Selection Committee shall be such as may be decided by the Competant Authority from time to time. iii) Where posts are required to be filled by promotion or appointments, it shall be made on the recommendations of a Selection Committeeduly constituted by the Competant Authority. iv) No person shall be appointed to any post by direct recruitment unless he or she produces a certificate of sound health and medical fitness. v) No person shall be appointed to any post unless the Competant Authority is satisfied that he or she possesses good character and antecedents. vi) Every employee shall be required to produce documentary evidence (certificate of birth issued by the Registrar of Births and Deaths, secondary school leaving certificate or matriculation certificate or such other appropriate evidence to the satisfaction of the Institute) at the time of his or her joining duty or immediately thereafter as proof of his or her date of birth. vii) Every employee at the time of first appointment shall be required to produce original certificates in proof of his or her academic qualifications, prior work experience, documentary proof of previous employment, achievement, etc., to the satisfaction of the Institute. If, at any point in time, it is found that the employee has submitted false information or misrepresented the details which led to his or her appointment, then the Institute reserves the right to take appropriate disciplinary action, which may include termination of employment. C) Faculty Recruitment Process: i) To attract candidates for faculty positions from all over the country and the world, the Institute shall widely publicise and communicate through advertisement on – institute website, digital media, social media, employment portals etc. In order to respond to the needs of the Institute in a timely fashion, the Institute may receive applications for faculty positions on a continuous basis and processes them as and when received. ii) The faculty recruitment is a two-stage process. Applications will be received by the Competant Authority who shall then forward them to the relevant area for their recommendation. The relevant area faculty shall evaluate applications and provide the list of shortlisted candidates for further process. Faculty Recruitment Committee (FRC) shall further consider the recommendations of the respective area faculty. In the next stage, applicants recommended by the Constituted Committee or FRC shall be invited for a seminar presentation and interview. iii) The final decision on appointment is made by the Director based on the recommendations of the FRC. iv) The Board shall be kept informed of all the new faculty appointments in the subsequent Board meeting. v) All appointees to faculty positions on their initial appointment shall be placed underprobation for a period of two years. After the probation period, their performance is reviewed, and appropriate decisions are taken as per the Service Rules. 12. Constitution of pension, insurance and provident funds for thebenefit of the academic, administrative, technical and other staff- 1) Pension and retirement benefits including provident fund applicable to permanent teaching and non- teaching staff will be regulated in accordance with the Service Rules of the Institute. 2) Medical benefits including health insurance of employees and pensioners are as determined by the Service Rules of the Institute.22 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] Chapter IV – Admissions and Students 13. Regulations for the admission of candidates to the various courses of study- 1) The Institute shall be open to all persons without any discrimination on the basis of gender, race, creed, caste or class, and no test or condition shall be imposed as to religious belief or profession in admitting students. 2) A transparent policy will be followed for admission of candidates to all the degree-granting programmes at the Institute and it shall be in conformity with the statutory provisions of the Government of India with regard to reservation and such other categories as laid down in the statutes. 3) The process of admission, the criteria, and their weightages for admission to each of the degreeor diploma granting programmes offered by the Institute in accordance with the regulatory framework of country shall be laid down by theAcademic council by way of Ordinances and approved by the Board. 4) Admission to various programmes of the Institute will be done strictly according to the processes and criteria as laid down in the Ordinances. 5) Institute will ensure that no deserving candidate will be denied admission on account of his or her financial incapacity. Institute will ensure that all deserving candidates will receive adequate financial aid in the form of scholarships or grants or loans required to meet their financial needs for the completion of the programme. 14. Regulation for conferment honorary degrees- The Board, in accordance with the provisions of the Act, and on the recommendation of the Academic council, may grant degrees, diplomas, and other academic distinctions or titles, and to institute and award fellowships, scholarships, prizes and medals. 15. Fees for various courses of study andexaminations in theInstitute- The Institute shall ensure that no student is deprived of the opportunity to study at the Institute for financial reasons. The fee,including accommodation, to be charged for Programmes by the Institute shall be determined according to the following process: a. Director and Dean (Academics) (or Programme Chairperson until Dean (Academics) is appointed) will initiate the fee structure review process periodically. b. Head of the Finance shall share detailed Programme costing with respective Programme Chairperson, Director, and Dean (Academics)and also the overall budgetary requirements of the Institute for the ensuing academic year. i. Concerned Programme Chairperson, based on inputs received from the respective Programme office and the Academic Programme committee, shall further provide necessary information and analysis to the Director, Dean (Academics). ii. Information and analysis shall be based on aspects such as current enrolled students, students expected in coming year, comparative study of other Management school fee structure, placement impact, economy of inflation, market factors, etc. c. Director will examine the data on Programme costing and budgetary requirements of the Institute, provided by Head of the Finance and the information and analysis provided by the concerned Programme Chairperson or Dean (Academics) and make a suitable recommendation regarding the fee fixation or revision. d. This recommendation of the Director will be forwarded for consideration by the Finance Committee, which shall, if found necessary, put up the proposal for fee fixation/revision for approval by the Board. e. Fees once notified for a batch shall remain same for that batch. 16. Fellowships, scholarships, exhibitions, medals and prizes- The Institutewill award fellowships, scholarships, medals, prizes to meritorious students as per criteria approved by the Academic council via Ordinances.[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 23 17. Conditions of residence of students of the Institute and levying of fees for residence in the halls and hostels and other charges- The fees for the students shall be decided as per the recommendations suggested at para 15 above. Director is delegated to decide fees for every programme and shall intimate to Board in the quarterly meetings. Chapter V – Director 18. Delegation of powers and functions of the Board to the Director- 1) The Director shall be appointed as provided under sub section (3) of Section 16 of Act When the post of Director falls vacant on account of any reason, the Board may fill the vacancy as provided under Section 16 of the Act. Subject to the provision of Section 16 of the Act, in determining the senior-most faculty, the seniority shall be on the basis of years in the Institute as a Professor. 2) The Director shall be appointed by the Board, on such terms and conditions of service as laid down in the Act, prescribed in the IIM Rules, and also according to the Regulations made hereunder: a. The maximum limit for furnishing the residential accommodation of the Director is four times of the basic pay in a full tenure of five years, b. The entertainment allowance is restricted to four percent of the basic pay per month, c. The Director is allowed to retain royalties and consultancy fee, sitting fee in other Boards etc., d. In case of any interpretation or clarification on scope and applicability of terms and conditions of service of the Director, the matter will be resolved by the Board. 3) The Director shall exercise the powers and perform the duties as may be assigned to him or her under the Act or under these Regulations or as may be delegated by the Board from time to time. Provided that the Board may lay down the criteria to be followed by the Director while exercising such powers and performing his or her duties. General Financial Rules, 2017 of Government of India shall be followed while exercising financial powers. 4) The delegation of powers to the Director are with regard to different activities and functions, and shall include the following: A. General: i. To advise the Board on academic matters based on the global developments and recommendations of Academic council for creation of new programs, new centres and collaboration with other institutions which are consistent with the vision of the Institute. ii. To implement, redesign, revise, based on the recommendations of the Academic council, any existing or new full or part-time programmes of study, training and research, leading to the award of diplomas, degrees and titles to be conferred by the Board of Governors. iii. To implement, redesign, and revise any existing or new executive education programmes on such terms as delegated by the Board of Governors. iv. To enter into student exchange programme agreements with Indian and foreign universities, wherein no expenditure is envisaged for the Institute except granting facilities such as accommodation, course materials and tuition fee waiver to the visiting students, whenever the counterpart institution grants similar facilities to the students of the Institute or as per the agreement (MoU). v. To enter into corporate partnerships with Indian or foreign companies for executive education, wherein the Institute agrees to conduct series of training programmes spread over a considerable period of time for a corporate client or a group of clients. These activities are expected to generate a surplus for the Institute. vi. To enter into academic collaborative arrangements with foreign universities. vii. To accept endowments for establishing faculty chairs from individuals, public or private limited companies or not-for-profit entities in India or abroad, government or quasi government organisations and supra national organisations. And inform the board. viii. To accept recurring grants or sponsorships or enter into collaborative arrangements for establishing faculty chairs or centres from individuals, public or private limited companies or not-for-profit24 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] entities in India or abroad, government or quasi-government organisations and supra national organisations. ix. To register as a Scientific and Industrial Research Organisation with the Ministry of Science and Technology. To register under Foreign Contribution Regulation Act, 2010 (Act No. 42 of 2010) and accept foreign contributions. To open and operate bank accounts in foreign currency. x. Subject to applicable law, to register as a wholly charitable society with the Income Tax Department, if applicable. xi. Subject to applicable law, to claim exemption under clause (iii ab) sub-section (23C) of section 10 of the Income Tax Act, 1961 (Act No. 43 of 1961), if applicable. xii. To register forgoods and services tax in respect of the services rendered by the faculty of the Institute under the head “Management Consultancy or Event Management or Convention Service” under the Goods and Services Tax Department. xiii. To register under any other law that may become applicable to the Institute from time to time. xiv. To sanction seed money for research projects or case study. To revise such amounts from time to time. xv. To accept externally funded research projects or assignments or consultancy assignments and to assign the project to one or more faculty. The details of such projects, together with the name of the faculty to be included in the Director’s report to the Board. xvi. To accord sanction to outsource any part of the Institute’s work to outside professionals or agencies. xvii. To appoint project-tied temporary research staff. Such staff may be remunerated either on a lump sum basis, monthly basis, on reaching milestones or other ways. xviii. To sanction honoraria or incentives to facultywith respect to externally funded projects provided the time devoted for research or consultancy for which payment is being made is counted towards overall ceiling of fifty-two days per year and the honoraria or incentive is specifically provided for in the research or consulting budget. xix. To undertake publication of the Institute’s journals, periodicals and other publications in the furtherance of research and academic activities. xx. To apply for and obtain patents, copyrights, trademarks and any other form of intellectual property in the name of the Institute or jointly with another party. xxi. To commercially exploit intellectual property rights and enter into suitable arrangements with parties concerned. xxii. To create committees and appoint chairpersons for academic and administrative work, from time to time, towards achieving the various short-term or long-term objectives, and for the smooth functioning of the Institute. xxiii. To take such measures as are necessary in exigencies in matters not herein specifically provided for, in the overall interest of the Institute. Such matters will be reported to the Chairperson or Board at the earliest. xxiv. To sub-delegate his or her powers to other officials and functionaries of the Institute to the extent considered appropriate by him or her to be necessary for smooth and efficient functioning of the Institute. xxv. To define, specify and prescribe rules and procedures, manuals, etc., to regulate the working of functional areas and responsibilities of Officers and staff in the organisation. xxvi. To act as custodian of records of the Institute and to take such action as is considered necessary to safeguard them. B . Faculty: To appoint faculty members on such terms and conditions as prescribed under the relevant Service Rules of the Institute.[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 25 C. Administrative Staff: To appoint administrative staff on such terms and conditions as prescribed under the relevant Rules of the Institute. D. Financial: i. To act as custodian of funds,property and assets and to take such action as is considered necessary to safeguard the title to ownership and rights over property and assets of the Institute. ii. To represent and defend on behalf of the Institute in law suits or refer cases to arbitration to execute and sign contracts, memorandum of understandings, legal documents, indemnity bonds, authenticate applications, etc., in respect of the affairs of the Institute. iii. To open and operate bank accounts including foreign currency accounts. iv. To sign cheques along with Head Finance, Manager-Finance, Chief Administrative Officer, Dean (s) as joint signatory. v. To open demat accounts and entrust custodial services and sign on applications and discharge documents. vi. To open letters of credit, sign declarations, undertakings or certificates warranted by various authorities such as Reserve Bank of India, income tax department, customs and central excise department, passport authority and other official agencies. vii. To approve short-term investments of the Institute,i.e., for a period of less than 1 year. viii. To engage the services of specialists such as accountants, advocates, architects, designers or any other professionals and fix their remuneration. ix. To write off cash losses with in the approved limit in each case after making a suitable enquiry, if no official could be held responsible. x. General Financial Rules, 2017 of Government of India shall be followed. E. Purchase and Expenditure: i. In the normal course, the Director shall ensure that all expenses are against budgets approved by the Board and payments made strictly as per the laid down procedures and norms by the Board. ii. However, in exceptional or unavoidable circumstances where an activity has to be undertaken and the payment (capital or revenue) has to be made on an urgent basis, the Director to expedite the implementation of activity/process subject to the financial limits as approved by the Board. iii. General Financial Rules, 2017 of Government of India shall be followed. 19. Performance objectives for variable pay of Director- a. The Board may decide performance parameters of the Director from time to time. The performance parameters may include Academic, Executive Education, Research and Online Programmes and also expansions or diversifications of Programmes etc. b. The performance of the Director shall be reviewed by the Board. c. The Chairperson,as empowered by the Board, will approve the variable pay based on performance, preferably in the June quarter meeting of Board. 20. Powers and Duties of the Director- 1. The Director shall be the Chief Executive Officer of the Institute and shall provide leadership to the Institute. The Director will strive to shape the future direction of the Institute by staying abreast with the emerging trends in higher education in general and management education in particular across the world, harness the ideas and aspirations of the academic community and key stakeholders, develop options and alternatives and bring up new ideas, initiatives and actions for discussion and consultation with the Board, and enable a26 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] productive and collaborative engagement with the Board in ensuring that the Institute stays as one of the best amongst its national and global peers. The Director will be responsible for the implementation of the decisions of the Board, including financial goals as set out in the Annual Budget, and to exercise any such powers or functions, as may be delegated from time to time by the Board. General Financial Rules, 2017 of Government of India shall be followed while exercising financial powers. Chapter VI – Establishment and Maintenance of Buildings 21. Regulations for establishment and maintenance of buildings- 1. This responsibility is entrusted to the Building Committee, a Sub Committee of Board of Governors. Chapter VII – Financial Accountability 22. Financial accountability of the Institute- 1) The Director is accountable to the Board for effective implementation of strategic decisions with respect to financial and operative activities based on directions received. 2) The Institute is accountable to various donors and grantee institutions for the proper utilisation and reporting against funds sanctioned by them for specific purposes. 3) The Institute is also accountable to the Comptroller and Auditor General (CAG) of India for the conduct of the operations as per the propriety norms specified by it as also the unified norms of accounting and disclosures made applicable for such autonomous institutes in the country. 4) The Institute assures financial accountability in all of its contract of a pecuniary nature. 5) The Institute’s financial accountability also extends to the various statutory authorities by which it is bound as per the laws of the country for the time being in force. 23. Manner of depositing for inveting the moneys credited to the Fund of Institute- 1) The Institute shall credit contributions or surplus to such funds as may be approved by the Finance Committee from time to time. 2) The Institute maintains corpus fund arising out of annual surplus accumulations and donations, earmarked funds representing endowment contributions or donations received from external agencies, and designated funds created out of internal surplus or transfer from corpus for specific purposes. 3) The Institute shall take all long-term and short-term investment decisions as per the relevant investment policy approved by the Board. 24. Manner of application of the Fund of Institute- 1) The manner and quantum of application of funds is governed by the decisions taken at the Board meetings and Finance Committee meetings as part of the overall growth strategy of the Institute. This includes the corpus, earmarked and designated funds of the Institute. 2) Annual budget of the Institute is reviewed by the Finance Committee and recommended for approval by the Board. This takes into account the manner and quantum of application of funds for a particular financial year. 3) The Board also approves at the time of adopting the annual accounts for a financial year, based on a recommendation from the Finance Committee, manner in which the surplus for the year be appropriated, i.e. transfer to specific funds keeping in mind the short-term strategies and the long-term vision of the Institute.[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 27 Chapter VIII – Independent Agency to review Performance 25. Qualifications, experience and the manner of selection of the independent agency or group of experts for review of performance of the Institute- 1. The Board shall once in three years evaluate and review the performance of the Institute including its faculty through an independent agency or group of experts as per sub- section (6) of Section 11 of the Act. A. The Board may recommend the “group of experts” or “independent agency” for the review of performance (if necessary). i) The ‘group of experts’ shall consist of persons chosen from amongst the eminent administrators, industrialists, educationists, scientists, technocrats and management specialists from India or abroad. Members of group of experts shall not be from the Institute itself. ii) Preferably, the ‘independent agency’ shall have the experience of evaluating institute of higher learning in India or abroad. Chapter IX – Academic Council 26. Power and functions of the Academic Council- 1) The Academic council is the principal Academic body of the Institute and shall be constituted as provided under sub-section (1) of Section 14 of the Act. 2) The term of office of member invited by the Board shall be as determined by the Board, not exceeding two years. 3) The Academic council shall perform the following functions: a) To recommend to the Board regarding the establishment of new Programmes; b) To recommend the closure of existing Programmes; c) To recommend the establishment of new centres of teaching or research; d) To recommend the closure of existing centres of teaching or research; e) To specify the criteria and process for admission to various Programmes of study of the Institute; f) To specify the academic content of Programmes and Courses of study of the Institute and to undertake modifications therein based on the recommendations of any review committee set up by the Institute to review Programmes of study; g) To specify the academic calendar of the Institute; h) To specify the guidelines for conduct of examinations, the grading policy, and the standards for satisfactory completion of academic requirements for Courses and Programmes of the Institute; i) To recommend the grant of degrees, diplomas, other academic distinctions or titles and medals; j) To participate in the formulation and modification of the vision and mission of the Institute as may be required from time to time and make suggestions to the Board; k) To review the activities of the programmes, activities and areas of the Institute at least once a year and to recommend improvements wherever necessary; l) To consider the recommendations of review committee set up by the Institute to review any programmes, or activities of the Institute;28 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] m) To review the progress of research at the Institute and make suggestions to the Board regarding the institution and modification of incentives and rewards for high quality teaching and research etc.; n) To exercise such other powers and perform such other functions as may be conferred by the Board from time to time. 4) The Academic council shall meet as often as necessary, normally four times in a calendar year. 5) Notwithstanding the above, the Director may call an emergency meeting of the Academic council at short notice to discuss urgent special issues. 6) One fourth of the total number of members of the Academic council shall form the quorum for a meeting of the Academic council. If the quorum is not present the meeting shall stand adjourned to the same day in the next week at the same time and place, or such other time and place as the Chairperson of Academic council may determine and notify to the members of the Academic council. If at the adjourned meeting also, a quorum is not present, the members present shall be the quorum. 7) The minutes of the proceedings of the Academic council shall be drawn by the Dean or Chairperson or Representative of Chairperson of the Academic council and circulated to all members of the Academic council. The minutes along with amendments, if any, shall be placed for confirmation at the next meeting of the Academic council. Chapter X – Other Committees and Authorities 27. Constitution and duties and functions of other committees and authorities: 1) The Director may set up committees for different Programmes and appoint chairpersons for the Programmes and different academic areas. This would facilitate the efficient functioning and better administration of the respective Programmes and Areas of the Institute. Other committees may also be set up to meet the emerging needs of the Institute from time to time. 2) The committees, established to advise and assist the Director in ensuring effective functioning of the Institute are listed below: A. Faculty Development and Evaluation Committee: i) The Faculty Development and Evaluation Committee (FDEC) is the committee that provides support to the Director in decision-making on several faculty-related issues. ii) FDEC plays an important role in faculty recruitment, faculty development, evaluating performance of faculty members during confirmation, probation closure and upgradation or promotions; implementation of faculty work norms; providing necessary feedback to faculty members to enable them to achieve adequate levels of performance as per the norms of the Institute. iii) The composition of FDEC will be: c) Three Faculty members at the level of Professor nominated by the Director either within or outside the Institute. d) If Deans are not appointed, Director shall appoint one of the members of FDEC as Chairperson. iv) The FDEC meets as and when required. The minutes of the meetings of FDEC along with the recommendations made by the FDEC shall be conveyed to the Director on a regular basis. v) At the time of recruitment, confirmation, and upgradation in same position of faculty, the FDEC co- opts the respective Area Chair at the level of Professor or a Professor within or outside the Institute to form Faculty Recruitment Committee (FRC). vi) The Director, will ordinarily make his or her decision regarding the appointment of the faculty based on the recommendations of the FRC. vii) The Director, will ordinarily make his or her decision regarding the confirmation and upgradation of the faculty based on the recommendations of the FDEC.[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 29 viii) FDEC may also co-opt an external member on the recommendation or approval of the Director for various processes like faculty recruitment, confirmation, and upgradation. B. Standing Disciplinary Committee: i) The Standing Disciplinary Committee (SDC) would advise the Director in the case of professional misconduct by faculty and Group-A staff. The role of the SDC includes: a) Recommend to the Director a fact-finding committee and, if required, an inquiry committee based on the nature of complaint or issue at hand. b) Recommend actions to be taken by respective decision-making units based on fact-finding and/or inquiry committee. c) Examine eligibility for selection or continuation of awards (including academic chairs), and key institutional positions. d) Perform any other related task as may be assigned to them by the Director. ii) All reported cases of professional misconduct would first be reviewed by the SDC, and if found to be necessary, investigated by a fact-finding committee. Depending on the specifics and the seriousness, the investigation may then be escalated to an inquiry committee. Such committee(s), recommended by the SDC, shall have a member nominated by the SDC; including from the SDC. iii) On faculty matters, Dean nominated by the Director as and when appointed or a faculty nominee on the BoG (to be nominated by the Director) will be the convener. On staff matters, Dean nominated by the Director as and when appointed or Chief Administrative Officer will be the convener. iv) The appellate authorities shall remain as specified in the Institute Service Rules. v) If the matter is against the Director, the SDC will forward the same to the Board. C. Gender Issues Committee: i) Gender Issues Committee is tasked, under the Sexual Harassment of Women at Workplace (Prevention, Prohibition and Redressal) Act 2013 (Act No 14 of 2013), to address claims and concerns of sexual harassment and is headed by a woman member of the faculty. ii) The role of the Gender Issues Committee is to take cognizance of any complaint, provide assistance and redressal to victims, conduct enquiries when required, and recommend necessary actions to be undertaken against any person found responsible for the harassment. iii) The Gender Issues Committee of the Institute shall consist of the following members nominated by the Director, provided that at least one-half of the total members so nominated shall be women: Woman member of the faculty Chairperson One member of the faculty Member Two staff members Members Two Students representatives* Members One (woman) external member Member *Students representatives shall be involved as and when any student related issues occur.30 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] iv) The committee shall have all such powers necessary to carry out the purpose or perform any functions, as delegated to it from time to time by the Director. v) The Institute strongly supports gender equality and opposes any form of gender discrimination and insensitivity, gender related violence or abuse, including sexual harassment. vi) It is imperative that one is able to identify conduct amounting to sexual harassment and understand how to respond to it promptly and appropriately. This is critical both for the individual as well as for the Institute as an institution. The Institute is committed to upholding the constitutional and legal mandate to combat sexual harassment of women and ensure that human rights of all those who come within its jurisdiction are safeguarded. 28. Quorum and the procedure to be followed in the conduct of business of committees- 1. Quorum: a) In the working of the committees, the quorum shall be the majority of the members, and any such other additional requirement as may be resolved by the respective committees. b) In GIC (Gender Issues Committee), three committee members shall constitute the quorum for deliberation, and planning and for interviews with the complainant or respondent or witnesses.
