अजधक्मण से पूवड ककया गया ह ै या करने का लोप ककया गया है, केंद्रीय सरकार के पूवड अन मोदन से जनम्नजलजखत जवजनयम
को बनाता ह,ै अर्ाडत्:-
प्रारंजभक
1. संजिप्त नाम और प्रारंभ.—(1) इन जवजनयमों का संजिप्त नाम िीवन बीमा जनगम सामान्य जवजनयम, 2021 ह।ै
(2) य ेरािपत्र में उनके प्रकािन की तारीख को प्रवृत होंगे।
2. पररभाषाए-ं (1) इन जवजनयमों में, िब तक कक संदभड स ेअन्यर्ा अपेजित न हो,-
(क) "अजधजनयम" स ेिीवन बीमा जनगम अजधजनयम, 1956 (1956 का 31) अजभप्रेत ह;ै (ख) "प्राजधकरण" स े
बीमा जवजनयामक और जवकास प्राजधकरण अजधजनयम, 1999 (1999 का 41) की धारा 3 की उप-धारा (1) के अधीन
स्ट्र्ाजपत भारतीय बीमा जवजनयामक और जवकास प्राजधकरण अजभप्रेत ह;ै

(ग) "कंपनी सजचव" स े एक ऐसा व्यजि िो कंपनी सजचव अजधजनयम, 1980 (1980 का 56) के अंतगडत गरित
भारतीय कंपनी सजचव संस्ट्र्ान का सदस्ट्य ह ैऔर िो जनगम के सजचवालीय कायड का प्रम ख ह ैअजभप्रेत ह;ै
(घ) " जनिेपागार अजधजनयम" से जनिेपागार अजधजनयम, 1996 (1996 का 22) अजभप्रेत ह;ै
(ड.) " जनिेपागार और प्रजतभागी जवजनयम" स े भारतीय प्रजतभूजत और जवजनमय बोडड द्वारा जनिेपागार और
प्रजतभाजगयों के संबंध में भारतीय प्रजतभूजत और जवजनमय बोडड अजधजनयम, 1992 (1992 का 15) और जनिेपागार
अजधजनयम की धारा 25 के अतं गडत बनाए गए जनयम अजभप्रेत ह;ै
(च) "प्रारूप प्रस्ट्त ावक दस्ट्तावेि" स े पूंिी और प्रकटीकरण आवश्यकताओं के संबंध में भारतीय प्रजतभूजत और जवजनमय
बोडड द्वारा बनाए गए जनयमों के अधीन एक सावडिजनक म द्दे के संबंध में भारतीय प्रजतभूजत और जवजनमय बोड ड म ें दायर
प्रारूप प्रस्ट् तावक दस्ट्तावेि अजभप्रेत ह;ै
(छ) भारत में जनगजमत और प्राजधकरण द्वारा जवजनयजमत िीवन बीमा कंपजनयों के संबंध में "अंतर्नडजहत मल्ू य" का वही
अर्ड होगा िैसा कक बीमांकक अजधजनयम, 2006 (2006 का 35 ) की धारा 3 के अधीन गरित भरतीय बीमांकक
संस्ट् र्ान द्वारा िारी मानक बीमांकक पद्धजत में जनधाडररत ककया गया हो;
(ि) “प्रपत्र” से इन जवजनयमों के सार् संलग् न ककया गया प्रपत्र अजभप्रेत ह;ै
(झ) "ककसी मामल े के संबंध म ें रजिस्ट्रार" का वही अर्ड होगा िैसा कक भारतीय प्रजतभूजत और जवजनमय बोड ड द्वारा
ककसी मामले के संबंध म ेंऔर िये र अतं रक एिेंट के संबंध में रजिस्ट्रार से संबंजधत बनाया गया जवजनयम;
(ञ) "धारा" से अजधजनयम की धारा अजभप्रेत ह;ै
(ट) "भारतीय प्रजतभूजत और जवजनमय बोडड" से भारतीय प्रजतभूजत और जवजनमय बोडड अजधजनयम, 1992 (1992 का
15) की धारा 3 के अधीन स्ट्र्ाजपत भारतीय प्रजतभूजत और जवजनमय बोडड अजभप्रेत ह;ै
(ि) "िेयर अतं रक एिेंट" का वही अर् ड होगा िैसा कक ककसी मामल े के संबंध म ें रजिस्ट्रार और िेयर अंतरक एिेंट के
संबंध में भारतीय प्रजतभूजत और जवजनमय बोडड द्वारा बनाए गए जवजनयमों में कदया गया हो।
(2) इसमें प्रय क्त अन्य सभी िब्दों और अजभव्यजियों और जिन्ह ें इन जवजनयमों में पररभाजषत नहीं ककया गया ह,ै परंत
अजधजनयम म ेंपररभाजषत ककया गया ह,ै का वही अर्ड होगा िसै ा कक अजधजनयम म ेंकदया गया हो।
भाग I
बोडड और इसकी सजमजतयों की बिै कें
3. बोडड और इसकी सजमजतयों की बिै कें आयोजित करन े की पद्धजत- (1) बोडड की बैिकों के संबंध में अध्यि और
उसकी अन पजस्ट्र्जत में जनगम के ज्येष्ठतम् पणू डकाजलक जनदेिक और बोडड की ककसी सजमजत की बैिकों के संबंध में ऐसा
व्यजि जिसे बोड ड न े सजमजत के अध्यि के रूप में जनयि ककया है, बोडड या उसकी सजमजत की बैिकों की तारीख, समय
और स्ट्र्ान, िैसा भी मामला हो, तय करेगा, और इसकी काय-ड सूची की मदों को अन मोकदत करेगा।
(2) बैिकों के जलए नोरटस कंपनी सजचव द्वारा िारी ककया िाएगा या, यकद कोई कंपनी सजचव न हो, तो इस े बोड ड
द्वारा अजधकृत जनगम का ककसी जनदेिक या ककसी अन्य अजधकारी द्वारा िारी ककया िाएगा।
(3) अध्यि, और उसकी अन पजस्ट्र्जत म ेंउपजस्ट्र्त ज्येष्ठतम ् पणू कड ाजलक जनदेिक, बोडड की बैिक की अध्यिता करेंगे।
(4) बोडड की सजमजत का अध्यि इसकी बैिक की अध्यिता करेगा:
परन्त यह कक अध्यि की अनप जस्ट्र्जत में बैिक में उपजस्ट्र्त सदस्ट्यों द्वारा अपने म ेंसे च ना गया कोई अन्य जनदेिक बैिक
की अध्यिता करेगा।
(5) जनगम, बोड ड और इसकी सजमजतयों के संबंध म ें ऐस े सजचवालीय मानकों का पालन करेगा, िो कंपनी अजधजनयम
की धारा 118 की उपधारा (10) के अधीन कंपनी की बोड ड की बैिकों के संबंध में प्रयोज्य हो, िैसाकक इस अजधजनयम[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 3
में अन्यर्ा उपवांजछत ह ै उसके जसवाय, इसके अंतगडत बनाए गए जनयमों तर्ा जवजनयमों में इसका उपबंध ककया गया
हो।
भाग II
पिूं ी, िये र, अन्य प्रजतभजू तया ंऔर जनगम के सदस्ट्य
4. िये र पिूं ी के प्रकार और स्ट्व रूप- जनगम की िेयर पूंिी उस प्रकार की होगी िैसा कक कंपनी अजधजनयम की धारा
43 में ककसी कंपनी के संबंध म ें उपबंजधत हो, िहां तक य े कंपनी अजधजनयम के उपबंधों और इसके अधीन बनाए गए
जनयमों से असंगत न हों:
परंत यह कक उक्त धारा के खण्ड (क) के उपखंड (ii) के उपबंध जनगम की िेयर पूंिी के संबंध में लागू नहीं होंगे।
5. िये रों और जडबचें र का स्ट्व रूप-जनगम में ककसी भी सदस्ट्य के िेयर, जडबेंचर और अन्य जहत जवजनयम 11 म ें
उपबंजधत पद्धजत में उजचत तौर पर हस्ट्तांतरणीय चल संपजत्त होगी।
6. प्रजतभजू तयों को िारी करन े की पद्धजत- (1) जनिेपागार अजधजनयम और जनिेपागार एव ं सहभागी जवजनयमों के
प्रावधानों का अन पालन करत े हुए जनगम प्रजतभूजतयों को मतू ड रूप में या अमूत ड रूप म ेंिारी कर सकता ह।ै
(2) िहां जनगम भौजतक रूप म ें कोई प्रजतभूजत िारी करता ह,ै ऐसी प्रजतभूजतयों को िारी करना उन आवश्यकताओं के
अन सार होगा िैसा कक बोड ड इस संबंध म ें जनर्दष्टड करे, जिसमें प्रजतभूजत िारीकताड प्राजधकारी, इसका प्ररूप, जनगम की
ओर से प्रमाण पत्र पर हस्ट्तािर करन े की पद्धजत, कोरे प्रमाणपत्रों की छपाई और अजभरिा एवं जद्वप्रजतक प्रमाण पत्र
िारी करन े की प्रकक्या का उल्ल खे हो।
(3) जनगम ककसी मामले के जलए रजिस्ट्रार अर्वा िेयर अतं रक एिेंट की जनय जि करेगा और ककसी मामले के रजिस्ट्रार
या िेयर अंतरक एिेंट, िैसा भी मामला हो और अमतू ड रूप म ें िारी प्रजतभूजतयों के संबंध म ें जनिेपागार के सार्
जत्रपिीय समझौता करेगा।
7. पद्धजत तर्ा ितों के सबं धं म ें अन्य उपबधं जिसके अधीन िये र िारी ककए िा सकत े ह—ैं (1) जनगम, धारा 5 की
उप-धारा (2) के उपबंधों के अन सार, केंद्रीय सरकार द्वारा जनगम को प्रदान की गई च कता इकिटी पूंिी के जलए केंद्रीय
सरकार को इकिटी िेयर िारी करेगा।
(2) धारा 5 के उपबंधों के अनस ार केंद्रीय सरकार के पूवड अनम ोदन से जनगम समय-समय पर सावडिजनक जनगडम या
अजधकार जनगडम या अजधमान आवंटन या जनिी स्ट् र्ानन या इकिटी िेयर रखने वाले मौिूदा सदस्ट्यों को बोनस िेयर
िारी करके या िेयर आधाररत कमडचारी लाभ योिनाओं के अन सार कमडचाररयों को िेयर िारी करके या जनगम के
िीवन बीमा पॉजलसीधारकों को िेयर िारी करके या अन्य प्रकार से इकिटी िेयर िारी करेगा।
परंत यह कक जनगम द्वारा अपन ेसदस्ट्यों को बोनस िेयर केवल अपन े फ्री ररिव ड या िेयर प्रीजमयम खात े में स े िारी
ककए िा सकते ह ैं और संपजत्त का प नमूडल्यांकन करके सृजित ररिवड को पूंिीकृत करके बोनस िेयर िारी नहीं ककए
िाएंगे:
परंत यह कक यकद जनगम इकिटी िेयरों का सावडिजनक जनगडम करने का प्रस्ट्ताव करता ह,ै तो वह भारतीय प्रजतभूजत
और जवजनमय बोड ड के सार् अपना मसौदा प्रस्ट्ताव दस्ट्तावेि दाजखल करन े से पहले प्राजधकरण स े उनकी रटप्पजणयों,
यकद कोई हो (इस संबंध में बोडड के संकल्प के द्वारा अजधप्रमाजणत प्रजत द्वारा समर्र्डत), के जलए अन रोध करेगा,
जनम्नजलजखत पहल ओं पर जववरण प्रस्ट्तत करत े समय पूंिी िारी करन े संबंधी बीमा जवजनयमों के अधीन िीवन बीमा
कारोबार करने वाली एक आवदे क भारतीय बीमा कंपनी के जलए उपबंजधत फॉमड म ें जनर्दष्ड ट जववरण प्रस्ट् तत करेगा,
अर्ाडत:् -
(क) इसकी समग्र जवत्तीय जस्ट्र्जत एक स्ट्वतंत्र बीमांकक द्वारा मूल्यांककत ककए गए अन सार पूंिी संरचना के पूवड और
पश् चात् जनगमड और अतं र्नडजहत मूल् य;
(ख) प्राजधकरण द्वारा बनाए गए जनयमों के अधीन और पॉजलसीधारक संरिण पर आवश्यक िोधन िमता के जनयंत्रण
स्ट्तर को बनाए रखने के संबंध में इसका ररकॉड;ड4 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4]
(ग) जनगम के जलए प्रयोज्य बीमा जवजनयमों के अन पालन का इसका ररकॉडड;
(घ) इस संबंध म ें प्राजधकरण के ककसी भी पररपत्र के अधीन सावडिजनक प्रकटीकरण आवश्यकताओं के अनप ालन की
जस्ट्र्जत, िहां तक ऐसा पररपत्र जनगम पर लागू होता ह:ै
परंत यह भी कक भारतीय प्रजतभूजत और जवजनमय बोड डके समि मसौदा प्रस्ट्ताव दस्ट्तावेि दि ड करत े समय, जनगम-
(i) प्राजधकरण द्वारा िारी रटप्पजणयों, यकद कोई हों, को ध्यान में रखत े हुए यह स जनजित करन े के जलए कक उनम ें
प्रकटीकरण भारतीय प्रजतभूजत और जवजनमय बोडड द्वारा बनाए गए जनयमों के अन सार ह;ैं
(ii) जनगम के जलए जवजिष्ट िोजखम कारकों, इसकी सजमजतयों, प्रम ख प्रबंधकों, जनवेिकों, प्रमोटरों और जवत्तीय
जववरणों, मामले का जववरण, बीमा उद्योग का पयाडवलोकन, उद्योग से संबंजधत ितों तर्ा कानून तर्ा अन् य सूचना,
िो िीवन बीमा कारोबार करने वाली भारतीय बीमा कंपनी के संबंध में पूंिी िारी करन े संबंधी बीमा जवजनयमों में
जवजनर्दष्टड हो।
8. िये रों की मागं और मागं न की गई अदत्त िये र पिूं ी की स्ट्वीकृजत — जनगम, बोडड के अनम ोदन से, ककसी सदस्ट्य स े
उसके द्वारा धाररत िेयरों पर बकाया ककसी भी राजि के संबंध में आग े की िेयर पूंिी की मांग कर सकता ह ै और उससे
पूरी या आंजिक राजि भी स्ट्वीकार कर सकता ह,ै भले ही कंपनी अजधजनयम की धारा 49 और 50 तर्ा उक्त
अजधजनयम की धारा 5 की उप धारा (6) और (7) के सार् परित अन सूची I की सारणी च में जनर्दष्ड ट मॉडल अन ्छ ेद
13 से 18 के अधीन कंपनी के संबंध में प्रयोज्य उपबंधों के अनस ार राजि की मागं न की गई हो।
9. सदस्ट्य द्वारा नामाकं न की पद्धजत – सदस्ट् य, िेयर पूंिी और जडबेंचर के संबंध में कंपनी अजधजनयम की धारा 72 के
अधीन बनाए गए जनयमों के अंतगतड कंपनी के प्रजतभूजत धारकों द्वारा नाजमत ककए िाने के संबंध में धारा 5ड. में
जनर्दष्ड ट ककए गए अन सार प्ररूप ‘क’ में नाजमत कर सकता ह ै और इस संबंध म ें कोई पररवतनड अर्वा इसे रद्द करन े का
अन रोध प्ररूप ‘ख’ में कर सकता ह।ै
10. िये र को िब्त करना – कोई सदस्ट्य, िो भग तान के जलए जनयत कदन पर ककसी भी मांग या ककस्ट्त का भ गतान
करने में जवफल रहता ह,ै तो कंपनी अजधजनयम की धारा 5 की उप धारा (6) और (7) के सार् परित उक्त अन सूची I
की सारणी च म ें जनर्दष्ड ट मॉडल अन ्छेद 28 स े 34 के अतं गडत कंपनी के िेयर के जलए उपबंजधत ककए गए अन सार
बोडड द्वारा समान पररजस्ट्र्जतयों में और समान तरीके से और समान ितों के अधीन उसके िेयर को िब्त ककया िा
सकता ह ैऔर बेचा अर्वा अन् यर्ा जनपटान ककया िा सकता ह।ै
11. प्रजतभजू तयों का अतं रण अर्वा पारेषण या पिातं रण करना - (1) प्रजतभूजतयों के अतं रण के संबंधी कायडकलापों के
जलए जनगम िेयर अंतरक एिेंट की जनय जि करेगा अर्वा प्रजतभूजतयों के अंतरण की आंतररक स जवधा तयै ार करेगा:
परंत यह कक आतं ररक प्रजतभूजत अतं रण के मामले म,ें िब जनगम के प्रजतभूजत धारकों की क ल संख्या एक लाख से
अजधक हो, तो जनगम भारतीय प्रजतभूजत और जवजनमय बोड ड म ें रजिस्ट्रीकृत ककसी व् यजि को ककसी मामले के संबंध म ें
रजिस्ट्रार या जनगम का िेयर अतं रक एिेंट जनय क्त करेगा।
(2) बोड ड प्रजतभूजतयों के अतं रण की िजि ककसी सजमजत या जनगम के अन पालन अजधकारी को या ककसी मामल े के
रजिस्ट्रार को या िेयर अतं रक एिेंट को प्रजतभूजत के अंतरण की िजियां प्रत् यायोजित कर सकता ह:ै
परन्त यह कक बोड ड या ऐसी सजमजत या अजधकारी या रजिस्ट्रार या एिेंट प्रजतभूजतयों के अंतरण के संबंध म ें
औपचाररकताओं को 15 कदन म ेंकम से कम एक बार करता हो।
परंत यह कक सजमजत या अजधकारी या रजिस्ट्रार या एिेंट, िैसा भी मामला हो, बोडड या उसकी सजमजत को उसकी
प्रत्येक बैिक में प्रजतभूजतयों के अंतरण की ररपोट ड करेगा।
(3) जनगम की प्रजतभूजतयों का अतं रण और पारेषण को उसी पद्धजत म ें ककया िाएगा िैसा कक कंपनी अजधजनयम की
धारा 56 की उप-धारा (1) स े(5) म ेंकंपनी के संबंध में उपबंध ककया गया हो।
परन्त ऐसे अंतरण के संबंध में अंतरण के जलखत को अंतरक तर्ा अंतररती द्वारा अर्वा उनकी ओर से उसी रूप म ें
ककया िाएगा िैसा कक बोडड द्वारा जवजनर्दष्टड ककया िाए।[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 5
(4) जनगम आंजिक रूप से च कता िेयर को रजिस्ट्रीकृत या अतं ररत तब तक नहीं करेगा िब तक कक यह बोड ड द्वारा
जवजनर्दष्टड ककए गए प्ररूप म ें अतं ररती को नोरटस न कदया हो और अंतररती ने नोरटस प्राप्त करने की तारीख से दो सप्ताह के
भीतर ऐसे अंतरण के संबंध म ेंकोई अनापजत्त न दी हो।
12. रजिस्ट्टरों के रख-रखाव तर्ा अनर िण की पद्धजत: जनगम अपन े सदस्ट्यों के संबंध म ें धारा 5ख की उप-धारा (1) म ें
जवजनर्दष्टड रजिस्ट्टरों को प्ररूप ‘ग’ म ें और ऋणपत्र धारकों या प्रजतभूजत धारकों के संबंध म ें रजिस्ट् टर को प्ररूप ‘घ’ म ें उसी
प्रकार रखगे ा, िैसा कक कंपनी के प्रबंधन और प्रिासन के संबधं में कंपनी अजधजनयम की धारा 88 के अधीन बनाए गए
जनयमों में कंपनी के ऐसे प्रजतभजू त धारकों के जलए उपबंजधत ककया गया हो, इसमें िाजमल ककए िाने वाल े नामों के सूची
संबंधी रजिस्ट्टर, ऐसे रजिस्ट् रों में प्रजवजष्टयों के अजधप्रमाणन और इनकी प्रजतयों को बंद करना, िांच करना तर्ा इनकी
आपूर्तड करना िाजमल ह।ै
परन्त यह कक सदस्ट्यों तर्ा प्रत्येक प्रकार के ऋणपत्र धारकों तर्ा अन्य प्रजतभूजत धारकों के जलए अलग-अलग
रजिस्ट्टर रखे िाएगं े।
13. लाभािं – जनगम प्रत्येक िेयर के संबंध में प्रदत्त राजि के अन पात में लाभांि का भग तान करेगा।

जवजवध
14. पद्धजत और प्ररूप जिसम ें जनगम के जलए बाध्यकारी अनब धं ों को जनष्पाकदत ककया िाएगा – (1) जनगम की ओर स े
ककए िाने वाले अन बधं को जलजखत में ककया िाएगा, प्राजधकरण के अंतगडत कायरड त ककसी व्य जि द्वारा इस पर हस्ट्त ािर
ककए िाएंगे, उसी रूप में व् यि अर्वा सूजचत ककया िाएगा तर्ा पररवर्तडत अर्वा जनस्ट् सररत ककया िाएगा।
(2) इस जवजनयम के उपबंधों के अन सार बनाए गए सभी अन बधं वैध और जनगम पर बाध्यकारी होंग।े
15. जनगम के खात,े रसीद और दस्ट्ताविे पर ककसके द्वारा हस्ट्तािर ककया िाएगा – जनगम के पूणडकाजलक जनदेिक,
कंपनी सजचव और जवत्तीय कृत्य के प्रम ख, जिसे बोडड द्वारा इस जनजमत प्राजधकृत ककया िाए तर्ा जनगम के ऐस े अन्य
अजधकारी, जिसे म ख्य कायडपालक द्वारा इस जनजमत उस सीमा तक या ऐसे जवस्ट्तार तक, यकद कोई हो, के अध्यधीन
प्राजधकृत ककया िाए, िैसा कक जनगम के संबंध में या उसकी ओर से जवजनर्दष्ड ट या अजधरोजपत हो,-
(क) वचन पत्र, स्ट्टॉक रसीद, स्ट्टॉक, ऋणपत्र, िेयर, प्रजतभूजतयों और माल के हक के दस्ट्ताविे , िो जनगम के नाम से हो
या जनगम द्वारा धाररत हो, का पृष्ठांकन करना तर्ा अंतररत करना;
(ख) जनगम के वतडमान और प्राजधकृत व्यवसाय में जवजनमय और अन्य जलखतों के जबलों को आहररत करना, स्ट्वीकारना
और पृष्ठांकन करना;
(ग) बीमा पाजलजसयां िारी करना; और
(घ) उपय डि से संबंजधत सभी लेखा, रसीदों और दस्ट्तावेिों पर हस्ट्तािर करना।
16. वाद पत्र पर ककसके द्वारा हस्ट्तािर ककए िान े ह ैं – वाद पत्र, जलजखत कर्न, प्रत्य त्तर, जिकायतें, याजचकाएं,
आवेदन, िपर्-पत्र, वकालतनामा और कानूनी कारडवाई से सबं ंजधत सभी अन्य दस्ट्तावेिों को जवजनयम 15 के द्वारा या
इसके अधीन अजधकार प्राप्त ककसी अजधकारी द्वारा जनगम की ओर से हस्ट्तािर ककया िाएगा, सत् याजपत ककया िाएगा तर्ा
ककसी न्यायालय, अजधकरण या प्राजधकरण के समि जनगम की ओर से प्रस्ट्त त ककया िाएगा।
17. इलक्े राजनक ररकाडड और इलक्े राजनक हस्ट्तािर का प्रयोग – इन जवजनयमों के प्रयोिनों के जलए, ककसी भी प्रकार
की आवश्यकता होन े पर –
(क) ककसी अन बधं को तैयार करना, पररवर्तडत करना या पालन करना, नामांकन को बदलन े या रद्द करन े या नोरटस देन े या
रजिस्ट्टर का रख-रखाव करन,े अंतरण जलखत या अन् य दस्ट्त ावेि को लाग ू करन े की प जष्ट तब होगी, िब इन् ह ें सूचना
प्रौद्योजगकी अजधजनयम, 2000 (2000 का 21) में पररभाजषत ककए गए अन सार इन् ह ें इलक्े राजनक अजभलेख के प्ररूप म ें

LIFE INSURANCE CORPORATION OF INDIA
NOTIFICATION
Mumbai, the 22 July, 2021
F. No.I-13011/03/2021-Ins.I.—In exercise of the powers conferred by section 49 of the Life Insurance
Corporation Act, 1956 (31 of 1956) and in supersession of the Life Insurance Corporation Regulations, 1959, except
as respect things done or omitted to be done before such supersession, the Board, with the previous approval of the
Central Government hereby makes the following regulations, namely:—
PRELIMINARY
1. Short title and commencement.—(1) These regulations may be called the Life Insurance Corporation General
Regulations, 2021.
(2) They shall come into force on the date of their publication in the Official Gazette.
2.Definitions.—(1) In these regulations, unless the context otherwise requires,—
(a) “Act” means the Life Insurance Corporation Act, 1956 (31 of 1956);
(b) “Authority” means the Insurance Regulatory and Development Authority of India established under sub-
section (1) of section 3 of the Insurance Regulatory and Development Authority Act, 1999 (41 of 1999);
(c) “Company Secretary” shall mean a person who is a member of the Institute of Company Secretaries of
India, constituted under the Company Secretaries Act, 1980 (56 of 1980) and who is the head of the
secretarial function of the Corporation;
(d) “Depositories Act” means the Depositories Act, 1996 (22 of 1996);[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 17
(e) “Depositories and Participants Regulations” means the regulations made by the Securities and Exchange
Board of India regarding depositories and participants, under the Securities and Exchange Board of India
Act, 1992 (15 of 1992) and section 25 of the Depositories Act;
(f) “draft offer document” means the draft offer document filed with the Securities and Exchange Board of
India in relation to a public issue under the regulations made by the Securities and Exchange Board of
India regarding issue of capital and disclosure requirements;
(g) “embedded value” shall have the same meaning as is assigned to it in the Actuarial Practice Standard,
issued by the Institute of Actuaries of India constituted under section 3 of the Actuaries Act, 2006 (35 of
2006), for determination thereof in respect of life insurance companies incorporated in India and regulated
by the Authority;
(h) “form” means a form annexed to these regulations;
(i) “registrar to an issue” shall have the same meaning as is assigned to it in the regulations made by the
Securities and Exchange Board of India regarding registrar to an issue and share transfer agent;
(j) “section” means section of the Act;
(k) “Securities and Exchange Board of India” means the Securities and Exchange Board of India established
under section 3 of the Securities and Exchange Board of India Act, 1992 (15 of 1992);
(l) “share transfer agent” shall have the same meaning as is assigned to it in the regulations made by the
Securities and Exchange Board of India regarding registrar to an issue and share transfer agent.
(2) All other words and expressions used herein and not defined in these regulations, but defined in the Act shall have
the meanings respectively assigned to them in the Act.
PART I
Meetings of the Board and its committees
3.Manner of holding meetings of Board and its committees.—(1) In respect of meetings of the Board, the
Chairperson and in his absence the senior-most whole-time director of the Corporation, and in respect of meetings of
any committee of the Board such person as the Board has appointed as the chairperson of the committee shall, fix the
date, time and place of meetings of the Board or its committee, as the case may be, and approve the items of agenda
therefor.
(2)Notice for meetings shall be issued by the Company Secretary or, if there is no Company Secretary, any director or
any other officer of the Corporation authorised by the Board in this behalf.
(3) The Chairperson, and in his absence the senior-most whole-time director present, shall chair a Board meeting.
(4) The chairperson of a committee of the Board shall chair its meetings:
Provided that in the absence of the chairperson, any other director chosen by the members present at the
meeting from amongst themselves shall chair the meeting.
(5) The Corporation shall observe in respect of the Board and its committees such secretarial standards as are
applicable in respect of Board meetings of a company under sub-section (10) of section 118 of the Companies Act,
save as otherwise provided for in the Act, the rules and regulations made thereunder.
PART II
Capital, shares, other securities and members of the Corporation
4. Kinds and nature of share capital.—The share capital of the Corporation shall be of such kinds as are provided
for in respect of a company in section 43 of the Companies Act in so far as they are not inconsistent with the
provisions of the Act and the rules made there under:
Provided that the provisions of sub-clause (ii) of clause (a) of the said section shall not apply in respect of the
share capital of the Corporation.
5. Nature of shares and debentures.—The shares, debentures and other interest of any member in the Corporation
shall be movable property transferable in the manner provided in regulation 11.
6.Mannerofissue of securities.—(1) The Corporation may issue securities either in physical form or in dematerialised
form in accordance with the provisions of the Depositories Act and the Depositories and Participants Regulations.
(2) Where the Corporation issues any securities in physical form, the issuance of such securities shall be in accordance
with the requirements as the Board may specify in this behalf, including as to the authority for issuance of security, its
form, the manner of signing of the certificate on behalf of the Corporation, printing and custody of blank certificates

(3) The Corporation shall appoint a registrar to an issue or a share transfer agent and shall enter into a tripartite
agreement with the registrar to an issue or the share transfer agent, as the case may be, and a depository, in respect of
the securities to be issued in dematerialised form
7. Other provisions regarding manner of and conditions subject to which shares may be issued.—(1)The
Corporation shall issue equity shares to the Central Government in consideration for the paid-up equity capital
provided by the Central Government to the Corporation, in accordance with the provisions of sub-section (2) of
section 5.
(2) The Corporation may from time to time increase its issued share capital, with the previous approval of the Central
Government, by way of public issue or rights issue or preferential allotment or private placement or issue of bonus
shares to existing members holding equity shares, or by issue of shares to employees pursuant to share based
employee benefits schemes, or by issue of shares to life insurance policyholders of the Corporation, or otherwise, in
accordance with the provisions of section 5.
Provided that bonus shares may be issued by the Corporation to its members only out of its free reserves or
the share premium account, and no issue of bonus shares shall be made by capitalising reserves created by the
revaluation of assets:
Provided further that if the Corporation proposes to make a public issue of equity shares, it shall, before filing
its draft offer document with the Securities and Exchange Board of India, request the Authority for its observations, if
any (supported by a certified copy of the Board resolution in this regard), while furnishing on the following aspects
the details specified in respect of the same in the form as provided for an applicant Indian insurance company
transacting life insurance business under insurance regulations on issuance of capital, namely:—
(a) its overall financial position, pre- and post-issue capital structure and embedded value as assessed by
an independent actuary;
(b) its record on maintenance of control level of solvency required under regulations made by the
Authority and on policyholder protection;
(c) its record of compliance with insurance regulations, as applicable to the Corporation;
(d) the status of compliance with public disclosure requirements under any circular of the Authority in
this regard, insofar as such circular is applicable to the Corporation:
Provided also that while filing the draft offer document with the Securities and Exchange Board of India, the
Corporation shall—
(i) take into account the observations, if any, issued by the Authority, with a view to ensure that the
disclosures therein are in accordance with the regulations made by the Securities and Exchange
Board of India in this behalf;
(ii) make therein such other disclosures regarding risk factors specific to the Corporation, particulars of
its committees, key management persons, investors, promoters and financial statements, particulars
of the issue, overview of the insurance industry, industry related terms and legal and other
information, as are specified in insurance regulations for issuance of capital in respect of an Indian
insurance company transacting life insurance business.
8. Calls on shares and acceptance of unpaid share capital not called up.—The Corporation may, with the approval
of the Board, make calls upon a member for further share capital in respect of any amount remaining unpaid on shares
held by him and also accept from him the whole or part of such amount even if the amount has not been called up, in
accordance with the provisions as applicable in respect of a company under sections 49 and 50 of the Companies Act
and model articles13 to 18 specified in Table F of Schedule Ito the said Act, read with sub-sections (6) and (7) of
section 5 thereof.
9. Manner of nomination by member.—Members may make nomination referred to in section 5E in the manner
provided for nomination by the security holders of a company in rules made under section 72 of the Companies Act
with regard to share capital and debentures, in Form ‘A’, and variation therein or cancellation thereof may be made in
Form ‘B’.
10. Forfeiture of share.—A share of a member who fails to pay any call or instalment thereof on the day appointed
for its payment may be forfeited and sold or otherwise disposed of by the Board in like circumstances and in like
manner, and subject to like conditions, as are provided for shares of a company under model articles 28 to 34 specified
in Table F of Schedule I of the Companies Act, read with sub-sections (6) and (7) of section 5 thereof.
11.Transfer or transmission or transposition of securities.—(1) For carrying out activities in relation to transfer of
securities, the Corporation shall appoint a share transfer agent or manage the transfer of securities’ facility in-house:
Provided that in the case of in-house securities transfer facility, as and when the total number of holders of
securities of the Corporation exceeds one lakh, the Corporation shall appoint a person, who is registered with the
Securities and Exchange Board of India, as the registrar to an issue and share transfer agent of the Corporation.[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 19
(2)The Board may delegate the power of transfer of securities to a committee or to the compliance officer of the
Corporation or to the registrar to an issue or share transfer agent:
Provided that the Board or such committee or officer or registrar or agent shall attend to the formalities
pertaining to transfer of securities at least once in a fortnight:
Provided further that the committee or officer or registrar or agent, as the case may be, shall report to the
Board or its committee on transfer of securities in each meeting thereof.
(3) The transfer and transmission of securities of the Corporation shall be carried out in like manner as is provided
therefor in respect of a company in sub-sections (1) to (5) of section 56 of the Companies Act:
Provided that the instrument of transfer for such transfer shall be executedby or on behalf of the transferor
and the transferee in such form as may be specified by the Board.
(4)The Corporation shall not register a transfer of partly paid shares unless it has given notice to the transferee in the
form as may be specified by the Board and the transferee has conveyed within two weeks from the date of receipt of
the notice that he has no objection to such transfer.
12. Manner of keeping and maintaining registers.—The Corporation shall maintain the registers referred to in sub-
section (1) of section 5B in respect of its members in Form ‘C’ and in respect of debenture holders or security holders
in Form ‘D’, in like manner as is provided for such security holders of a company in rules made under section 88 of
the Companies Act with regard to management and administration of companies, including in respect of the index of
names to be included and authentication of entries in such registers, and the closure, inspection and supply of copies
thereof:
Provided that separate registers shall be maintained for members and for the holders of each type of
debentures or other securities.
13. Dividend.—The Corporation shall pay dividend in proportion to the amount paid-up on each share.
PART III
Miscellaneous
14. Manner and form in which contracts binding on the Corporation may be executed.—(1) Contracts made on
behalf of the Corporation shall be made in writing, signed by any person acting under its authority, express or implied,
and may in the same manner be varied or discharged.
(2) All contracts made according to the provisions of this regulation shall be valid and binding on the Corporation.
15. Accounts, receipts and documents of the Corporation by whom to be signed.—The whole-time directors,
Company Secretary, and the head of the finance function of the Corporation as the Board may authorise in this behalf,
and such other officers of the Corporation as the Chief Executive may authorise in this behalf, may, to such extent and
subject to such limitations, if any, as may be specified or imposed in so authorising, for and on behalf of the
Corporation,—
(a) endorse and transfer promissory notes, stock-receipts, stocks, debentures, shares, securities and
documents of title to goods, standing or held in the name of the Corporation or held by it;
(b) draw, accept and endorse bills of exchange and other instruments in the current and authorised business of
the Corporation;
(c) issue insurance policies; and
(d) sign all accounts, receipts and documents connected with the aforesaid.
16. Plaints etc., by whom to be signed.—Plaints, written statements, rejoinders, complaints, petitions, applications,
affidavits, vakalatnamas and all other documents connected with legal proceedings may be signed, verified and
presented before any court, tribunal or authority on behalf of the Corporation by any officer empowered by or under
regulation 15.
17. Use of electronic records and electronic signature.—For the purposes of these regulations, any requirement
of—
(a) making, varying or discharging a contract, or making, varying or cancelling a nomination, or giving of
notice, or maintaining a register, or executing an instrument of transfer or other document shall be satisfied
if the same is made, varied or discharged, or maintained or given or executed, as the case may be, in the
form of an electronic record as defined in the Information Technology Act, 2000 (21 of 2000);
(b) a person signing a contract, a form for nomination or for the variation or cancellation thereof, register,
instrument or transfer or document shall be satisfied if he affixes thereon his electronic signature as defined
