MEMORANDUM OF UNDERSTANDING
(hereinafier referred to as “MoU”)
BETWEEN
THE GEOLOGICAL SURVEY OF INDIA
MINISTRY OF MINES OF THE REPUBLIC OF INDIA
AND
THE RESEARCH INSTITUTE FOR GEO-HYDROLOGICAL PROTECTION,
OF THE NATIONAL RESEARCH COUNCIL, ITALY
GONCERNING
SCIENTIFIC AND TECHNICAL COOPERATION IN THE FIELD OF LANDSLIDE
PREDICTION AND FORECASTING AND LANDSLIDE HAZARD AND RISK
ASSESSMENT AND MITIGATION
THE GEOLOGICAL SURVEY OF INDIA (herein after referred to as GSI) OF THE
MINISTRY OF MINES, REPUBLIC OF INDIA AND THE RESEARCH INSTITUTE
FOR GEO-HYDROLOGICAL PROTECTION, OF THE NATIONAL RESEARCH
COUNCIL (herein afier relerred to as CNR-RPI), ITALY, heieinaiier individually
referred to as ‘Party’ and jointly referred fo as “Parties”,
CONFIRMING their mutual interest in developing and reinforcing their cooperation in
the fields of landslide prediction and forecasting, and specifically on development and
application of models, methods and tools for landslide hazard and risk assessment,
and for landslide forecasting and early warning, on the basis of this MOU;RECOGNIZING that this MOU establishes a framework for this cooperation in joint
investigations and scientific exchanges concerning the fields of landslide prediction
and forecasting and landslide hazard and risk assessment and mitigation, on subjects
of mutual interest;
DESIRING to improve cooperation between the two scientific institutes/organizations
through participation in this MOU, with the intent of reinforcing and strengthening both
scientific links between the two countries;
HAVE reached the following understanding:
ARTICLE 1
DEFINITION
The following words and expansion should have the meanings as set out below:

b) JWG: Joint Working Group
ARTICLE 2
OBJECTIVE
Both Parties recognize the importance of the Landslide studies in Disaster Risk
Reduction through the scientific endeavors and technological knowledge exchange
for securing the life, property and infrastructures, promoting the development in hill
areas, implementing the environmental protection, and enhancing of the quality of life.
In order to provide a virtuous mechanism for scientific and technical collaboration in
various mutually-beneficial geoscientific activities, GSI, and CNR-IRPI have agreedto proceed for collaboration as defined in this MOU. The main objective is to enable
a two-way flow of data, information and knowledge to enable collaborative research
in the field of Landslide Disaster Mitigation. It also reinforces the good will and cordial
relations between the two organizations that have existed since 2017 under
LANDSLIP Project for development of regional Landslide Early Warning System in
India.
ARTICLE 3
AREAS OF COOPERATION
Cooperation under this MOU may include, but are not limited to, the following areas
of interest in the field of Landslide studies.
a. Scientific research including:
Developing models for Landslide forecasts & Early Warning Systems suitable

for multiple geo-environmental conditions in India
Optimising decision support tools, stakeholder communication or
dissemination for operational landslide early warning systems
Multi-scale geomorphological and geological mapping, susceptibility, hazard &

risk mapping, modelling and simulation

Parties
d. Exchange of information and bibliographic materials and sharing of know-how
on technical-scientific equipment
e. Other areas of mutual interest to be decided upon by the Parties
f. Co-production and publication of scientific literature, participation in scientific
symposia and meetings.
ARTICLE 4
FORMS OF COOPERATION
Collaborative activities under this MoU may include the followings
a. Exchange of scientific and technical knowledge, exchange of organizational
information relevant to the strategic planning for Landslide Disaster Mitigation
b. Visits by staff members engaged in research programs of mutual interest or
specific to a particular item of research as identified under this MOU
c. Educaiion, taining aiid human resource developinent in the field of Landslide
studies
d. Scientific and technological transfer in support of collaborative projects
e. Exchange of information on research and development, where appropriate and
f. Other forms of cooperation as may be mutually decided upon by the Parties.ARTICLE &
CENTRAL AUTHORITY
The organisations responsible for implementation and execution of the present MoU
are:
Geological Survey of India, Ministry of Mines, The Government of the
Republic of India
The Research Institute for Geo-Hydrological Protection of the National
Research Council, Italy.
ARTICLE 6
IMPLEMENTATION AND JOINT WORKING GROUP
In order to carry out and fulfil the objectives of this MoU:
Within the framework of this MoU, in order
a,
to draw a roadmap for furthering and
enhancing cooperation, a Joint Working Group (JWG) may be constituted with
the representatives from each side.
Parties, to discuss progress under this MoU. Meetings of JWG will primarily be
held virtually. The agenda, mode, date and location of these meetings will be
jointly decided through consultation between the Parties.
The provisions of implementation of each collaborative programme to be
carried out under this MoU as part of the envisaged co-operation will be decided
to by the Parties and signed as separate Implementing Arrangement.ARTICLE 7
FINANCIAL ARRANGEMENT
No financial obligations are implied in this MOU. Each Party will bear the cost of its
own participation and engagement in collaborative activities pursuant to this MoU,
subject to the availability of funds and personnel. Where it is appropriate, GSI and
CNR-IRPI shall seek funding from third Parties/ other agencies. In such cases, If
required, the Parties will sign further contract(s) covering the collaborative activity
and/or the funding provision through separate Work Annex/ Implementing
Arrangement.
ARTICLE &
PROTECTION OF INTELLECTUAL PROPERTY RIGHTS (IPR)
a) The Parties will share and jointly publish the scientific and technical results of
cooperative projects conducted under this MOU in English language or hold in
confidence in accordance with the specific provisions identified in the associated
collaborative projects. The use of lie name, jogo and/ or official emblein of the Parties
on any publication, document and/or paper will require prior permission of both the
Parties. It may however be ensured that the official emblem and logo is not misused.
b) Subject to the applicable laws, rules and regulations of the two Parties,
information, including derived data, maps and reports arising from collaborative
activities undertaken under this MOU may only be released to third Party on the
written consent of both Parties. Any intellectual property rights (IPR) jointly produced
by both Parties will respect the background IPR of the Parties contributing, however,the foreground IPR will be the joint property of both Parties subject to mutual written
MoU regarding apportionment of jointly created IPR.
c) The Intellectual Property Rights of all background IPR including, but not limited
to, information, maps, reports and all data in analogue or electronic forms supplied by
the either Party for the purposes of this MOU is and will remain vested with the owning
Party. For the avoidance of doubt background knowledge and materials is any
information, including maps, reports, all data in analogue or electronic forms and
materials that existed or has been derived from such background knowledge before
commencement of this MOU.
d) Both Parties grant the other Party a license to use their background IPR as
reasonably required for the sole purpose of this MOU. Any other usage of either
Party's background IPR will be subject to separate license arrangements being
agreed with the other Party. No transfer of the ownership of either Party's background
IPR arises from or is implied under this MOU.
e) Each Party will ensure appropriate protection of Intellectual Property Rights
generated from cooperation pursuant to MOU, consistent with their respective laws,
rules and regulations and multilateral MoU to which countries of both Parties are Party
to.
f) In case of research results obtained through joint activities under this MOU
both Parties will apply as co-applicant for the protection of intellectual property rights
subject to exclusive rights of both the Parties to commercialize the technology in theirrespective countries. Commercialization in any other country shall be done jointly
through a separate MoU.
ARTICLE 9
PROTECTION OF CONFIDENTIAL INFORMATION
a) All information and documents to be exchanged pursuant to the MOU will be
kept confidential by the Parties and will be used subject to such terms as each Party
may specify. The Parties will not share such information with third Parties or use the
information for purposes other than that specified, without the prior written consent of
the other Party.
b) All Confidential Information shall remain the exclusive property of the disclosing
Party. The Parties agree that this MoU and the disclosure of the confidential
information do not grant or imply any license, interest or right to the Recipient in
respect to any intellectual property right of the other Party.
c) Unpubiisived information, whether orai, in wiiting or oiieiwise, discovered oF
conceived by the scientists or technicians and exchanged under the provisions of this
MOU will not be transmitted to a third Party, unless otherwise agreed by the both
Parties in writing.ARTICLE 10
PROPERTY & EQUIPMENT
Any and all property or equipment of whatever nature or kind furnished by either
Parties in connection with work under this MOU will remain the property of the Party
furnishing such property or equipment.
ARTICLE 11
GOVERNING LAW
Any activities undertaken under the MOU will be carried out in accordance with the
applicable laws and regulations of India and Italy, for which a separate Implementing
Arrangement, mutually agreed by both Parties may be drawn.
ARTICLE 12
PARTICIPATION OF OTHER GOVERNMENT ORGANIZATIONS AND
UNIIVERSTIES
For cooperation requested by either of the Parties that extends to subjects outside of
their speciai expertise, ihe Parties may, upon their muiual conseni, inciude the
participation of other government organizations in the development of activities falling
within the scope of this MOU.
ARTICLE 13
REVIEW AND VALIDITY
ILis anticipated that GSI and CNR-IRPI will, at mutually agreed intervals, review the
progress of activities concucted under this MOU and make plans for future activities.Each Party totally disclaims any warranty with regard to the accuracy, validity, or
fitness for any particular purpose of the information it supplies under this MOU.
ARTICLE 14
COORDINATION AND MONITORING
In order to coordinate and monitor the jointly agreed activities, each Party shall
appoint its own representative.
The GSI appoints Dr. Saibal Ghosh and Mr. Akshay Kumar Mishra.
The CNR IRPI appoints Dr. Mauro Rossi and Dr. Ivan Marchesini
The two appointees shall periodically monitor the outcomes of this Memorandum.
ARTICLE 15
FORCE MAJEURE
Force Majeure may be preferred by either Party in the event of either Party being
rendered unable to perform agreed responsibilities due to causes arising from
unforeseen circumstances. Under the MoU, relative obligation of the Party affected
by such Force Majeure shali upoi notificaiion to tie vier Paily be suspeided for the
period during which the cause lasts. The term Force Majeure, as employed herein,
shall include but not be restricted to acts of God, earthquake, war, riots, revolts, fire,
flood, sabotage and Law and Order situation due to terrorist activities, etc. Either Party
reserves the right to terminate the MoU after mutual consultation if Force Majeure
continues for more than forty days.ARTICLE 16
SETTLEMENT OF DISPUTES
a) Any dispute between the Parties arising out of the interpretation or
implementation of this MOU shall be settled amicably through consultation or
negotiation between the Parties and shall not be referred to a third Party for
settlement. Neither Party to this MOU shall assert a claim against the other arising
from activities under this MOU with respect to third Parties. Each Party to this MOU
will accept liability, to the extent authorized by its domestic laws, for damages arising
from its own conduct, or that of its employees or its agents under this MOU.
b) Activities pursuant to this MOU shall be governed and construed in accordance
with laws and regulations of the respective Party where activities are taking place.
ARTICLE 17
ENTRY INTO FORCE, DURATION AND TERMINATION
a. This MOU is to become effective on the date on which the last signature is
appended and will remain so for an initial period of five years, unless exiended
or terminated by the Parties. It may be amended or extended at any time with
the mutual written consent of the Parties. It may be terminated by either Party
upon ninety (90) days written notice of termination to the other Party.
b. The implementation of this MoU shall be in accordance with the Laws and
Regulations applicable in the respective Countries. This MoU does not create
any legal relation between the Parties. The provisions of this MoU shall be
without prejudice to any other treaties or agreements to which both sides are
Parties.c. Termination of the MOU will not affect the implementation of any existing
Project Annex/ implementing Arrangement between the Parties. Termination or
amendment of the Project Annex will be in accordance with the provisions of
each specific Project Annex.
IN WITNESS WHEREOF, the duly authorized representatives of the Parties have
signed this MoU in two originals in English and Hindi languages at 17.00 hrs (IST) on
10th day of January, 2025.

1, AUTHORITY
This Implementing Arrangement (IA) is pursuant to and subject to the Memorandum of
Understanding (MOU) between the Geological Survey of India (GSI), under Ministry of Mines,
Government of the Republic of India, (hereinafter referred to as “GSI”), and the Research Institute
for Geohydrological Protection of the National Rescarch Council of Italy (hereinafter referred to
as "CNR-IRPI"), hereinafter jointly referred to as the "Parties". This IA is developed in accordance
with Article 6 of the MoU.
2. SCOPE
The scope of the Project is for technical collaboration to develop operational models of Landslide
Forecast and Landslide Early Warning System (LEWS) for ten landslide prone provinces in India
(e.g. Uttarakhand, Himachal Pradesh, Sikkim, West Bengal, Kerala, Tamil Nadu, Maharashtra,
Assam, Mizoram, Arunachal Pradesh etc.). The cooperation will include development/application
of existing/new methodologies and technologies to map landscape dynamics, landslide occurrences
at multiple spatio-temporal scales for use in multi-scale landslide susceptibility, hazard, and risk
analysis for different landslide types/domains. The collaboration will work for validation and
evaluation of the developed LEWS models, create suitable decision support and integration tools
for generating operational landslide forecast and warning models for India.
3. BACKROUND
Geological Survey of India (GSI) is engaged in an active program to reduce risk from unstable
terrain in various parts of the country where landslide hazards regularly cause considerable damage
and deaths, Landslide investigations consisting of hazard zonation mapping, site specific study and
inventory are in progress in the country. In 2004, GSI was declared as the ‘Nodal Agency’ for
landslide hazard studies in India by the Ministry of Home Affairs (MHA), Government of India.
As a ‘Nodal Agency’, GSI’s responsibility includes coordinating and undertaking geological
studies for landslide hazard mitigation, monitoring and development of carly warning for
landslides, awareness generation for capacity building etc. GSI has about 100 landslide
geoscientists dedicatedly working on landslide hazard mitigation programmes throughout India.
Since the inception of landslide investigation in India in 1880, GSI has carried out numerous studies
in different aspects of landslides and generated valuable reports, which are available in GSI’s web
portal (www.portal.gsi.gov.in). It also maintains the repository of metadata of all Government
funded landslide projects in India. GSI under MoU with British Geological Survey under
LANDSLIP project (with other consortium partners including CNR-IRPI) developed an
age lof7experimental prototype Landslide Early Warning System for iwo perennially tandslide prone
Indian sites — Darjeeling in the Eastern Himalayas and The Nilgiris, Western Ghats. Under this,
Landslide forecast on cxperimental basis has been developed and issued to the SDMA and District
Authorities from 1" July 2020. However, the LEWS requires collaboration of various India
stakeholders to enhance its application to all the hilly terrains in India in phased manner. In this
endeavour GSI with other national institutes/organization intends to take up several projects of
landslide early warning in multiple landslide prone provinces in India from 2020 with an aim to
start operational LEWS in India at the earliest. Accordingly, as planned, GSI has already created
and commissioned the National Landslide Forecasting Centre (NLFC) on 19.07.2024, and the
NLFC is issuing daily operational landslide forecast bulletins for three (03) districts in two (02)
States, and daily experimental landslide forecast bulletins at 13 more districts in four (04) more
Indian States w.e.f, 2024-monsoon. The ultimate aim is to implement a relevant multi-scale LEWS
in India for all the landslide-prone districts within the shortest-possible time to reduce the impact
of landslide risks in the country. The methods/tools developed under this research collaboration
needs also to be tested at different terrains for successful operationalization of an LEWS in India
which will provide state-of the-art approaches for landslide risk mitigation towards disaster risk
reduction in India.
The Research Institute for Geo-Hydrological Protection (Istituto di Ricerca per la Protezione
Idrogeologica — IRPI) is an institute of the Department of Earth System Sciences and Technology
for the Environment (DSSTTA), of the Italian National Research Council (Consiglio Nazionale
delle Ricerche, CNR). The mission of the institute is to design and execute scientific research and
technological development in the fields of natural hazards, environmental protection, and the
sustainable use of geo-resources. CNR-IRPI carries out its mission by operating at different
geographical and temporal scales, and in different climatic, physiographic and geological zones.
The research & development activities focus on natural hazards, and specifically geo-hydrological
hazards, including floods and flash floods, debris flows, landslides, erosion, hazards in glacial and
coastal ateas, ground subsidence, pollution and depletion of surface water and groundwater, and
on the expected impact of climate change on the geo-hydrological hazards and the geo-resources.
The primary goal is to improve current knowledge on geological, geomorphological, hydrological,
hydraulic, hydrogeological, soil, seismic, geotechnical, geomechanical, geothermal and
environmental issues, and to define new criteria, methods, models and tools for the prediction and
prevention of gco-hydrological hazards and their consequences, for the definition and mitigation
of geo-hydrological risks, and for the design of effective and sustainable adaptation strategies.
CNR-IRP! provides consulting services in the context of natural hazards (geological
geomorphological, hydrological, hydraulic risks), for the monitoring and characterization of soils
and rocks, for soil conservation, for land planning and watershed management, for civil protection
and for adaptation to climate and environmental changes. The products & services offered by CNR-
IRPI consist of in situ and remote geo-monitoring (from the ground, by air, by satellite), hydro-
meteorological and groundwater monitoring, the recognition and mapping of landslides and
flooded areas, the design of operational landslide and flood forecasting systems, flood and landslide
hazards and risk assessments, the evaluation of the availability and quality of water and of
renewable geo-resources, the definition of mitigation and adaptation strategies, and training and
dissemination services on natural hazards. CNR-IRPI is a Centre of Competence of the Italian
National Department of Civil Protection, an office of the Prime Minister. The competence of the
Institute is on geo-hydrological risks, and in particular on landslides and floods. For the Italian
National Department of Civil Protection, CNR-IRPI exccutes applied research and provides
consulting services before, during and in the aftermath of natural disasters. Under this framework,
CNR-IRPI has helped in managing natural disasters (landslides, floods, earthquakes) crises
occurred in Italy. Few of the important achievements by CNR-IRPI includes: (i) identified areas
for the construction of settlements in areas affected during 1997 earthquakes in the Umbria-Marche
Apennines, 2009 Abruzzo earthquakes, 2016 Amatrice-Norcia seismic sequence, (ii) residual tisk
determination in areas affected by hydro-meteorological extreme events (for example, in Sicily and
in the Marche regions), (iii) topographic monitoring of large landslides, including the Montaguto
e Z.of 7
/landslide (AV), the Rotoion (Vi) landslide, and the Montescaglioso (MT) and many other
landslides in Italy. The techniques and instruments used to monitor the landslides were also used
to monitor the Costa Concordia ship wrecked at Isola del Giglio (GR) and the Planpincieux Glacier
(AO).
For the Italian National Department of Civil Protection, CNR-IRPT has developed and operates
SANF: a prototype warning system for the operational forecasting of rainfall-induced landslides in
Italy. Similar EWS were developed by IRPI along the Italian railway network and for other Italian
regional administrations. Other flood and landslide sub regional and site specific EWS were
implemented by CNR-IRPI in Italy and elsewhere.
4, OBJECTIVE
The overall objective of this research collaboration is to share knowledge for
developing/implementing LEWS operational models for ten landslide prone provinces in India by
developing suitable methodologies for operationalisation of a robust EWS in India, including
development of smart and intuitive decision support and integration tools, model validation and
evaluation protocols including effective communication and dissemination. To enhance the
capability to further progress and develop new technologies for effective landslide forecast and
carly warning, both the organizations will have technical cooperation in developing suitable tools
and methodologies for assessing and integrating other types of EWS available in India including
the knowhow developed by the two Parties in the recent LANDSLIP collaboration.
In landslide Early Warning study, different methods used for landslide forecasting and prediction
will be identified and their suitability and reliability for different geo-environmental conditions
exiting in India will be evaluated. The available geological and geo-environmental and landscape
database available for GSI will be tested/used to decipher the environmental conditioning factors
for common landslide types/domains, i.e., regions defined by populations of landslides of given
type (s) from given trigger (s), but having similar characteristics. Simultaneously, the
limitations/gaps of exiting data and/or the missing information for such evaluations will be
identified.
This will enable integration of weather forecasts within a coupled framework. The overall approach
under this will be to (i) obtain/prepare multi-temporal landslide inventories; (ii) prepare/update
landslide susceptibility maps; (iii) search for different models for landslide forecasting
integrated/implemented in EWS operational in other parts of the world; (iv) preparing statistically-
based or physical based models and (v) to build landslide hazard scenarios for integration with
elements at risk for effective risk management. The weather and climatic data for Indian Region
for LEWS will be made available by GSI from Indian Meteorological agencies like National Centre
for Medium Range Weather Forecasting (NCMRWF) and Indian Meteorological Department
(IMD) and for which GST is already in the process of entering into separate long-term institutional
level collaborations with both NCMRWF and IMD. Similarly, for application of Earth Observation
data and Remote Sensing technology in this LEWS endeavour, GSI also is in advanced stage of
formalising a long-term institutional collaboration with National Remote Sensing Centre (NRSC),
Indian Space Research Organisation (ISRO).
5, PROJECT COORDINATION
i) CNR-IRPI Participation: Dr. Mauro Rossi, CNR, Italy and Dr. Ivan Marchesini will be
coordinating with GSI in all aspects for implementing this collaboration. However, CNR will
engage suitable scientists from CNR-IRPI for executing various collaborative responsibilities to
implement the Project with GSI.ii) GSI Participation: Dr. Saibat Ghosh and Mr. A. K. Mishra, Directors, Landslide Siudies
Division, Geohazards Research & Management (GHRM) Centre, GSI, CHQ, Kolkata will be the
nodal scientists from GSI maintaining technical liaison with CNR-IRPI. Landslide studies
Division, GHRM Centre, GSI will be the nodal division for implementing this project. However,
for project execution, GHRM Centre, GSI will engage other geoscientist as and when needed for
the collaboration.
6. RESPONSIBILITIES OF THE PARTIES
Both Parties will:
© Address scientific methodologics focused on integrating all sorts of knowledge/tools
developed mutually by both parties to effectively implement and develop the relevant
Landslide Early Warning System (LEWS) for ten landslide prone provinces in India.
CNR-IRPI will:
© Bring in suitable tools and scientific/technological expertise into the research for co-
developing the LEWS products suitable for operation in different landslide prone terrains in
India.
e Train and develop capacity building programmes for enhancing the knowledge base. The
broad topics capacity building programmes, but are not limited to, could be:
a) Study of semi-automatic remote sensing methods for landslide inventory mapping
along with field validation including magnitude-frequency analyses;
b) Advanced tools for multi-scale landslide susceptibility, hazard and risk analysis and
assessment in a multi-hazard framework;
c) Advanced tools for rainfall based threshold modelling, new and improved method of
LEWS, decision support and integration tools with meteorological dynamics for
developing relevant operation Landslide Early Warning Systems;
d) Landslide type-specific modelling (e.g. debris flow, rockfall modelling);
c) Site specific deterministic landslide stability and geo-hydrological modelling including
monitoring.

© Arrange for providing data/instruments/tools required for implementing the study here in India
for landscape dynamics and vulnerability assessment.

GSI will:
¢ Provide for all sorts of in-kind supports in laboratory and field in India and in particular study
sites in ten landslide prone provinces in India for implementing the tasks required for landslide
EWS study and for providing inputs to vulnerability, impact assessments and in integration for
landslide multi-hazard risk assessment.e Depute competent geoscientists for this project having adequate work experience in the
respective field areas and also for relevant exposure in similar studies in India for the entire
execution period of this project.
e Implement its task of development of EWS by taking approved annual field season
programmes of GSI, exclusively dedicated to this project with all sorts of in-kind supports of
geoscientists and planned funding required for spending at ficld sitces/laboratories in India.

7. ADMINISTRATIVE ARRANGEMENTS
The Parties will assign personnel to activities under the Project in accordance with applicable laws,
regulations, and policies of their respective countries.
8. FINANCIAL AND SAFETY ARRANGEMENTS
a) Unless otherwise indicated in this IA or agreed to in writing by the Parties, both Parties will be
responsible for their own expenses and costs incurred as a result of this Project in their respective
countries or unless otherwise mentioned in this IA.
b) Unless otherwise mutually agreed upon in writing, each Parly will be responsible for all the
travel and accommodation expenses of their respective personnel.
c) Each Party will continue to pay the salary of their Project scientists for the duration of the visit,
if any to other party’s country or visiting any other relevant country for the Project.
d) Medical expenses will be the responsibility of cach Party or their personnel, unless otherwise
mutually agreed or mentioned in this IA.
9, INTELLECTUAL PROPERTY
a) The Parties will retain ownership of their existing Intellectual Property (IP) that they bring to
the Project. IP arising out of the Project or resulting from activities conducted under this [A
will be the joint property of both Parties subject to mutual conversations and agreements unless
otherwise consented to by the Parties in writing.
b) For the purpose of this Agreement "Intellectual Property" shall mean the subject matter listed
in Article-I of the Agreement on Trade-related Aspects of Intellectual Property Rights (TRIPS)
which covers all categories of intellectual property that are subject of Sections 1 through 7 of
Part II of the TRIPS Agreement.
c) The Parties agree in principle to share the data derived from laboratory investigations under the
Project in accordance with the data policy and the best practices of each Party.
d) Procedures to archive and use the data will be coordinated and identified by consultation
between the Parties.
ce) Both Parties will ensure appropriate protection of IPRS generated from cooperation pursuant
to MoU, consistent with their respective laws, rules and regulations and multilateral treaties to
which countries of both Parties are party to.
re10. PUBLICATION/COMMUNICATIONS
Publications and public communications related to the Project will be made in a spirit of
collaboration and scientific courtesy, with consultation and participation by both Parties. All
publications and public communications relating to the Project will acknowledge the contribution
of CNR-IRPI and GSI in an appropriate manner.
The use of the name, logo and/or official emblem of the Parties on any publication, document
and/or paper will require prior permission of both the Parties. It may however be ensured that the
official emblem and logo is not misused.
11. TITLE TO PROPERTY
Any property or equipment of whatever nature or kind furnished by any Party in connection with
laboratory work under this Project is and will remain the property of the Party furnishing such
property or equipment, unless otherwise agreed to in writing by the Parties.
12. INDEMNIFICATION AND LIABILITY
a) The products/services provided by the Parties are provided on an "as is" basis and neither Party
makes any guarantees, representations or warranties respecting these products/services, either
expressed or implied, arising by law or otherwise, including but not limited to, effectiveness,
completeness, accuracy, or fitness for a particular purpose.
b) Neither Party will be liable in any way for loss of profits or contracts, or any other consequential
loss of any kind relating to the Project.
c) Nothing in this IA is intended to exclude or restrict cither Party’s liability of in respect of death or
personal injury caused by that Party’s negligence.
13. DISPUTE RESOLUTION
Any disputes regarding the interpretation or implementation of this IA will be resolved only by
consultation between the Partics and will not be referred to any other third party for settlement.
14. DURATION AND TIMING
This IA is to become effective on the date on which the last signature is appended and will remain
so for an initial period of five years. It may be amended or extended at any time with the mutual
written consent of the Parties. It may be terminated immediately upon the written consent of both
Parties or by cither Party upon nincty (90) days written notice to the other Party. The tentative work
components and time schedule is given below.

Each Party will immediately, upon the expiration or early termination of this 1A, return the other
Party’s papers, materials, or other property held for the purpose of carrying out the Project.
15. RESPONSIBLE AUTHORITIES AND EFFECTIVE DATE
This LA becomes effective upon the signing below by the Parties designated responsible
authorities.
