QUESTION
2599. Shri Praveen Khandelwal:
Will the Minister of CORPORATE AFFAIRS
be pleased to state:
(a) the key compliance and enforcement changes proposed under the
Companies (Amendment) Bill, 2025, particularly for Micro, Small and
Medium Enterprises (MSMEs) and small companies;
(b) whether the Government has undertaken an impact assessment on
compliance cost, adjudication capacity and timelines for
compounding/adjudication, if so, the details thereof; and
(c) the timeline for notifying rules and strengthening field-level
adjudication to avoid forum-shopping and inconsistent penalties?
ANSWER
THE MINISTER OF STATE IN THE MINISTRY OF CORPORATE AFAIRS
AND MINISTER OF STATE IN THE MINISTRY OF ROAD, TRANSPORT AND
HIGHWAYS

(a): Pursuant to recommendations of Company Law Committee (2022)
and suggestions received from relevant stakeholders, amendments
related to small companies in Companies Act, 2013 are under
consideration.
(b): No such assessment has been done by Ministry as yet.
(c): The Companies (Adjudication of Penalties) Rules, 2014 were
amended, effective from 16.09.2024, to mandate that adjudication
proceedings before the Registrar of Companies (ROCs) while levying the
penalties shall take place through e-adjudication platform only. This has
resulted in ensuring that such penalties take place in a time-bound,
consistent and uniform manner.
