Executive Summary & Key Takeaways

Executive Summary: This circular from the Reserve Bank of India addresses observed violations of the Non-Banking Financial Company Peer-to-Peer (NBFC-P2P) Lending Platform Directions of 2017. It clarifies and modifies certain provisions to ensure proper implementation. Most amendments are effective immediately, except for item I(f)(ii) of the Annex, which takes effect in ninety days from August 16, 2024. Key Points / Main Content: Credit Risk and Guarantees: * NBFC-P2Ps cannot provide or arrange any credit enhancement or credit guarantees and must not assume any credit risk. Losses must be borne by lenders, with adequate disclosures. Cross-Selling: * NBFC-P2Ps can only cross-sell loan-specific insurance products, excluding those that act as credit enhancement or guarantees. Lender Exposure: * The aggregate exposure of a lender across all P2P platforms is capped at ₹50,00,000, consistent with their net worth. Lenders investing over ₹10,00,000 must provide a Chartered Accountant's certificate confirming a minimum net worth of ₹50,00,000. Matching Lenders and Borrowers: * NBFC-P2Ps must have a Board-approved policy for equitably and non-discriminatorily mapping lenders with borrowers. Loans can only be disbursed after individual lenders and borrowers have been matched as per the board-approved policy and all participants have signed the loan contract. Fund Transfer Mechanism: * Fund transfers must occur through escrow accounts maintained by a bank-promoted trustee. Two accounts are required: one for lenders' funds pending disbursal and another for borrower collections. Funds from the Lenders Escrow Account shall only be disbursed to the specific borrowers bank account after ensuring compliance to the paragraph 8(3) of these directions. The borrower shall transfer the amount towards repayment of loan from his bank account to the Borrowers Escrow Account, from where the funds shall only be transferred to the respective lenders bank account. Funds from Lenders Escrow Account shall not be used for repayment of loans and funds from Borrowers Escrow Account shall not be used for disbursement of loans. Cash transactions are strictly prohibited. Funds in escrow cannot remain for more than T+1 day (T being the date of receipt). Disclosures: * NBFC-P2Ps must disclose details about borrowers to lenders, including personal identity (with consent), required amount, interest rate, and credit score. They must also publicly disclose portfolio performance, including NPAs, on a monthly basis, segregated by age, along with all losses borne by lenders. Lender Declaration: * NBFC-P2Ps must obtain a declaration from lenders stating they understand the risks and that the platform does not assure the return of principal or payment of interest, with a likelihood of loss of entire principal in case of default. The platform must not promote P2P lending as an investment product with assured returns or liquidity options. Outsourcing: * NBFC-P2Ps outsourcing financial services cannot outsource core management functions like Internal Audit, Strategic and Compliance functions, and decision-making functions such as determining compliance with KYC norms. Within a group conglomerate, these functions can be outsourced subject to compliance. New Provisions: * NBFC-P2Ps cannot deploy lenders' funds in any manner other than specified. * NBFC-P2Ps cannot use funds from one lender to replace another lender. * Pricing policies must be objective, with fees disclosed upfront as a fixed amount or proportion of the principal, not dependent on repayment. * Matching participants within a closed user group is prohibited. * NBFC-P2Ps must prominently display their registered name and brand name in all customer interfaces. * The platform must display a caveat stating it is a registered P2P lending platform, and the Reserve Bank does not accept responsibility for statements or representations made by the NBFC-P2P or provide assurance for loan repayment. Impact Analysis: NBFC-P2P Lending Platforms: * Impact: Platforms must adjust their practices to comply with the clarified and modified provisions, especially regarding fund transfers, credit risk, disclosures, and outsourcing. * Action Required: Review and amend policies, procedures, and systems to align with the new directives. Ensure proper disclosures and declarations are obtained. Lenders: * Impact: Lenders are better informed about the risks involved in P2P lending and have a limit on their exposure across platforms. * Action Required: Understand the risks, provide necessary declarations, and ensure investments are within the stipulated limits and consistent with their net worth. Borrowers: * Impact: Borrowers are part of the new matching criteria to ensure loans are disbursed as per the board-approved policy. * Action Required: Understand the terms of the loan contract. Trustees: * Impact: Trustees operating the Escrow accounts are now required to be mandatorily promoted by a bank. * Action Required: Operate the escrow accounts for transfer of funds based on the instructions received from the lenders and borrowers via platform or otherwise.

The Directions envisaged the Non-Banking Financial Company – Peer to Peer Lending Platform (NBFC-P2P Lending Platform) to act as an intermediary providing online marketplace / platform to the participants involved in peer to peer lending. Accordingly, the Directions had laid down clear guidelines regarding various aspects of functioning of NBFC-P2P Lending Platforms. However, it has been observed that some of these platforms have adopted certain practices which are violative of the said Directions. Such practices include, among others, violation of the prescribed funds transfer mechanism, promoting peer to peer lending as an investment product with features like tenure linked assured minimum returns, providing liquidity options and at times acting like deposit takers and lenders instead of being a platform. Such violations, when observed, have been dealt with bilaterally by the Reserve Bank of India for remediation. 3. In view of the above, it has been decided to elaborate and clarify certain provisions with some modifications for proper implementation of the Directions. The amended provisions of the Directions are enclosed in the Annex to this circular. 4.
