L.-33004/99 xxxGIDHxxx सससीीी...जजजीीी...---डडडीीी...एएएलललxx...x---GअअअID...---E222x000xx000 555222000222222---222333555888999888 CCCGGG---DDDLLL---EEE---222000000555222000222222---222333555888999888 ऄसाधारण EXTRAORDINARY भाग III—खण् ड 4 PART III—Section 4 प्राजधकार स ेप्रकाजित PUBLISHED BY AUTHORITY स.ं 267] नइ ददल्ली, बृहस्ट्प जतिार, मइ 19, 2022/ििै ाख 29, 1944 No. 267] NEW DELHI, THURSDAY, MAY 19, 2022/VAISAKHA 29, 1944 केन्द्रीय जिद्यतु जिजनयामक अयोग ऄजधसचू ना नइ ददल्ली, 11 मइ, 2022 ओिर दी कॉईंटर (ओटीसी) प्लटे फॉम मकी स्ट्थापना और प्रचालन हते ुपजं ीकरण एि ंअिदे न दाजखल करन ेके जलए ददिाजनदेि सख्ं या.एल-1/257/2020(पीएमअर-3)/केजिजिअ.—पररचय अयोग न े 15 फरिरी, 2021 को केंरीय जिद्युत जिजनयामक अयोग (पािर बाजार जिजनयम) 2021 को ऄजधसूजचत दकया, जो 15 ऄगस्ट्त, 2021 से प्रभािी हुअ। पीएमअर 2021 का भाग-6 ओिर द काईंटर (ओटीसी) प्लेटफॉमम से संबंजधत ईपबंधों को जिजनर्ददष्ट करता है। पीएमअर 2021 के जिजनयम 44 के खंड (1) में अयोग द्वारा ओटीसी प्लेटफॉमम की स्ट्थापना और प्रचालन के जलए पंजीकरण और अिेदन दाजखल करने हते ु ददिाजनदेिों को ऄजधसूजचत दकया जाना ऄपेजित ह।ै सुसगंत ईपबधं जनम्नानुसार ह:ै "44 (1) ओटीसी प्लेटफॉमम की स्ट्थापना और प्रचालन के जलए पंजीकरण प्रदान दकए जान ेहते ुअिेदन, पंजीकरण और अिेदन दाजखल करन ेके जलए यथा ऄजधसूजचत ददिाजनदिे ों के ऄनुसार अयोग की िेबसाआट पर ऑनलाआन दाजखल दकया जाएगा।” पीएमअर 2021 के पूिोक्त ईपबंधों के ऄनुसरण म,ें अयोग जनम्नजलजखत ददिाजनदेि बनाता ह:ै 3373 GI/2022 (1)2 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC. 4] 1. िीर्कम और प्रयोज्यता 1.1 आन ददिाजनदेिों को "ओिर दी काईंटर (ओटीसी) प्लेटफॉम,म 2022 की स्ट्थापना और प्रचालन के जलए पंजीकरण और अिेदन दाजखल करन े के जलए ददिाजनदिे " कहा जाएगा। 1.2 ये ददिाजनदेि िासकीय राजपत्र में ईनकी ऄजधसूचना की तारीख से प्रभािी होंगे। 1.3 ये ददिाजनदेि ओटीसी प्लेटफॉमम, ओटीसी प्लेटफॉम म प्रचालक और ओटीसी प्लेटफॉमम पर सहभाजगयों पर लाग ू होंगे। 2. ददिाजनदेिों का ित्रे ये ददिाजनदेि िणनम करत े ह:ैं (क) पात्रता मानदंड; (ख) ओटीसी प्लेटफॉमम की स्ट्थापना और प्रचालन के जलए अिेदन दाजखल करने और पंजीकरण प्रदान करन े की दियाजिजध; (ग) प्रचालन और जोजखम प्रबंधन ढांचा; और (घ) ओटीसी प्लेटफॉमम द्वारा सचू ना प्रस्ट्ततु करना। 3. पररभार्ाएँ और व्याख्या 3.1 आन ददिाजनदेिों म,ें जब तक दक संदभम से ऄन्द्यथा ऄपेजित न हो: क) "ऄजधजनयम" से समय-समय पर यथा सिं ोजधत जिद्युत ऄजधजनयम, 2003 (2003 का 36) ऄजभप्रेत ह;ै ख) "कारोबार जनयमों" से ओटीसी प्लेटफॉमम के कारोबार जनयम ऄजभप्रेत ह;ैं ग) "अयोग" से ऄजधजनयम की धारा 76 के ऄधीन गरित केंरीय जिद्युत जिजनयामक अयोग ऄजभप्रते ह;ै घ) "जनिल माजलयत" से (i) संजचत हाजनयों का सकल मल्ू य, (ii) बट्टे खाते नहीं डाल े गए अस्ट्थजगत व्यय (जिजिध व्यय को छोड़कर), (iii) सहयोजगयों को ऋण एि ं ऄजिम, और (iv) सहयोजगयों म ें दकए गए जनिेि द्वारा घटाए गए प्रदत्त आदिटी िेयर पूंजी और ऄजनिायम रूप से संपररितमनीय ऄजधमानी िेयर और फ्री ररजिम (पुनमल्ूम यांकन तथा ऄिियण के राआट बैक से सृजजत ररजिम को छोड़कर) का सकल मूल्य ऄजभप्रेत ह;ै ण) "ओिर द काईंटर (ओटीसी) प्लटे फॉम"म , जिद्युत के िेताओं और जििेताओं के बीच सूचना के अदान-प्रदान के जलए आलेक्ट्रॉजनक प्लेटफॉमम ह;ै च) "ओिर द काईंटर (ओटीसी) प्लटे फॉम म प्रचालक" से आन ददिाजनदेिों के साथ परित पीएमअर 2021 के ऄधीन ओटीसी प्लेटफॉमम की स्ट्थापना और प्रचालन के जलए पजं ीकृत आकाइ ऄजभप्रेत है; छ) "फीस का सदं ाय जिजनयम" से समय-समय पर यथा संिोजधत केंरीय जिद्युत जिजनयामक अयोग (फीस का संदाय) जिजनयम, 2012 या ईसके बाद पुनराजधजनयमन ऄजभप्रेत ह;ै ज) "जिद्यतु बाजार जिजनयम" या "पीएमअर 2021" से समय-समय पर यथा संिोजधत केंरीय जिद्युत जिजनयामक अयोग (जिद्युत बाजार) जिजनयम, 2021 ऄजभप्रेत ह;ै झ) "सापिे " का िही ऄथ महोगा जो कंपनी ऄजधजनयम, 2013 में आसे जनर्ददष्ट ह।ै 3.2 ईपयुमक्त के ऄलािा और जब तक संदभम के प्रजतकूल न हो या यदद जिर्य-िस्ट्तु की ऄन्द्यथा अिश्यकता हो, तो आन ददिाजनदेिों में प्रयुक्त िब्दों और ऄजभव्यजक्तयों को पररभाजर्त नहीं दकया गया है, लेदकन ऄजधजनयम या पीएमअर 2021 या अयोग द्वारा आसके तहत बनाए गए ऄन्द्य जनयमों में पररभाजर्त दकया गया ह।ै ईन्द्ह ें ऄजधजनयम या पीएमअर 2021 या अयोग द्वारा बनाए गए ऐसे ऄन्द्य जनयमों में जनर्ददष्ट दकया गया ह।ै 4. ओटीसी प्लटे फॉम मके ईद्देश्य पीएमअर 2021 के जिजनयम 41 के ऄधीन यथा ईपबंजधत ओटीसी प्लेटफॉमम के ईद्देश्य जनम्नजलजखत होंगे: (i) जिद्युत के संभाजित िेता और जििेता की सूचना के साथ आलेक्ट्रॉजनक मंच प्रदान करना;[भाग III—खण् ड 4] भारत का राजपत्र : ऄसाधारण 3 (ii) िेताओं और जििेताओं से संबंजधत डाटा का जनधान सिं ह बनाए रखना और बाजार सहभाजगयों को ऐसा ऐजतहाजसक डाटा प्रदान करना; और (iii) बाजार सहभाजगयों को ईन्नत डाटा जिश्लेर्ण ईपकरणों के रूप म ेंऐसी सेिाएं प्रदान करना। 5. ओटीसी प्लटे फॉम मके प्रचालन के जलए पजं ीकरण की अिश्यकता कोइ भी आकाइ ओटीसी प्लेटफॉमम का प्रचालन तब तक नहीं करेगी जब तक दक आन ददिाजनदेिों के साथ परित पीएमअर 2021 के ऄधीन अयोग द्वारा ऐसे प्लेटफॉमम को स्ट्थाजपत करन े और प्रचाजलत करने के जलए पंजीकरण की ऄनुमजत नहीं दी जाती। 6. ओटीसी प्लटे फॉम मके पजं ीकरण के जलए पात्रता मानदडं ओटीसी प्लेटफॉम म की स्ट्थापना और प्रचालन के जलए पंजीकरण ददए जाने की मांग करने िाल े अिेदक स े जनम्नजलजखत मानदंडों को पूरा करना ऄपेजित होगा: 6.1 सामान्द्य मानदंड (i) अिेदक को, कंपनी ऄजधजनयम, 2013 के ऄधीन भारत म ेंजनगजमत कंपनी होना चाजहए। (ii) ओटीसी प्लेटफॉमम प्रचालक के रूप में पंजीकरण मागं न े िाली अिेदक कंपनी म ें ऄजनिाजसयों द्वारा िेयरधाररता, यदद कोइ हो, सभी लाग ूकानूनों और जिजनयमों के ऄनुरूप होगी। (iii) अिेदक कंपनी के पास जििेर्तः जिद्युत िेत्र के जलए प्रौद्योजगकी सेिाओं या ईत्पादों के प्रचालन या जिकास म ें कम से कम पांच िर्ों के ऄनुभि धारक प्रमुख प्रबंधकीय कमी होंगे। स्ट्पष्टीकरण: आस खंड के ईद्देश्य के जलए िाक्ट्यांि 'प्रमुख प्रबंधकीय कमी' का िही ऄथ म होगा जो आसे कंपनी ऄजधजनयम, 2013 में आसे जनर्ददष्ट दकया गया ह।ै (iv) जनम्नजलजखत आकाआयां ओटीसी प्लेटफॉमम (नकारात्मक सूची) की स्ट्थापना और प्रचालन के जलए अिेदन करन े हते ु पात्र नहीं होंगी: (क) पािर एक्ट्सचेंज या ईसका कोइ सहयोगी; (ख) व्यापार ऄनुज्ञजिधारी या ईसका कोइ सहयोगी; और (ग) जिड स े जड़ु ी आकाआया ं जसै े ईत्पादन कंपजनयां, पारेर्ण ऄनुज्ञजिधारक, जितरण ऄनज्ञु जिधारक, जनबामध पहुचं ईपभोक्ता या ईनकी ओर से कायम करने िाला कोइ व्यजक्त, या ईनका कोइ सहयोगी। 6.2 तकनीकी मानदंड (i) अिेदक ऄपनी प्रणाली, डाटा और नेटिकम के संबंध में ई्च स्ट्तर की जि्वससनीयता, ईपलब्धता, मापनीयता और सुरिा के साथ सिक्त प्रौद्योजगकी ऄिसंरचना का स्ट्िाजमत्ि और रखरखाि करेगा, जो आसके प्रचालन का समथनम करने और संबंजधत जोजखमों को संभालने के जलए ईपयुक्त होगा। (ii) अिेदक की प्रौद्योजगकी ऄिसंरचना, िास्ट्तजिक समय के अधार पर या िास्ट्तजिक समय के समीप के अधार पर सूचनाओं के अदान-प्रदान में सिम होगी। (iii) अिेदक, बोड म के ऄनुमोदन से साआबर हमलों और अिंकाओं स े प्रणाली, नेटिकम और डाटाबेस को होने िाल े जोजखम को संभालन े के जलए साआबर सुरिा और साआबर रेजसजलयन्द्स ढांचा तैयार और कायामजन्द्ित करेगा और आस े4 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC. 4] सूचना हते ु अयोग को प्रस्ट्ततु करेगा। अइटी जसस्ट्टम का सुरिा ऑजडट, आलेक्ट्रॉजनकी और सूचना प्रौद्योजगकी मंत्रालय के मानदडं ों के ऄनुसार दकया जाएगा। 6.3 जित्तीय मानदंड (i) पीएमअर 2021 के जिजनयम 43 के खंड (1) के ईप-खंड (क) के ऄनुसार, अिेदक की न्द्यनू तम जनिल माजलयत, पंजीकरण प्रदान दकए जान े हते ु अिेदन दाजखल करन े की तारीख से तुरंत 30 ददन पूिम के ऄंदर दकसी भी तारीख को 1 (एक) करोड़ रुपये होगी। (ii) कंपनी या ईसके दकसी सहयोजगयों, या भागीदारों, या प्रितमकों, या जनदेिकों को ददिाजलया घोजर्त नहीं दकया गया ह।ै 7. ओटीसी प्लटे फॉम मकी स्ट्थापना और प्रचालन के जलए पजं ीकरण हते ुअिदे न पत्र और दस्ट्तािजे अिेदन, आन ददिाजनदेिों के साथ सलं ग्न प्रपत्र-I के ऄनुसार और ईसम ें ईजल्लजखत दस्ट्तािेजों के साथ ऑनलाआन दाजखल दकया जाएगा। 8. अिदे न दाजखल करन ेकी दियाजिजध 8.1 ओटीसी प्लेटफॉमम को स्ट्थाजपत करने और प्रचाजलत करने के जलए पंजीकरण ददए जाने हते ु अिेदन, फीस का संदाय जिजनयमों में यथा जिजनर्ददष्ट अिेदन फीस के साथ अयोग के इ-फाआललग पोटलम के माध्यम से ऑनलाआन (फॉम-म I) दाजखल दकया जाएगा। 8.2 अिेदक, फॉमम-।। के ऄनुसार प्रस्ट्ताजित ओटीसी प्लेटफॉमम के जििरणों के साथ अिेदन ऄपनी िेबसाआट पर प्रकाजित करेगा। 8.3 अिेदक, प्राि अपजत्तयों एिं सझु ािों पर ऄपना ईत्तर अयोग के समि प्रस्ट्तुत करेगा। 9. पजं ीकरण प्रदान दकया जाना 9.1 अयोग, प्रस्ट्ताि पर जिचार करने के बाद और यथा अिश्यक जांच करन े के बाद, या तो ओटीसी प्लेटफॉमम की स्ट्थापना और प्रचालन के जलए समुजचत समझी जान े िाली ितों के ऄध्यधीन पंजीकरण (फॉमम- III के ऄनुसार) प्रदान कर सकता ह ैया अिेदक के अिेदन को ऄस्ट्िीकार कर सकता है: परंत ु यह दक अयोग, अिेदन को ऄस्ट्िीकार करने स े पहल,े अिदे क को सुनिाइ का ईजचत ऄिसर दगे ा। 9.2 पीएमअर 2021 के जिजनयम 44 के खंड (3) के ऄनुसार ओटीसी प्लेटफॉमम का पंजीकरण, पंजीकरण प्रदान करन े की तारीख से पांच (5) िर्ों की ऄिजध के जलए तब तक जारी रहगे ा जब तक दक आसस े पूिम ऐसा पंजीकरण प्रजतसंहृत या रद्द नहीं दकया जाता ह।ै 9.3 दकसी आकाइ को ओटीसी प्लेटफॉमम प्रचाजलत करन े के जलए ददया गया पंजीकरण हस्ट्तांतरणीय नहीं ह।ै 9.4 अयोग, ओटीसी प्लेटफॉम म प्रचालक द्वारा दाजखल दकए गए अिेदन पर, और यथा अिश्यक जांच करन े के बाद, एक समय पर 5 िर्ों की ऄजतररक्त ऄिजध के जलए पंजीकरण निीनीकृत कर सकता ह।ै 10. िार्षर्क पजं ीकरण प्रभार 10.1 ओटीसी प्लेटफॉमम प्रचालक, फीस का संदाय जिजनयमों में यथा जिजनर्ददष्ट िार्षर्क पंजीकरण प्रभार का भुगतान करेगा। 10.2 िार्षर्क पंजीकरण प्रभार प्रत्येक िर्म की 30 ऄप्रैल तक देय होगा।[भाग III—खण् ड 4] भारत का राजपत्र : ऄसाधारण 5 11. पजं ीकरण की ित ें प्रदान दकया गया पंजीकरण, ऄन्द्य बातों के साथ-साथ, जनम्नजलजखत ितों के ऄध्यधीन होगा, ऄथामत:् (i) ओटीसी प्लेटफॉम म प्रचालक, ऄजधजनयम, पीएमअर 2021, आन ददिाजनदिे ों और ऄन्द्य लागू काननू ों के ईपबंधों का पालन करेगा; और (ii) ओटीसी प्लेटफॉम म प्रचालक द्वारा अयोग को पूिम म ें प्रस्ट्ततु की गइ सूचना म ें जब भी कोइ भौजतक पररितमन होगा, तो ओटीसी प्लेटफॉम मप्रचालक आसकी सूचना अयोग को जलजखत म ेंदेगा। 12. प्रचालन ढाचं ा ओटीसी प्लेटफॉमम प्रचालक यह सुजनजित करेगा दक ओटीसी प्लेटफॉमम ऄपन े व्यािसाजयक जनयमों के ऄनुसार प्रचाजलत हो। ओटीसी प्लेटफॉमम प्रचालक जनम्नजलजखत अिश्यकताओं का पालन करेगा: (i) सहभाजगता: ओटीसी प्लेटफॉमम प्रचालक: (क) ऄपन ेओटीसी प्लेटफॉमम पर सहभाजगता के जलए ईद्देश्यपणू म, जनष्पि और पारदिी मानदडं रखें। (ख) सहभाजगयों के ऑन-बोर्डडग के समय ईजचत पररश्रम करें और ईनके बारे में सभी सुसगं त जानकारी बनाए रखें। (ग) जिजधक आकाइ पहचानकता म (एलइअइ) या स्ट्थायी खाता संख्या (पैन) का ईपयोग करके जिजिष्ट रूप से ऄपन े ओटीसी प्लेटफॉमम पर सहभाजगयों की पहचान करें। (ii) सूचना तक पहुचं : ओटीसी प्लेटफॉमम प्रचालक जनष्पि और गरै -भेदभािपूणम अधार पर सभी बाजार सहभाजगयों को िेताओं और जििेताओं स े संबंजधत ऐजतहाजसक डाटा ईपलब्ध कराएगा और ईन्नत डाटा जिश्लेर्ण ईपकरण के रूप म ेंऐसी सेिाएं प्रदान करेगा। 13. जोजखम प्रबधं न ढाचं ा 13.1 ओटीसी प्लेटफॉमम प्रचालक ऄपने प्रचालन के सभी पहलओंु को िाजमल करते हुए व्यापक जोजखम प्रबंधन ढांचा तैयार करेगा। यह सुजनजित करेगा दक आसके प्रचालन स े जुड़े जोजखमों को िीक से पहचाना जाए और जििेकपूण म तरीके से प्रबंजधत दकया जाए। 13.2 ओटीसी प्लेटफॉमम प्रचालक: (क) ऄपने ओटीसी प्लेटफॉमम पर सहभाजगयों के जलए ऄजभगम जनयंत्रण सुजनजित करें और ऄपने ओटीसी प्लेटफॉमम पर ऄनजधकृत पहुचं को रोकें। (ख) जहां जहतों के टकराि की संभािना ह,ै िहां जित्तीय या बुजनयादी ढांचा सेिाओं में संलग्न न हों। (ग) सुजनजित करें दक ओटीसी प्लेटफॉमम का संचालन सदैि पंजीकरण की ितों और जिजधक और जिजनयामक अिश्यकताओं के ऄनुपालन म ेंह।ै 13.3 ओटीसी प्लेटफॉमम ऄनुबंधों के व्यिस्ट्थापन, जनष्पादन, जनकासी या जनपटान म ेंसंलग्न नहीं होगा। 13.4 ओटीसी प्लेटफॉमम दकसी भी प्रकार से सहभाजगयों के जनणमय लने े को प्रभाजित दकए जबना तटस्ट्थता बनाए रखेगा। 14. जििाद समाधान ओटीसी प्लेटफॉमम प्रचालक दकसी भी जििाद को दरू करने के जलए एक व्यिस्ट्था करेगा जो ईसके सदस्ट्यों के बीच ईत्पन्न हो सकता ह ैया जजसके ईत्पन्न होने की संभािना ह।ै6 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC. 4] 15. जनगरानी ओटीसी प्लेटफॉमम प्रचालक यह सुजनजित करने के जलए प्रणाली और जनयंत्रण कायामजन्द्ित करेगा दक सहभागी जनष्पिता और ऄखंडता के साथ सहभाजगता करें और िास्ट्तजिक समय के साथ-साथ कायोत्तर अधार पर गजतजिजधयों की जनगरानी करें। 16. पारदर्षिता ओटीसी प्लेटफॉम म प्रचालक संबजं धत पिों या समूह एजेंजसयों की सहभाजगता स े ईत्पन्न होन े िाले जहतों के टकराि, यदद कोइ हो, का खुलासा अयोग को करेगा। 17. डाटा का सरं िण, पहुचं और ररपोर्टटग 17.1 ओटीसी प्लेटफॉम म प्रचालक पर गजतजिजधयों स े संबंजधत सभी डाटा कम से कम 10 िर्ों के जलए असानी स े पुनप्रामि करने योग्य मीजडया म ें बनाए रखा जाएगा। डाटा के भंडारण के जलए न्द्यूनतम अिश्यकता पर प्रजतकूल प्रभाि डाल े जबना, अयोग या भारतीय कानूनों या जिजनयमों के ऄधीन यथा ऄपेजित दकसी ऄन्द्य प्राजधकरण द्वारा दकसी भी जांच के जलए मागं े गए डाटा को जांच पूरी होन े की तारीख से तीन साल तक बनाए रखा जाएगा। 17.2 ओटीसी प्लेटफामम ऑपरेटर जनम्नजलजखत काय म करेगा i. फॉमेट में और टाआमफ्रेम के ऄंदर जैसा भी, अयोग द्वारा ऄपेजित ह ैअयोग द्वारा यथाऄपेजित कोइ डाटा या सूचना ईपलबध करिाना। ii. संबंजधत जित्तीय िर्म के ऄंत के बाद नौ महीने से ऄजधक की ऄिजध के जलए नहीं, लेखों की सभी ऄनुसूजचयों और नोट सजहत जनदिे क की ररपोटम, लेखा परीिक ररपोटम, तुलनपत्र और लाभ एिं हाजन खाता सजहत िार्षर्क ररपोटों की प्रजतयां प्रस्ट्तुत करना; Part-6 of PMR 2021 specifies the provisions relating to the Over the Counter (OTC) Platform. Clause (1) of Regulation 44 of PMR 2021 requires the Commission to notify the guidelines for registration and filing application for establishing and operating OTC Platform. The relevant provision reads as under:12 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC. 4] “44 (1) Application for grant of registration to establish and operate OTC Platform shall be filed online on the website of the Commission, in accordance with the guidelines for registration and filing application as may be notified.” In pursuance of the aforesaid provisions of PMR 2021, the Commission makes the following Guidelines: 1. Title and Applicability 1.1 These Guidelines may be called “Guidelines for Registration and Filing Application for Establishing and Operating Over the Counter (OTC) Platform, 2022”. 1.2 These Guidelines shall come into effect from the date of their notification in the official gazette. 1.3 These Guidelines shall apply to the OTC Platform, the OTC Platform Operator and participants on OTC Platform. 2. Scope of the Guidelines These Guidelines seek to describe: (a) eligibility criteria; (b) procedure for filing application and grant of registration for establishing and operating OTC Platform; (c) operational and risk management framework; and (d) submission of information by the OTC Platform. 3. Definitions and Interpretation 3.1 In these Guidelines, unless the context otherwise requires: a) “Act” means the Electricity Act, 2003 (36 of 2003), as amended from time to time; b) “Business Rules” means the Business rules of the OTC Platform; c) “Commission” means the Central Electricity Regulatory Commission constituted under Section 76 of the Act; d) "Net worth” means aggregate value of the paid-up equity share capital and compulsorily convertible preferential shares and free reserves (excluding reserves created out of revaluation and write back of depreciation) reduced by (i) the aggregate value of accumulated losses, (ii) deferred expenditure (including miscellaneous expenses) not written off, (iii) loans and advances to the Associates, and (iv) investments made in the Associates; e) “Over the Counter (OTC) Platform” is an electronic platform for exchange of information amongst the buyers and sellers of electricity; f) “Over the Counter (OTC) Platform Operator” means an entity registered to establish and operate the OTC Platform under PMR 2021 read with these Guidelines; g) “Payment of Fees Regulations” means the Central Electricity Regulatory Commission (Payment of Fees) Regulations, 2012, as amended from time to time or subsequent re- enactment thereof; h) “Power Market Regulations” or “PMR 2021” means the Central Electricity Regulatory Commission (Power Market) Regulations, 2021, as amended from time to time; and i) “Relative” shall have the same meaning as assigned to it in the Companies Act, 2013. 3.2 Save as aforesaid and unless repugnant to the context or if the subject-matter otherwise requires, words and expressions used in these Guidelines and not defined, but defined in the Act or PMR 2021 or other regulations made thereunder by the Commission shall have the meaning assigned to them in the Act or PMR 2021 or such other regulations made by the Commission. 4. Objectives of OTC Platform The objectives of the OTC Platform as provided under Regulation 41 of PMR 2021 shall be to:[भाग III—खण् ड 4] भारत का राजपत्र : ऄसाधारण 13 (i) provide an electronic platform with the information of potential buyer and seller of electricity; (ii) maintain a repository of data related to buyers and sellers and provide such historical data to market participants; and (iii) provide such services as advanced data analysis tools to market participants. 5. Requirement of Registration for operating OTC Platform No entity shall operate an OTC Platform unless it has been granted registration to establish and operate such platform by the Commission under PMR 2021 read with these Guidelines. 6. Eligibility Criteria for Registration of OTC Platform An applicant seeking grant of registration for establishing and operating an OTC Platform shall be required to fulfil the following criteria: 6.1 General Criteria (i) The applicant shall be a company incorporated in India under the Companies Act, 2013. (ii) Shareholding by non-residents, if any, in the applicant company seeking registration as an OTC Platform Operator shall conform to all applicable laws and regulations. (iii) The applicant company shall have key managerial personnel with experience of at least five years in operating or developing technology services or products, preferably for power sector. Explanation: The expression „key managerial personnel‟ for the purpose of this clause shall have the same meaning as assigned to it in the Companies Act, 2013. (iv) The following entities shall not be eligible to make application for establishing and operating an OTC Platform (Negative List): (a) a power exchange or any of its associates; (b) trading licensee or any of its associates; and (c) grid connected entities such as generating companies, transmission licensees, distribution licensees, open access consumers or any person acting on their behalf, or any of their associates. 6.2 Technological criteria (i) The applicant shall own and maintain robust technology infrastructure with a high degree of reliability, availability, scalability, and security in respect of its systems, data and network, appropriate to support its operations and manage the associated risks. (ii) The applicant‟s technological infrastructure shall be capable of exchange of information on a real-time basis or near real-time basis. (iii) Applicant shall formulate and implement a cyber security and cyber resilience framework to manage risk to systems, networks and databases from cyber-attacks and threats with the approval of the Board and submit it to the Commission for information. Security audit of the IT systems shall be carried out as per norms of the Ministry of Electronics & Information Technology, Government of India.14 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC. 4] 6.3 Financial criteria (i) In terms of sub-clause (a) of clause (1) of Regulation 43 of PMR 2021, the minimum Net worth of the applicant shall be Rs.1 (one) crore as on any date falling within 30 days immediately preceding the date of filing the application for grant of registration. (ii) The Company or any of its Associates, or partners, or promoters, or Directors have not been declared insolvent. 7. Application Form and Documents for Registration to Establish and Operate an OTC Platform The application shall be filed online as per Form-I appended to these Guidelines along with documents mentioned therein. 8. Procedure for Filing Application 8.1 Application for grant of registration to establish and operate OTC Platform shall be filed online (Form-I) through e-filing portal of the Commission along with the application fee as may be specified in the Payment of Fee Regulations. 8.2 The applicant shall publish the application along with details of the proposed OTC platform on its website as per Form-II inviting public objections and suggestions up to a period of 30 days from the date of publication of such notice on the website. 8.3 The applicant shall submit before the Commission, its reply on the objections and suggestions received. 9. Grant of Registration 9.1 The Commission may, after consideration of the proposal, and making such inquiries as may be considered necessary, either grant registration (as per Form-III) subject to such conditions as deemed fit for establishing and operating an OTC platform or reject the application of the applicant: Provided that the Commission, before rejecting the application, shall give reasonable opportunity to the applicant of being heard. 9.2 In terms of clause (3) of Regulation 44 of PMR 2021, the registration of an OTC Platform shall continue to be in force for a period of five (5) years from the date of grant of registration unless such registration is revoked or cancelled earlier. 9.3 The registration granted to an entity to operate an OTC Platform is not transferrable. 9.4 The Commission may, on an application filed by the OTC Platform Operator, and after making such inquiries as may be necessary, renew registration for a further period of 5 years at a time. 10. Annual Registration Charge 10.1 An OTC Platform Operator shall pay annual registration charge as may be specified in the Payment of Fees Regulations. 10.2 The annual registration charge shall be payable by 30th April of every year. 11. Conditions of Registration The Registration granted shall, inter-alia, be subject to the following conditions, namely: (i) the OTC Platform Operator shall abide by the provisions of the Act, PMR 2021, these Guidelines and other applicable laws; and[भाग III—खण् ड 4] भारत का राजपत्र : ऄसाधारण 15 (ii) the OTC Platform Operator shall inform the Commission in writing, whenever there is any material change in the information already submitted by the OTC Platform Operator to the Commission. 12. Operating Framework The OTC Platform Operator shall ensure that the OTC Platform operates according to its Business Rules. The OTC Platform Operator shall adhere to the following requirements: (i) Participation: An OTC Platform Operator shall: (a) Have objective, fair and transparent criteria for participation on its OTC Platform. (b) Undertake due diligence at the time of on-boarding of participants and maintain all relevant information about them. (c) Identify participants on its OTC Platform uniquely using Legal Entity Identifier (LEI) or Permanent Account Number (PAN). (ii) Access to Information: An OTC Platform Operator shall make available historical data related to buyers and sellers and provide such services as advanced data analysis tools, to all market participants in a fair and non-discriminatory basis. 13. Risk Management Framework 13.1 An OTC Platform Operator shall put in place a comprehensive risk management framework covering all aspects of its operations. It shall ensure that the risks associated with its operations are identified properly and managed prudently. 13.2 An OTC Platform Operator shall: (a) Ensure access control for participants on its OTC Platform and prevent unauthorised access to its OTC Platform. (b) Not engage in financial or infrastructure services, where there is a likelihood of conflict of interest. (c) Ensure that operation of the OTC Platform is always in compliance with the conditions of registration and with legal and regulatory requirements. 13.3 The OTC Platform shall not engage in the negotiation, execution, clearance or settlement of the contracts. 13.4 The OTC Platform shall maintain neutrality without influencing the decision making of the participants in any manner. 14. Dispute resolution An OTC Platform Operator shall put in place an arrangement to address any dispute that may arise or are likely to arise between its members. 15. Surveillance An OTC Platform Operator shall implement systems and controls to ensure that participants participate with fairness and integrity and monitor the activities on a real time as well as post-facto basis. 16. Transparency An OTC Platform Operator shall disclose conflict of interest, if any, arising from participation of related parties or group agencies to the Commission.16 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC. 4] 17. Preservation, Access and Reporting of Data 17.1 All data relating to the activities on the OTC Platform Operator shall be maintained in easily retrievable media for at least 10 years. Without prejudice to the minimum requirement for storage of data, the data sought for any investigation by the Commission or any other authority as required under the Indian laws or regulations shall be maintained for three years from the date of completion of the investigation. 17.2 The OTC Platform Operator shall: (i) provide any data or information as required by Commission in the format and within the timeframe as may be required by the Commission; (ii) submit copies of Annual Reports including Directors‟ report, Auditors‟ report, Balance Sheet and Profit and Loss Account along with all the Schedules and notes to the accounts, not later than nine months after the close of the respective financial year; and (iii) inform the Commission of any event(s) resulting in disruption of activities or market abuse, if observed, without undue delay. 18. Revocation of Registration 18.1 The Commission may revoke the registration if the OTC Platform Operator is found to have violated the provisions of PMR 2021 or these Guidelines or any other rules or regulations or conditions of registration: Provided that the Commission shall before revoking the registration for OTC Platform give the OTC Platform Operator a reasonable opportunity of being heard. 18.2 In case of rejection of the application of renewal received from the existing operators or revocation of registration by the Commission, the OTC Platform Operator shall stop the OTC Platform operations within 90 days, unless the Commission has indicated any other specific date in the written communication to stop operations of the OTC Platform. 18.3 In case of revocation of registration of an OTC Platform Operator, the registration in original shall be surrendered to the Commission. (ii) The OTC Platform shall not at any time assign its registration, or transfer its business, or any part thereof, by sale, lease, exchange or otherwise without the prior approval of the Commission; (iii) Any agreement relating to any transaction referred to in sub-clause (1) and subclause (2) unless made with the approval of the Commission, shall be void. 4. The grant of this registration to the OTC Platform Operator shall not in any way hinder or restrict the right of the Commission to grant a registration to any other person for OTC Platform. The OTC Platform Operator shall not claim any exclusivity. 5. This registration shall commence on the date of its issue and unless revoked earlier, shall continue to be in force for a period of 5 (five) years. 6. The OTC Platform Operator shall not engage in the business of trading of electricity or operating a power exchange. 7. Unless otherwise specified by the Commission, the OTC Platform Operator shall pay annual registration charge as may be specified in the Payment of Fees Regulations.
