## Report on SEBI Forensic Auditor Empanelment Clarification
**1. Executive Summary:**
This report analyzes a communication from the Securities and Exchange Board of India (SEBI) regarding an article criticizing the empanelment process of forensic auditors. The communication serves as a clarification, disputing claims of arbitrariness and secrecy in the reduction of empanelled firms. The core purpose is to correct what SEBI perceives as factual inaccuracies in the article and reaffirm the transparency and objectivity of its empanelment process. Key findings include the clarification of the application process, the number of applications received, and the reasons for the current number of empanelled firms.
**2. Introduction:**
The purpose of this report is to provide an informative overview and analysis of a communication issued by SEBI concerning its process for empaneling forensic auditors. This analysis is based solely on the provided text of the communication, aiming to clarify the board's perspective in light of a critical article.
**3. Policy Overview:**
* **Nature:** This is not a new policy or an amendment to an existing policy, but a clarification issued in response to media reporting.
* **Core Objective(s):** The core objective, as inferred from the text, is to defend and clarify SEBI's forensic auditor empanelment process, specifically addressing allegations of arbitrariness, secrecy, and a drastic reduction in the number of firms. SEBI aims to demonstrate the transparency and objectivity of its process.
**4. Background and Rationale:**
The communication is a direct response to an article published in Business World which questioned the fairness and transparency of SEBI's forensic auditor empanelment process. The article highlighted the reduction in the number of empanelled firms and suggested this was done in a secretive and arbitrary manner. The rationale for this communication is to correct what SEBI views as inaccurate information and prevent any resulting damage to its reputation and credibility.
**5. Key Provisions / Changes:**
Since this is a clarification and not a new policy or amendment, there are no new provisions or changes. However, the communication does provide important details about the process:
* **Empanelment Process:** The process was conducted through the MSTC portal, with advertisements published on SEBI's website and in national/regional newspapers (The Times of India, Nav Bharat Times, and Navarashtra).
* **Application Timeline:** The initial application deadline was December 19, 2024, but a corrigendum extended it to January 5, 2025.
* **Application Outcome:** Out of 52 applications received, only 9 applicants met the eligibility criteria and were empanelled. The list was published on April 23, 2025.
* **Future Empanelment:** SEBI is considering additional empanelment of forensic auditors during the current financial year.
**6. Target Audience and Stakeholders:**
Based on the text, the primary target audience is the readership of Business World, who may have been influenced by the initial article. Secondary audiences include:
* **Forensic Audit Firms:** Existing firms and those interested in future empanelment.
* **Investors:** Those who rely on the integrity and effectiveness of SEBI's oversight.
* **The General Public:** To maintain confidence in the fairness of the financial system.
**7. Implementation Aspects (Inferred):**
* **Responsible Agency/Bodies:** SEBI's Communications Division is responsible for disseminating the clarification. The MSTC portal was used for the application process.
* **Timelines/Procedures:** The text specifies the dates of the advertisement, application deadlines, and the publication of the list of empanelled firms. The procedures involved advertising, receiving applications through a portal, and evaluating applications based on eligibility criteria.
* Regarding future empanelment, there are no dates available as SEBI is "considering additional empanelment of forensic auditors during this financial year."
**8. Expected Outcomes / Impact of Changes:**
The likely intended outcome of this clarification is to:
* **Correct Misinformation:** Provide accurate information to counter the article's claims and restore public trust in SEBI's processes.
* **Reassure Stakeholders:** Reassure forensic audit firms and investors that the empanelment process is fair, transparent, and based on objective criteria.
* **Encourage Future Applications:** Possibly encourage more qualified firms to apply for empanelment in the future.
**9. Conclusion:**
The SEBI communication is a response to criticism regarding its forensic auditor empanelment process. While not a new policy or amendment, it provides crucial details on the application process, eligibility criteria, and the rationale behind the current number of empanelled firms. By clarifying these aspects, SEBI aims to correct perceived inaccuracies, maintain its credibility, and reassure stakeholders of its commitment to transparent and objective regulatory practices. The significance lies in SEBI's proactive approach to addressing criticism and maintaining public confidence in its oversight functions.

Dear Sir,
‘Sub: Clarification
This is with reference to an article titled “SEBI’s Forensic Auditor Flip-Flop: A Betrayal
of Transparency and Accountability?”, written by Mr. Palak Shah, published in the
Businessworld dated May 25, 2025.
In the article, it is inter alia mentioned “in a move that reeks of arbitrariness and
secrecy, Securities and Exchange Board of India (SEB!) has drastically reduced its
panel of forensic auditors from 20 firms in 2022 to just nine in 2025, announced on
April 24, 2025.”
The writer has made the statements which are factually incorrect and does not reflect
the process of empanelment followed by SEBI. The process followed by SEBI for
empanelment of forensic auditors is available on SEBI website. Nonetheless, the
following is clarified:
1. Empanelment of forensic auditors was carried out through MSTC portal and the
advertisement for the same was published on SEBI website and in national and
regional newspapers viz, ‘The Times of Indiat (English edition), ‘Nav Bharat Times’
(Hindi edition) and ‘Navarashtra' (Marathi edition), respectively, under the Central
Bureau of Communication (CBC) mechanism on November 29, 2024 and the last
date for submission of applications was December 19, 2024, till 05:00 PM. Further,
a corrigendum was released on December 20, 2024 in the said matter and the
timeline for submission of applications was revised to January 05, 2025 till
05:00 PM.
2. In response to the aforesaid advertisement, 52 applications were received and
based on the information submitted by the said applicants, 9 applicants fulfilled
the eligibility criteria and hence were empanelied. The list of empanelled forensic
auditors was published on SEBI website on April 23, 2025.
3. It may be noted that various firms/ body corporate who were earlier empanelled
with SEBI as forensic auditors had not applied for the aforesaid empanelment.
