1. कोजवड-19 महामारी के बढ़त े प्रकोप को देखत े हुए िारीठरक दरू ी के मानदंडों का पालन ककया जाना चाजहए। कॉपोरेट मामलों के मंत्रालय द्वारा जारी ककए गए कदनांक 8 ऄप्रलै 2020 के पठरपत्र क्रमांक 14/2020, 13 ऄप्रलै 2020 के पठरपत्र क्रमांक 17/2020 तथा 5 मइ 2020 के पठरपत्र क्रमाकं 20/2020 2566 GI/2020 (1)2 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC. 4] (“एमसीए पठरपत्र”) और ईसके बाद भारतीय प्रजतभूजत एव ं जवजनमय बोडग द्वारा जारी ककए गए कदनांक 12 मइ 2020 के पठरपत्र क्रमांक सेबी/एचओ/सीएमडी1/सीअइअर/पी/2020/79 के ऄनसु ार इजीएम/ एजीएम स्ट्थल पर सदस्ट्यों का प्रत्यक्ष ईपजस्ट्थत होना जरूरी नहीं ह ै और वार्षिक महासभा (एजीएम) वीजडयो कान्फरेंससग ऄथवा ऄन्य अजडयो जवजुऄल माध्यम स े अयोजजत की जानी चाजहए। बैंक के जनदिे क बोडग द्वारा कापोरेट मामलों के मंत्रालय और सेबी द्वारा जारी ईपयुगक्त कदिा-जनदेिों का ऄनसु रण करने का जनणगय जलया गया ह।ै ऄतः सदस्ट्य अगामी वार्षिक महासभा म ें वीसी/ऄन्य अजडयो जवजुऄल माध्यम पर ईपजस्ट्थत होकर जहस्ट्सा ल े सकत े ह,ैं जजसके जलए सदस्ट्यों का एक ही जगह पर प्रत्यक्ष ईपजस्ट्थत होना जरूरी नहीं ह।ै बैिक का ऄनुमत स्ट्थान बैंक के कॉरपोरेट केंद्र का स्ट्टेट बैंक सभागार होगा।

2. बैंक के सदस्ट्यों को वीजडयो कान्फरेंससग की सुजवधा ईपलब्ध कराए जाने के कारण भारतीय स्ट्टेट बैंक सामान्य जवजनयम, 1955 के जवजनयम 34 म ें जनधागठरत ककए गए ऄनुसार प्रॉक्ट्सी की जनयुजक्त करने और सदस्ट्यों की ओर से मतदान करन े की सुजवधा आस वार्षिक महासभा के जलए ईपलब्ध नहीं ह।ै तथाजप भारतीय स्ट्टेट बैंक सामान्य जवजनयम, 1955 के जवजनयम 32 एव ं 33 म ें जनधागठरत ककए गए ऄनुसार वीसी/ऄन्य अजडयो जवजुऄल माध्यम के जठरए वार्षिक महासभा म ें ईपजस्ट्थत होने और इ-मतदान के जठरए ऄपना मत दने े के जलए प्राजधकृत प्रजतजनजधयों को जनयुक्त करन े हते ु जनकाय कॉरपोरेट पात्र होंगे।

3. आस सूचना म ें ईजल्लजखत कायगजवजध का पालन करते हुए सदस्ट्य वार्षिक महासभा िुरू होने के जनधागठरत समय स े 30 जमनट पहल े और बाद म ें वीसी/ऄन्य अजडयो जवजुऄल माध्यम स े सभा म ें भाग ल े सकत े ह।ैं पहले अए, पहले पाए अधार पर कम स े कम 1000 सदस्ट्यों के जलए वीसी/ऄन्य अजडयो जवजुऄल माध्यम स े वार्षिक महासभा म ें जहस्ट्सा लेन े की सुजवधा दी जाएगी। आसम ें बड़े िेयरधारक (2% ऄथवा ईससे ऄजधक की िेयरधाठरता वाले िेयरधारक), प्रवतगक, संस्ट्थागत जनवेिक, जनदेिक, प्रमुख प्रबंधकीय कार्षमक, लेखापरीक्षा सजमजत, नामांकन एव ं पाठरश्रजमक सजमजत, जहतधारक संबंध सजमजत, लेखापरीक्षक अकद िाजमल नहीं होंग,े जजन्ह ें पहल ेअए, पहले पाए की ित ग के जबना एजीएम म ें जहसा लेन े की ऄनुमजत ह।ै

4. भारतीय स्ट्टेट बैंक सामान्य जवजनयम, 1955 के जवजनयम 24 के ऄतं गतग कोरम के जनधागरण के प्रयोजन स े वीसी/ऄन्य अजडयो जवजुऄल माध्यम स े वार्षिक महासभा म ें ईपजस्ट्थत होने वाले सदस्ट्यों की ईपजस्ट्थजत मान्य होगी।

5. कंपनी (प्रबंधन एवं प्रिासन) जनयम, 2014 (यथा संिोजधत) के जनयम 20 तथा भारतीय प्रजतभूजत एव ं जवजनमय बोडग (सूचीकरण दाजयत्व एव ं प्रकटीकरण ऄपेक्षाएाँ) के जवजनयम 44 (यथा संिोजधत) के साथ पठित कंपनी ऄजधजनयम, 2013 की धारा 108 के प्रावधानों तथा कॉपोरेट मामलों के मंत्रालय द्वारा जारी पठरपत्रों के ऄनुसार बैंक वार्षिक महासभा की कायगवाही म ें ऄपने सदस्ट्यों को दरू स े इ-मतदान की सुजवधा द े रहा ह।ै आसके जलए बैंक न े निै नल जसक्ट्युठरटीज जडपॉजजटरी जलजमटेड (एनएसडीएल) के साथ प्राजधकृत एजेंसी के तौर पर आलेक्ट्रॉजनक माध्यम स े मतदान की सुजवधा मुहयै ा करान े के जलए करार ककया ह।ै वार्षिक महासभा की तारीख ऄथागत 14 जुलाइ 2020 को सदस्ट्यों के जलए दरू स्ट्थ इ-मतदान व्यवस्ट्था के आस्ट्तेमाल और सभा स्ट्थल पर मतदान करने की सुजवधा एनएसडीएल द्वारा ईपलब्ध कराइ जाएगी।

6. कॉपोरेट मामलों के मंत्रालय के कदनांक 13 ऄप्रलै 2020 के पठरपत्र क्रमांक 17/2020 के ऄनुरूप वार्षिक महासभा अयोजजत करने की सूचना बैंक की वेबसाआट www.sbi.co.in पर ऄपलोड की गइ ह।ै आस सूचना को स्ट्टॉक एक्ट्सचेंज यथा बीएसइ जलजमटेड एव ं नैिनल स्ट्टॉक एक्ट्सचेंज ऑफ आंजडया जलजमटेड की वेबसाआट क्रमि: www.bseindia.com एव ं www.nseindia.com पर देखा जा सकता ह ै और वार्षिक महासभा संबंधी सूचना एनएसडीएल (दरू स्ट्थ इ-मतदान सुजवधा प्रदान करन े वाली एजेंसी) की वेबसाआट www.evoting.nsdl.com पर भी ईपलब्ध ह।ै[भाग III—खण् ड 4] भारत का राजपत्र : ऄसाधारण 3

7. कॉपोरेट मामलों के मंत्रालय के पठरपत्रों के साथ पठित कंपनी ऄजधजनयम 2013 के लाग ू प्रावधानों का ऄनुपालन करते हुए वार्षिक महासभा का अयोजन वीसी/ऄन्य जवजुऄल माध्यम के जठरए ककया जा रहा ह।ै जस्ट्थजतयााँ ऄनुकूल होन े और स्ट्थानीय प्राजधकाठरयों द्वारा वार्षिक महासभा के अयोजन के जलए ऄनुमजत कदए जाने पर भारतीय स्ट्टेट बकैं ऄजधजनयम एव ं भारतीय स्ट्टेट बैंक सामान्य जवजनयम, 1955 के ऄनुसार सभा अयोजजत की जाएगी।

8. भारतीय स्ट्टेट बैंक सामान्य जवजनयम, 1955 के जवजनयम 7 के ऄनुसार संयुक्त धारकों के मामले म ें वह सदस्ट्य जजसका नाम कंपनी के सदस्ट्यों के रजजस्ट्टर के ऄनुसार सबस े पहले हो, वार्षिक महासभा म ें मतदान करने का पात्र होगा, बिते कक मत दरू स े इ-मतदान के जठरए न डाला जा चुका हो।

9. वे सदस्ट्य जो वीसी के जठरए ईपजस्ट्थत होना चाहत े ह ैं और जो दरू स े इ-मतदान नहीं करना चाहत े ह,ैं ईन्ह ें वार्षिक महासभा में इ-मतदान के जठरए मत देन े की ऄनुमजत दी जाएगी। सदस्ट्यों के जलए दरू स ेइ-मतदान करन ेके ऄनदु िे नीच ेकदए गए ह:ैं- दरू स े इ-मतदान की ऄवजध 10 जलु ाइ, 2020 को भारतीय समय के ऄनसु ार प्रातः 10 बज े िरूु होगी और 13 जलु ाइ, 2020 को िाम 5 बज ेसमाप्त होगी। ईसके बाद एनएसडीएल द्वारा दरू स े इ-मतदान मॉड्यलू को बदं कर कदया जाएगा। सदस्ट्य द्वारा एक बार मतदान ककए जान ेके बाद मत को बदलन ेकी ऄनमु जत नहीं दी जाएगी। ईपयक्तुग ऄवजध के दौरान, भारतीय स्ट्टेट बकैं सामान्य जवजनयम, 1955 के जवजनयम 31 म ें जनधाठग रत तारीख को कागज़ रूप म ेंऄथवा कागजरजहत रूप म ेंिये र रखन ेवाल ेबकैं के सदस्ट्य दरू स ेइ-मतदान द्वारा ऄपना मतदान कर सकत ेह।ैं एनएसडीएल की इ-मतदान प्रणाली के आस्ट्तमे ाल स ेम ैंकैस ेआलक्ट्े रॉजनक रूप स ेमतदान कर सकता/सकती ह?ाँ एनएसडीएल की इ-मतदान व्यवस्ट्था का आस्ट्तमे ाल करके मतदान करन ेकी प्रकक्रया “दो चरण” की ह,ै जो नीच ेदी गइ ह ै:

1. एनएसडीएल की इ-मतदान वेबसाआट दखे ें। पसगनल कंप्यूटर ऄथवा मोबाआल पर https://www.evoting.nsdl.com/ यूअरएल टाआप कर वेब ब्राईजर खोलें।

2. इ मतदान व्यवस्ट्था का होम पेज अते ही-“लॉगआन-” अआकॉन पर जक्ट्लक करें, जो “िेयरहोल्डसग” भाग में ईपलब्ध ह।ै

3. एक नइ स्ट्क्रीन खुलेगी। अपको स्ट्क्रीन पर दिागए गए ऄनुसार ऄपना यूजर अइडी, पासवडग एवं वेठरकफकेिन कोड दजग करना होगा। अपने एनएसडीएल की इ-सेवाओं ऄथागत अइडीइएएस के जलए पंजीकरण ककया है, तो अप ऄपने वतगमान अइडीइएएस लॉग-आन से https://eservices.nsdl.com पर लॉग-आन कर सकते हैं। ऄपने लॉग-आन जववरण से एनएसडीएल की इ-सेवाओं पर लॉग-आन करते ही इ-मतदान पर जक्ट्लक करें और अप चरण-2 के ऄनुसार ऄपना आलेक्ट्रॉजनक मतदान कर सकते ह।ैं

5. अपके पासवडग के जववरण नीचे कदए गए ह ैं: क) यकद अपने इ-मतदान के जलए पहले से ही पंजीकरण कराया है, तो अप लॉगआन करने के जलए वतगमान पासवडग का आस्ट्तेमाल कर ऄपना मतदान कर सकते ह।ैं ख) यकद अप पहली बार एनएसडीएल की इ-मतदान व्यवस्ट्था का आस्ट्तेमाल कर रह े हैं, तो अपको प्रारंभ में सूजचत पासवडग को ठररीव करना होगा। प्रारंजभक पासवडग को ठररीव करते ही अपको प्रारंजभक पासवडग दजग करना होगा और जसस्ट्टम अपको ऄपना पासवडग बदलने के जलए कहेगा। ग) ऄपने प्रारंजभक पासवडग को कैसे ठररीव करें?

(i) यकद अपका इ-मेल अइडी अपके डीमेट खाते ऄथवा बैंक के पास पंजीकृत है, तो प्रारंजभक पासवडग की सूचना अपको अपके इ-मेल अइडी पर दी जाएगी। ऄपने मेल बॉक्ट्स से एनएसडीएल द्वारा भेजे गए इ-मेल को ढूंढ लें। इ-मेल खोलकर ईसकी ऄटैचमेंट ऄथागत पीडीएफ फाआल खोलें। एनएसडीएल खाते के जलए अपका 8 ऄंकों का ग्राहक अइडी, कागज़ रूप से धाठरत िेयरों के सीडीएसएल खाते का 8 ऄंकों का ग्राहक अइडी ऄथवा फोजलयो नंबर ही पीडीएफ फाआल खोलने का पासवडग होगा। पीडीएफ फाआल में अपका यूजर अइडी और प्रारंजभक पासवडग होगा।

(ii) यकद अपका इ-मेल पंजीकृत नहीं है, तो नीचे इ-मेल पंजीकृत न करने वाले िेयरधारकों के जलए कदए गए चरणों का ऄनुसरण करें।

7. ऄपना पासवडग दजग करने के बाद “‘टर्मसग एंड कंडीिंस” का चयन करें और ईनसे सहमत होने पर चैक बॉक्ट्स में ठटक का जनिान लगाएाँ।

8. ऄब अपको “लॉगआन” बटन पर जक्ट्लक करना होगा।

1. चरण 1 पर सफलतापूवगक लॉगआन करन े के बाद अप इ-मतदान का होम पेज दखे पाएगं े। इ-मतदान पर जक्ट्लक करें। ईसके बाद एजक्ट्टव वोटटग साआकल्स पर जक्ट्लक करें।

2. एजक्ट्टव वोटटग साआकल्स पर जक्ट्लक करने के बाद अप ईन सभी “इवीइएन” कंपजनयों को दखे पाएंग,े जजनके िेयर अपके पास ह ैंऔर जजनकी वोटटग साआकल एजक्ट्टव स्ट्टेटस म ें ह।ै

3. बैंक के “इवीइएन” का चयन करें, जजसे अप ऄपना मत देना चाहत े ह।ैं

4. वोटटग पेज खलु जान े पर अप इ-मतदान के जलए तैयार ह।ैं

5. ईपयुक्त जवकल्प ऄथातग एसेंट ऄथवा जडसेन्ट, का चयन कर, ईन िेयरों की संख्या की जांच/संिोधन करें जजनके जलए अप ऄपना मत दने ा चाहत े ह,ैं ऄपना मत द,ें और “सबजमट” पर जक्ट्लक करें। कह े जाने पर “कनफम”ग पर भी जक्ट्लक करें।

6. पुजि के बाद “सफलतापूवगक मतदान ककया गया” संदेि कदखाइ देगा।

7. कनफमेिन पेज पर सप्रट जवकल्प को जक्ट्लक कर अप ऄपने मतदान का सप्रट अईट भी ल ेसकते ह।ैं

In view of the massive outbreak of the COVID-19 pandemic, social distancing is a norm to be followed and pursuant to the Circular No. 14/2020 dated April 08, 2020, Circular No.17/2020 dated April 13, 2020, issued by the Ministry of Corporate Affairs followed by Circular No. 20/2020 dated May 05, 2020 (“MCA Circulars”) and Circular No. SEBI/HO/CFD/CMD1/CIR/P/2020/79 dated 12th May, 2020 issued by the Securities and Exchange Board of India (“SEBI Circular”), physical attendance of the Members to the EGM/AGM venue is not required and Annual General Meeting (AGM) be held through Video Conferencing (VC) or Other Audio8 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC. 4] Visual Means (OAVM). The Board of Directors of the Bank has decided to adopt the above guidelines issued by Ministry of Corporate Affairs and SEBI in conducting Annual General Meeting of the Bank. The Members can join the Annual General Meeting in the VC/OAVM mode 30 minutes before and after the scheduled time of the commencement of the Meeting by following the procedure mentioned in the Notice. The facility of participation at the Annual General Meeting through VC/OAVM will be made available for at least 1000 members on first come first served basis. This will not include large Shareholders (Shareholders holding 2% or more shareholding), Promoters, Institutional Investors, Directors, Key Managerial Personnel, the Chairpersons of the Audit Committee, Nomination and Remuneration Committee and Stakeholders Relationship Committee, Auditors etc. who are allowed to attend the Annual General Meeting without restriction on account of first come first served basis.

4. The attendance of the Members attending the Annual General Meeting through VC/OAVM will be counted for the purpose of reckoning the quorum under Regulation 24 of SBI General Regulations, 1955.

Pursuant to the provisions Regulation 44 of SEBI (Listing Obligations & Disclosure Requirements) Regulations 2015 (as amended) read with Section 108 of the Companies Act, 2013 read with Rule 20 of the Companies (Management and Administration) Rules 2014, (as amended), and the MCA Circulars the Bank is providing facility of remote e-voting to its Members in respect of the business to be transacted at the Annual General Meeting. For this purpose, the Bank has entered into an agreement with National Securities Depository Limited (NSDL) for facilitating voting through electronic means, as the authorized agency. The facility of casting votes by a member using remote e-voting system as well as venue voting on 14th July, 2020 the date of the Annual General meeting will be provided by NSDL.

6. In line with the Ministry of Corporate Affairs (MCA) Circular No. 17/2020 dated April 13, 2020, the Notice calling the Annual General Meeting has been uploaded on the website of the Bank at www.sbi.co.in. 5. Cast your vote by selecting appropriate options i.e. assent or dissent, verify/modify the number of shares for which you wish to cast your vote and click on “Submit” and also “Confirm” when prompted.

Every shareholder [other than the Central Government] entitled to vote as aforesaid who, shall have one vote for each fifty shares held by him or it for the whole period of three months prior to the date of such meeting i.e. 13.04.2020.

The Scrutinizer shall, immediately after the conclusion of voting at the Annual General Meeting, first count the votes cast during the Annual General Meeting, thereafter unblock the votes cast through remote e-voting and make, not later than 48 hours of conclusion of the Annual General Meeting, a consolidated Scrutinizer‟s Report of the total votes cast in favour or against, if any, to the Chairman or a person authorised by him in writing, who shall countersign the same.

The result declared along with the Scrutinizer‟s Report shall be placed on the Bank‟s website www.sbi.co.in and on

the website of NSDL https://www.evoting.nsdl.com immediately. The Bank shall simultaneously forward the results to National Stock Exchange of India Limited and BSE Limited, where the shares of the Bank are listed.
