1. कॉरपोरेट मामलों के मंत्रालय द्वारा िारी सामान्फ्य पठरपत्र संख्या 14/2020 दििांक 08 अप्रलै 2020 के अि सरण म,ें अग्रेतर सामान्फ्य पठरपत्र संख्या 20/2020 दििांक 05, मई 2020 और सामान्फ्य पठरपत्र संख्या 02/2021 दििांक 13 ििवरी, 2021 और सामान्फ्य पठरपत्र संख्या: 21/2021 दििांक 14 दिसंबर, 2021 और सामान्फ्य पठरपत्र संख्या 02/2022, दििांक 05 मई 2022 एव ं सामान्फ्य पठरपत्र संख्या 10/2022 दििांक 28 दिसम्बर, 2022 ("एमसीए पठरपत्र") के अि सार वार्षिक महासभा (एिीएम) वीजडयो कांरेंससंग (वीसी) या अन्फ्य ऑजडयो साधििश्ृ य (ओएवीएम) के माध्यम स े आयोजित दकए िा सकत े ह।ैं तिि सार िये रधरकों की सभा स्ट्थल पर भौजतक उपजस्ट्थती आवश्यक िहीं ह।ै बैंक के जिििे क मंडल ि े बकैं की महासभा बैिक आयोजित करि े म ें कॉरपोरेट मामलों के मत्रं ालय द्वारा िारी उपरोक्त दििा-जििेिों को अपिाि े का फैसला दकया ह।ै इसजलए, िेयरधारक वीसी/ओएवीएम के माध्यम स े आगामी आम बैिक म ें भाग ल े सकते ह ैं और जिसके जलए एक साझा स्ट्थल पर सिस्ट्यों की भौजतक उपजस्ट्थजत की आवश्यकता िहीं ह।ै बैिक के जलए माजित सभा स्ट्थल बैंक का स्ट्टेट बकैं ऑजडटोठरयम, कॉरपोरेट केंद्र होगा।

2. बैंक के िेयरधारकों को प्रिाि की िा रही वीसी स जवधा को ध्याि में रखत े हए, एसबीआई ििे रल रेगल ेिि, 1955 के जवजियम 34 के प्रावधाि के अि सार िेयरधारकों के जलए उपजस्ट्थत होि े और वोट डालि े के जलए प्रॉक्ट्सी जिय क्त करि े की स जवधा इस वार्षिक आम बैिक के जलए उपलब्ध िहीं ह।ै तथाजप, जिकाय कारपोरेट होि े के िाते िेयरधारकों को भारतीय स्ट्टेट बैंक सामान्फ्य जवजियम, 1955 के जवजियम 32 और 33 म ें यथाउपबंजधत प्राजधकृत प्रजतजिजधयों को जिय क्त करिे का अजधकार ह ै िो वीसी/ओएवीएम के माध्यम से वार्षिक आम बैिक में भाग लेते ह ैं और ई-वोटटंग के माध्यम से अपिा मत डालत े ह।ैं

3. िेयरधारक िोठटस म ें उल्लजे खत प्रदिया का पालि करके बैिक ि रू होि े के जिधािठरत समय से 30 जमिट पहल े और बाि में वीसी/ओएवीएम मोड में वार्षिक आम बैिक में िाजमल हो सकते ह।ैं ओएवीएम के माध्यम से वार्षिक आम बैिक म ें भागीिारी की स जवधा कम से कम 1000 सिस्ट्यों के जलए पहले आओ पहल े पाओ के आधार पर उपलब्ध कराई िाएगी। इसमें बड े िेयरधारक (2% या उससे अजधक िेयरधाठरता रखिे वाल े िेयरधारक), प्रमोटर, संस्ट्थागत जिवेिक, जिििे क, प्रम ख प्रबंधकीय कार्मिक, लेखा परीक्षा सजमजत के अध्यक्ष, िामांकि और पाठरश्रजमक सजमजत और जहतधारक संबंध सजमजत, लेखा परीक्षक आदि िाजमल िहीं होंगे। जिन्फ्ह ें पहले आओ पहले पाओ के आधार पर प्रजतबंध के जबिा वार्षिक आम बैिक म ें भाग लिे े की अि मजत ह।ै

4. वीसी/ओएवीएम के माध्यम से वार्षिक आम बैिक में भाग लेि े वाले िेयरधारक की उपजस्ट्थजत को एसबीआई ििरल रेगल ेिि, 1955 के जवजियमि 24 के तहत कोरम की गणिा करिे के उद्देश्य से जगिा िाएगा।

5. सेबी (जलसस्ट्टंग ओजब्लगेसंस एंड जडस्ट्क्ट्लोिर ठरकवायरमेंट) रेग्य लेिि 44 के अंतरगत (यथा संिोजधत) के साथ कंपिी अजधजियम, 2013 की धारा 108 के तथा कंपिी (प्रबंधि और प्रिासि) जियम 2014 (यथा संिोजधत) के जियम 20 और एमसीए पठरपत्रों के प्रावधािों के अि सार, बैंक अपिे िेयरधारकों को वार्षिक आम बैिक में दकए िािे वाल े व्यवसाय के संबंध म ें िरू स्ट्थ ई-वोटटंग की स जवधा प्रिाि कर रहा ह।ै िेयरधारक को िेििल जसक्ट्योठरटीि जडपॉजिटरी जलजमटेड (एिएसडीएल) द्वारा प्रिाि दकए गए वीजडयो कॉन्फ्रेंससगं प्लेटफॉमि के माध्यम स े एिीएम म ें भाग लेि े की स जवधा प्रिाि की िाएगी। िेििल जसक्ट्योठरटीि जडपॉजिटरी जलजमटेड (एिएसडीएल) द्वारा िरू स्ट्थ ई-वोटटंग प्रणाली का उपयोग करके सिस्ट्य द्वारा वोट डालि े की स जवधा के साथ-साथ स्ट्थल मतिाि की स जवधा भी वार्षिक आम बैिक की तारीख 27 िूि, 2023 को प्रिाि की िाएगी।

6. कॉपोरेट मामलों के मंत्रालय (एमसीए) के पठरपत्र संख्या 17/2020 दििांक 13 अप्रैल, 2020 के अिरू प, वार्षिक आम बैिक ब लािे वाला िोठटस बकैं की वेबसाइट (www.sbi.co.in) पर अपलोड दकया गया ह।ै िोठटस को स्ट्टॉक एक्ट्सचेंिों यािी बीएसई जलजमटेड (बीएसई) और िेििल स्ट्टॉक एक्ट्सचेंि ऑफ इंजडया जलजमटेड (एिएसई) की वेबसाइटों से िमिः www.bseindia.com और www.nseindia.com पर भी िेखा िा सकता ह ै और वार्षिक आम बैिक की िोठटस िेििल जसक्ट्योठरटीि जडपॉजिटरी जलजमटेड (एिएसडीएल) (िरू स्ट्थ ई-वोटटंग स जवधा प्रिाि करिे के जलए एिेंसी) की वेबसाइट पर भी उपलब्ध ह,ै अथाित https://www.evoting.nsdl.com/[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 3

7. कंपिी अजधजियम, 2013 के लागू प्रावधािों के अि पालि में वीसी/ओएवीएम के माध्यम से वार्षिक आम बैिक ब लाई गई ह,ै जििको एमसीए पठरपत्र और सेबी पठरपत्र संख्या सेबी/एचओ/सीएफडी/सीएमडी1/सीआईआर/पी/2020/79 दििांक 12 मई, 2020 के साथ पढा िाए ।

8. एसबीआई सामान्फ्य जवजियम, 1955 के जवजियम 7 के अिस ार, संय क्त धारकों के मामले में, वह व्यजक्त जिसका िाम बैंक के िेयरधारकों के रजिस्ट्टर के अि सार पहल े दिखाई िेता ह,ै वह वार्षिक आम बैिक म ें मतिाि करिे का हकिार होगा बित े वोट पहले स ेही ठरमोट ई-वोटटंग के माध्यम से िहीं डाल ेगए हों।

9. िो सिस्ट्य वीसी के माध्यम से उपजस्ट्थत होिे का जवकल्प च िते ह ैं और िो दकसी जविेष प्रस्ट्ताव पर ठरमोट ई-वोटटंग के माध्यम से अपिा वोट िहीं डालत े ह,ैं उन्फ्ह ें उस जविेष प्रस्ट्ताव के जलए वार्षिक आम बैिक में ई-वोटटंग के माध्यम स े मतिाि करिे की अि मजत िी िाएगी। .

िरू स्ट्थ ई-वोटटंग के जलए सिस्ट्यों के जलए जिििे िीच ेदिए गए हैं: • ठरमोट ई-वोटटंग की अवजध 22 ििू , 2023 को सब ह 10.00 बि े िरू होगी और 26 ििू , 2023 को िाम 05:00 बिे समाप्त होगी। ठरमोट ई-वोटटंग मॉड्यलू को ििे िल जसक्ट्योठरटीि जडपॉजिटरी जलजमटेड (एिएसडीएल) द्वारा मतिाि के जलए अक्षम कर दिया िाएगा। एक बार िये रधारक द्वारा वोट डालि े के बाि, िये रधारक को बाि म ें इस े बिलि े की अिम जत िहीं िी िाएगी। • उपयक्त ि अवजध के िौराि, एसबीआई सामान्फ्य जवजियम, 1955 के जवजियम 31 म ें यथा उपबंजधत कट-ऑफ जतजथ के अिस ार बकैं के िये रधारक, जििके पास भौजतक रूप म ें अथवा अभौजतकीकृत रूप म ें िये र ह,ैं िरू स्ट्थ ई-वोटटंग द्वारा अपिा मत डाल सकत ेह।ैं • कई फोजलयो/डीमैट खात े रखि े वाल े िेयरधारक प्रत्येक फोजलयो/ डीमैट खात े के जलए मतिाि प्रदिया का चयि अलग - अलग करेंगे। • पोटिल पूवोक्त के अि सार बंि हो िाएगा, और बंि होिे पर स जवधा त रंत अक्षम हो िाएगी। • बैंक िे पाठरख एडं एसोजसएट्स, कंपिी सजचवों को यह स जिजित करि े के जलए स्ट्िूठटिाइज़र के रूप म ें जिय क्त दकया ह ै दक ई-वोटटंग प्रदिया जिष्पक्ष और पारििी तरीके से आयोजित की िाए। • वार्षिक ठरपोटि 2022-23 के जलए ई-वोटटंग की कट-ऑफ तारीख और 68वीं एिीएम की िोठटस भेििे की कट-ऑफ तारीख के बीच िेयर प्राप्त करिे वाल े िेयरधारकों और उिकी संबंजधत डीपी के साथ पंिीकृत ई-मेल आईडी पर, उन्फ्ह ें एिीएम में भाग लेि े के जलए बैंक के रजिस्ट्रार और रांसफर एिेंट द्वारा संचार भेिा िाएगा। ऐसे िेयरधारक जववरण प्राप्त करि े के जलए बैंक की वेबसाइट पर भी िा सकते ह।ैं म ैंएिएसडीएल ई-वोटटंग जसस्ट्टम का उपयोग करके इलक्ट्े रॉजिक रूप स ेमतिाि कैस ेकरूं? एिएसडीएल ई-वोटटंग जसस्ट्टम पर इलेक्ट्रॉजिक रूप स ेमतिाि करिे म ें"िो चरण" िाजमल ह ैंजििका उल्लेख िीचे दकया गया ह:ै चरण 1: एिएसडीएल ई-वोटटंग जसस्ट्टम तक पहचं क) डीमटै मोड म ें प्रजतभजू तया ं रखि े वाल े व्यजक्तगत िये रधारकों के जलए ई-वोटटंग और वचअ ि ल मीटटंग म ें िाजमल होि े के जलए लॉजगि जवजध सूचीबद्ध कंपजियों द्वारा प्रिाि की गई ई-वोटटंग स जवधा पर सेबी के पठरपत्र दििांक 9 दिसंबर, 2020 के अि सार, डीमटै मोड म ें प्रजतभूजतया ं रखि े वाल े व्यजक्तगत िेयरधारकों को जडपॉजिटरी और जडपॉजिटरी प्रजतभाजगयों के साथ रखे अपि े डीमैट खाते के माध्यम से मतिाि करिे की अि मजत ह।ै िेयरधारकों को सलाह िी िाती ह ै दक वे ई-वोटटंग स जवधा का उपयोग करिे के जलए अपिे डीमैट खातों में अपिा मोबाइल िबं र और ईमेल आईडी अपडेट करें। डीमैट मोड में प्रजतभूजतयां रखि े वाले व्यजक्तगत िेयरधारकों के जलए लॉजगि जवजध िीचे िी गई ह:ै िये रधारकों के प्रकार लॉजगि जवजध एिएसडीएल के साथ डीमैट मोड म ें 1. मौिूिा IDeAS उपयोगकता ि या तो पसििल कंप्यूटर या मोबाइल के माध्यम से प्रजतभूजतयां रखि े वाले व्यजक्तगत एिएसडीएल की ई-सेवा वेबसाइट पर अथाित4 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] िेयरधारक। https://eservices.nsdl.com पर िा सकत े ह।ैं ई-सेवाओं के होम पेि पर "लॉजगि" के तहत “Beneficial Owner” आइकि पर जक्ट्लक करें िो ‘IDeAS’ सैक्ट्िि के तहत उपलब्ध ह,ै यह आपको अपिा मौिूिा उपयोगकता ि आईडी और पासवडि ििि करिे के जलए बताएगा। सफल प्रमाणीकरण के बाि, आप वैल्य ू एडेड सर्विसेस के तहत ई-वोटटंग सेवाओं को िेख पाएंगे। ई-वोटटंग सेवाओं के तहत “Access to e-Voting” पर जक्ट्लक करें और आप ई-वोटटंग पेि िेख पाएगं े। कंपिी के िाम अथाित स्ट्टेट बैंक ऑफ इंजडया या e-Voting service provider i.e. NSDL पर जक्ट्लक करें और आपको ठरमोट ई-वोटटंग अवजध के िौराि अपिा वोट डालि े या बैिक के िौराि वच िअल मीटटंग और वोटटंग में िाजमल होिे के जलए एिएसडीएल की ई- वोटटंग वेबसाइट पर ले िाया िाएगा।

2. यदि आप आईडीईएएस ई-सेवाओं के जलए पंिीकृत िहीं हैं, तो पंिीकरण करि े का जवकल्प https://eservices.nsdl.com पर उपलब्ध ह।ै “Register Online for IDeAS Portal” च ि ें या

https://eservices.nsdl.com/SecureWeb/IdeasDirectReg.jsp पर जक्ट्लक करें।

3. एिएसडीएल की ई-वोटटंग वेबसाइट पर िाएं। पसिि ल कंप्यूटर या मोबाइल पर

URL: https://www.evoting.nsdl. com/ से वेब ब्राउज़र खोलें। एक बार ई-वोटटंग जसस्ट्टम का होम पिे लॉन्फ्च होिे के बाि, आइकि "लॉजगि" पर जक्ट्लक करें िो ‘Shareholder/ Member’ सैक्ट्िि के तहत उपलब्ध ह।ै इसके बाि एक िई स्ट्िीि ख लगे ी। आपको अपिे यूिर आईडी (यािी एिएसडीएल के साथ आपका सोलह अंकों का डीमैट अकाउंट िंबर), पासवडि/ओटीपी और स्ट्िीि पर दिख रहा सत्यापि कोड िि ि करिा होगा। सफल प्रमाणीकरण के बाि, आपको एिएसडीएल जडपॉजिटरी साइट पर रीडायरेक्ट्ट दकया िाएगा जिसमें आप ई-वोटटंग पेि िेख सकते ह।ैं कंपिी के िाम अथाति स्ट्टेट बैंक ऑफ इंजडया या e-Voting service provider i.e. NSDL पर जक्ट्लक करें और आपको ठरमोट ई-वोटटंग अवजध के िौराि अपिा वोट डालिे या बैिक के िौराि वच िअल मीटटंग और वोटटंग म ें िाजमल होि े के जलए एिएसडीएल की ई-वोटटंग वेबसाइट पर रीडायरेक्ट्ट दकया िाएगा।

4. िेयरधारक/ सिस्ट्य जिबािध मतिाि अि भव के जलए क्ट्यआू र कोड को स्ट्कैि करके एिएसडीएल मोबाइल ऐप “NSDL Speede” भी डाउिलोड कर सकते ह।ैं सीडीएसएल के साथ डीमैट मोड म ें 1. जिि उपयोगकतािओं ि े सीडीएसएल Easi / Easiest स जवधा का जवकल्प चि ा प्रजतभूजतयां रखि े वाले व्यजक्तगत ह,ै वे अपिे मौिूिा उपयोगकता ि आईडी और पासवडि के माध्यम से लॉजगि कर िेयरधारक सकते ह।ैं जबिा दकसी और प्रमाणीकरण के ई-वोटटंग पेि तक पहचं िे के जलए जवकल्प उपलब्ध कराया िाएगा। Easi/ Easiest लॉजगि करिे के जलए उपयोगकतािओं से अि रोध ह ै दक वे सीडीएसएल वेबसाइट पर िाए ं www.cdslindia.com और लॉजगि आइकि और न्फ्यू जसस्ट्टम Myeasi टैब पर जक्ट्लक करें और दफर अपिे मौिूिा Myeasi उपयोगकताि िाम और पासवडि ििि करें।[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 5

Easi / Easiest उपयोगकता ि पात्र कंपजियों के जलए ई-वोटटंग जवकल्प िेख पाएंग े िहां कंपिी द्वारा प्रिाि की गई िािकारी के अि सार इवोटटंग प्रगजत पर ह।ै ई-वोटटंग जवकल्प पर जक्ट्लक करिे पर, उपयोगकताि ठरमोट ई-वोटटंग अवजध के िौराि अपिा वोट डालि े या बैिक के िौराि वचअ ि ल मीटटंग और वोटटंग में िाजमल होि े के जलए ई-वोटटंग सेवा प्रिाता का ई-वोटटंग पिे िेख सकेंगे। इसके अजतठरक्त, सभी ई-वोटटंग सेवा प्रिाताओं की प्रणाली तक पहचं िे के जलए सलंक भी प्रिाि दकए गए ह,ैं तादक उपयोगकता ि सीधे ई-वोटटंग सेवा प्रिाताओं की वेबसाइट पर िा सकें।

3. यदि उपयोगकताि Easi/Easiest के जलए पंिीकृत िहीं ह,ै तो पंिीकरण करि े का जवकल्प सीडीएसएल वेबसाइट www.cdslindia.com पर उपलब्ध ह।ै लॉजगि और न्फ्य ू जसस्ट्टम Myeasi टैब पर जक्ट्लक करें और दफर पंिीकरण जवकल्प पर जक्ट्लक करें।

2. आप ठरमोट ई-वोटटंग अवजध के िौराि अपिा वोट डालिा चाहते ह ैं या आम बैिक के िौराि अपिा वोट डालिा चाहत े ह ैं तो स्ट्टेट बैंक ऑफ इंजडया के ‘EVEN’ का चयि करें । वचअ ि ल मीटटंग म ें िाजमल होि े के जलए, आपको "िॉइि मीटटंग" के तहत "VC/OAVM" सलंक पर जक्ट्लक करिा होगा।

4. सूचीबद्ध कंपजियों द्वारा प्रिाि की गई ई-वोटटंग स जवधा पर 9 दिसंबर, 2020 को सेबी के पठरपत्र के अि सार, डीमैट मोड में प्रजतभूजतयों को रखिे वाले व्यजक्तगत िेयरधारकों को जडपॉजिटरी और जडपॉजिटरी प्रजतभाजगयों के साथ रख े गए अपिे डीमैट खाते के माध्यम से मतिाि करिे की अि मजत ह।ै िेयरधारकों को ई-वोटटंग स जवधा का उपयोग करिे के जलए अपिे डीमैट खात े में अपि ेमोबाइल िंबर और ईमले आईडी को सही ढगं से अपडेट करिा होगा। वार्षकि आम बिै क के दिि ई-वोटटंग के जलए सिस्ट्यों के जलए जििेि जिम्नािस ार हैं :

1. वार्षिक आम बैिक के दिि ई-वोटटंग की प्रदिया ठरमोट ई-वोटटंग के जलए ऊपर बताए गए जिििे ों के समाि ह।ै

2. केवल वे सिस्ट्य/िेयरधारक, िो वीसी/ओएवीएम स जवधा के माध्यम से वार्षिक आम बैिक में उपजस्ट्थत होंगे और जिन्फ्होंिे ठरमोट ई-वोटटंग के माध्यम से प्रस्ट्तावों पर अपिा वोट िहीं डाला ह ै और अन्फ्यथा ऐसा करि े से प्रजतबंजधत िहीं ह,ैं वार्षिक आम बैिक म ेंई-वोटटंग प्रणाली के माध्यम से मतिाि करि े के जलए पात्र होंगे।

3. जिि सिस्ट्यों ि े ठरमोट ई-वोटटंग के माध्यम स े मतिाि दकया ह,ै वे वार्षिक आम बैिक में भाग लेि े के पात्र होंगे। यद्यजप, वे वार्षिक आम बैिक में मतिाि करि े के पात्र िहीं होंगे।

4. वार्षिक आम बैिक के दिि ई-वोटटंग की स जवधा स े संबंजधत दकसी भी जिकायत के जलए संपकि दकए िाि े वाल े व्यजक्त का जववरण वही रहगे ा जिसका उल्लेख ठरमोट ई-वोटटंग के जलए दकया गया ह।ै[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 9 वीसी / ओएवीएम के माध्यम स ेवार्षकि आम बिै क म ेंभाग लिे ेके जलए िये रधारकों के जलए जििेि जिम्नािस ार हैं :

1. िेयरधारक को िेििल जसक्ट्योठरटीि जडपॉजिटरी जलजमटेड (एिएसडीएल) ई-वोटटंग प्रणाली के माध्यम से वीसी/ ओएवीएम के माध्यम से वार्षिक आम बैिक म ें भाग लेिे की स जवधा प्रिाि की िाएगी। सिस्ट्य िेििल जसक्ट्योठरटीि जडपॉजिटरी जलजमटेड (एिएसडीएल) ई-वोटटंग प्रणाली तक पहचं के जलए ऊपर उजल्लजखत चरणों का पालि करके पहचं सकते ह।ैं सफल लॉजगि के बाि, आप कंपिी के िाम अथाित स्ट्टेट बैंक ऑफ इंजडया के साथ" मीटटंग म ें िाजमल हों" मेि ू के तहत रखे गए "वीसी / ओएवीएम सलंक" का सलंक िेख सकते ह।ैं आपसे अिर ोध ह ै दक मीटटंग मेिू के तहत रखे गए वीसी/ओएवीएम सलंक पर जक्ट्लक करें। वीसी / ओएवीएम के जलए सलंक िेयरधारक / सिस्ट्य लॉजगि में उपलब्ध होगा िहां कंपिी अथाित स्ट्टेट बैंक ऑफ इंजडया का ईवेि प्रिर्िित दकया िाएगा। कृपया ध्याि ि ें दक जिि सिस्ट्यों के पास ई-वोटटंग के जलए उपयोगकताि आईडी और पासवडि िहीं ह ै या उपयोगकताि आईडी और पासवडि भलू गए ह,ैं वे अंजतम समय की भीड स े बचिे के जलए िोठटस में उजल्लजखत िरू स्ट्थ ई-वोटटंग जििेिों का पालि करके इसे पि ः प्राप्त कर सकते ह।ैं

2. बेहतर अि भव के जलए सिस्ट्यों को लैपटॉप के माध्यम स ेबैिक में िाजमल होि े के जलए प्रोत्साजहत दकया िाता ह।ै

3. इसके अजतठरक्त, सिस्ट्यों को बैिक के िौराि दकसी भी समस्ट्या से बचिे के जलए कैमरा और अच्छी गजत वाले इंटरिेट का उपयोग करिे की अि मजत होगी।

4. कृपया ध्याि ि ें दक मोबाइल उपकरण या टेबलेट से िड े प्रजतभागी या मोबाइल हॉटस्ट्पॉट के माध्यम से िड े लैपटॉप के माध्यम से अपि ेसंबंजधत िेटवकि में उतार-चढाव के कारण ऑजडयो/वीजडयो ि कसाि का अिभ व कर सकते ह।ैं इसजलए दकसी भी तरह की उपरोक्त समस्ट्याओं को कम करि े के जलए जस्ट्थर वाई-फाई या लिै किेक्ट्िि का उपयोग करि े की जसफाठरि की िाती ह।ै

1. Pursuant to the General Circular No. 14/2020 dated April 08, 2020, issued by the Ministry of Corporate Affairs followed by General Circular No. 20/2020 dated May 05, 2020 and General Circular No. 02/2021 dated January 13, 2021 and the General Circular No.: 21/2021 dated December 14, 2021 and the General Circular No.: 02/2022 dated May 05,2022 and General Circular No. 10/2022 dated December 28,2022, (“MCA Circulars”), Annual General Meeting (AGM) can be conducted through Video Conferencing (VC) or Other Audio Visual Means (OAVM).

Accordingly, physical attendance of the Shareholders at venue is not required. The Central Board of the Bank has decided to adopt the above guidelines issued by MCA in conducting Annual General Meeting of the Bank. Hence, Shareholders can attend and participate in the ensuing Annual General Meeting through VC / OAVM, which may not require physical presence of shareholders at a common venue. The deemed venue for the meeting shall be State Bank Auditorium, Corporate Centre of the Bank.

2. In view of the VC facility being provided to the shareholders of the Bank, the facility to appoint proxy to attend and cast vote for the shareholders as provided in Regulation 34 of SBI General Regulations, 1955 is not available for this Annual General Meeting. However, the shareholders being Body Corporates are entitled to appoint authorised representatives as provided in Regulation 32 and 33 of SBI General Regulations, 1955 to attend the Annual General Meeting through VC / OAVM and participate thereat and cast their votes through e-voting.

3. The Shareholders can join the Annual General Meeting in the VC / OAVM mode 30 minutes before and after the scheduled time of the commencement of the Meeting by following the procedure mentioned in the Notice. The facility of participation at the Annual General Meeting through VC / OAVM will be made available for at least 1000 members on first come first served basis. In line with the Ministry of Corporate Affairs (MCA) Circular No. 17/2020 dated April 13, 2020, the Notice convening the Annual General Meeting has been uploaded on the website of the Bank at www.sbi.co.in. 7. Annual General Meeting has been convened through VC / OAVM in compliance with applicable provisions of the Companies Act, 2013 read with MCA Circulars and SEBI Circular No. SEBI/HO/CFD/CMD1/CIR/P/2020/79 dated 12th May, 2020,

You will have to enter your User ID (i.e. your sixteen digit demat account number held with NSDL), Password/OTP and a Verification Code as shown on the screen. After successful authentication, you will be redirected to NSDL Depository site wherein you can see e-Voting page. 4. Shareholders/Members can also download NSDL Mobile App “NSDL Speede” facility by scanning the QR code for seamless voting experience.

Individual Shareholders holding 1. Users who have opted for CDSL Easi / Easiest facility, can login through their securities in demat mode with existing user id and password. Option will be made available to reach e-Voting CDSL page without any further authentication. 2. After successful login, the Easi / Easiest user will be able to see the e-Voting option for eligible companies where the evoting is in progress as per the information provided by the Bank. Additionally, there is also links provided to access the system of all e-Voting Service Providers, so that the user can visit the e-Voting service providers’ website directly.

(ii) If your email ID is not registered, please follow steps mentioned below in process for those shareholders whose email ids are not registered.

6. If you are unable to retrieve or have not received the “Initial password” or have forgotten your password: a) Click on “Forgot User Details/Password?”(If you are holding shares in your demat account with NSDL or CDSL) option available on www.evoting.nsdl.com.

b) Physical User Reset Password?” (If you are holding shares in physical mode) option available on www.evoting.nsdl.com. c) If you are still unable to get the password by aforesaid two options, you can send a request at evoting@nsdl.co.in mentioning your demat account number/folio number, your PAN, your name and your registered address etc.

d) Members can also use the OTP ( One Time Password ) based login for casting the votes on the e-Voting system of NSDL.

7. After entering your password, tick on Agree to “Terms and Conditions” by selecting on the check box.

8. Now, you will have to click on “Login” button.

9. After you click on the “Login” button, Home page of e-Voting will open.

Step 2: Cast your vote electronically and join General Meeting on NSDL e-Voting system.

How to cast your vote electronically and join General Meeting on NSDL e-Voting system?

1. After successful login at Step 1, you will be able to see all the companies “EVEN” in which you are holding shares and whose voting cycle and General Meeting is in active status.

2. Select “EVEN” of Company i.e. State Bank of India for which you wish to cast your vote during the remote e- Voting period and casting your vote during the General Meeting. For joining virtual meeting, you need to click on “VC/OAVM” link placed under “Join Meeting”.

3. Now you are ready for e-Voting as the Voting page opens.

4. Cast your vote by selecting appropriate options i.e. assent or dissent, verify/modify the number of shares for which you wish to cast your vote and click on “Submit” and also “Confirm” when prompted.

5. Upon confirmation, the message “Vote cast successfully” will be displayed.

7. Once you confirm your vote on the resolution, you will not be allowed to modify your vote.

General Guidelines for Shareholders

1. Institutional shareholders (i.e. other than individuals, HUF, NRI etc.) are required to send scanned copy (PDF/JPG Format) of the relevant Board Resolution/ Authority letter etc. with attested specimen signature of the duly authorized signatory(ies) who are authorized to vote, to the Scrutinizer by e-mail to ‘cs@parikhassociates.com’ with a copy marked to evoting@nsdl.co.in. Institutional shareholders (i.e. other than individuals, HUF, NRI etc.) can also upload their Board Resolution / Power of Attorney / Authority Letter etc. by clicking on "Upload Board Resolution / Authority Letter" displayed under "e-Voting" tab in their login.

2. It is strongly recommended not to share your password with any other person and take utmost care to keep your password confidential. Login to the e-voting website will be disabled upon five unsuccessful attempts to key in the correct password. In such an event, you will need to go through the “Forgot User Details/Password?” or “Physical User Reset Password?” option available on www.evoting.nsdl.com to reset the password.

Please note that participants connecting from Mobile Devices or Tablets or through Laptops connecting via Mobile Hotspot may experience Audio / Video loss due to fluctuation in their respective network. It is therefore recommended to use stable Wi-Fi or LAN Connection to mitigate any kind of aforesaid glitches.

5. Shareholders who would like to express their views / have questions pertaining to the Agenda of the Annual General Meeting may send their questions in advance mentioning their name, demat account number/folio number, email id,

6. Those shareholders who have registered themselves as a speaker will only be allowed to express their views/ask questions.

Determination of voting rights - Subject to the provisions contained in Section 11 of the State Bank of India Act, 1955, each shareholder who has been registered as a shareholder for a period of not less than three months prior to the date of a general meeting (i.e. 24.03.2023) shall, at such meeting, have one vote for each fifty shares held by him/her or it.

Every shareholder other than the Central Government entitled to vote as aforesaid who, not being a company is present in person or by proxy or who being a company is present by a duly authorised representative, or by proxy shall have one vote on a show of hands and in case of a poll shall have one vote for each fifty shares held by him or it for the whole period of three months prior to the date of such meeting. i.e. 24.03.2023.

The duly authorized person representing the Central Government shall have one vote on a show of hands and, in case of a poll, shall have one vote for each fifty shares held by it for the whole period of three months prior to the date of such meeting. i.e. 24.03.2023.

The Scrutinizers shall, immediately after the conclusion of voting at the Annual General Meeting, first count the votes cast during the Annual General Meeting, thereafter unblock the votes cast through remote e-voting and make, not later than two working days of conclusion of the Annual General Meeting, a consolidated Scrutinizer’s Report of the total votes cast in favour of or against, if any, and submit to the Chairman or a person authorised by him in writing, who shall countersign the same.

The result declared along with the Scrutinizer’s Report shall be placed on the Bank’s website www.sbi.co.in and on the website of National Securities Depository Limited (NSDL): https://www.evoting.nsdl.com/immediately. The Bank shall simultaneously forward the results to National Stock Exchange of India Limited and BSE Limited, where the shares of the Bank are listed.
