अपेक्षाए]ँ (दसू रा संिोधि) जिजियम, 2026 कहा िा सकेगा ।
2. य े जिजियम रािपत्र म ेंइिके प्रकाजित होिे की तारीख को लागू होंगे ।

2015 म ें –
I. जिजियम 40(7) के स्ट्थाि पर जिम्नजलजखत जिजियम आ िाएगा, अथाडत्,-
“(7) सूचीबद्ध एंठटटी को िेयरों आदद (प्रजतभूजतयों / जसक्यठू रटीज़) के रांसफर (अतं रण) और रांसजमिि
(पारेषण) की प्रदक्रया के संबंध म ें बोडड द्वारा समय-समय पर जिधाडठरत दकए िािे िाले सभी प्रािधािों आदद
का पालि करिा होगा ।”
II. जिजियम 61(4) म,ें िब्दों, अंकों तथा जचह्िों “प्रजतभूजतयों के अंतरण और पारेषण (रांसजमिि) हते जिजियम
40 म ें यथा जिजिर्दडष्ट अपेक्षाओं का अि पालि करेगी जििम ें अि सूची-VII म ें जिजिर्दडष्ट प्रदक्रया-संबंधी
अपेक्षाएँ सजममजलत ह”ैं के स्ट्थाि पर िब्द, अंक तथा जचह्ि “को िेयरों आदद (प्रजतभूजतयों / जसक्यूठरटीज़) के
रांसफर (अतं रण) और रांसजमिि (पारेषण) के संबंध म ें जिजियम 40 म ें ददए हुए प्रािधािों का पालि करि े
के साथ-साथ प्रदक्रया के संबंध म ें बोडड द्वारा समय-समय पर जिधाडठरत दकए िािे िाल े प्रािधािों आदद का
पालि करिा होगा” आ िाएंगे ।

SECURITIES AND EXCHANGE BOARD OF INDIA (LISTING OBLIGATIONS AND
DISCLOSURE REQUIREMENTS) (SECOND AMENDMENT) REGULATIONS, 2026
No. SEBI/LAD-NRO/GN/2026/312.—In exercise of the powers conferred by section 11, section
11A(2) and section 30 of the Securities and Exchange Board of India Act, 1992 (15 of 1992) read with
section 31 of the Securities Contracts (Regulation) Act, 1956 (42 of 1956), the Board hereby makes the
following regulations to further amend the Securities and Exchange Board of India (Listing Obligations and
Disclosure Requirements) Regulations, 2015, namely: -[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 3
1. These regulations may be called the Securities and Exchange Board of India (Listing Obligations and
Disclosure Requirements) (Second Amendment) Regulations, 2026.
2. They shall come into force on the date of their publication in the Official Gazette.
3. In the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements)
Regulations, 2015 –
I. regulation 40(7) shall be substituted with the following, namely, -
“(7) The listed entity shall comply with all procedural requirements with respect to transfer
and transmission of securities as specified by the Board from time to time.”
II. in regulation 61(4), the words and symbol “specified in Schedule VII” shall be substituted
with the words “as specified by the Board from time to time”.
III. in schedule VII, clause C shall be omitted.
