प्रजतभूजत और जिजनमय बोडड [सूचीबद्धता (जलस्स्ट्टग) बाध्यताएँ और प्रकटीकरण ऄपेक्षाएँ] जिजनयम, 2015 का और
संिोधन करने के जलए जनम्नजलजखत जिजनयम बनाता ह,ै ऄथाडत्:-
1. आन जिजनयमों को भारतीय प्रजतभूजत और जिजनमय बोडड [सूचीबद्धता (जलस्स्ट्टग) बाध्यताए ँ और प्रकटीकरण
ऄपेक्षाएँ] (चौथा संिोधन) जिजनयम, 2021 कहा जा सकेगा ।
2. िे राजपत्र में ईनके प्रकािन की तारीख को लागू होंगे ।
3. भारतीय प्रजतभूजत और जिजनमय बोडड [सूचीबद्धता (जलस्स्ट्टग) बाध्यताएँ और प्रकटीकरण ऄपेक्षाएँ] जिजनयम,
2015 में,-
I. जिजनयम 52 में,
क. ईप-जिजनयम (4) में, खंड (क), (ख), (घ) एिं (ङ) का लोप हो जाएगा ।

II. जिजनयम 57 में,
क. िीर्डक में, िब्दों तथा जचह्नों “स्ट्टॉक एक्सचेंज (एक्सचेंजों) को” के पश्चात्, िब्द तथा जचह्न
“प्रस्ट्तुत की जाने िाली सूचनाएँ /” ऄंतःस्ट्थाजपत दकए जाएंगे।
ख. ईप-जिजनयम (2) का लोप हो जाएगा ।
III. जिजनयम 58 में,
क. िीर्डक में, िब्द “ऋण” और िब्दों “और ऄसंपठरितडनीय ऄजधमानी िेयरों” का लोप हो जाएगा ।

REGULATIONS, 2021
No. SEBI/LAD-NRO/GN/2021/42.—In exercise of the powers conferred by section 11, sub-
section (2) of section 11A and section 30 of the Securities and Exchange Board of India Act, 1992 (15 of
1992) read with section 31 of the Securities Contracts (Regulation) Act, 1956 (42 of 1956), the Board
hereby makes the following regulations to further amend the Securities and Exchange Board of India
(Listing Obligations and Disclosure Requirements) Regulations, 2015, namely:-[भाग III—खण् ड 4] भारत का राजपत्र : ऄसाधारण 5
1. These regulations may be called the Securities and Exchange Board of India (Listing Obligations and
Disclosure Requirements) (Fourth Amendment) Regulations, 2021.
2. They shall come into force on the date of their publication in the Official Gazette.
3. In the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements)
Regulations, 2015,-
I. in regulation 52,
a. in sub-regulation (4), clauses (a), (b), (d) and (e) shall be omitted.
II. in regulation 57,
a. in the heading, the word and symbol “Intimations/” shall be inserted before the
word “Other”.
b. sub-regulation (2) shall be omitted.
III. in regulation 58,
a. in the heading, the words “debt” and “and non-convertible preference shares” shall
be omitted.
b. in sub-regulation (1), clause (a) shall be substituted with the following, namely,-
c. “(a) Soft copies of the full annual reports to all the holders of non-convertible
securities who have registered their email address(es) either with the listed entity or
with any depository;”
d. in sub-regulation (1), in clause (b), the words “preference share” shall be substituted
with the word “securities”.
e. in sub-regulation (1), in clause (c), the words “debt” and “and non convertible
preference share” shall be omitted
f. in sub-regulation (1), clause (d) shall be omitted.
IV. in regulation 61,
a. in sub-regulation (1), the words “non-convertible debt securities and/or’ shall be
inserted after the words “dividend of”.
b. in sub-regulation (1), the second proviso shall be omitted.
