म,ें उप-जिजनयम (1) में, खंड (ञक) में, िब्दों “इदिटी डेठरिेठटि” के बाद और िब्दों तथा जचह्नों “और ऐसा अन्य जलखत (इंस्ट्ूमेंट)” स े पहले जचह्न तथा िब्द “, रीट (ठरयल इस्ट्टेट जनिेि न्यास) की यूजनटें” िोडे म,ें- क) िब्दों तथा जचह्नों “कोई भी ‘जििेष जनिेि फंड’ दकसी एक कंपनी के पेड-अप कैजपटल (समादत्त पूँिी) [मताजधकारों िाली] के पद्रं ह प्रजतित स ेज्यादा पेड अप कैजपटल म ेंजनिेि (अपनी हर ‘जनिेि योिना’ के अतं गतड दकए गए जनिेि को जमलाकर) नहीं करेगी” के स्ट्थान पर िब्द तथा जचह्न “कोई भी ‘जििेष जनिेि फंड’ (स्ट्पिे लाइज़्ड इन्िेस्ट्टमेंट फंड) अपनी सभी जनिेि योिनाओं (इन्िेस्ट्टमेंट स्ट्रेटेिी) के तहत, यथाजस्ट्थजत, दकसी एक कंपनी की मताजधकारों िाली पडे -अप कैजपटल में स ेपंद्रह प्रजतित से ज्यादा की जहस्ट्सेदारी नहीं रखेगा या दकसी एक इश्यअु र द्वारा िारी की गई रीट की यूजनटों में से पंद्रह प्रजतित स े ज्यादा यूजनटें नहीं रखेगा” आ िाएँगे; ख) स्ट्पष्टीकरण के स्ट्थान पर जनम्नजलजखत स्ट्पष्टीकरण आ िाएगा, अथाडत,् - “स्ट्पष्टीकरण: यदद दकसी म्यूचुअल फंड के पास अपनी सभी स्ट्कीमों के अंतगडत दकसी एक कंपनी की मताजधकारों िाली पेड-अप कैजपटल म ें से दस प्रजतित की जहस्ट्सेदारी हो या दकसी एक इश्यअु र द्वारा िारी की गई रीट की यूजनटों म ें से दस प्रजतित यूजनटें हों, तो ऐसे में ‘जििेष जनिेि फंड’ (स्ट्पिे लाइज़्ड इन्िेस्ट्टमेंट फंड) अपनी सभी जनिेि योिनाओं (इन्िेस्ट्टमेंट स्ट्रेटेिी) के तहत, यथाजस्ट्थजत, उस कंपनी की मताजधकारों िाली पडे -अप कैजपटल म ें स े पाँच प्रजतित से ज्यादा की जहस्ट्सेदारी नहीं रखगे ा या उस इश्यअु र द्वारा िारी की गई रीट की यूजनटों में से पाँच प्रजतित से ज्यादा यूजनटें नहीं रखगे ा ।” (ii) उप-जिजनयम (3) म,ें िब्द “कंपनी” के स्ट्थान पर िब्द “एंठटटी” आ िाएगा; (iii) उप-जिजनयम (4) म,ें - क) जचह्नों तथा िब्दों “ ‘जििेष जनिेि फंड’ ” के बाद और िब्दों “इनजिट की यूजनटों” स े पहले ददए हुए िब्द “रीट और” हट िाएँगे; ख) खंड (क) म,ें िब्द “रीट और” हट िाएँगे; ग) खंड (ख) म,ें उप-खंड (i) में, िब्द AMENDMENT) REGULATIONS, 2025 F. No. SEBI/LAD-NRO/GN/2025/272.—In exercise of the powers conferred by section 30 read with clause (c) of sub-section (2) of section 11 of the Securities and Exchange Board of India Act, 1992 (15 of 1992), the Board hereby makes the following regulations to further amend the Securities and Exchange Board of India (Mutual Funds) Regulations, 1996, namely— 1. These Regulations may be called the Securities and Exchange Board of India (Mutual Funds) (Second Amendment) Regulations, 2025. 2. They shall come into force on the date of their publication in the Official Gazette. 3. In the Securities and Exchange Board of India (Mutual Funds) Regulations, 1996, - (I) In Chapter I, in regulation 2, in sub-regulation (1), in clause (ja), after the words “equity derivatives” and before the words “and such other instrument”, the words and symbols “, units of Real Estate Investment Trust” shall be inserted. (II) In Chapter VI, in regulation 49, in sub-regulation (3), the words and figures “95 per cent” shall be substituted with the words and figures “97 per cent”. (III) In Chapter VI-C, in regulation 49AA, (i) in sub-regulation (2), a) after the words “paid up capital carrying voting rights”, the words and symbol “or fifteen per cent of units of REITs issued by a single issuer, as the case may be” shall be inserted; b) the Explanation shall be substituted with the following, namely – “Explanation: If a mutual fund under all its schemes owns ten per cent of any company’s paid up capital carrying voting rights or ten per cent of units of REITs issued by a single issuer, as the case may be, then the Specialized Investment Fund under all its investment strategies shall not own more than five per cent of that company’s paid up capital carrying voting rights or five per cent of units of REITs issued by a single issuer respectively, as the case may be. (ii) in sub-regulation (3), the words “of any company” shall be substituted with “of any entity”; (iii) in sub-regulation (4), a) after the words “may invest in the units of” and before the words and symbol “InvITs subject to the following:”, the words “REITs and” shall be omitted; b) in clause (a), the words “REIT and” shall be omitted; c) in clause (b), in sub-clause (i), the words “REITs and” shall be omitted; d) in clause (b), in sub-clause (ii), the words “REIT and” shall be omitted; e) in the proviso to clause (b), the words “REIT and” shall be omitted.[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 9 (IV) In Chapter VII, in regulation 52, in sub-regulation (6A), clause (b) shall be omitted.
