फा. स.ं सबे ी/एलएडी-एिआरओ/िीएि/2025/251.—बोड,ड भारतीय प्रजतभूजत और जिजिमय बोडड अजधजियम,
1992 (1992 का 15) की धारा 11, 12 और 19 के साथ पठित धारा 30 द्वारा प्रदाि की गई िजक्तयों का प्रयोग करत े
हुए, एतद्द्वारा भारतीय प्रजतभूजत और जिजिमय बोडड (प्रजतभूजत बािार में सहय क्त व्यजक्तयों का प्रमाणीकरण) जिजियम,
2007 का और संिोधि करिे के जलए जिम्नजलजखत जिजियम बिाता है, अथाडत,् -
1. इि जिजियमों को भारतीय प्रजतभूजत और जिजिमय बोडड (प्रजतभूजत बािार में सहय क्त व्यजक्तयों का प्रमाणीकरण)
(संिोधि) जिजियम, 2025 कहा िा सकेगा ।
2. ये जिजियम रािपत्र म ेंइिके प्रकाजित होिे की तारीख से लाग ूहोंगे ।
3. भारतीय प्रजतभूजत और जिजिमय बोडड (प्रजतभूजत बािार म ेंसहय क्त व्यजक्तयों का प्रमाणीकरण) जिजियम, 2007 म,ें-

I. जिजियम 3 में, -
क. उप-जिजियम (1) और उसके परंत क के स्ट्थाि पर जिम्नजलजखत उप-जिजियम और परंत क आ िाएँगे,
अथाडत,् -
“(1) बोड डयह बता सकेगा दक दकि-दकि िगों के मध्यिर्तडयों (इंटरमीजडयरी) से िड़ िे या उिके यहाँ
कायड करिे के जलए दकि-दकि िगों के सहयोगी (सहय क्त) व्यजक्तयों को िरूरी प्रमाणपत्र हाजसल
करिा होगा, और उन्ह ेंयह प्रमाणपत्र उतिे ही समय में हाजसल करिा होगा िो बोड डद्वारा बताया
िाए:
परंत यह दक भारतीय प्रजतभूजत और जिजिमय बोड ड (प्रजतभूजत बािार में सहय क्त व्यजक्तयों
का प्रमाणीकरण) (संिोधि) जिजियम, 2025 के लाग ूहोिे से पहले इस उप-जिजियम के तहत बोडड
द्वारा िारी की गई कोई भी अजधसूचिा तब तक लाग ूरहगे ी, िब तक दक उसे जिरस्ट्त ि कर ददया
िाए।”;
ख. उप-जिजियम (2) हट िाएगा;
ग. उप-जिजियम (4) म,ें िब्दों, जचह्िों तथा अंकों “उप-जिजियम (1) और (2) के अधीि अजधसूचिा िारी
करि े के प्रयोिि के जलए जिम्नजलजखत पर जिचार करेगा” के स्ट्थाि पर िब्द, जचह्ि तथा अंक
“उप-जिजियम (1) के प्रयोििाथड जिम्नजलजखत पर गौर कर सकेगा” आ िाएगँ े ।
II. जिजियम 4 में, उप-जिजियम (3) म,ें िब्दों, जचह्िों तथा अकं ों “सहय क्त व्यजक्त, प्रधाि-व्यजक्त से जभन्न,
जिसिे पचास िषड की आय परू ी कर ली हो या जिसका जिजियम के उि-जिजियम (1) के अधीि िारी
अजधसूचिा में जिजिर्दडष्ट तारीख को जिजियम 3 के उप-जिजियम (4) म ेंउजल्लजखत दियाकलापों में प्रजतभूजत
बािारों में कम से कम दस िषों का अि भि हो, उप-जिजियम (1) के खंड (क) या खंड (ख) म ें जिजिर्दडष्ट
रीजत स ेस संगत प्रिग डम ेंप्रमाणपत्र अजभप्राप्त करेगा ।” के स्ट्थाि पर िब्द, अंक तथा जचह्ि “जिजियम 3 के
उप-जिजियम (1) के तहत, बोड डद्वारा बताई िािे िाली तारीख तक की जस्ट्थजत के अि सार जिस सहयोगी
(सहय क्त) व्यजक्त (प्रधाि-व्यजक्त को छोड़कर) की या तो आय पचास िषड की हो च की हो या दफर जिसके
पास प्रजतभूजत बािार (जसक्यूठरटीज़ माकेट) म ें ि े काय ड करि े का कम स े कम दस िषों का अि भि हो,
जििका जिि जिजियम 3 के उप-जिजियम (4) में दकया गया ह,ै उसे संबंजधत िगड का प्रमाणपत्र उसी तरह
हाजसल करिा होगा िैसा उप-जिजियम (1) के खडं (क) या खडं (ख) में बताया गया ह ै।” आ िाएँगे ।
III. जिजियम 6 के स्ट्थाि पर जिम्नजलजखत जिजियम आ िाएगा, अथाडत्,-
“6. जिजियम 3 के उप-जिजियम (4) के खडं (क) से (च) म ेंजिि कायों का जिि दकया गया ह ैउिमें से
कोई कायड करि ेिाला सहयोगी (सहय क्त) व्यजक्त ऐसा कायड आगे तब तक िहीं कर सकेगा, िब तक दक
िह जिजियम 3 के उप-जिजियम (1) के तहत बोडड द्वारा बताया गया प्रमाणपत्र (िो मान्य हो) हाजसल ि
कर ले ।”

SECURITIES AND EXCHANGE BOARD OF INDIA (CERTIFICATION OF ASSOCIATED PERSONS IN
THE SECURITIES MARKETS) (AMENDMENT) REGULATIONS, 2025
F. No. SEBI/LAD-NRO/GN/2025/251.—In exercise of the powers conferred by section 30 read with
sections 11, 12 and 19 of the Securities and Exchange Board of India Act, 1992 (15 of 1992), the Board hereby makes
the following regulations to further amend the Securities and Exchange Board of India (Certification of Associated
Persons in the Securities Markets) Regulations, 2007, namely, -
1. These regulations may be called the Securities and Exchange Board of India (Certification of Associated
Persons in the Securities Markets) (Amendment) Regulations, 2025.
2. They shall come into force on the date of their publication in the Official Gazette.
3. In the Securities and Exchange Board of India (Certification of Associated Persons in the Securities Markets)
Regulations, 2007, -
I. in regulation 3, -
a. sub-regulation (1) along with the proviso thereto shall be substituted with the following, namely,-
“(1) The Board may specify such categories of associated persons to obtain the requisite
certificate for engagement or employment with such classes of intermediaries, and within such
time as may be specified by the Board:
Provided that any notification previously issued by the Board under this sub-regulation prior
to the coming into force of the Securities and Exchange Board of India (Certification of
Associated Persons in the Securities Markets) (Amendment) Regulations, 2025 shall continue to
remain in force till such time the notification is rescinded.”;
b. sub-regulation (2) shall be omitted;
c. in sub-regulation (4), the words, symbols and numbers “purpose of issuing notification under sub
regulations (1) and (2) shall” shall be substituted with the words, symbols and number, namely,
“purposes of sub-regulation (1) may”.
II. in regulation 4, in sub-regulation (3), the words “specified in the notification issued” shall be
substituted with the words “as may be specified by the Board”.
III. regulation 6 shall be substituted with the following, namely, -
“6. No associated person engaged in any of the activities mentioned in clauses (a) to (f) of sub-
regulation (4) of regulation 3 shall continue to be so engaged unless such a person holds a valid
certificate as specified by the Board under sub regulation (1) of regulation 3.”.
