(1) इन िविनयमन3 का संि(cid:24)= नाम भारतीय (cid:4)दवाला और शोधन अ(cid:24)मता बोड (cid:13) ((cid:4)दवाला 7ावसाियक) (संशोधन) िविनयमन, 2018 है । (2) ये 1 अ0ैल, 2018 से 0वृ1 ह3गे । 2. भारतीय (cid:4)दवाला और शोधन अ(cid:24)मता बोड (cid:13) ((cid:4)दवाला 7ावसाियक) िविनयमन, 2016 (िजBह C इसके पEात् मूल िविनयमन कहा गया ह)ै मC, िविनयमन 3 के उप-िविनयमन (3) के Gथान पर िन8िलिखत उप-िविनयमन रखा जाएगा, अथा(cid:13)त:्- “(3) सीिमत (cid:4)दवाला परी(cid:24)ा का पाHIम, 0ाJप, अहक(cid:13) अंक और उसक’ बारंबारता, परी(cid:24)ा से कम से कम तीन माह पूव(cid:13) बोड (cid:13)क’ वेबसाइट पर 0कािशत क’ जाएगी ।” 3. मूल िविनयमन3 के िविनयमन 5 के Gथान पर िन8िलिखत िविनयमन रखा जाएगा, अथा(cid:13)त्:- “5. अअअअहहहह(cid:22)त(cid:22)त(cid:22)त(cid:22)तााााएएएएं ं ं ं औऔऔऔरररर अअअअननननभभुुभभुु वववव – (1) इन िविनयमन3 के अBय उपबंध3 के अधीन रहते 5ए, कोई 7ि2 पंजीकरण के िलए तभी पाO होगा, य(cid:4)द उसने – (क) (cid:4)दवाला 7ावसाियक एजCसी के पास नामांकन के िलए अपने आवेदन क’ तारीख से पूव(cid:13) बारह माह के भीतर सीिमत (cid:4)दवाला परी(cid:24)ा उ1ीण(cid:13) कर ली है; (ख) उसने (cid:4)कसी (cid:4)दवाला 7ावसाियक एजCसी मC 7वसाियक सदGय के Jप मC नामांकन के पEात से ऐसा पंजीकरण-पूव(cid:13) शैि(cid:24)क पाHIम पूरा कर िलया ह,ै जैसी (cid:4)क बोड (cid:13)/ारा अपे(cid:24)ा क’ जाए; और 1878GI/2018 (1)2 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC. 4] (ग) उसने – (i) बोड(cid:13) /ारा यथा-अनुमो(cid:4)दत राTीय (cid:4)दवाला काय(cid:13)Iम सफलतापूव(cid:13)क पूरा कर िलया ह;ै (ii) बोड(cid:13) /ारा यथा-अनुमो(cid:4)दत Vातक (cid:4)दवाला काय(cid:13)Iम सफलतापूव(cid:13)क पूरा कर िलया ह;ै (iii) िविध /ारा Gथािपत या माBयता0ा= (cid:4)कसी िवWिवXालय से बैचलर िडYी 0ा= करने के पEात् 0बंधन का पBZह वष(cid:13) का अऩुभव ह;ै अथवा (iv) के Jप मC दस वष(cid:13) का अनुभव ह-ै (क) भारतीय चाट(cid:13)ड(cid:13) अकाउंटCट संGथान के सदGय के Jप मC पंजीकृत चाट(cid:13)ड (cid:13)अकाउंटCट, (ख) भारतीय कंपनी सिचव संGथान के सदGय के Jप मC पंजीकृत कंपनी सिचव, (ग) भारतीय लागत लेखाकार संGथान के सदGय के Jप मC पंजीकृत लागत लेखाकार, या (घ) बार काउंिसल मC पंजीकृत अिधव2ा ।” 4. मूल िविनयमन3 के िविनयमन 7 के उप-िविनयमन (2) के खंड (ख) के पEात् िन8िलिखत खंड अंतःGथािपत (cid:4)कए जाएंगे, अथा(cid:13)त:्- “(खक) ऐसी िनरंतर 7ावसाियक िश(cid:24)ा पूरी करेगा, जैसी (cid:4)क बोड (cid:13)/ारा अपे(cid:24)ा क’ जाए; (खख) संिहता के अधीन अपने (cid:4)कसी कत(cid:13)7 और उ1रदािय_व का पालन, िसवाय उनके जो बोड (cid:13)/ारा िविन‘द(cid:13)a Jप से अनुbात ह,c बाहरी dोत से नहe कराएगा ।” 5. मूल िविनयमन3 के िविनयमन 12 मC, उप-िविनयमन (1) के Gथान पर िन8िलिखत उप-िविनयमन रखा जाएगा, अथा(cid:13)त्:- “(1) (cid:4)कसी कंपनी, (cid:4)कसी रिजGfीकृत भागीदारी फम(cid:13) या (cid:4)कसी सीिमत दािय_व भागीदारी को (cid:4)कसी (cid:4)दवाला 7ावसाियक संGथा के Jप मC तभी माBयता दी जा सकेगी, य(cid:4)द – (क) उसका एकमाO उgेhय ऐसे (cid:4)दवाला 7ावसाियक3 को, जो (cid:4)क उसके, यथािGथित, भागीदार या िनदशे क हc, सहायता सेवाए ं 0दान करना ह;ै (ख) उसका शुi मू(cid:6)य एक करोड़ kपए से कम नहe ह;ै (ग) उसके अिधकांश शेयर ऐसे (cid:4)दवाला 7ावसाियक3 /ारा धा,रत ह,c जो य(cid:4)द वह एक कंपनी ह ैतो उसके िनदशे क ह;c (घ) अिधकांश पूंजी अंशदान ऐसे (cid:4)दवाला 7ावसाियक3 /ारा (cid:4)कया जाता ह,ै जो (cid:4)क य(cid:4)द वह एक सीिमत दािय_व भागीदारी फम(cid:13) या कोई रिजGfीकृत भागीदारी फम(cid:13) है तो उसके भागीदार ह;c (ङ) उसके अिधकांश, यथािGथित, भागीदार या िनदशे क (cid:4)दवाला 7ावसाियक हc; (च) उसके अिधकांश पूण(cid:13)कािलक िनदशे क, य(cid:4)द वह एक कंपनी ह,ै (cid:4)दवाला 7ावसाियक हc; और (छ) उसका कोई भी भागीदार या िनदशे क (cid:4)कसी अBय (cid:4)दवाला 7ावसाियक संGथा का भागीदार या िनदशे क नहe है : परBतु भारतीय (cid:4)दवाला और शोधन (cid:24)मता बोड (cid:13) ((cid:4)दवाला 7ावसाियक) (संशोधन) िविनयमन, 2018 के 0ारंभ क’ तारीख को माBयता0ा= (cid:4)दवाला 7ावसाियक संGथाए,ं खंड (क), खंड (ख), खंड (ग) और खंड (घ) के उपबंध3 का 30 िसतoबर, 2018 को या इससे पूव(cid:13) और खंड (ग) और खंड (घ) के उपबंध3 का 30 जून, 2018 को या इससे पूव(cid:13) अनुपालन करCगी ।” 6. मूल िविनयमन3 क’ पहली अनुसूची मC,- (iiii) ““““[[[[िविनयमन 7(2)(छ) के अधीन]]]]”””” के Gथान पर िन8िलिखत रखा जाएगा, अथा(cid:13)त्::::---- ““““[[[[िविनयमन 7(2)(ज) के अधीन]]]]””””;;;; (iiiiiiii) मद (8) के पEात् िन8िलिखत मद अंतःGथािपत क’ जाएगी, अथा(cid:13)त::्::---- """"8क. कोई (cid:4)दवाला 7ावसाियक, लेनदार3 क’ सिमित और उस (cid:4)दवाला 7ावसाियक एजCसी को, िजसका वह 7ावसाियक सदGय ह,ै इस बारे मC 0कटीकरण करेगा (cid:4)क pया वह (cid:4)कसी बcक या (cid:4)कसी िव1ीय संGथा का कम(cid:13)चारी था या उनके /ारा पैनिलत (cid:4)कया गया ह ैऔर एजCसी ऐसे 0कटन को अपनी वेबसाइट पर 0कािशत करेगी ।"""";;;;¹Hkkx IIIµ[k.M 4º Hkkjr dk jkti=k % vlk/kj.k 3 (iiiiiiiiiiii) मद (25) के पEात् िन8िलिखत मद अंतःGथािपत क’ जाएगी, अथा(cid:13)त्::::---- ““““25क. (1) These regulations may be called the Insolvency and Bankruptcy Board of India (Insolvency Professionals) (Amendment) Regulations, 2018.¹Hkkx IIIµ[k.M 4º Hkkjr dk jkti=k % vlk/kj.k 7 (2) They shall come into force on 1st April, 2018. 2. In the Insolvency and Bankruptcy Board of India (Insolvency Professionals) Regulations, 2016 (hereinafter referred to as principal regulations), in regulation 3, for sub-regulation (3), the following sub-regulation shall be substituted, namely: - “(3) The syllabus, format, qualifying marks and frequency of the Limited Insolvency Examination shall be published on the website of the Board at least three months before the examination.”. 3. In the principal regulations, for regulation 5, the following regulation shall be substituted, namely: - “5. Qualifications and experience.- Subject to the other provisions of these regulations, an individual shall be eligible for registration, if he - (a) has passed the Limited Insolvency Examination within twelve months before the date of his application for enrolment with the insolvency professional agency; (b) has completed a pre-registration educational course, as may be required by the Board, from an insolvency professional agency after his enrolment as a professional member; and (c) has- (i) successfully completed the National Insolvency Programme, as may be approved by the Board; (ii) successfully completed the Graduate Insolvency Programme, as may approved by the Board; (iii) fifteen years’ of experience in management, after receiving a Bachelor’s degree from a university established or recognised by law; or (iv) ten years’ of experience as – (a) chartered accountant registered as a member of the Institute of Chartered Accountants of India, (b) company secretary registered as a member of the Institute of Company Secretaries of India, (c) cost accountant registered as a member of the Institute of Cost Accountants of India, or (d) advocate enrolled with the Bar Council.”. 4. In the principal regulations, in regulation 7, in sub-regulation (2), after clause (b), the following clauses shall be inserted, namely: - “(ba) undergo continuing professional education, as may be required by the Board; (bb) not outsource any of his duties and responsibilities under the Code, except those specifically permitted by the Board.”. 5. In the principal regulations, in regulation 12, for sub-regulation (1), the following sub-regulation shall be substituted, namely: - “(1) A company, a registered partnership firm or a limited liability partnership may be recognised as an insolvency professional entity, if – (a) its sole objective is to provide support services to insolvency professionals, who are its partners or directors, as the case may be; (b) it has a net worth of not less than one crore rupees; (c) majority of its shares is held by insolvency professionals, who are its directors, in case it is a company; (d) majority of capital contribution is made by insolvency professionals, who are its partners, in case it is a limited liability partnership firm or a registered partnership firm; (e) majority of its partners or directors, as the case may be, are insolvency professionals; (f) majority of its whole time directors are insolvency professionals, in case it is a company; and (g) none of its partners or directors is a partner or a director of another insolvency professional entity: Provided that the insolvency professional entities recognised as on the date of commencement of the Insolvency and Bankruptcy Board of India (Insolvency Professionals) (Amendment) Regulations, 2018 shall comply with the provisions of clauses (a), (b) (c) and (d) on or before 30th September, 2018 and the provisions of clauses (e), (f) and (g) on or before 30th June, 2018.”.8 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC. 4] 6. In the principal regulations, in the First Schedule, - (i) for “[ Under regulation 7(2)(g)]” the following shall be substituted, namely: - “[Under regulation 7 (2) (h)]”; (ii) after item (8), the following item shall be inserted, namely: - “8A. An insolvency professional shall disclose as to whether he was an employee of or has been in the panel of any financial creditor of the corporate debtor, to the committee of creditors and to the insolvency professional agency of which he is a professional member and the agency shall publish such disclosure on its website.”; (iii) after item (25), the following item shall be inserted, namely: - “25A. An insolvency professional shall disclose the fee payable to him, the fee payable to the insolvency professional entity, and the fee payable to professionals engaged by him to the insolvency professional agency of which he is a professional member and the agency shall publish such disclosure on its website.”. 7.
