(1) जडबेंचर न्यासी, स्ट्टॉक एक्सचेंि (एक्सचेंिों) के पास प्रारूप प्रस्ट्ताि दस्ट्तािेि (ड्राफ्ट ऑिर डॉक्यूमेंट) दाजखल करत े समय और ऋण प्रजतभूजतयों (डैट जसक्यूररटीज़) का पजब्लक इश्य ू (सािडिजिक जिगडम) ख लि े स े पहल,े बोडड और स्ट्टॉक एक्सचेंि (एक्सचेंिों) के पास ‘पूरी सािधािी (तत्परता) बरते िािे संबंधी प्रमाणपत्र’ (ड्यू जडजलिेंस सर्टडदिकेट): (क) िमािती ऋण प्रजतभूजतयों (जसक्योडड डैट जसक्यूररटीज़) के मामले म,ें इि जिजियमों की अिस ूची-IV के भाग-क म ें जिधाडररत दकए गए िॉमेट म ें प्रस्ट्त त करेगा; और (ख) गैर-िमािती ऋण प्रजतभूजतयों (अिजसक्योडड डैट जसक्यूररटीज़) के मामले म,ें इि जिजियमों की अि सूची-IVक के भाग-क म ेंजिधाडररत दकए गए िॉमेट म ें प्रस्ट्तत करेगा । (2) जडबेंचर न्यासी जिगडमकता ड (इश्यअ र) द्वारा सूचीबद्धता (जलसस्ट्टंग) हते आिेदि दाजखल दकए िािे के समय, बोडड और स्ट्टॉक एक्सचेंि (एक्सचेंिों) के पास ‘पूरी सािधािी (तत्परता) बरत े िािे संबंधी प्रमाणपत्र’ (ड्यू जडजलिेंस सर्टडदिकेट): (क) िमािती ऋण प्रजतभूजतयों (जसक्योडड डैट जसक्यूररटीज़) के मामल े म,ें इि जिजियमों की अि सचू ी-IV के भाग-ख म ें जिधाडररत दकए गए िॉमेट म ें प्रस्ट्त त करेगा; और (ख) गैर-िमािती ऋण प्रजतभूजतयों (अिजसक्योडड डैट जसक्यूररटीज़) के मामले म,ें इि जिजियमों की अि सूची-IVक के भाग-ख म ेंजिधाडररत दकए गए िॉमेट म ें प्रस्ट्तत करेगा । (3) स्ट्टॉक एक्सचेंि प्रस्ट्ताि दस्ट्तािेि (ऑिर डॉक्यूमेंट) और जडबेंचर न्यासी की ओर स े प्राप्त ‘परू ी सािधािी (तत्परता) बरते िाि े संबंधी प्रमाणपत्र’ (ड्य ूजडजलिेंस सर्टडदिकेट) अपिे िेबसाइट पर डलिाएगा ।” III. जिजियम 44 म,ें उप-जिजियम (3) के स्ट्र्ाि पर जिम्नजलजखत उप-जिजियम आ िाएगं े, अर्ाडत्,- “(3) जडबेंचर न्यासी स्ट्टॉक एक्सचेंि के पास ‘परू ी सािधािी (तत्परता) बरते िाि े संबंधी प्रमाणपत्र’ (ड्यू जडजलिेंस सर्टडदिकेट): (क) िमािती ऋण प्रजतभूजतयों (जसक्योडड डैट जसक्यूररटीज़) के मामल े म,ें इि जिजियमों की अि सचू ी-IV के भाग-ख म ें जिधाडररत दकए गए िॉमेट म ें प्रस्ट्त त करेगा; और (ख) गैर-िमािती ऋण प्रजतभूजतयों (अिजसक्योडड डैट जसक्यूररटीज़) के मामले म,ें इि जिजियमों की अि सूची-IVक के भाग-ख म ेंजिधाडररत दकए गए िॉमेट म ें प्रस्ट्तत करेगा । (3क) स्ट्टॉक एक्सचेंि प्लेसमेंट मैमोरेंडम और जडबेंचर न्यासी की ओर स े प्राप्त ‘पूरी सािधािी (तत्परता) बरते िािे संबंधी प्रमाणपत्र’ (ड्यू जडजलिेंस सर्टडदिकेट) अपिे िेबसाइट पर डलिाएगा ।” IV. अि सूची-I म,ें खंड 3.3.10 म,ें उप-खंड (क) के बाद और उप-खंड (ख) स ेपहल,े जिम्नजलजखत िोडा िाएगा, अर्ाडत्,- “परंत यह दक, जिि जिगडमकताडओं (इश्य अर) की असंपररितिड ीय प्रजतभूजतयाँ (िॉि-कन्िर्टडबल जसक्यूररटीज़) प्रस्ट्ताि दस्ट्तािेि (ऑिर डॉक्यूमेंट) या प्लेसमेंट मैमोरेंडम दाजखल दकए िािे की तारीख को सूचीबद्ध (जलजस्ट्टड) हों, िे प्रस्ट्ताि दस्ट्तािेि (ऑिर डॉक्यूमेंट) या प्लेसमेंट मैमोरेंडम में लेखापरीजित (ऑजडटेड) जित्तीय जििरणों का केिल एक िेब- सलंक और एक स्ट्टैरटक दिक ररस्ट्पॉन्स कोड (क्यूआर कोड) दे सकेंगे, बिते दक: (i) ऐस े सूचीबद्ध जिगडमकता ड (जलजस्ट्टड इश्यअ र) प्रस्ट्ताि दस्ट्ताििे (ऑिर डॉक्यूमेंट) म ें जपछले तीि पूरे िषों हते , अलग-अलग तर्ा समेदकत रूप स,े कामकाि के म ख्य-म ख्य पहल ओं और मख् य-मख् य जित्तीय पहल ओं के जलहाि स े एक त लिात्मक जििरण प्रस्ट्तत करेंग,े जिसे उस सांजिजधक लखे ापरीिक (उि सांजिजधक लेखापरीिकों) [स्ट्टैट्यूटरी[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 3 ऑजडटर] द्वारा प्रमाजणत दकया िाए जिसके (जििके) पास भारतीय चाटडड ड अकाउंटेन्ट संस्ट्र्ाि (इंजस्ट्टट्यूट ऑि चाटडड ड अकाउंटेन्ट ऑि इंजडया) के पीयर ररव्य ू बोडड द्वारा िारी दकया गया मान्य प्रमाणपत्र हो । (ii) उस स्ट्टैरटक दिक ररस्ट्पॉन्स कोड (क्यूआर कोड) को स्ट्कैि करिे पर या िेब-सलंक पर जक्लक करिे पर, स्ट्टॉक एक्सचेंि के िेबसाइट का िह जहस्ट्सा खल िाए िहाँ ऐसे जिगडमकता ड (इश्य अर) के जपछल े तीि जित्तीय िषों के लेखापरीजित जित्तीय जििरण डलिाए गए हों ।” V. अि सूची-IV और अि सूची-IVक के स्ट्र्ाि पर जिम्नजलजखत अि सूजचयाँ आ िाएगं ी, अर्ाडत,् - 1. These regulations may be called the Securities and Exchange Board of India (Issue and Listing of Non- Convertible Securities) (Amendment) Regulations, 2024. 2. They shall come into force on the date of their publication in the Official Gazette. 3. In the Securities and Exchange Board of India (Issue and Listing of Non-Convertible Securities) Regulations, 2021, I. in regulation 23, after sub-regulation (6), the following shall be inserted, namely,- “(7) (a) The issuer shall fix a record date for the purposes of payment of interest, dividend and payment of redemption or repayment amount or for such other purposes as specified by the Board. (b) Such record date shall be fixed at fifteen days prior to the due date of payment interest or dividend, repayment of principal or any other corporate actions.” II. regulation 40 shall be substituted with the following namely,- “Due Diligence by Debenture trustee 40. (1) The debenture trustee shall, at the time of filing the draft offer document with the stock exchange(s) and prior to the opening of the public issue of debt securities, furnish to the Board and to the stock exchange(s), a due diligence certificate: (a) in case of secured debt securities, in the format as specified in Part A of Schedule IV of these regulations; and (b) in case of unsecured debt securities, in the format as specified in Part A of Schedule IVA of these regulations. (2) The debenture trustee shall at the time of filing of the listing application by the issuer, furnish to the Board and to the stock exchange(s), a due diligence certificate: (a) in case of secured debt securities, in the format as specified in Part B of Schedule IV of these regulations; and (b) in case of unsecured debt securities, in the format as specified in Part B of Schedule IVA of these regulations. (3) The stock exchange shall disclose the offer document and due diligence certificates provided by the debenture trustee on its website.” III. in regulation 44, sub-regulation (3) shall be substituted with the following, namely,- “(3) The debenture trustee shall submit a due diligence certificate to the stock exchange: (a) in case of secured debt securities, in the format as specified in Part B of Schedule IV of these regulations; and (b) in case of unsecured debt securities, in the format as specified in Part B of Schedule IVA of these regulations. (3A) The stock exchange shall disclose the placement memorandum and the due diligence certificates provided by the debenture trustee on its website.” IV. in Schedule I, clause 3.3.10, after sub-clause (a) and before sub-clause (b), the following shall be inserted, namely,- “Provided that, issuers whose non-convertible securities are listed as on the date of filing of the offer document or placement memorandum, may provide only a web-link and a static quick response code of8 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] the audited financial statements in the offer document or placement memorandum subject to the following conditions: (i) Such listed issuers shall disclose a comparative key operational and financial parameter on a standalone and consolidated basis, certified by the statutory auditor(s) who holds a valid certificate issued by the Peer Review Board of the Institute of Chartered Accountants of India, for the last three completed years in the offer document. (ii) The scanning of such static quick response code or clicking on the web-link, shall display the audited financial statements for last three financial years of such issuer on the website of the stock exchange where such data is hosted.” V. Schedule IV and IV-A shall be substituted with the following, namely,- “SCHEDULE IV FORMAT OF DUE DILIGENCE CERTIFICATE TO BE GIVEN BY THE DEBENTURE TRUSTEE Part A [See Regulation 40(1)(a)] FORMAT OF DUE DILIGENCE CERTIFICATE TO BE GIVEN BY THE DEBENTURE TRUSTEE AT THE TIME OF FILING OF DRAFT OFFER DOCUMENT AND BEFORE OPENING OF THE ISSUE To, Stock Exchange Dear Sir / Madam, SUB.: ISSUE OF ____________________ BY _______________LTD.
