फा. स.ं सबे ी-एलएडी-एनआरओ/िीएन/2025/271.—बोडड, भारतीय प्रजतभूजत और जिजनमय बोडड अजधजनयम,
1992 (1992 का 15) की धारा 30 के तहत प्रदान की गई िजियों का प्रयोग करत े हुए, एतद्द्वारा भारतीय प्रजतभूजत और
जिजनमय बोडड [पूूँिी का जनगमड न (इश्यू) और प्रकटीकरण अपेक्षाएूँ] जिजनयम, 2018 का और संिोधन करने के जलए
जनम्नजलजखत जिजनयम बनाता ह,ै अर्ाडत:् -
1. इन जिजनयमों को भारतीय प्रजतभूजत और जिजनमय बोडड [पिूूँ ी का जनगडमन (इश्य)ू और प्रकटीकरण अपक्षे ाएूँ]
(तीसरा संिोधन) जिजनयम, 2025 कहा िा सकेगा ।
2. ये जिजनयम रािपत्र म ेंइनके प्रकाजित होने की तारीख से तीसिें ददन लाग ूहोंगे ।

3. भारतीय प्रजतभूजत और जिजनमय बोडड [पूूँिी का जनगडमन (इश्य)ू और प्रकटीकरण अपक्षे ाएूँ] जिजनयम, 2018 में, -
I. अनुसूची-XIII में, भाग-क में, परै ा (10) म,ें
(i) उप-पैरा (ग) म,ें खंड (I) में, उप-खंड (i), (ii) और (iii) के स्ट्र्ान पर जनम्नजलजखत उप-खडं आ
िाएंगे, अर्ाडत,्
“(i) कम से कम 2 और ज्यादा से ज्यादा 15 ऐसे जनिेिकों को दो सौ पचास करोड़ रुपये तक
का आबंटन (अलॉटमेंट) करन े की अनुमजत होगी, बित े दक ऐसे प्रत्येक जनिेिक को कम
से कम पाूँच करोड़ रुपये का आबंटन दकया िाए;
(ii) यदद दो सौ पचास करोड़ रुपये से ज्यादा का आबंटन दकया िा रहा हो, तो ऐसे में पहल े
दो सौ पचास करोड़ रुपये तक के जलए कम से कम 5 ऐसे जनिेिकों को और ज्यादा स े
ज्यादा 15 ऐस े जनिेिकों को आबंटन करन े की अनुमजत होगी, दफर उसके बाद िब-िब
और दो सौ पचास करोड़ रुपये का (या उससे कम का) आबंटन दकया िाए, तब-तब ऐस े
15 और जनिेिकों को आबंटन करने की अनुमजत होगी, बित ेदक ऐसे प्रत्येक जनिेिक को
कम से कम पाूँच करोड़ रुपय ेका आबंटन दकया िाए ।
(ii) उप-पैरा (घ) के स्ट्र्ान पर जनम्नजलजखत उप-पैरा आ िाएगा, अर्ाडत्,
“एंकर जनिेिकों का चालीस प्रजतित जहस्ट्सा [उप-पैरा (ख) म ें जनधाडररत सीमाओं के भीतर]
जनम्नानुसार आरजक्षत रखा िाएगा -
(i) भारत के म्यूचअु ल फंडों के जलए 33.33 प्रजतित; और
(ii) िीिन बीमा कंपजनयों तर्ा पेंिन फंडों (जनजधयों) के जलए 6.67 प्रजतित:
जितना जहस्ट्सा आरजक्षत रखने का जिक्र ऊपर खडं (ii) म ें दकया गया ह,ै उसमें से जितने जहस्ट्स े
में पैसा न लगाया गया (िो जहस्ट्सा अंडर-सब्सक्राइब्ड रह गया) हो उतना जहस्ट्सा भारत के
म्यूचुअल फंडों को आबंरटत दकया िा सकेगा ।
स्ट्पष्टीकरण: खडं (ii) के प्रयोिनार्ड,-
(क) “िीिन बीमा कंपनी” का अर् ड ह ै - िह एंरटटी, िो बीमा अजधजनयम, 1938 के
प्रािधानों के तहत भारतीय बीमा जिजनयामक और जिकास प्राजधकरण के यहाूँ रजिस्ट्टर
हो;
(ख) “पेंिन फंड” का अर्ड ह ै - िह फंड, िो पेंिन जनजध जिजनयामक और जिकास प्राजधकरण
अजधजनयम, 2013 के प्रािधानों के तहत पेंिन जनजध जिजनयामक और जिकास
प्राजधकरण के यहाूँ रजिस्ट्टर हो ।”

SECURITIES AND EXCHANGE BOARD OF INDIA (ISSUE OF CAPITAL AND DISCLOSURE
REQUIREMENTS) (THIRD AMENDMENT) REGULATIONS, 2025
F. No. SEBI/LAD-NRO/GN/2025/271.—In exercise of the powers conferred under section 30 of the
Securities and Exchange Board of India Act, 1992 (15 of 1992), the Board hereby makes the following regulations to
further amend the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations,
2018, namely: -
1. These regulations may be called the Securities and Exchange Board of India (Issue of Capital and Disclosure
Requirements) (Third Amendment) Regulations, 2025.
2. They shall come into force on the 30th day from the date of their publication in the Official Gazette.
3. In the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations,
2018, -
I. in Schedule XIII, in Part A, in paragraph (10),
(i) in sub-paragraph (c), in clause (I), sub-clauses (i), (ii), and (iii) shall be substituted with the
following sub-clauses, namely,6 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4]
“(i) minimum of 2 and maximum of 15 such investors shall be permitted for allocation up
to two hundred fifty crore rupees, subject to minimum allotment of five crore rupees
per such investor;
(ii) in case of allocation above two hundred fifty crore rupees, a minimum of 5 such
investors and a maximum of 15 such investors for allocation up to two hundred fifty
crore rupees and an additional 15 such investors for every additional two hundred fifty
crore rupees or part thereof, shall be permitted, subject to a minimum allotment of five
crore rupees per such investor.”
(ii) sub-paragraph (d) shall be substituted with the following sub-paragraph, namely,
“Forty per cent of the anchor investor portion, within the limits specified in sub-paragraph
(b), shall be reserved as under -
(i) 33.33 per cent for domestic mutual funds; and
(ii) 6.67 per cent for life insurance companies and pension funds:
Any under-subscription in the reserved category specified in clause (ii) above may be
allocated to domestic mutual funds.
Explanation: For the purpose of clause (ii), –
(A) “life insurance company” means an entity registered with the Insurance Regulatory
and Development Authority of India under the provisions of the Insurance Act, 1938;
(B) “pension fund” means a fund registered with the Pension Fund Regulatory and
Development Authority under the provisions of the Pension Fund Regulatory and
Development Authority Act, 2013.”.
