(1992 का 15) क(cid:18) धारा 30 (cid:19)ारा (cid:13)द(cid:23) शि(cid:25)य(cid:27) का (cid:13)योग करते (cid:28)ए एत(cid:30)ारा भारतीय (cid:13)ितभूित और िविनमय बोड(cid:12) (पूँजी का िनग(cid:12)मन
और (cid:13)कटीकरण अपे%ाए)ँ िविनयम, 2009 का और संशोधन करने के िलए िन’िलिखत िविनयम बनाता ह,ै अथा(cid:12)त ्:-
1. इन िविनयम(cid:27) को भारतीय (cid:13)ितभूित और िविनमय बोड(cid:12) (पूँजी का िनग(cid:12)मन और (cid:13)कटीकरण अपे%ाएँ) (पाँचवाँ संशोधन)
िविनयम, 2015 कहा जा सकेगा ।
2. वे जनवरी, 2016 के पहले -दन (cid:13)वृ(cid:23) ह(cid:27)ग े।
3. भारतीय (cid:13)ितभूित और िविनमय बोड (cid:12)(पूँजी का िनग(cid:12)मन और (cid:13)कटीकरण अपे%ाएँ) िविनयम, 2009 म:0-
(I) िविनयम 12 म,0 श1द(cid:27) और िच3न "4सिडकेट सद(cid:8)य(cid:27)," के प6ात ् और श1द "हामीदार(cid:27)" से पूव(cid:12), श1द और िच3न
"िनग(cid:12)म रिज(cid:8)8ार और शेयर अंतरण अिभकता(cid:12)9, िन%ेपागार सहभािगय(cid:27), (cid:8)टॉक दलाल(cid:27)," अंतः(cid:8)थािपत -कए
जाएँगे ।
(II) िविनयम 58 म,0 उप-िविनयम (5) िन’िलिखत स े(cid:13)ित(cid:8)थािपत हो जाएगा, अथा(cid:12)त:्-
“(5) सभी, -
(i) साव(cid:12)जिनक िनग(cid:12)म(cid:27) म,0 िनग(cid:12)मकता (cid:12)केवल िन=> रकम से सम?थत आवेदन (ए.एस.बी.ए.) क(cid:18) सुिवधा का
(cid:13)योग करके लगाई गई बोिलय(cid:27) (िब@स) को ही (cid:8)वीकार करेगा, जैसा बोड(cid:12) (cid:19)ारा िविनAदB -कया जाए;

(ii) सािधकार िनग(cid:12)म(cid:27) म,0 जहाँ एक से अनिधक भुगतान िवकCप -दया जाता हो, वहाँ िनग(cid:12)मकता (cid:12) बोड(cid:12) (cid:19)ारा
िविनAदB (cid:13)-Dया तथा पाEता मानदडं (cid:27) के अनुसार िन=> रकम से सम?थत आवेदन (ए.एस.बी.ए.) क(cid:18)
सुिवधा उपल1ध कराएगा:
परंतु यह -क अ?हत सं(cid:8)थागत Dेता9 तथा गैर-सं(cid:8)थागत िनवेशक(cid:27) (िविनधानकता(cid:12)9) के मामल े म 0
िनग(cid:12)मकता (cid:12) केवल िन=> रकम से सम?थत आवेदन (ए.एस.बी.ए.) क(cid:18) सुिवधा का (cid:13)योग करके लगाई
गई बोिलय(cid:27) (िब@स) को ही (cid:8)वीकार करेगा ।”
(III) िविनयम 65 म,0 उप-िविनयम (1) तथा (2) िन’िलिखत से (cid:13)ित(cid:8)थािपत हो जाएँगे, अथा(cid:12)त:्-
“(1) साव(cid:12)जिनक िनग(cid:12)म म,0 अHणी मचIट बJककार (लीड मचIट बJकर) अनुसूची XVI के भाग ग म 0 यथा िविनAदB
िनग(cid:12)म के प6ात ् क(cid:18) अंितम Kरपोट(cid:12), आबंटन के आधार को अंितम Lप -दए जाने क(cid:18) तारीख के सात -दन(cid:27) के भीतर
या िनग(cid:12)म के असफल रहने के मामले म 0धनरािश को लौटाए जाने (Kरफंड) के सात -दन(cid:27) के भीतर (cid:13)(cid:8)तुत करेगा ।
(2) सािधकार िनग(cid:12)म म,0 अHणी मचIट बJककार (लीड मचIट बJकर) िनग(cid:12)म के प6ात ् क(cid:18) Kरपोट(cid:12) िन’ानुसार (cid:13)(cid:8)तुत

Lप -दए जाने क(cid:18) तारीख के पंNह -दन(cid:27) के भीतर या िनग(cid:12)म के असफल रहने के मामल े म 0 धनरािश को
लौटाए जाने (Kरफंड) के पंNह -दन(cid:27) के भीतर।”

Securities And Exchange Board of India (Issue Of Capital and Disclosure Requirements) (Fifth
Amendment) Regulations, 2015
No. SEBI/LAD/NRO/G.N./2015-16/012.─ In exercise of the powers conferred by section 30 of
the Securities and Exchange Board of India Act, 1992 (15 of 1992), the Board hereby makes the following
regulations to further amend the Securities and Exchange Board of India (Issue of Capital and Disclosure
Requirements) Regulations, 2009, namely:-
1. These regulations may be called the SEBI (Issue of Capital and Disclosure Requirements) (Fifth
Amendment) Regulations, 2015.6 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC. 4]
2. They shall come into force on the first day of January, 2016.
3. In the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements)
Regulations, 2009:-
(I) In regulation 12, after the words and symbol “syndicate members,” and before the word
“underwriters”, the words and symbols “registrar to issue and share transfer agents, depository
participants, stock brokers,” shall be inserted.
(II) In regulation 58, sub-regulation (5) shall be substituted with the following, namely:-
“(5) In all, -
(iii) Public issues, the issuer shall accept bids using only ASBA facility in the manner specified
by the Board;
(iv) Rights issues, where not more than one payment option is given, the issuer shall provide
the facility of ASBA in accordance with the procedure and eligibility criteria specified by
the Board:
Provided that in case of qualified institutional buyers and non-institutional
investors the issuer shall accept bids using ASBA facility only.”
(III) In regulation 65, sub-regulation (1) and (2) shall be substituted with the following, namely:-
“(1) In public issue, the lead merchant banker shall submit final post-issue report as specified
in Part C of Schedule XVI, within seven days of the date of finalization of basis of allotment
or within seven days of refund of money in case of failure of issue.
(2) In rights issue, the lead merchant banker shall submit post-issue reports as follows:-
(a) initial post issue report as specified in Part B of Schedule XVI, within three days
of closure of the issue;
(b) final post issue report as specified in Part D of Schedule XVI, within fifteen
days of the date of finalization of basis of allotment or within fifteen days of
refund of money in case of failure of issue. ”
(IV) In Schedule VIII, in Part A, in Para (2), -
(3) in sub-para (VI), in clause (B), in sub-clause (6), after the words and symbol “Self-
Certified Syndicate Banks,” and before the word “etc.”, the words and symbols
“registrar to issue and share transfer agents, depository participants,” shall be inserted;
(4) in sub-para (XII), in clause (B), in sub-clause (3), item (f), sub-item (ii), after the
word “SCSBs” and before the word “and”, the words and symbols “/ RTAs / DPs /
stock brokers” shall be inserted.
(V) In Schedule VIII, in Part D, in para (II), after clause (F), following new clause shall be inserted,
namely:-
“(FA) Details regarding website address(es)/link(s) from which the investor can obtain
list of registrar to issue and share transfer agents, depository participants and stock
brokers.”
(VI) In Schedule XI, in Part A, -
(1) in item 6,-
(i) in the proviso to sub-item (a), after the words and symbols “Self-Certified
Syndicate Banks,” and before the words “shall also”, the words and symbols
“Registrar to Issue and Share Transfer Agents, Depository Participants, Stock
brokers” shall be inserted;
(ii) sub-item (b) shall be substituted with the following namely, -
“ (b) The stock brokers, Self Certified Syndicate Bank, Registrar to Issue and
Share Transfer Agents and Depository Participants accepting applications and
application monies shall be deemed as ‘bidding/collection centres’. ”
(iii) in sub-item (c), for the words and symbols “book runners/syndicate
members/stock brokers/Self Certified Syndicate Banks a”, the words “SEBI

(2) in item 12,-
(i) in sub-item (d), for the words and symbols “on-line system or Self Certified
Syndicate Banks”, the words “on-line system, Self Certified Syndicate Banks,
Registrar to Issue and Share Transfer Agents or Depository Participants,”
shall be substituted;
(ii) in sub-item (e), after the words “Self-Certified Syndicate Bank” and before the
words “shall accept”, the words and symbols “, Registrar to Issue and Share
Transfer Agents or Depository Participants” shall be inserted;
(iii) in sub-item (i), for the words “finalization of allotment”, the words “closure of
the issue” shall be substituted.
(VII) In Schedule XIII, -
(1) in Part A, under the items of the heading “AVAILABILITY OF APPLICATION FORMS”,
after the words “Self Certified Syndicate Banks” and before the words and symbols “(as the
case may be)”, the words and symbols “,Registrar to Issue and Share Transfer Agents,
Depository Participants” shall be inserted;
(2) in Part B, under the items of the heading “AVAILABILITY OF APPLICATION FORMS”,
after the words “Self Certified Syndicate Banks” and before the words and symbols “(as the
case may be)”, the words and symbols “, Stock Brokers, Registrar to Issue and Share Transfer
Agents, Depository Participants” shall be inserted;
(3) in Part C, under the items of the heading “AVAILABILITY OF APPLICATION FORMS”,
after the words “Self Certified Syndicate Banks” and before the words and symbols “(as the
case may be)”, the words and symbols “, Stock Brokers, Registrar to Issue and Share Transfer
Agents, Depository Participants” shall be inserted;
(VIII) In Schedule XVI, -
(1) Part A shall be omitted;
(2) In Part C,-
(i) in reference title, the number and symbol “65(2)(b)” shall be substituted
with the number and symbol “65(1)”.
(ii)item No. I (5) shall be omitted.
