1. कॉरपोरेट मामलों के मंत्रालय द्वारा िारी सामान्फ्य पठरपत्र सख्ं या 14/2020 ददिांक 08 अप्रलै 2020 के अि सरण में, अग्रेतर सामान्फ्य पठरपत्र संख्या 20/ 2020ददिांक मई 05,2020 और सामान्फ्य पठरपत्र संख्या 02/ 2021ददिांक 13 ििवरी, और 2021 सामान्फ्य पठरपत्र संख्या :21/2021 ददिांक ददसंबर 14, 2021 और सामान्फ्य पठरपत्र संख्या 02/2022 , ददिांक 05 मई 2022 एव ं सामान्फ्य पठरपत्र संख्या 10/2022 ददिांक 28 ददसम्बर,2022 और सामान्फ्य पठरपत्र संख्या 09/2023 ददिांक 25 जसतंबर 2023 ("एमसीए पठरपत्र")के अि सार वार्षिक महासभा (एिीएम) वीजडयो कांरेंससंग के माध्यम से आयोजित दकए िा सकते ह।ैं (ओएवीएम) या अन्फ्य ऑजडयो साधिदश्ृ य (वीसी) तदि सार, िेयरधरकों की सभा स्ट्थल पर भौजतक उपजस्ट्थती आवश्यक िहीं ह।ै बैंक के जिदेिक मडं ल ि े बैंक की महासभा बैिक आयोजित करिे म ें कॉरपोरेट मामलों के मंत्रालय द्वारा िारी उपरोक्त ददिाजिदेिों को अपिाि े का - फैसला दकया ह।ै इसजलए, िेयरधारक वीसी ओएवीएम के माध्यम से आगामी/महासभा में भाग ले सकते ह ैंऔर जिसके जलए एक साझा स्ट्थल पर सदस्ट्यों की भौजतक उपजस्ट्थजत की आवश्यकता िहीं ह।ै बैिक के जलए माजित सभा स्ट्थल बैंक का स्ट्टेट बैंक ऑजडटोठरयम, कॉरपोरेट केंद्र होगा।

2. बैंक के िेयरधारकों को प्रदाि की िा रही वीसी स जवधा को ध्याि में रखत े हए, एसबीआई ििे रल रेगल ेिि, 1955 के जवजियम 34 के प्रावधाि के अि सार िेयरधारकों के जलए उपजस्ट्थत होि े और वोट डालिे के जलए प्रॉक्ट्सी जियक्त करि े की स जवधा इस वार्षिक महासभा के जलए उपलब्ध िहीं ह।ै तथाजप, ऐस े िेयरधारक िो जिगजमत जिकाय ह,ै वो भारतीय स्ट्टेट बैंक सामान्फ्य जवजियम, 1955 के जवजियम 32 और 33 म ें यथाउपबंजधत, प्राजधकृत प्रजतजिजधयों को वीसी/ओएवीएम के माध्यम से वार्षिक महासभा में भाग लेि े और ई-वोटटंग के माध्यम से अपिा मत डालिे के जलए जिय क्त करिे हते अजधकृत ह।ै

3. िेयरधारक िोठटस म ें उल्लेजखत प्रदिया का पालि करके बैिक ि रू होि े के जिधािठरत समय से 30 जमिट पहल े और बाद में वीसी/ओएवीएम मोड में वार्षिक महासभा में िाजमल हो सकते ह।ैं ओएवीएम के माध्यम से वार्षिक महासभा में भागीदारी की स जवधा कम स े कम 1000 सदस्ट्यों के जलए पहल े आओ पहल े पाओ के आधार पर उपलब्ध कराई िाएगी। इसमें बडे िेयरधारक (2% या उससे अजधक िये रधाठरता रखिे वाले िेयरधारक), प्रमोटर, संस्ट्थागत जिवेिक, जिदेिक, प्रम ख प्रबंधकीय कार्मिक, लेखा परीक्षा सजमजत के अध्यक्ष, िामांकि और पाठरश्रजमक सजमजत और जहतधारक संबंध सजमजत, लेखा परीक्षक आदद िाजमल िहीं होंगे जिन्फ्ह ें पहले आओ पहले पाओ के आधार पर लग े प्रजतबंध के जबिा वार्षिक महासभा में भाग लेि े की अि मजत ह।ै

4. वीसी/ओएवीएम के माध्यम स े वार्षिक महासभा म ें भाग लिे े वाल े िेयरधारक की उपजस्ट्थजत को भारतीय स्ट्टेट बैंक सामान्फ्य जवजियम, 1955 के जवजियम 24 के तहत कोरम की गणिा करिे के उद्देश्य से जगिा िाएगा।

5. सेबी (सूचीबद्धता दाजयत्व और प्रकटीकरण आवश्यकताएँ) जवजियम 2015 के जवजियम 44 के अंतगित (यथा संिोजधत) सह-पठित कंपिी अजधजियम, 2013 की धारा 108 सह-पठित कंपिी (प्रबंधि और प्रिासि) जियम 2014 (यथा संिोजधत) के जियम 20, और एमसीए पठरपत्रों के प्रावधािों के अि सरण में , बैंक अपिे िेयरधारकों को वार्षिक महासभा में दकए िाि े वाले व्यवसाय के संबंध म ें दरू स्ट्थ ई-वोटटंग की स जवधा प्रदाि कर रहा ह।ै िेयरधारकों को िेििल जसक्ट्योठरटीि जडपॉजिटरी जलजमटेड (एिएसडीएल) द्वारा प्रदाि दकए गए वीजडयो कॉन्फ्रेंससंग प्लेटफॉमि के माध्यम स े एिीएम म ें भाग लेि े की स जवधा प्रदाि की िाएगी। िेििल जसक्ट्योठरटीि जडपॉजिटरी जलजमटेड (एिएसडीएल) द्वारा दरू स्ट्थ ई-वोटटंग प्रणाली का उपयोग करके सदस्ट्य द्वारा वोट डालिे की स जवधा के साथ-साथ स्ट्थल मतदाि की स जवधा भी वार्षिक महासभा की तारीख 19 िूि, 2024 को प्रदाि की िाएगी।

6. कॉपोरेट मामलों के मंत्रालय (एमसीए) के पठरपत्र संख्या 17/2020 ददिांक 13 अप्रलै , 2020 के अि रूप, वार्षिक महासभा ब लाि े वाला िोठटस बैंक की वेबसाइट www.sbi.co.in पर अपलोड दकया गया ह।ै िोठटस को स्ट्टॉक एक्ट्सचेंिों यािी बीएसई जलजमटेड (बीएसई) और िेििल स्ट्टॉक एक्ट्सचेंि ऑफ इंजडया जलजमटेड (एिएसई) की वेबसाइटों से िमिः www.bseindia.com और www.nseindia.com पर भी देखा िा सकता ह ै और वार्षिक महासभा की िोठटस िेििल जसक्ट्योठरटीि जडपॉजिटरी जलजमटेड (एिएसडीएल) (दरू स्ट्थ ई-वोटटंग स जवधा प्रदाि करि े के जलए एिेंसी) की वेबसाइट अथाित https://www.evoting.nsdl.com/ पर भी उपलब्ध ह।ै[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 3

7. यह वार्षिक महासभा वीसी/ ओएवीएम के माध्यम स े कंपिी अजधजियम, 2013 सह-पठित एमसीए पठरपत्र और सेबी पठरपत्र संख्या सेबी/एचओ/सीएफडी/सीएमडी1/सीआईआर/पी/2020/79 ददिांक 12 मई, 2020 के प्रयोज्य प्रावधािों के अि पालि में बल ाई गई ह।ै

8. एसबीआई सामान्फ्य जवजियम, 1955 के जवजियम 7 के अि सार, संयक्त धारकों के मामले म,ें वह व्यजक्त जिसका िाम बैंक के िेयरधारकों के रजिस्ट्टर के अि सार पहले दि ि ह,ै वह वार्षिक महासभा में मतदाि करिे का हकदार होगा बित े वोट पहले स ेही ठरमोट ई-वोटटंग के माध्यम से ि डाल ददये गए हों ।

9. िो सदस्ट्य वीसी के माध्यम से उपजस्ट्थत होिे का जवकल्प च िते ह ैं और िो दकसी जविेष प्रस्ट्ताव पर ठरमोट ई-वोटटंग के माध्यम स े अपिा वोट िहीं डालत े ह,ैं उन्फ्ह ें उस जविेष प्रस्ट्ताव के जलए वार्षिक महासभा में ई-वोटटंग के माध्यम स े मतदाि करिे की अि मजत दी िाएगी। दरू स्ट्थ ई-वोटटंग के जलए सदस्ट्यों के जलए जिदिे िीच ेददए गए हैं:

• ठरमोट ई-वोटटंग की अवजध सब ह 10:00 बि,े 14 ििू , 2024 को िरू होगी और िाम 05:00 बिे, 18 ििू , 2024 को समाप्त होगी। तत्पश्चात, ठरमोट ई-वोटटंग मॉड्यलू को ििे िल जसक्ट्योठरटीि जडपॉजिटरी जलजमटेड (एिएसडीएल) द्वारा मतदाि के जलए अक्षम कर ददया िाएगा। एक बार िये रधारक द्वारा वोट डालि े के बाद, िये रधारक को बाद म ें इस ेबदलि ेकी अिम जत िहीं दी िाएगी। • उपयक्त ि अवजध के दौराि, एसबीआई सामान्फ्य जवजियम, 1955 के जवजियम 31 म ें यथा उपबजं धत कट-ऑफ जतजथ तक के बैंक के िये रधारक, जििके पास भौजतक रूप म ें अथवा अभौजतकीकृत रूप म ें िये र ह,ैं दरू स्ट्थ ई-वोटटंग द्वारा अपिा मत डाल सकत ेह।ैं • कई फोजलयो/डीमैट खाते रखिे वाले िेयरधारक प्रत्येक फोजलयो/ डीमैट खाते के जलए मतदाि प्रदिया का चयि अलग - अलग करेंगे। • पोटिल पूवोक्त के अि सार बंद हो िाएगा और बंद होि े पर स जवधा त रंत अक्षम हो िाएगी। • बैंक िे मेससि. भण्डारी एण्ड एसोजसएट्स, कंपिी सेिेटरीज़ को यह स जिजश्चत करिे के जलए स्ट्िूठटिाइज़र के रूप म ें जिय क्त दकया ह ैदक ई-वोटटंग प्रदिया जिष्पक्ष और पारदिी तरीके से आयोजित की िाए। • ऐसे िेयरधारक िो वार्षिक ठरपोटि 2023-24 के जलए ई-वोटटंग की कट-ऑफ तारीख और 69वीं एिीएम की िोठटस भेििे की कट-ऑफ तारीख के बीच िेयर अजधग्रजहत करते ह ैऔर जििकी ईमले आईडी उिकी संबंजधत डीपी के साथ पंिीकृत ह,ै उन्फ्ह ें एिीएम म ें भाग लिे े के जलए बैंक के रजिस्ट्रार और रांसफर एिेंट द्वारा संदेि भेिा िाएगा। ऐस े िेयरधारक जवस्ट्तृत जववरण बैंक की वेबसाइट द्वारा भी प्राप्त कर सकते ह।ैं म ैंएिएसडीएल ई-वोटटंग जसस्ट्टम का उपयोग करके इलक्ट्े रॉजिक रूप स ेमतदाि कैस ेकरूं? एिएसडीएल ई-वोटटंग जसस्ट्टम पर इलेक्ट्रॉजिक रूप स ेमतदाि करि ेम ें"दो चरण" िाजमल ह ैंजििका उल्लेख िीचे दकया गया ह:ै चरण 1: एिएसडीएल ई-वोटटंग जसस्ट्टम तक पहचं क) डीमैट मोड में प्रजतभूजतयां रखिे वाल े वैयजक्तक िेयरधारकों के जलए ई-वोटटंग और वच िअल मीटटंग म ें िाजमल होि े के जलए लॉजगि जवजध सूचीबद्ध कंपजियों द्वारा प्रदाि की गई ई-वोटटंग स जवधा पर सेबी के पठरपत्र ददिांक 9 ददसबं र, 2020 के अि सार, डीमैट मोड म ें प्रजतभूजतया ं रखि े वाल े वैयजक्तक िेयरधारकों को जडपॉजिटरी और जडपॉजिटरी प्रजतभाजगयों के साथ रखे अपि े डीमैट खाते के माध्यम से मतदाि करिे की अि मजत ह।ै िेयरधारकों को सलाह दी िाती ह ै दक वे ई-वोटटंग स जवधा का उपयोग करिे के जलए अपिे डीमैट खातों में अपिा मोबाइल िबं र और ईमेल आईडी अपडेट करें। डीमैट मोड में प्रजतभूजतयां रखि े वाले वैयजक्तक िेयरधारकों के जलए लॉजगि जवजध िीचे दी गई ह:ै िये रधारकों के प्रकार लॉजगि जवजध एिएसडीएल के साथ डीमैट मोड म ें 1. मौिूदा ‘IDeAS’ उपयोगकताि या तो पसििल कंप्यूटर या मोबाइल के माध्यम प्रजतभूजतयां रखि े वाले वैयजक्तक से एिएसडीएल की ई-सेवा वबे साइट अथाित https://eservices.nsdl.com पर िा सकत े ह।ैं ई-सेवाओं के होम पेि पर ‘लॉजगि’ के तहत ‘Beneficial4 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] िेयरधारक। Owner’ आइकि पर जक्ट्लक करें िो ‘IDeAS’ सैक्ट्िि के तहत उपलब्ध ह,ै यह आपको अपिा मौिूदा उपयोगकताि आईडी और पासवडि दिि करि े के जलए बताएगा। सफल प्रमाणीकरण के बाद, आप वल्ै यू एडेड सर्वसि ेस के तहत ई- वोटटंग सेवाओं को देख पाएगं ।े ई-वोटटंग सेवाओं के तहत ‘Access to e- Voting’ पर जक्ट्लक करें और आप ई-वोटटंग पेि देख पाएंग।े कंपिी के िाम अथाित स्ट्टेट बैंक ऑफ इंजडया या e-Voting service provider i.e. NSDL पर जक्ट्लक करें और आपको ठरमोट ई-वोटटंग अवजध के दौराि अपिा वोट डालि े या बैिक के दौराि वचअ ि ल मीटटंग और वोटटंग म ें िाजमल होिे के जलए एिएसडीएल की ई-वोटटंग वेबसाइट पर ल ेिाया िाएगा।

2. यदद आप ‘IDeAS e-Services’ के जलए पंिीकृत िहीं ह,ैं तो पंिीकरण करि े का जवकल्प https://eservices.nsdl.com पर उपलब्ध ह।ै ‘Register Online for IDeAS Portal’ च ि ें या https://eservices.nsdl.com/ SecureWeb/IdeasDirectReg. jsp पर जक्ट्लक करें।

3. एिएसडीएल की ई-वोटटंग वबे साइट पर िाएं। पसििल कंप्यूटर या मोबाइल पर URL: https://www.evoting.nsdl.com/ स े वेब ब्राउज़र खोलें। एक बार ई-वोटटंग जसस्ट्टम का होम पेि लॉन्फ्च होि े के बाद, आइकि "लॉजगि" पर जक्ट्लक करें िो ‘Shareholder/ Member’ सैक्ट्िि के तहत उपलब्ध ह।ै इसके बाद एक िई स्ट्िीि खल ेगी। आपको अपि े यूिर आईडी (यािी एिएसडीएल के साथ आपका सोलह अंकों का डीमैट अकाउंट िंबर), पासवडि/ओटीपी और स्ट्िीि पर ददख रहा सत्यापि कोड दिि करिा होगा। सफल प्रमाणीकरण के बाद, आपको एिएसडीएल जडपॉजिटरी साइट पर रीडायरेक्ट्ट दकया िाएगा जिसमें आप ई-वोटटंग पेि देख सकत े ह।ैं कंपिी के िाम अथाति स्ट्टेट बैंक ऑफ इंजडया या ‘e-Voting service provider i.e. NSDL’ पर जक्ट्लक करें और आपको ठरमोट ई-वोटटंग अवजध के दौराि अपिा वोट डालिे या बैिक के दौराि वच िअल मीटटंग और वोटटंग में िाजमल होिे के जलए एिएसडीएल की ई-वोटटंग वेबसाइट पर रीडायरेक्ट्ट दकया िाएगा।

4. िेयरधारक/ सदस्ट्य जिबािध मतदाि अि भव के जलए क्ट्यआू र कोड को स्ट्कैि करके एिएसडीएल मोबाइल ऐप ‘NSDL Speede’ भी डाउिलोड कर सकते ह।ैं सीडीएसएल के साथ डीमैट मोड म ें 1. जिि उपयोगकतािओं ि े ‘सीडीएसएल Easi / Easiest’ स जवधा का जवकल्प प्रजतभूजतयां रखि े वाले वैयजक्तक च िा ह,ै वे अपिे मौिूदा उपयोगकताि आईडी और पासवड ि के माध्यम स े िेयरधारक लॉजगि कर सकत े ह।ैं जबिा दकसी और प्रमाणीकरण के ई-वोटटंग पेि तक पहचं िे के जलए जवकल्प उपलब्ध कराया िाएगा। ‘Easi/ Easiest’ लॉजगि करिे के जलए उपयोगकतािओं से अि रोध ह ै दक वे सीडीएसएल वेबसाइट पर िाएं www.cdslindia.com और लॉजगि आइकि और न्फ्यू जसस्ट्टम Myeasi टैब पर जक्ट्लक करें और दफर अपि े मौिूदा Myeasi उपयोगकता ि िाम और पासवडि दिि करें।

Easi / Easiest उपयोगकता ि पात्र कंपजियों के जलए ई-वोटटंग जवकल्प देख पाएंगे िहा ं कंपिी द्वारा प्रदाि की गई िािकारी के अि सार इवोटटंग प्रगजत पर ह।ै ई-वोटटंग जवकल्प पर जक्ट्लक करिे पर, उपयोगकताि ठरमोट ई-वोटटंग अवजध के दौराि अपिा वोट डालिे या बैिक के दौराि वचअ ि ल मीटटंग और वोटटंग में िाजमल होिे के जलए ई-वोटटंग सेवा प्रदाता का ई-वोटटंग पेि देख सकेंगे। इसके अजतठरक्त, सभी ई-वोटटंग सेवा प्रदाताओं की प्रणाली तक पहचं िे के जलए सलंक भी प्रदाि दकए गए हैं, तादक उपयोगकताि सीधे ई-वोटटंग सेवा प्रदाताओं की वेबसाइट पर िा सकें।

(ii) यदद आपकी ईमले आईडी पंिीकृत िहीं ह,ै तो कृपया ‘उि िये रधारकों के जलए प्रदिया म ें िीच े ददए गए चरणों का पालि करें जििकी ईमले आईडी पिं ीकृत िहीं ह।ैं ‘

4. सूचीबद्ध कंपजियों द्वारा प्रदाि की गई ई-वोटटंग स जवधा पर 9 ददसंबर, 2020 को सेबी के पठरपत्र के अि सार, डीमैट मोड म ें प्रजतभूजतयों को रखि े वाले वैयजक्तक िेयरधारकों को जडपॉजिटरी और जडपॉजिटरी प्रजतभाजगयों के साथ रख े गए अपिे डीमैट खाते के माध्यम से मतदाि करिे की अि मजत ह।ै िेयरधारकों को ई-वोटटंग सज वधा का उपयोग करि े के जलए अपि ेडीमैट खाते म ेंअपिे मोबाइल िंबर और ईमले आईडी को सही ढंग से अपडेट करिा होगा। वार्षकि महासभा के ददि ई-वोटटंग के जलए सदस्ट्यों के जलए जिदेि जिम्नािस ार हैं :

1. वार्षिक महासभा के ददि ई-वोटटंग की प्रदिया ठरमोट ई-वोटटंग के जलए ऊपर बताए गए जिदिे ों के समाि ह।ै

2. केवल वे सदस्ट्य/िेयरधारक, िो वीसी/ओएवीएम स जवधा के माध्यम से वार्षिक महासभा में उपजस्ट्थत होंग े और जिन्फ्होंिे ठरमोट ई-वोटटंग के माध्यम से प्रस्ट्तावों पर अपिा वोट िहीं डाला ह ै और अन्फ्यथा ऐसा करिे से प्रजतबंजधत िहीं ह,ैं वार्षिक महासभा में ई-वोटटंग प्रणाली के माध्यम से मतदाि करिे के जलए पात्र होंगे।

3. जिि सदस्ट्यों ि े ठरमोट ई-वोटटंग के माध्यम से मतदाि दकया ह,ै व े वार्षिक महासभा में जहस्ट्सा लिे े के पात्र होंगे। यद्यजप, वे वार्षिक महासभा में मतदाि करिे के पात्र िहीं होंग।े

4. वार्षिक महासभा के ददि ई-वोटटंग की स जवधा से संबंजधत दकसी भी जिकायत के जलए संपकि दकए िािे वाल े व्यजक्त का जववरण वही व्यजक्त होगा जिसका उल्लेख ठरमोट ई-वोटटंग के जलए दकया गया ह।ै वीसी / ओएवीएम के माध्यम स ेवार्षकि महासभा म ेंभाग लिे ेके जलए िये रधारकों के जलए जिदेि जिम्नािस ार हैं :

1. िेयरधारक को िेििल जसक्ट्योठरटीि जडपॉजिटरी जलजमटेड (एिएसडीएल) ई-वोटटंग प्रणाली के माध्यम से वीसी /ओएवीएम के माध्यम से वार्षिक महासभा में भाग लेिे की स जवधा प्रदाि की िाएगी। सदस्ट्य िेििल जसक्ट्योठरटीि जडपॉजिटरी जलजमटेड (एिएसडीएल) ई-वोटटंग प्रणाली तक पहचं के जलए ऊपर उजल्लजखत चरणों का पालि करके पहचं सकत े ह।ैं सफल लॉजगि के बाद, आप कंपिी अथाित स्ट्टेट बैंक ऑफ इंजडया के िाम के सामि े ‘मीटटंग म ें िाजमल हों’ मेिू के तहत रखे गए "वीसी / ओएवीएम सलंक" का सलंक दखे सकते ह।ैं आपसे अि रोध ह ैदक मीटटंग मेिू के तहत रखे गए वीसी/ओएवीएम सलकं पर जक्ट्लक करें। वीसी / ओएवीएम के जलए सलंक िेयरधारक / सदस्ट्य लॉजगि म ें उपलब्ध होगा िहां कंपिी का ईवेि प्रदर्िित दकया िाएगा। कृपया ध्याि दें दक जिि सदस्ट्यों के पास ई-वोटटंग के जलए उपयोगकताि आईडी और पासवडि िहीं ह ै या उपयोगकताि आईडी और पासवडि भलू गए ह,ैं वे अंजतम समय की हडबडी से बचि े के जलए िोठटस में उजल्लजखत दरू स्ट्थ ई-वोटटंग जिदिे ों का पालि करके इस ेप िः प्राप्त कर सकते ह।ैं

1. Accordingly, physical attendance of the Shareholders at venue is not required. The Central Board of the Bank has decided to adopt the above guidelines issued by MCA in conducting Annual General Meeting of the Bank. Hence, Shareholders can attend and participate in the ensuing Annual General Meeting through VC / OAVM, which may not require physical presence of shareholders at a common venue. 2. In view of the VC facility being provided to the shareholders of the Bank, the facility to appoint proxy to attend and cast vote for the shareholders as provided in Regulation 34 of SBI General Regulations, 1955 is not available for this Annual General Meeting. However, those shareholders which are Body Corporates are entitled to appoint authorized representatives as provided in Regulation 32 and 33 of SBI General Regulations, 1955 to attend the Annual General Meeting through VC / OAVM and participate thereat and cast their votes through e-voting.

The Shareholders can join the Annual General Meeting in the VC / OAVM mode 30 minutes before and after the scheduled time of the commencement of the Meeting by following the procedure mentioned in the Notice. 7. Annual General Meeting has been convened through VC / OAVM in compliance with applicable provisions of the Companies Act, 2013 read with MCA Circulars and SEBI Circular No. SEBI/HO/CFD/CMD1/ CIR/P/2020/79 dated 12th May, 2020.

2. If you are not registered for ‘IDeAS e-Services’, option to register is available at

https://eservices.nsdl.com. Select ‘Register Online for IDeAS Portal’ or click at

https://eservices.nsdl.com/SecureWeb/IdeasDirectReg.jsp

3. Visit the e-Voting website of NSDL. Open web browser by typing the following URL:

https://www.evoting.nsdl.com/ either on a Personal Computer or on a mobile. Once the home page of e-Voting system is launched, click on the icon ‘Login’ which is available under ‘Shareholder/Member’ section. A new screen will open. You will have to enter your User ID (i.e., your sixteen-digit demat account number with NSDL), Password/OTP and a Verification Code as shown on the screen. After successful authentication, you will be redirected to NSDL Depository site wherein you can see e- Voting page. 4. Shareholders/Members can also download NSDL Mobile App ‘NSDL Speede’ facility by scanning the QR code for seamless voting experience.

Individual 1. Users who have opted for ‘CDSL Easi / Easiest’ facility, can login through their Shareholders holding existing user ID and password. Option will be made available to reach e-Voting page securities in demat without any further authentication. The users to login ‘Easi /Easiest’ are requested to mode with CDSL visit CDSL website www.cdslindia.com and click on login icon & New System Myeasi Tab and then use your existing my Easi username & password.

2. After successful login, the ‘Easi / Easiest’ user will be able to see the e-Voting option for eligible companies where the e-Voting is in progress as per the information

provided by the company. On clicking the e-Voting option, the user will be able to see e-Voting page of the e-Voting service provider for casting their vote during the remote e-Voting period or joining virtual meeting & voting during the meeting. Additionally, there are also links provided to access the system of all e-Voting Service Providers, so that the user can visit the e-Voting service providers’ website directly.

3. If the user is not registered for ‘Easi/Easiest’, option to register is available at CDSL website www.cdslindia.com and click on ‘login’ & ‘New System Myeasi Tab’ and then click on registration option.

4. Alternatively, the user can directly access e-Voting page by providing Demat Account Number and PAN No. from e-Voting link available on www.cdslindia.com home page.

The system will authenticate the user by sending OTP on registered Mobile & Email as recorded in the Demat Account. After successful authentication, user will be able to see the e-Voting option where the e-voting is in progress and also able to directly access the system of all e-Voting Service Providers.

Individual You can also login using the login credentials of your demat account through your Shareholders Depository Participant registered with NSDL/CDSL for e-Voting facility. Upon logging in, (holding securities in you will be able to see e-Voting option. Click on e-Voting option, you will be redirected to demat mode) login NSDL/CDSL Depository site after successful authentication, wherein you can see e-Voting through their feature. b) If you are using NSDL e-Voting system for the first time, you will need to retrieve the ‘initial password’ which was communicated to you. Once you retrieve your ‘initial password’, you need to enter the ‘initial password’ and the system will force you to change your password.

c) How to retrieve your ‘initial password’?

(i) If your email ID is registered in your demat account or with the company, your ‘initial password’ is communicated to you on your email ID. Trace the email sent to you from NSDL from your mailbox.

Open the email and open the attachment i.e. a .pdf file. Open the .pdf file. The password to open the .pdf file is your 8 digit client ID for NSDL account, last 8 digits of client ID for CDSL account or folio number for shares held in physical form. The .pdf file contains your ‘User ID’ and your ‘initial password’.

(ii) If your email ID is not registered, please follow steps mentioned below in ‘Process for those shareholders whose email ids are not registered’.

6. If you are unable to retrieve or have not received the “Initial password” or have forgotten your password: a) Click on ‘Forgot User Details/Password?’ (If you are holding shares in your demat account with NSDL or CDSL) option available on www.evoting.nsdl.com.

b) Physical User Reset Password?’ (If you are holding shares in physical mode) option available on www.evoting.nsdl.com. c) If you are still unable to get the password by aforesaid two options, you can send a request at evoting@nsdl.com mentioning your demat account number/folio number, your PAN, your name and your registered address etc.

d) Members can also use the OTP (One Time Password) based login for casting the votes on the e-Voting system of NSDL.

7. After entering your password, tick on Agree to “Terms and Conditions” by selecting on the check box.

8. Now, you will have to click on “Login” button.

9. 1. After successful login at Step 1, you will be able to see all the companies in which you are holding shares and their respective ‘EVEN’ and whose voting cycle and General Meeting is in active status.

2. Select ‘EVEN’ of company for which you wish to cast your vote during the remote e-Voting period and casting your vote during the General Meeting. For joining virtual meeting, you need to click on ‘VC/OAVM’ link placed under ‘Join Meeting’.

3. Now you are ready for e-Voting as the Voting page opens.

4. Cast your vote by selecting appropriate options i.e., assent or dissent, verify/modify the number of shares for which you wish to cast your vote and click on ‘Submit’ and also ‘Confirm’ when prompted.

5. Upon confirmation, the message ‘Vote cast successfully’ will be displayed.

6. You can also take the printout of the votes cast by you by clicking on the print option on the confirmation page.

7. Once you confirm your vote on the resolution, you will not be allowed to modify your vote.

General Guidelines for Shareholders

1. Institutional shareholders (i.e. other than individuals, HUF, NRI etc.) are required to send scanned copy (PDF/JPG Format) of the relevant Board Resolution/ Authority letter etc. with attested specimen signature of the duly authorized signatory(ies) who are authorized to vote, to the Scrutinizer by e-mail to ‘bhandariandassociates@gmail.com’ with a copy marked to evoting@nsdl.com. Institutional shareholders (i.e.

other than individuals, HUF, NRI etc.) can also upload their Board Resolution / Power of Attorney / Authority Letter etc. by clicking on ‘Upload Board Resolution / Authority Letter’ displayed under ‘e-Voting’ tab in their login.

2. It is strongly recommended not to share your password with any other person and take utmost care to keep your password confidential. Login to the e-voting website will be disabled upon five unsuccessful attempts to key in the correct password. In such an event, you will need to go through the ‘Forgot User Details/Password?’ or ‘Physical User Reset Password?’ option available on www.evoting.nsdl.com to reset the password.

3. Members who have voted through Remote e-Voting will be eligible to attend the Annual General Meeting.

However, they will not be eligible to vote at the Annual General Meeting.

4. The details of the person who may be contacted for any grievances connected with the facility for e-Voting on the day of the Annual General Meeting shall be the same person mentioned for Remote e-voting.

INSTRUCTIONS FOR SHAREHOLDERS FOR ATTENDING THE ANNUAL GENERAL MEETING THROUGH VC / OAVM ARE AS UNDER:

1. Shareholder will be provided with a facility to attend the Annual General Meeting through VC / OAVM through the National Securities Depository Limited (NSDL) e-Voting system. Please note that the members who do not have the User ID and Password for e-Voting or have forgotten the User ID and Password may retrieve the same by following the remote e-Voting instructions mentioned in the notice to avoid last minute rush.

2. Members are encouraged to join the Meeting through laptops for better experience.

3. Further, members will be required to allow camera and use internet with a good speed to avoid any disturbance during the meeting.

4. Please note that participants connecting from mobile devices or tablets or through laptops connecting via mobile hotspot may experience audio / video loss due to fluctuation in their respective network. It is therefore recommended to use stable wi-fi or LAN connection to mitigate any kind of aforesaid glitches.

5. Shareholders who would like to express their views / have questions may send their questions in advance mentioning their name, demat account number / folio number, email id, mobile number at ‘investor.complaints@sbi.co.in’ latest by 13.06.2024 by 05:00 P.M. The same will be replied by the Bank suitably.

6. Those shareholders who have registered themselves as a speaker will only be allowed to express their views / ask questions.

Determination of voting rights - Subject to the provisions contained in Section 11 of the State Bank of India Act, 1955, each shareholder who has been registered as a shareholder for a period of not less than three months prior to the date of a general meeting shall, at such meeting, have one vote for each fifty shares held by him or it.

Every shareholder other than the Central Government entitled to vote as aforesaid who, not being a company is present in person or by proxy or who being a company is present by a duly authorised representative, or by proxy shall have one vote on a show of hands and in case of a poll shall have one vote for each fifty shares held by him or it for the whole period of three months prior to the date of such meeting. i.e., 15.03.2024.

The duly authorized person representing the Central Government shall have one vote on a show of hands and, in case of a poll, shall have one vote for each fifty shares held by it for the whole period of three months prior to the date of such meeting.

The Scrutinizers shall, immediately after the conclusion of voting at the Annual General Meeting, first count the votes cast during the Annual General Meeting, thereafter unblock the votes cast through remote e-voting and make, not later than two working days of conclusion of the Annual General Meeting, a consolidated Scrutinizer’s Report of the total votes cast in favour of or against, if any, to the Chairman or a person authorized by him in writing, who shall countersign the same.

The results declared along with the Scrutinizer’s Report shall be placed on the Bank’s website www.sbi.co.in and on the website of National Securities Depository Limited (NSDL): https://www.evoting.nsdl.com/ immediately. The Bank shall simultaneously forward the results to National Stock Exchange of India Limited and BSE Limited, where the shares of the Bank are listed.
