जिजियम बिाता है, अथाडत्,- 1. इि जिजियमों को भारतीय प्रजतभूजत और जिजिमय बोडड (पोर्टफोलियो प्रबंधक) (चौथा संिोधि) जिजियम, 2021 कहा िा सकेगा । 2. ि ेरािपत्र में उिके प्रकािि की तारीख से तीसिें दिि लागू होंग े। 3. भारतीय प्रजतभूजत और जिजिमय बोडड (पोर्टफोलियो प्रबंधक) जिजियम, 2020 में,- I. जिजियम 2 म,ें i. उप-जिजियम (1) में, 6450 GI/2021 (1)2 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] क. खंड (कख) के पश्चात्, जिम्नजलजखत खंड अंतःस्ट्थाजपत दकया िाएगा, अथाडत्,- “(कग) “आिुकजल्पक जिजिधाि (जििेि) जिजध” का िही अथड होगा, िो भारतीय प्रजतभूजत और जिजिमय बोडड [आिुकजल्पक जिजिधाि (जििेि) जिजधयााँ] जिजियम, 2012 के जिजियम 2 के उप- जिजियम (1) के खंड (ख) में इसके जलए दिया हुआ है;” ख. खंड (च) के पश्चात्, जिम्नजलजखत खंड अंतःस्ट्थाजपत दकया िाएगा, अथाडत्,- “(चक) “सह-जििेि पोर्डफोजलयो प्रबंधक” का अथड ह ै - िह पोर्डफोजलयो प्रबंधक, िो प्रिगड-I या प्रिगड-II की आिुकजल्पक जििेि जिजध (जिजधयों) का प्रबंधक हो; और: (i) केिल प्रिगड-I या प्रिगड-II की ऐसी आिुकजल्पक जििेि जिजध (जिजधयों) के जििेिकों को ही सेिाएाँ प्रिाि करता हो; और (ii) केिल इन्िेस्ट्र्ी कंपजियों (ऐसी कंपजियााँ जििमें जििेि दकया िाए) की असूचीगत प्रजतभूजतयों (अिजलजस्ट्र्ड जसक्यूठरर्ीज़) में जििेि करता हो, िहााँ प्रिगड-I या प्रिगड- II की आिुकजल्पक जििेि जिजध (जिजधयााँ) जििेि करती हो (हों): परंतु यह दक सह-जििेि (को-इन्िेस्ट्र्मेंर्) पोर्डफोजलयो प्रबंधक प्रिगड-I या प्रिगड-II की दकसी (दकन्हीं) ऐसी िसूरी आिुकजल्पक जििेि जिजध (जिजधयों) के जििेिकों को सेिाएाँ प्रिाि कर सकेगा जिसका (जििका) प्रबंधि उसके द्वारा दकया िाता हो और िो एक ही प्रायोिक (प्रायिकों) द्वारा प्रायोजित भी हो (हों);” ग. खंड (िक) के पश्चात्, जिम्नजलजखत खंड अंतःस्ट्थाजपत दकए िाएंगे, अथाडत्,- “(िख) “इन्िेस्ट्र्ी कंपिी” का िही अथड होगा, िो भारतीय प्रजतभूजत और जिजिमय बोडड [आिुकजल्पक जिजिधाि (जििेि) जिजधयााँ] जिजियम, 2012 के जिजियम 2 के उप-जिजियम (1) के खंड (ण) में इसके जलए दिया हुआ है; (िग) “प्रबंधक” का िही अथड होगा, िो भारतीय प्रजतभूजत और जिजिमय बोडड [आिुकजल्पक जिजिधाि (जििेि) जिजधयााँ] जिजियम, 2012 के जिजियम 2 के उप-जिजियम (1) के खंड (थ) म ें इसके जलए दिया हुआ है;” घ. खंड (थ) के पश्चात्, जिम्नजलजखत खंड अंतःस्ट्थाजपत दकया िाएगा, अथाडत्,- “(ि) “प्रायोिक” का िही अथड होगा, िो भारतीय प्रजतभूजत और जिजिमय बोडड [आिुकजल्पक जिजिधाि (जििेि) जिजधयााँ] जिजियम, 2012 के जिजियम 2 के उप-जिजियम (1) के खंड (ब) म ें इसके जलए दिया हुआ है;” II. लिलनयम 7 के उप-जिजियम (2) म,ें i. खंड (घ) के उप-खंड (iii) में, क. तीसरे परंतुक में, जचह्ि “।”, जचह्ि “:” से प्रजतस्ट्थाजपत हो िाएगा । ख. तीसरे परंतुक के पश्चात्, जिम्नजलजखत परंतुक अंतःस्ट्थाजपत दकया िाएगा, अथाडत्,- “परंतु यह और दक सह-जििेि (को-इन्िेस्ट्र्मेंर्) पोर्डफोजलयो प्रबंधक, प्रबंधक के मुख्य जििेि िल के एक ऐसे सिस्ट्य को मुख्य अजधकारी (जप्रजन्सपल ऑदफसर) के रूप में पििाजमत कर सकेगा, िो भारतीय प्रजतभूजत और जिजिमय बोडड [आिुकजल्पक जिजिधाि (जििेि) जिजधयााँ] जिजियम, 2012 के जिजियम 4 के खंड (छ) में दिए हुए माििंडों में से दकसी भी माििडं पर खरा उतरता हो, और उस मामले में खंड (घ) के तहत िी हुई अपेक्षा इस प्रकार जियुि दकए गए मुख्य अजधकारी पर लागू िहीं होगी;”[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 3 ii. खंड (ङ) के दकया िाएगा, अथाडत्,- “परंतु यह दक ऊपर खंड (छ) के तहत िी हुई अपेक्षा सह-जििेि (को-इन्िेस्ट्र्मेंर्) पोर्डफोजलयो प्रबंधक पर लागू िहीं होगी;” III. लिलनयम 9 में, i. िसू रे परंतुक में, जचह्ि “।”, जचह्ि “:” से प्रजतस्ट्थाजपत हो िाएगा । ii. िसू रे परंतुक के पश्चात्, जिम्नजलजखत परंतुक अंतःस्ट्थाजपत दकया िाएगा, अथाडत्,- “परंतु यह और दक इस जिजियम के तहत िी हुई अपेक्षा सह-जििेि (को-इन्िेस्ट्र्मेंर्) पोर्डफोजलयो प्रबंधक पर लागू िहीं होगी ।” IV. लिलनयम 11 में, i. खंड (ङ) में, क. जचह्ि “।”, जचह्ि “:” से प्रजतस्ट्थाजपत हो िाएगा । ख. जिम्नजलजखत परंतुक अंतःस्ट्थाजपत दकया िाएगा, अथाडत्,- “परंतु यह दक ऊपर खंड (ङ) के तहत िी हुई अपेक्षा सह-जििेि (को-इन्िेस्ट्र्मेंर्) पोर्डफोजलयो प्रबंधक पर लागू िहीं होगी ।” V. जिजियम 22 में, i. उप-जिजियम (2) में, जिम्नजलजखत परंतुक अंतःस्ट्थाजपत दकए िाएंगे, अथाडत्,- “परंतु यह दक सह-जििेि (को-इन्िेस्ट्र्मेंर्) पोर्डफोजलयो प्रबंधक के मामले में, दकसी इन्िेस्ट्र्ी कंपिी म ें सह-जििेिक (को-इन्िेस्ट्र्र) द्वारा दकए िािे िाले सह-जििेि की ितें आदि आिुकजल्पक जििेि जिजध के जििेि की ितों आदि की तुलिा में ज्यािा जहतकर िहीं होंगी: परंतु यह और दक सह-जििेि (को-इन्िेस्ट्र्मेंर्) पोर्डफोजलयो प्रबंधक के मामले में, दकसी इन्िेस्ट्र्ी कंपिी में दकए िािे िाले सह-जििेि (को-इन्िेस्ट्र्मेंर्) से जिकास (एजजज़र्) की ितें आदि (जििमें जिकास का समय आदि भी िाजमल ह)ै िैसी ही होंगी, िैसी आिुकजल्पक जििेि जिजध के जिकास के मामले में लागू हैं: परंतु यह और दक सह-जििेि (को-इन्िेस्ट्र्मेंर्) पोर्डफोजलयो प्रबंधक के मामले में, इन्िेस्ट्र्ी कंपजियों म ें दकए िािे िाले सह-जििेि (को-इन्िेस्ट्र्मेंर्) के संबंध में सह-जििेिकों (को-इन्िेस्ट्र्र) को समय से पहले उतिा ही पैसा जिकाले िािे की अिुमजत िी िाएगी जितिा पैसा आिुकजल्पक जििेि जिजध िे ऐसी इन्िेस्ट्र्ी कंपजियों में दकए गए जििेि से जिकाला हो ।” ii. उप-जिजियम (4) के खंड (ङ) में, पहले परंतुक के पश्चात्, जिम्नजलजखत परंतुक अंतःस्ट्थाजपत दकया िाएगा, अथाडत्,-4 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] “परंतु यह और दक सह-जििेि (को-इन्िेस्ट्र्मेंर्) पोर्डफोजलयो प्रबंधक के प्रििडि का आकलि उसी प्रकार दकया िाएगा, िैसा सह-जििेि (को-इन्िेस्ट्र्मेंर्) पोर्डफोजलयो प्रबंधक और ग्राहक के बीच तय हुआ हो:” iii. उप-जिजियम (6) में, क. जचह्ि “।”, जचह्ि “:” से प्रजतस्ट्थाजपत हो िाएगा । ख. जिम्नजलजखत परंतुक अंतःस्ट्थाजपत दकया िाएगा, अथाडत्,- “परंतु यह दक इस उप-जिजियम के तहत िी हुई अपेक्षा सह-जििेि (को-इन्िेस्ट्र्मेंर्) पोर्डफोजलयो प्रबंधक पर लागू िहीं होगी ।” VI. जिजियम 23 में, i. उप-जिजियम (2) में, िसू रे परंतुक के पश्चात्, जिम्नजलजखत परंतुक अंतःस्ट्थाजपत दकया िाएगा, अथाडत्,- “परंतु यह और दक प्रजत ग्राहक न्यूितम जििेि की रकम संबंधी अपेक्षा सह-जििेि (को-इन्िेस्ट्र्मेंर्) पोर्डफोजलयो प्रबंधक पर लागू िहीं होगी ।” VII. जिजियम 24 में, i. उप-जिजियम (1) में, क. खंड (ख) में, जचह्ि “।”, जचह्ि “:” से प्रजतस्ट्थाजपत हो िाएगा । ख. खंड (ख) के पश्चात्, जिम्नजलजखत परंतुक अंतःस्ट्थाजपत दकया िाएगा, अथाडत्,- “परंतु यह दक खंड (ख) के तहत िी हुई अपेक्षा सह-जििेि (को-इन्िेस्ट्र्मेंर्) पोर्डफोजलयो प्रबंधक पर लागू िहीं होगी ।” ii. उप-जिजियम (2) के खंड (क) में, क. जचह्ि “;”, जचह्ि “:” से प्रजतस्ट्थाजपत हो िाएगा । ख. जिम्नजलजखत परंतुक अंतःस्ट्थाजपत दकया िाएगा, अथाडत्,- “परंतु यह दक खंड (क) सह-जििेि (को-इन्िेस्ट्र्मेंर्) पोर्डफोजलयो प्रबंधक पर लागू िहीं होगा ।” iii. उप-जिजियम (4क) के पश्चात्, जिम्नजलजखत उप-जिजियम अंतःस्ट्थाजपत दकया िाएगा, अथाडत्,- “(4ख) सह-जििेि (को-इन्िेस्ट्र्मेंर्) पोर्डफोजलयो प्रबंधक ित-प्रजतित प्रबंधिाधीि आजस्ट्तयों (असेर् अंडर मैिेिमेंर्) का जििेि इन्िेस्ट्र्ी कंपजियों की असूचीगत प्रजतभूजतयों (अिजलजस्ट्र्ड जसक्यूठरर्ीज़) में करेगा, िहााँ प्रबंधक के रूप में उसके द्वारा प्रबंजधत प्रिगड-I और प्रिगड-II की आिुकजल्पक जििेि जिजधयााँ जििेि करती हों;” VIII. जिजियम 26 में, i. परंतुक में, जचह्ि “।”, जचह्ि “:” से प्रजतस्ट्थाजपत हो िाएगा । ii. पहले परंतुक के पश्चात्, जिम्नजलजखत परंतुक अंतःस्ट्थाजपत दकया िाएगा, अथाडत्,- “परंतु यह और दक यह जिजियम सह-जििेि (को-इन्िेस्ट्र्मेंर्) पोर्डफोजलयो प्रबंधक पर लागू िहीं होगा ।” IX. जिजियम 34 के उप-जिजियम (1) के परंतुक में, i. जचह्ि “।”, जचह्ि “:” से प्रजतस्ट्थाजपत हो िाएगा । ii. पहले परंतुक के पश्चात्, जिम्नजलजखत परंतुक अंतःस्ट्थाजपत सौि ेडाले िाएंग,े िो पोर्डफोजलयो प्रबंधि संबंधी दियाकलापों से िुडे हुए ह,ैं और यह भी उल्लेख करें दक क्या उिमें से दकसी को दकसी स्ट्र्ॉक एक्सचेंि द्वारा जिलंजबत दकया गया था / उिमें से दकसी िे िहााँ चूक की थी । 7.6 पोर्डफोजलयो प्रबंधि संबंधी सेिाओं हतेु अपिाई िा रही / अपिाई िािे िाली लेखांकि पद्धजत (अकाउंटर्ंग जसस्ट्र्म) का जिस्ट्तृत जििरण ि ें। 7.7 अिुसंधाि और डार्ाबेस के संबंध में प्रिाि की िािे के ब्यौरे 10.0 घोषणाएाँ 10.1. जिजियम 7(2) का पालि दकए िािे के संबंध में घोषणा, जिस पर कम से कम िो जिििे कों या िामजिर्िष्टड भागीिारों (डेजज़ग्नेठर्ड पार्डिर) के हस्ट्ताक्षर हों [7(2)(ङ) का पालि उस 10.5. इस संबंध में घोषणा दक ग्राहकों को िो ठरपोर्ें भेिे िािे का प्रस्ट्ताि है, िे दकस प्रकार की होंगी और दकतिे-दकति ेसमय में भेिी िाएंगी । 10.6. प्रजतभूजतयों (जसक्यूठरर्ीज़) को ग्राहक के खातों में अंतठरत (रांसफर) करिे में लगिे िाले समय के संबंध में घोषणा । 10.7. भारतीय प्रजतभूजत और जिजिमय बोडड (सेबी) को आिजधक ठरपोर्ें और प्रकर्ीकरण िस्ट्तािेि (जडस्ट्क्लोज़र डॉक्यूमेंर्) प्रस्ट्तुत दकए िािे the Board hereby makes the following regulations to further amend the Securities and Exchange Board of India (Portfolio Managers) Regulations, 2020, namely, — 1. These Regulations may be called the Securities and Exchange Board of India (Portfolio Managers) (Fourth Amendment) Regulations, 2021. 2. They shall come into force on the thirtieth day from the date of their publication in the Official Gazette. 3. In the Securities and Exchange Board of India (Portfolio Managers) Regulations, 2020,— I. In regulation 11, i. in clause (e), a. the symbol “.” shall be substituted with the symbol “:”. b. the following proviso shall be inserted, namely,— “Provided that the requirement under clause(e) shall not apply to Co-investment Portfolio Manager. In regulation 22, i. in sub-regulation (2), the following provisos shall be inserted, namely,—18 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] “Provided that in case of the Co-investment Portfolio Manager, the terms of co-investment in an investee company by a co-investor, shall not be more favourable than the terms of investment of the Alternative Investment Fund: Provided further that in case of the Co-investment Portfolio Manager, the terms of exit from the Co-investment in an investee company including the timing of exit shall be identical to the terms applicable to that of exit of the Alternative Investment Fund: Provided further that in case of the Co-investment Portfolio Manager, the early withdrawal of funds by the co-investors with respect to Co-investment in investee companies shall be allowed to the extent that the Alternative Investment Fund has also made an exit from respective investment in such investee companies.” ii. in clause (e) of sub-regulation (4), after the first proviso, the following proviso shall be inserted, namely,— “Provided further that the performance of the Co-investment Portfolio Manager shall be calculated in the manner as agreed between the Co-investment Portfolio Manager and the client:” iii. in sub-regulation (6), a. the symbol “.” shall be substituted with the symbol “:”. b. the following proviso shall be inserted, namely,— “Provided that the requirement under this sub-regulation shall not apply to Co- investment Portfolio Manager.” VI. In regulation 23, i. in sub-regulation (2), after the second proviso, the following proviso shall be inserted, namely,— “Provided further that the requirement of minimum investment amount per client shall not apply to the Co-investment Portfolio Manager:” VII.
