## Report on the Companies (Appointment and Qualification of Directors) Rules, 2014 - Second Amendment, Rules, 2022 **1. Executive Summary:** This report analyzes the Companies (Appointment and Qualification of Directors) Rules, 2014 - Second Amendment, Rules, 2022, as notified by the Ministry of Corporate Affairs on June 10, 2022. This amendment introduces a provision for individuals whose names have been removed from the director databank to apply for restoration, subject to certain conditions including payment of fees and successful completion of an online proficiency self-assessment test. The amendment aims to provide a pathway for directors to regain their position in the databank, contingent upon demonstrating their continued competency. The key finding is the structured process and timeline for restoration, adding a conditional element to director eligibility. **2. Introduction:** The purpose of this report is to provide a comprehensive overview of the Companies (Appointment and Qualification of Directors) Rules, 2014 - Second Amendment, Rules, 2022 (hereinafter referred to as "the Amendment"), based solely on the provided policy text. This report will outline the amendment's objectives, changes introduced, affected stakeholders, and potential impact on the industry. **3. Policy Overview:** * This is an amendment to the Companies (Appointment and Qualification of Directors) Rules, 2014. * **Core Objective(s) (inferred):** To provide a mechanism for individuals removed from the director databank to regain their position, subject to demonstrating continued proficiency and fulfilling specific requirements. **4. Background and Rationale:** The amendment addresses the situation of individuals whose names have been removed from the director databank. The rationale, inferred from the text, is to offer a chance for reinstatement contingent upon demonstrating ongoing competency through a proficiency test. This suggests a desire to balance maintaining a qualified director pool with providing a mechanism for directors to correct past issues and re-establish their eligibility. **5. Key Provisions / Changes:** The Amendment introduces a new sub-rule (5) to Rule 6 of the Companies (Appointment and Qualification of Directors) Rules, 2014. This new sub-rule outlines the following: * **Specific Part of Original Policy Changed:** Rule 6 of the Companies (Appointment and Qualification of Directors) Rules, 2014. Specifically, adding a new sub-rule after existing sub-rule 4. * **New Rule/Provision:** Any individual whose name has been removed from the databank under sub-rule 4 may apply for restoration of their name by paying a fee of one thousand rupees. The institute will allow such restoration subject to the following conditions: * The restored name will be placed in a separate "restored" category for one year. * Within that year, the individual must pass an online proficiency self-assessment test. * If the individual passes the test, their name will be included in the databank, and the fees paid at the initial registration will continue to be valid for the initially paid period. * If the individual fails the test within one year, their name will be removed again, and they will be required to apply afresh under sub-rule 1 for inclusion in the databank. * **Difference/Effect of Change:** This change creates a conditional restoration process for directors previously removed from the databank. It introduces a testing requirement to ensure competency is maintained and sets a one-year window for achieving that. It adds an additional step and a new category (restored) for these directors and adds clarity about reapplication if the test is failed. **6. Target Audience and Stakeholders:** The direct target audience and stakeholders are: * Individuals whose names have been removed from the director databank. * The institute responsible for maintaining the director databank and administering the online proficiency self-assessment test. * Companies seeking to appoint directors, as they need to consider the "restored" category for one year. **7. Implementation Aspects (Inferred):** * **Responsible agency/bodies:** The "institute" (unspecified in the provided text, but assumed to be the Indian Institute of Corporate Affairs (IICA) or similar body maintaining the director databank), the Ministry of Corporate Affairs. * **Timelines/procedures:** * Restoration application upon payment of fees. * One-year period for individuals in the "restored" category to pass the online proficiency self-assessment test. * Reapplication process under sub-rule 1 if the test is failed within one year. * The test is to be a "self-assessment test" and must be completed within the timeframe. **8. Expected Outcomes / Impact of Changes:** The likely intended outcome of these changes is: * Ensuring that individuals restored to the director databank possess current knowledge and skills. * Providing a structured pathway for individuals who have been removed from the databank to demonstrate their competency and regain eligibility. * Maintaining the integrity and quality of the director databank. * Potentially increasing the number of available directors, particularly those with prior experience. **9. Conclusion:** The Companies (Appointment and Qualification of Directors) Rules, 2014 - Second Amendment, Rules, 2022 introduces a structured process for individuals removed from the director databank to apply for restoration. By requiring a proficiency test and a one-year probationary period, the amendment aims to ensure that restored directors possess the necessary competencies. This amendment is significant as it adds a layer of assessment and validation for re-entry into the director databank, potentially impacting the pool of eligible directors and the diligence required in their selection.
