अक्त ूबर, 2023 सा.का.जन. 803(अ).—केंद्रीर् सरकार, सीजमत िाजर्त्व भागीिारी अजधजनर्म, 2008 (2009 का 6) की धारा 79 की उप धारा (1) और (2) द्वारा प्रित्त िजिर्ों का प्रर्ोग करते हुए, सीजमत िाजर्त्व भागीिारी जनर्म, 2009 का और संिोधन करने के जलए जनम्नजलजखत जनर्म बनाती ह,ै अर्ायत्:- 1.सजं िप्त नाम और प्रारम्भ-(1) इन जनर्मों का नाम सीजमत िाजर्त्व भागीिारी (तृतीर् संिोधन) जनर्म, 2023 ह।ै (2) वे रािपत्र म ेंइनके प्रकािन की तारीख को प्रवृत्त होंगे। 2. सीजमत िाजर्त्व भागीिारी जनर्म, 2009 (जिसे इसमें इसके पश्चात ्उि जनर्म कहा गर्ा ह)ै के, जनर्म 22 के पश्चात,् जनम्नजलजखत जनर्म अंतःस्ट्र्ाजपत दकए िाएंग,े अर्ायत:्- 6850 GI (1)2 THE GAZETTE OF INDIA : EXTRAORDINARY [PART II—SEC. 3(i)] "22क. भागीिारों का रजिस्ट्टर.- (1) प्रत्र्ेक सीजमत िाजर्त्व भागीिारी, इसके जनगमन की तारीख से, प्ररूप 4क म ें अपन े भागीिारों का एक रजिस्ट्टर रखगे ी जिस ेसीजमत िेर्ता भागीिारी के रजिस्ट्रीकृत कार्ालय र् म ेंरखा िाएगा। परन्त ु र्ह दक सीजमत िेर्ता भागीिारी (तीसरा संिोधन) जनर्म, 2023 के प्रारंभ होन े की तारीख को जवद्यमान सीजमत िेर्ता भागीिारी, इन जनर्मों के प्रारंभ होने के तीस दिनों के भीतर प्ररूप 4क म ें भागीिारों के रजिस्ट्टर का रख- रखाव करेंगे। (2) भागीिारों के रजिस्ट्टर में प्रत्र्ेक भागीिार के संबंध में जनम्नजलजखत जववरण होंगे, अर्ायत:्- (क) भागीिार नाम; पता (सिस्ट्र् के कारपोरेट जनकार् होने के मामले में रजिस्ट्रीकृत कार्ालय र् का पता); ई-मेल पता; स्ट्र्ार्ी खाता संख्र्ा र्ा कारपोरेट पहचान संख्र्ा; जवजिष्ट पहचान संख्र्ा, र्दि कोई हो, जपता / माता / पजत र्ा पत्नी का नाम; व्यवसार्; जस्ट्र्जत; राष्ट्रीर्ता; नाजमत व्यजि का नाम और पता; (ख) भागीिार बनने की तारीख; (ग) समाजप्त की तारीख; (घ) मौदद्रक मल्ू र् के सार् अजभिार् की रकम और प्रकृजत (सीजमत िाजर्त्व भागीिारी के जलए मूतय, चल र्ा अचल र्ा अन्र् लाभ को इंजगत करना, जिसमें धन, वचन पत्र, नकि र्ा संपजत्त का अजभिार् करने के जलए अन्र् करार,और जनष्पादित की गई र्ा जनष्पादित की िान े वाली सेवाओं के जलए संजविाएं िाजमल ह)ैं और (ङ) कोई अन्र् जहत, र्दि कोई हो। (3) इस जनर्म के अधीन रखे गए रजिस्ट्टर में प्रजवजष्टर्ां अजभिार् रकम में र्ा सीजमत िेर्ता भागीिारी करार के जनष्पािन पर भागीिारों के नाम और ब्र्ौरों में दकए गए पररवतयनों के अनुसरण में र्ा भागीिारी जहत की समाजप्त की ििा में सात दिनों के भीतर की िाएंगी। (4) र्दि दकसी जवजध के अधीन सिम प्राजधकारी द्वारा पाररत दकसी आिेि के अनुसरण म ें सीजमत िेर्ता भागीिारी द्वारा इस जनर्म के अधीन रखे गए रजिस्ट्टर में कोई सुधार दकर्ा िाता है, तो ऐसे आिेि का आवश्र्क संिभय संबंजधत रजिस्ट्टर में ििायर्ा िाएगा और कारणों के जलए जलजखत रूप म ेंअजभजलजखत दकर्ा िाएगा। 22ख. दकसी भी अजभिार् म ेंफार्िाप्रि जहत के सबं धं म ेंघोषणा (1) व्यजि जिसका नाम सीजमत िेर्ता भागीिारी के भागीिारों के रजिस्ट्टर म ें ििय दकर्ा गर्ा है, परंत ु ऐसे अजभिार् म ें पूणय र्ा आंजिक रूप से फार्िाप्रि जहत नहीं रखता ह ै (जिसे इसमें इसके पश्चात् "रजिस्ट्रीकृत भागीिार" कहा गर्ा ह)ै , ऐसा व्यजि सीजमत िेर्ता भागीिारी के सार् उस आिर् की घोषणा प्ररूप संख्र्ा प्ररूप 4ख में उस तारीख स े तीस दिनों की अवजध के भीतर फाइल करेगा, जिस तारीख को उसका नाम भागीिारों के रजिस्ट्टर में ििय दकर्ा गर्ा ह ै जिसमें उस व्यजि का नाम और अन्र् जववरणों को जनर्िष्टय दकर्ा िाएगा िो वास्ट्तजवक रूप से ऐसे अजभिार् में फार्िाप्रि जहत रखता ह।ै परन्तु र्ह दक िहां ऐसे अजभिार् में फार्िाप्रि जहत में कोई पररवतयन होता है, रजिस्ट्रीकृत भागीिार, ऐसे पररवतयन की तारीख से तीस दिनों की अवजध के भीतर, प्ररूप संख्र्ा 4ख में सीजमत िाजर्त्व भागीिारी में ऐसे पररवतयन की घोषणा करेगा।[भाग II—खण् ड 3(i)] भारत का रािपत्र : असाधारण 3 (2) प्रत्र्ेक व्यजि (जिस े इसमें इसके पश्चात ् फार्िाप्रि भागीिार कहा गर्ा ह)ै , िो सीजमत िर्े ता भागीिारी के अजभिान में फार्िाप्रि जहत रखता ह ै र्ा प्राप्त करता ह ै लेदकन उसका नाम जहतधारकों के रजिस्ट्टर में रजिस्ट्रीकृत नहीं है, सीजमत िेर्ता भागीिारी के सार् एक घोषणा फाइल करेगा, जिसमें सीजमत िेर्ता भागीिारी के अजभिार् में इस तरह के फार्िाप्रि जहत प्राप्त करने के तीस दिनों की अवजध के भीतर प्ररूप संख्र्ा 4ग में ऐसे जहत का प्रकटन दकर्ा िाएगा। जिसमें अपन े जहत की प्रकृजत, उस भागीिार का जववरण जिसके नाम पर अजभिार् सीजमत िाजर्त्व भागीिारी की बजहर्ों में रजिस्ट्रीकृत ह,ै जनर्िष्टय दकर्ा िाएगा। परन्तु र्ह दक िहां ऐसे अजभिान में फार्िाप्रि जहत में कोई पररवतयन होता है, तो फार्िाप्रि भागीिार, ऐसे पररवतयन की तारीख से तीस दिनों की अवजध के भीतर, प्ररूप 4ग में सीजमत िाजर्त्व भागीिारी में ऐसे पररवतयन की घोषणा करेगा। परंतु र्ह भी दक र्दि रजिस्ट्रीकृत जहतधारक के फार्िाप्रि जहत भागीिारों के रजिस्ट्टर में उनके नाम के सामने बताए गए अजभिार् तक सीजमत ह,ै लेदकन वह दकसी अन्र् रजिस्ट्रीकृत भागीिारी के जवरूद्ध अजभिार् म ेंफार्िाप्रि जहत नहीं रखता ह,ै तो उसे ऐसी घोषणा फाइल करने की आवश्र्कता नहीं होगी। (3) िहां उप-जनर्म (1) र्ा उप-जनर्म (2) के अधीन कोई घोषणा सीजमत िेर्ता भागीिारी द्वारा प्राप्त की िाती है, सीजमत िेर्ता भागीिारी भागीिारों के रजिस्ट्टर म ेंऐसी घोषणा को अजभजलजखत करेगा और उसके द्वारा घोषणा की प्राजप्त की तारीख से तीस दिनों की अवजध के भीतर, फीस के सार् इस तरह की घोषणा के संबंध में रजिस्ट्रार के पास प्ररूप 4घ में जववरणी फाइल करेगा। (4) प्रत्र्ेक सीजमत िेर्ता भागीिारी एक नाजमत भागीिार जनर्िष्टय करेगा िो सीजमत िेर्ता भागीिारी में अजभिार् म ें फार्िाप्रि जहत के संबंध म ें िानकारी प्रिान करन े के जलए सहर्ोग िने े और प्रिान करन े के जलए जिम्मेिार होगा और ऐस े नाजमत भागीिार की िानकारी प्ररूप 11 में अपन ेवार्षयक जववरण म ेंरजिस्ट्रार के सार् फाइल करेगा; परन्त ु र्ह दक उपजनर्म (4) के तहत र्दि कोई नाजमत भागीिार जनर्िष्टय नहीं दकर्ा गर्ा ह ै र्ा तो प्रत्र्ेक नाजमत भागीिारों को इस उप-जनर्म के अधीन अजभिार् म ें फार्िाप्रि जहत के संबंध म ें िानकारी प्रिान करन े और उसमें सहर्ोग के जलए जिम्मेिार माना िाएगा। 3. उि जनर्मों के प्ररूप 4 के पश्चात्, जनम्नजलजखत प्ररूप अंतःस्ट्र्ाजपत दकए िाएगं ,े अर्ायत्:-4 THE GAZETTE OF INDIA : EXTRAORDINARY [PART II—SEC. 3(i)] ¬एलएलपी प्ररूप संख्या 4 प्ररूप क़ी भाषा लाभकारी हित के संबंध में नियुक्तत, समाक्तत का िोहिस, िाममत भागीदार या अंग्रेज़ी दहर्दं ी भागीदार के िाम/पता/पदिाम में पररवतित और भागीदार/लाभकारी हित के संबंध में भागीदार/िाममत भागीदार बििे की सिमनत/िाममत भागीदार की घोषणा [सीममत दानयत्व भागीदारी नियम, 2009 के नियम 8, 10 (3), 22 (2) और 22 (3) के अिुसरण में] प्ररूप फाइल करने के ललए ननर्देश ककट र्देखें * में चिह्ननत सभी फ़ील्ड अननवाय य हैं. 1 (क) * सीलमत र्दानयत्व भागीर्दारी पहिान सख्ं या (एलएलपीआईएन) (ख) *सीलमत र्दानयत्व भागीर्दारी (एलएलपी) का नाम (ग) *एलएलपी के पंजीकृत कायायलय का पता (घ) * ईमले आईडी 2 (क) * व्यह्ततगत नालमत भागीर्दार (रों) क़ी संख्या ह्जसके ललए यह प्ररूप फाइल ककया जा रहा है (ख) *ननगलमत ननकायों क़ी सख्ं या और उनके नालमनतयों को नालमत भागीर्दारों के रूप में ह्जसे यह प्ररूप फाइल ककया जा रहा है (ग) *व्यह्ततगत भागीर्दारों क़ी संख्या ह्जनके ललए यह प्ररूप फाइल ककया जा रहा है (घ) *भागीर्दारों के रूप में ननगलमत ननकायों क़ी संख्या और उनके नालमनतया ं ह्जनके ललए यह प्ररूप है र्दायर ककया जा रहा है (ङ) *भागीर्दारों/नालमत भागीर्दारों क़ी कुल संख्या ह्जनके ललए प्ररूप फाइल ककया जा रहा है। 3 व्यह्ततगत नालमत भागीर्दार (रों) का वववरण ह्जसके ललए यह प्ररूप फाइल ककया जा रहा है (क) प्ररूप ककसके ललए फाइल ककया जा रहा है? ननयुह्तत समाह्तत पर्द में पररवतनय घोषणा (ख) घटना क़ी नतचि Register of Partners.- (1) Every limited liability partnership shall, from the date of its incorporation, maintain a register of its partners in Form 4A which shall be kept at the registered office of the limited liability partnership: Provided that in the case of limited liability partnership existing on the date of commencement of the Limited Liability Partnership (Third Amendment) Rules, 2023, shall maintain the register of partners in Form 4A within thirty days from such commencement. (2) The register of partners shall contain the following particulars, in respect of each partner, namely:- (a) name of the partner; address (registered office address in case the member is a body corporate); e-mail address; Permanent Account Number or Corporate Identification Number; Unique Identification Number, if any; father or mother or spouse’s name; occupation; status; Nationality; name and address of nominee; (b) date of becoming partner; (c) date of cessation; (d) amount and nature of contribution (indicating tangible, intangible, movable, immovable or other benefit to the limited liability partnership, including money, promissory notes, other agreements to contribute cash or property, and contracts for services performed or to be performed) with monetary value; and (e) any other interest, if any, (3) The entries in the register maintained under this rule shall be made within seven days pursuant to any change made in the contribution amount, or in name and details of the partners in the Limited Liability Partnership agreement, or in cases of cessation of partnership interest. (4) If any rectification is made in the register maintained under this rule by the Limited Liability Partnership pursuant to any order passed by the competent authority under any law, the necessary reference of such order shall be indicated in the respective register and for reasons to be recorded in writing. 22B. Declaration in respect of beneficial interest in any contribution.- (1) A person whose name is entered in the register of partners of a Limited Liability Partnership but does not hold any beneficial interest fully or partly in contribution (hereinafter referred to as “the registered partner”), such person shall file with the Limited Liability Partnership, a declaration to that effect in Form 4B within a period of thirty days from the date on which his name is entered in the register of partners specifying the name and other particulars of the person who actually holds any beneficial interest in such contributions: Provided that where any change occurs in the beneficial interest in such contribution, the registered partner shall, within a period of thirty days from the date of such change, make a declaration of such change to the limited liability partnership in Form 4B. (2) Every person who holds or acquires a beneficial interest in contribution of a Limited Liability Partnership but his name is not registered in the register of partners (hereinafter referred to as “the beneficial partner”) shall file with Limited Liability Partnership, a declaration disclosing such interest in Form 4C within a period of thirty days after acquiring such beneficial interest in the contribution of the Limited Liability Partnership specifying the nature of his interest, particulars of the partner in whose name the contribution stand registered in the books of the limited liability partnership: Provided that where any change occurs in the beneficial interest in such contribution, the beneficial partner shall, within a period of thirty days from the date of such change, make a declaration of such change to the limited liability partnership in Form 4C.26 THE GAZETTE OF INDIA : EXTRAORDINARY [PART II—SEC. 3(i)] Provided further that if the beneficial interest of registered partner is limited to the contribution stated against his name in the register of partners but he does not hold beneficial interest in contribution against any other registered partner, then, he shall not be required to file such declaration. (3) Where any declaration under sub-rule (1) or sub-rule (2) is received by the Limited Liability Partnership, the Limited Liability Partnership shall record such declaration in the register of partners and shall file, within a period of thirty days from the date of receipt of declaration by it, a return in Form 4D to the Registrar in respect of such declaration with fees.” (4) Every Limited Liability Partnership shall specify a designated a partner who shall be responsible for furnishing of and extending co-operation for providing, information with respect to beneficial interest in contribution in Limited Liability Partnership to the Registrar or any other officer authorised by the Central Government and shall file information of such designated partner with the Registrar in Form 4: Provided that until a designated partner is specified under sub-rule (4), every designated partner shall be deemed to be responsible for furnishing of, and extending co-operation for providing, information with respect to beneficial interest in contribution under this sub-rule. 3.
