1. (1) इन िविनयम(cid:26) का संि/0 नाम भारतीय (cid:13)टेट ब(cid:16)क साधारण (संशोधन) िविनयम, 2014 ह।ै

(2) ये िविनयम राजप2 म(cid:6) (cid:20)काशन क(cid:17) तारीख को (cid:20)वृ(cid:22) ह(cid:26)गे।

2. भारतीय (cid:13)टेट ब(cid:16)क साधारण िविनयम, 1955 (िजसे इसम(cid:6) इसके प"ात ् मूल िविनयम कहा गया ह)ै के िविनयम 2 म(cid:6),--

(i) उपखंड (क) के प"ात्, िन(िलिखत अंत:(cid:13)थािपत 7कया जाएगा, अथा(cid:4)त् :-- ‘(कक) “कंपनी” से कंपनी अिधिनयम, 2013 (2013 का 18) क(cid:17) धारा 2 म(cid:6) प(cid:30)रभािषत एक कंपनी या त;समय (cid:20)वृ(cid:22) 7कसी अ<य िविध के अंतग(cid:4)त िनगिमत कोई कारपोरेट िनकाय अिभ(cid:20)ेत ह ै और जब तक कोई बात िवषय या संदभ (cid:4) के िव=> न हो, इसके अंतग(cid:4)त सहकारी सिमित सि?मिलत होगी ;’;

(ii) उपखंड (ख) के प"ात,् िन(िलिखत अंत:(cid:13)थािपत 7कया जाएगा, अथा(cid:4)त ् :-- ‘(ग) “भारतीय (cid:20)ितभूित और िविनमय बोड(cid:4)” से भारतीय (cid:20)ितभूित और िविनमय बोड(cid:4) अिधिनयम, 1992 (1992 का 15) के अधीन (cid:13)थािपत भारतीय (cid:20)ितभूित और िविनमय बोड(cid:4) अिभ(cid:20)ेत ह;ै 965 GI/2014 (1)2 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC. 4] (घ) “भारतीय (cid:20)ितभूित और िविनमय बोड(cid:4) िविनयम” से भारतीय (cid:20)ितभूित और िविनमय बोड(cid:4) अिधिनयम, 1992 (1992 का 15) के अनुसार भारतीय (cid:20)ितभूित और िविनमय बोड(cid:4) (cid:18)ारा बनाए गए या जारी 7कए गए िविनयम या माग(cid:4)दश(cid:4)क िस>ांत अिभ(cid:20)ेत ह।(cid:16) ’ ।

3. मूल िविनयम म(cid:6), िविनयम 3 के प"ात,् िन(िलिखत िविनयम अंत:(cid:13)थािपत 7कए जाएगं े, अथा(cid:4)त् :-- “3क. अंश पूंजी--(1) भारतीय (cid:13)टेट ब(cid:16)क क(cid:17) अंश पूंजी म (cid:6) साधारण पूंजी या साधारण अंश पूंजी और अिधमानी अंश पूंजी सि?मिलत होगी ।

(2) साधारण अंश पूंजी, अंश पूंजी का वह भाग होगी, जो अिधमानी अंश पूंजी न हो ।

(3) अिधमानी अंश पूंजी, अंश पूंजी का वह भाग होगी, जो िन(िलिखत शत@ को पूरा करती ह,ै अथा(cid:4)त ् :-- (क) लाभांश के संबंध म(cid:6), यह एक अिधमानी अिधकार से संदये वह िनि"त रकम या एक ऐसी रकम होगी, िजसक(cid:17) संगणना (cid:13)थायी या अ(cid:13)थायी दर के आधार पर क(cid:17) गई हो, और जो आय-कर से मु(cid:25) या आय- कर के अAयधीन हो सकेगी; और (ख) पूंजी के संबंध म(cid:6), प(cid:30)रसमापन के समय यह पूंजी का (cid:20)ितसंदाय करेगी या कर सकेगी, अिधमानी अंश(cid:26) के मामले म(cid:6) यह समाद(cid:22) पूंजी या समाद(cid:22) मानी जान े वाली पूंजी के (cid:20)ितसंदाय से संबंिधत होगी, चाह े िन(िलिखत दोन(cid:26) रकम(cid:26) या दोन(cid:26) म (cid:6) से 7कसी एक रकम के भुगतान के िलए अिधमानी अशं ह(cid:26) या न ह(cid:26), अथा(cid:4)त् :--

(i) समापन क(cid:17) तारीख तक या पूंजी के (cid:20)ितसंदाय होने तक, खंड (क) म (cid:6) िविनCदD क(cid:17) गई रकम के संबंध म(cid:6) असंद(cid:22) शेष रकम, और

(ii) कोई िनयत (cid:20)ीिमयम या िनयत (cid:13)केल से संबंिधत (cid:20)ीिमयम, िजस े क(cid:6)(cid:7)ीय बोड(cid:4) या उसक(cid:17) काय(cid:4)पािलका सिमित (cid:18)ारा क(cid:6)(cid:7)ीय सरकार के पूव(cid:4) अनुमोदन से िविनCदD 7कया गया हो । 3ख. साधारण अंश या अिधमानी अंश के िनग(cid:4)म (cid:18)ारा िनग(cid:4)िमत पूंजी को बढ़ाने के िलए (cid:20)7Fया--साधारण अंश या अिधमानी अंश के िनग(cid:4)म (cid:18)ारा िनग(cid:4)िमत पूंजी को बढ़ाने के िलए पूंजी के िनग(cid:4)म संबंधी भारतीय (cid:20)ितभूित और िविनमय बोड(cid:4) के सुसंगत िविनयम(cid:26) के स?यक िनदशG से क(cid:6)(cid:7)ीय बोड(cid:4) (cid:18)ारा अवधा(cid:30)रत क(cid:17) गई (cid:20)7Fया के अनुसार िनग(cid:4)िमत पूंजी बढ़ाई जा सकेगी :

परंतु अिधमानी अंश(cid:26) का िनग(cid:4)म (cid:30)रज़व (cid:4) ब(cid:16)क (cid:18)ारा बनाए गए माग(cid:4)दश(cid:4)क िस>ांत(cid:26) के अनुसार होगा । 3ग. िनग(cid:4)िमत पूंजी के िलए रकम (cid:13)वीकार करने, अंश(cid:26) क(cid:17) जHती और अंश(cid:26) के पुन: िनग(cid:4)मन क(cid:17) रीित--(1) क(cid:6)(cid:7)ीय बोड(cid:4) या उसक(cid:17) काय(cid:4)पािलका सिमित (cid:18)ारा अंशधारक(cid:26) से उन सभी रकम के संबंध म(cid:6), जो उनके (cid:18)ारा धा(cid:30)रत अंश(cid:26) के संबंध म(cid:6) असंद(cid:22) है, चाह े वह अंश(cid:26) के अिभिहत मूIय के लेख े ह(cid:26) या (cid:20)ीिमयम के Jप म(cid:6) हो, िजनका आबंटन क(cid:17) शत(cid:4) के आधार पर िनयत समय पर भुगतान नहK 7कया गया है, का भुगतान करने के िलए एक सूचना, िजसक(cid:17) अविध चौदह 7दन से कम न हो, दके र समय-समय पर, ऐसी मांग क(cid:17) जा सकती ह,ै िजसे वह उिचत समझती हो और (cid:20);येक अंशधारक (cid:18)ारा उसके संबंध म(cid:6) मांग क(cid:17) गई रकम का भुगतान क(cid:6)(cid:7)ीय बोड(cid:4) या काय(cid:4)पािलका सिमित (cid:18)ारा िनयत समय और (cid:13)थान पर या ऐसी अनुवतL तारीख(cid:26) पर 7कया जाएगा। अंश से संबंिधत मांग क(cid:17) बकाया रकम का भुगतान 7क(cid:13)त(cid:26) म(cid:6) 7कया जा सकता ह ै और यह क(cid:6)(cid:7)ीय बोड(cid:4) या उसक(cid:17) काय(cid:4)पािलका सिमित (cid:18)ारा संकIप पा(cid:30)रत करके (cid:20)ािधकृत पूव(cid:4)वतL तारीख से लागू होगी :¹Hkkx IIIµ[k.M 4º Hkkjr dk jkti=k % vlk/kj.k 3 परंतु क(cid:6)(cid:7)ीय बोड(cid:4) या उसक(cid:17) काय(cid:4)पािलका सिमित अंशधारक(cid:26) को िलिखत सूचना (cid:18)ारा ऐसी मांग क(cid:17) रकम के भुगतान के िलए िनयम समय से पहल े भुगतान के िलए िनयत समय को आगे बढ़ा सकेगी या बकाया रकम क(cid:17) मांग क(cid:17) सूचना को रM कर सकेगी ।

(2) य7द 7कसी मांग या 7क(cid:13)त(cid:26) से संबंिधत शोAय रकम के भुगतान के िलए िनयत 7दन को या उससे पहले नहK क(cid:17) जाती ह,ै तो त;समय अंशधारक या अंश के आबंटी, िजससे मांग क(cid:17) रकम क(cid:17) मांग क(cid:17) गई है या िजसक(cid:17) ओर से 7क(cid:13)त का भुगतान 7कया जाना ह,ै के (cid:18)ारा उ(cid:25) रकम पर ऐसी दर के आधार पर, िजसे क(cid:6)(cid:7)ीय बोड(cid:4) या उसक(cid:17) काय(cid:4)पािलका सिमित (cid:18)ारा, समय-समय पर, िनयत 7कया जाए, उसका भुगतान करने क(cid:17) अविध तक के Hयाज का भुगतान 7कया जाएगा, परंतु क(cid:6)(cid:7)ीय बोड(cid:4) या उसक(cid:17) काय(cid:4)पािलका सिमित उन कारण(cid:26) के िलए, जो लेखब> 7कए जाए,ं उ(cid:25) Hयाज के भुगतान को संपूण (cid:4) या आंिशक Jप से अिध;यजन कर सकेगी ।

(3)(क) य7द कोई अंशधारक 7कसी मांग क(cid:17) संपूण(cid:4) रकम या उसके 7कसी भाग या 7क(cid:13)त का या 7कसी भी अंश से संबंिधत 7कसी भी शोAय रकम, चाह े वह मूल धन या Hयाज के Jप म(cid:6) हो, का भुगतान िनयत 7दन तक करने म (cid:6) असफल रहता ह,ै तो (cid:13)टेट ब(cid:16)क उसके प"ात् 7कसी भी समय मांग या 7क(cid:13)त या उसके 7कसी भाग या अ<य 7कसी रकम क(cid:17), जो असंद(cid:22) बनी (cid:28)ई है, ऐसे Hयाज के साथ, जो शोAय हो चुका ह,ै भुगतान क(cid:17) अपे/ा करेगा, जHती क(cid:17) सूचना उ(cid:25) अंशधारक को या उस Pि(cid:25) को (य7द कोई हो) दगे ा, जो ह(cid:13)तांतरण के (cid:18)ारा उ(cid:25) अंश का हकदार होता, िजसके (cid:18)ारा उ(cid:25) मांग या 7क(cid:13)त या उसके 7कसी भाग या अ<य कोई रकम, जो असंद(cid:22) बनी (cid:28)ई है, ऐसे Hयाज के साथ, जो शोAय हो चकु ा ह,ै भुगतान क(cid:17) अपे/ा करेगा । (ख) जHती क(cid:17) सूचना म(cid:6) उस तारीख, जो सूचना क(cid:17) तारीख से चौदह 7दन से अ<यून क(cid:17) होगी, समय और (cid:13)थान का, जहां उ(cid:25) असंद(cid:22) मांग या 7क(cid:13)त या Hयाज का भुगतान 7कया जाना ह,ै उIलेख होगा और भुगतान क(cid:17) िनयत तारीख तक शोAय रकम का भुगतान न 7कए जान े क(cid:17) दशा म,(cid:6) ऐसे अंश या अंश(cid:26) को जHत कर िलया जाएगा, िजनके संबंध म(cid:6) रकम शोAय थी और मांग क(cid:17) गई है ।

(4) य7द अंशधारक या कोई अ<य Pि(cid:25), िजसे जHती क(cid:17) सूचना क(cid:17) तामील क(cid:17) गई ह,ै उसका पालन नहK करता है, तो उन अंश(cid:26) को, िजनके संबंध म(cid:6) जHती क(cid:17) सूचना दी गई थी, भुगतान के िलए िनयत तारीख के प"ात ् 7कसी भी समय क(cid:6)(cid:7)ीय बोड(cid:4) या उसक(cid:17) काय(cid:4)पािलका सिमित के संकIप के अनुसार जHत कर िलया जाएगा और ऐसी जHती म(cid:6) जHत 7कए गए अंश(cid:26) से संबंिधत सभी असंद(cid:22) लाभाशं भी सि?मिलत ह(cid:26)गे ।

(5) इस (cid:20)कार जHत 7कए गए 7कसी अंश को भारतीय (cid:13)टेट ब(cid:16)क क(cid:17) संपि(cid:22) माना जाएगा और 7कसी भी Pि(cid:25) को ऐसे िनबंधन(cid:26) पर और ऐसी रीित से, जैसा क(cid:6)(cid:7)ीय बोड(cid:4) या उसक(cid:17) काय(cid:4)पािलका सिमित (cid:18)ारा िविन"य 7कया जाए, िवFय, पुन: आबंटन या उसका अ<यथा िनपटान 7कया जा सकेगा ।

(6) भारतीय (cid:13)टेट ब(cid:16)क अंश(cid:26) के िवFय, पुन: आबंटन या उसका अ<यथा िनपटान 7कए जान े के िलए (cid:20)ितफल (cid:20)ा0 कर सकेगा, य7द कोई हो, और उस Pि(cid:25) को, िजसे ऐसा अंश िवFय 7कया गया है, पुन: आबं(cid:30)टत 7कया गया ह ै या अ<यथा िनपटान 7कया गया ह,ै अंशधारक के Jप म(cid:6) रिज(cid:13)Sीकृत 7कया जाएगा और वह (cid:20)ितफल के आवेदन को दखे ने के िलए बाAय नहK होगा तथा न ही अंश(cid:26) से संबंिधत उसका हक अंश क(cid:17) जHती, िवFय, पुन: आबंटन या उसके अ<यथा िनपटान के संदभ (cid:4) म(cid:6) क(cid:17) जान े वाली काय(cid:4)वाही क(cid:17) (cid:20)7Fया म(cid:6) (cid:28)ई 7कसी अिनयिमतता या अिविधमा<यता से (cid:20)भािवत होगा और िवFय से असंतुD कोई Pि(cid:25) नुकसानी क(cid:17) दशा म(cid:6) केवल और अन<य Jप से भारतीय (cid:13)टेट ब(cid:16)क के िव=> दावा कर सकेगा।

(7) उप िनयम (4) के अधीन इस (cid:20)कार से ऐसे 7कसी भी अंश, िजनका िवFय, पुन: आबंटन या उनका अ<यथा िनपटान 7कया गया ह,ै क(cid:6)(cid:7)ीय बोड(cid:4) या उसक(cid:17) काय(cid:4)पािलका सिमित 7कसी भी समय ऐसी शत@ पर, िजसे वह उिचत समझे, अंश(cid:26) क(cid:17) जHती को रM कर सकती है ।4 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC. 4]

(8) कोई भी अंशधारक, िजसके अंश(cid:26) को जHत कर िलया गया है, ऐसी जHती के रहते (cid:28)ए भी भारतीय (cid:13)टेट ब(cid:16)क को सभी मांग क(cid:17) रकम(cid:26), 7क(cid:13)त(cid:26), Pय(cid:26) और अ<य रकम(cid:26), जो देय होती ह (cid:16) या उ(cid:25) अंश(cid:26) के संबंध म(cid:6) जHती के समय दये रही ह(cid:26), जHती के समय से लेकर भुगतान करने के समय तक के िलए क(cid:6)(cid:7)ीय बोड(cid:4) या उसक(cid:17) काय(cid:4)पािलका सिमित (cid:18)ारा िविनCदD क(cid:17) गई दर के आधार पर Hयाज को जोड़कर भुगतान करने के िलए उ(cid:22)रदायी होगा और भारतीय (cid:13)टेट ब(cid:16)क को उसका त;काल भुगतान करेगा और क(cid:6)(cid:7)ीय बोड(cid:4) या उसक(cid:17) काय(cid:4)पािलका सिमित उसका संपूण (cid:4) भुगतान करने या आंिशक Jप से भुगतान को (cid:20)वTतत करा सकेगी ।

(9) 7कसी भी अंश के संबंध म(cid:6) शोAय रकम या अ<य रकम के िलए भारतीय (cid:13)टेट ब(cid:16)क के प/ म(cid:6) न तो 7कसी िनण(cid:4)य और न ही 7कसी िडF(cid:17), न ही उसके अंतग(cid:4)त 7कसी भुगतान या तुिD के संबंध म(cid:6) भारतीय (cid:13)टेट ब(cid:16)क (cid:18)ारा 7कसी रकम का कोई भाग, जो अंशधारक (cid:18)ारा समय-समय पर 7कसी भी अंश के संबंध म(cid:6) या तो मूल धन या Hयाज के Jप म(cid:6) दये ह,ै (cid:20)ा0 करने से भारतीय (cid:13)टेट ब(cid:16)क (cid:18)ारा 7कसी रकम के भुगतान के संबंध म(cid:6) अनुUह (cid:20)दान करने से इन िविनयम(cid:26) के अधीन उ(cid:25) अंश(cid:26) क(cid:17) जHती (cid:20)ितवा(cid:30)रत नहK होगी।

(10) इस आशय का एक िलिखत (cid:20)माण प2, िजस पर भारतीय (cid:13)टेट ब(cid:16)क (cid:18)ारा स?यक् Jप से (cid:20)ािधकृत Pि(cid:25) (cid:18)ारा ह(cid:13)ता/र 7कए गए ह(cid:26), 7क क(cid:6)(cid:7)ीय बोड(cid:4) या उसक(cid:17) काय(cid:4)पािलका सिमित के संकIप के अनुसार जHती क(cid:17) गई थी, जो ऐसे अंश(cid:26) के हकदार सभी Pि(cid:25)य(cid:26) के िव=> उ(cid:25) (cid:20)माण प2 म(cid:6) उिIलिखत तVय का िन"ायक साWय होगा।

(11) जब उप िविनयम (4) के अधीन 7कसी अंश को जHत 7कया जाए, तो रिज(cid:13)टर म (cid:6) तारीख के साथ उ(cid:25) जHती से संबंिधत (cid:20)िविD क(cid:17) जाएगी ।

(12) 7कसी अंश क(cid:17) जHती के प"ात ् उस अंश क(cid:17) जHती के समय उ(cid:25) अंश से संबंिधत भारतीय (cid:13)टेट ब(cid:16)क के िव=> सभी िहत और सभी दाव े तथा मांगे, अंश और अंश के आनुषंिगक अ<य सभी अिधकार(cid:26) के संबंध म,(cid:6) उन अिधकार(cid:26) के िसवाए िजनको इन िविनयम(cid:26) के अधीन िलिखत छूट (cid:20)दान क(cid:17) गई ह,ै समा0 हो जाएगं े ।

(13) इन उप िविनयम(cid:26) के अनुसार जHत 7कए गए अंश(cid:26) के िवFय, पुन: िनग(cid:4)मन, उनका पुन: आबंटन या अ<य िनपटान करने पर, संबंिधत अंश(cid:26) के संबंध म(cid:6) मूल Jप से जारी 7कए गए (cid:20)माणप2 (जब तक उ<ह(cid:6) भारतीय (cid:13)टेट ब(cid:16)क (cid:18)ारा मांग 7कए जान े पर चूक करने वाल े अंशधारक (cid:18)ारा अXयTपत नहK 7कया गया ह)ै िनर(cid:13)त हो जाएगं े और अकृत तथा शू<य हो जाएगं े और कोई (cid:20)भाव नहK रख(cid:6)गे ।

(14) क(cid:6)(cid:7)ीय बोड(cid:4) या उसक(cid:17) काय(cid:4)पािलका सिमित, उ(cid:25) अंश(cid:26) के संबंध म(cid:6) उनके हकदार Pि(cid:25) या Pि(cid:25)य(cid:26) को एक नया (cid:20)माण प2 या नए (cid:20)माण प2 जारी करने क(cid:17) हकदार होगी।

(15) 7कसी अंश के संयु(cid:25) अंशधारक अंश से संबंिधत सभी मांग क(cid:17) रकम(cid:26) का भुगतान करने के िलए संयु(cid:25)त: और पृथकत: उ(cid:22)रदायी ह(cid:26)गे ।

(16) इन िविनयम(cid:26) के अ<य उपबंध(cid:26) के अAयधीन रहते (cid:28)ए, कोई भी अंशधारक कोई लाभांश (cid:20)ा0 करने या अंशधारक के 7कसी भी अिधकार का (cid:20)योग करने के िलए तब तक हकदार नहK होगा, जब तक उसने उस समय तक दये सभी मांग क(cid:17) रकम(cid:26) का, जो उसके (cid:18)ारा धा(cid:30)रत (cid:20);येक अंश के संबंध म (cid:6) दये हो, चाह े वह एकल Jप म(cid:6) हो या 7कसी अ<य Pि(cid:25) के साथ संयु(cid:25) Jप म(cid:6) हो, ऐसे Hयाज के साथ tksM+dj] िजसे लगाया जा सकता हो या (cid:20)भा(cid:30)रत 7कया जा सकता हो, भुगतान नहK कर 7दया गया हो।

(17) य7द 7कसी अंश को जारी 7कए जान े के िनबंधन(cid:26) या अ<यथा (cid:18)ारा कोई रकम 7कसी िनयत समय पर या 7क(cid:13)त(cid:26) के (cid:18)ारा िनयत समय पर दये ह,ै तो ऐसी (cid:20);येक रकम या 7क(cid:13)त इस (cid:20)कार से होगी मानो क(cid:6)(cid:7)ीय बोड(cid:4) या उसक(cid:17) काय(cid:4)पािलका सिमित (cid:18)ारा स?यक् Jप से उसक(cid:17) मांग क(cid:17) गई है और िजसके िलए स?यक् Jप से सूचना दी गई हो।

(18)(क) भारतीय (cid:13)टेट ब(cid:16)क का िन(िलिखत पर (cid:20)थम और सवYप(cid:30)र Uहणािधकार (िलयन) होगा :--¹Hkkx IIIµ[k.M 4º Hkkjr dk jkti=k % vlk/kj.k 5

(i) (cid:20);येक अंश पर (पूण(cid:4)त: समाद(cid:22) अंश नहK होने के कारण) उन सभी रकम(cid:26) के िलए, िजनक(cid:17) मांग क(cid:17) गई हो (चाह े वह दये हो या न हो) या उस अंश के संबंध म(cid:6) जो िनयत समय पर दये होती ह ै ;

(ii) सभी अंश(cid:26) पर (पूण(cid:4)त: समाद(cid:22) अंश नहK होने के कारण) जो 7कसी एकल Pि(cid:25) के नाम से रिज(cid:13)Sीकृत ह(cid:26), उन सभी रकम(cid:26) के िलए, जो उनके (cid:18)ारा या उनक(cid:17) संपदा से भारतीय (cid:13)टेट ब(cid:16)क को दये होती ह ै ;

(iii) (cid:20);येक Pि(cid:25) के नाम रिज(cid:13)Sीकृत सभी अंश(cid:26) पर (चाह े एकल Jप म (cid:6) हो या अ<य के साथ संयु(cid:25) Jप म(cid:6) हो) जो (पूण(cid:4)त: समाद(cid:22) अंश नहK होने के कारण) और भारतीय (cid:13)टेट ब(cid:16)क के (cid:20)ित एकल या अ<य के साथ संयु(cid:25) Jप से अपने ऋण(cid:26), दािय;व(cid:26) और वचनबंध(cid:26) के िलए उनके िवFय के आगम क(cid:17) रकम(cid:26) पर, चाह े उनका भुगतान करने या उसक(cid:17) पूTत करने या उसे चुकान े का वा(cid:13)तिवक समय आया हो या नहK, और भारतीय (cid:13)टेट ब(cid:16)क (cid:18)ारा अपन े Uहणािधकार पर 7कसी अंश म(cid:6) 7कसी (cid:20)कार का कोई सामियक िहत मा<य नहK 7कया जाएगा :

परंतु क(cid:6)(cid:7)ीय बोड(cid:4) या उसक(cid:17) काय(cid:4)पािलका सिमित (cid:18)ारा 7कसी अंश के पूण(cid:4)त: या भागत: इस खंड के उपबंध(cid:26) के अधीन छूट दने े क(cid:17) 7कसी भी समय घोषणा क(cid:17) जा सकेगी । (ख) भारतीय (cid:13)टेट ब(cid:16)क का 7कसी अंश पर भागत: Uहणािधकार, य7द कोई हो, उस पर दये सभी लाभांश(cid:26) पर िव(cid:13)ता(cid:30)रत होगा।

(19)(क) भारतीय (cid:13)टेट ब(cid:16)क (cid:18)ारा 7कसी ऐसे अंश का, िजस पर उसका Uहणािधकार है, ऐसी रीित से, जो क(cid:6)(cid:7)ीय बोड(cid:4) या उसक(cid:17) काय(cid:4)पािलका सिमित उिचत समझे, िवFय 7कया जा सकेगा,--

(i) य7द कोई ऐसी रकम, िजसके संबंध म(cid:6) Uहणािधकार िव[मान है, देय होती है; और

(ii) त;समय रिज(cid:13)Sीकृत अंशधारक को या उसक(cid:17) मृ;यु हो जाने या 7दवािलया हो जान े के कारण उस अंश के, िजसके संबंध म(cid:6) Uहणािधकार िव[मान ह,ै हकदार Pि(cid:25) को उस रकम का भुगतान करने के िलए िलिखत नो(cid:30)टस 7दया गया हो और ऐसा नो(cid:30)टस भेजन े के प"ात् चौदह 7दन क(cid:17) अविध समा0 हो गई हो। (ख) उपरो(cid:25)ानुसार 7कसी िवFय को (cid:20)भाव दने े के िलए, क(cid:6)(cid:7)ीय बोड(cid:4) या उसक(cid:17) काय(cid:4)पािलका सिमित (cid:18)ारा अंश(cid:26) के Fेता को िवFय 7कए गए अंश(cid:26) को अंत(cid:30)रत करने के िलए 7कसी भी अिधकारी को (cid:20)ािधकृत 7कया जा सकेगा ।

(20) उपिविनयम (19) के अधीन अंश(cid:26), िजस पर Uहणािधकार लागू ह,ै के 7कसी (cid:20)कार के िवFय से (cid:20)ा0 कुल रकम को ऐसी िवFय से संबंिधत खच@ क(cid:17) कटौती करने के प"ात,् ऐसे ऋण या देयता को पूरा करने के िलए उपयोजन म(cid:6) िलया जाएगा और अवशेष रकम, य7द कोई हो, को अंशधारक को इस (cid:20)कार िवFय 7कए गए अंश(cid:26) के पारेषण (cid:18)ारा हकदार Pि(cid:25) को, य7द कोई हो, भुगतान 7कया जाएगा।

(21)(क) भारतीय (cid:13)टेट ब(cid:16)क 7कसी भी अंशधारक को Pि(cid:25)गत Jप से या साधारण डाक से उसके रिज(cid:13)Sीकृत पते पर और य7द भारत म(cid:6) उसका रिज(cid:13)Sीकृत पता न हो, तो उसके (cid:18)ारा (cid:13)टेट ब(cid:16)क को 7दए गए 7कसी अ<य पते पर सूचना या द(cid:13)तावेज को शेयरधारक को भजे ा जा सकेगा ;

(ख) जहा ं अंशधारक को कोई सूचना या द(cid:13)तावेज डाक (cid:18)ारा (cid:20)ेिषत 7कया जाता ह,ै वहां यह माना जाएगा 7क उसे उिचत Jप से, अथा(cid:4)त ् सही पते पर, डाक खच (cid:4) क(cid:17) पूव(cid:4) अदायगी करके उस सूचना या द(cid:13)तावेज को (cid:20)ेिषत 7कया गया ह:ै परंतु जहा ं अंशधारक ने (cid:13)टेट ब(cid:16)क को यह अिUम सूचना दी ह ै 7क द(cid:13)तावेज(cid:26) को दये पावती के साथ या िबना पावती के रिज(cid:13)Sीकृत डाक या कू(cid:30)रयर सेवा (cid:18)ारा या इलै]Sािनक माAयम से उसे भजे ा जाए और ऐसा करने के िलए6 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC. 4] Pय(cid:26) को चुकाने के िलए पया(cid:4)0 रकम (cid:13)टेट ब(cid:16)क म(cid:6) जमा क(cid:17) जाएगी, ऐसे द(cid:13)तावेज और सूचना को भेजा गया नहK माना जाएगा जब तक उसे अंशधारक (cid:18)ारा सूिचत क(cid:17) गई रीित म(cid:6) नहK भेजा गया है :

परंतु यह और 7क डाक (cid:18)ारा भेजी गई 7कसी सूचना को उसे उस िलफाफे या रैपर को, िजसम(cid:6) वह रखी गई हो, डाक म(cid:6) डालने क(cid:17) तारीख से अनुगामी तीसरे 7दन भेजा गया माना जाएगा और उसके भेज े जान े के साWय के Jप म(cid:6) यह सािबत करना पया(cid:4)0 ह ै 7क िलफाफे या रैपर, िजसम(cid:6) वह सूचना है, स?यक् Jप से पता िलखा (cid:28)आ, पूव (cid:4) भुगतान करके और डाक म(cid:6) डाला गया ह ै और (cid:13)टेट ब(cid:16)क के कम(cid:4)चारी (cid:18)ारा एक िलिखत व ह(cid:13)ता/(cid:30)रत इस बात का (cid:20)माणप2, 7क िलफाफा या रैपर, िजसम(cid:6) सूचना थी, स?यक् Jप से पता िलखा (cid:28)आ, पूव(cid:4) भुगतान करके और डाक म(cid:6) डाला गया था, और 7कसी भी अ<य दशा म(cid:6), वह समय, जब प2 को सामा<य अनुFम म(cid:6) प(cid:30)रद(cid:22) 7कया गया हो, िन"ायक साWय होगा ;

(ग) भारत म(cid:6) Pापक Jप से प(cid:30)रचालन रखने वाल े 7कसी समाचार प2 म (cid:6) िव^ािपत 7कसी सूचना या द(cid:13)तावेज को, (cid:13)टेट ब(cid:16)क के (cid:20);येक अंशधारक, िजनका भारत म(cid:6) कोई रिज(cid:13)Sीकृत पता न हो, और िजसने सूचना दने े के िलए (cid:13)टेट ब(cid:16)क को भारत का कोई पता उपलHध न कराया हो, ऐसे िव^ापन के (cid:20)काशन क(cid:17) तारीख, स?यक् Jप से सूचना दने े क(cid:17) तारीख मानी जाएगी;

(घ) (cid:13)टेट ब(cid:16)क (cid:18)ारा 7कसी शेयर के ऐसे संयु(cid:25) अंशधारक को, िजसका नाम रिज(cid:13)टर म (cid:6) पहल े रिज(cid:13)Sीकृत ह,ै कोई सूचना या द(cid:13)तावेज सूचना भेजकर दी जा सकेगी और इस (cid:20)कार दी गई सूचना सभी अशं धारक(cid:26) के िलए पया(cid:4)0 सूचना मानी जाएगी ;

(ङ) (cid:13)टेट ब(cid:16)क (cid:18)ारा, 7कसी अंशधारक क(cid:17) मृ;यु या उसके 7दवािलया होन े क(cid:17) ि(cid:13)थित म (cid:6) उसके नाम से या मृतक के (cid:20)ितिनिध या 7दवािलया अंशधारक के समनुदिेशती या ऐसी हकदारी का दावा करने वाले Pि(cid:25) या Pि(cid:25)य(cid:26) को ब(cid:16)क को भारत म(cid:6) 7दए गए 7कसी पते पर डाक खच (cid:4) क(cid:17) पूव(cid:4) भुगतान करके कोई सूचना या द(cid:13)तावेज को भेजा जा सकता है या ऐसा पता नहK 7दए जान े पर द(cid:13)तावेज(cid:26) को उसी (cid:20)कार से भजे ा जाएगा, िजस (cid:20)कार से अंशधारक क(cid:17) मृ;यु न होने या उसके 7दवािलया न होने क(cid:17) ि(cid:13)थित म(cid:6) ब(cid:16)क (cid:18)ारा भेजा जाता ह ै ;

(च) (cid:13)टेट ब(cid:16)क (cid:18)ारा दी जाने वाली 7कसी सूचना पर ह(cid:13)ता/र िलिखत या मु7(cid:7)त ह(cid:26)गे ।“।

4. मूल िविनयम के िविनयम 7 म(cid:6), “अंश(cid:26) के अंतरण” शHद(cid:26) के प"ात,् “और नामांकन करने के अिधकार” शHद अंत:(cid:13)थािपत 7कए जाएगं े ।

5. मूल िविनयम के िविनयम 9 के उपिविनयम (2) म(cid:6), “अपेि/त भाग के िलए दो =पए (cid:20)ित सौ शHद क(cid:17) दर से पूव(cid:4) संदाय करके” शHद(cid:26) के (cid:13)थान पर, “क(cid:6)(cid:7)ीय बोड(cid:4) या उसक(cid:17) काय(cid:4)पािलका सिमित (cid:18)ारा समय-समय पर िविन"य क(cid:17) गई दर(cid:26) के अनुसार (cid:20)भार(cid:26) का भुगतान करके” शHद रखे जाएगं े ।

6. मूल िविनयम के िविनयम 16 के प"ात, िन(िलिखत िविनयम अंत:(cid:13)थािपत 7कए जाएगं े, अथा(cid:4)त ् :-- 16क. अंशधारक (cid:18)ारा नामांकन करने क(cid:17) रीित--(1) (cid:20);येक एकल अंशधारक या सह संयु(cid:25) अंशधारक (cid:18)ारा, जहा ं अंश एक या अिधक Pि(cid:25)य(cid:26) के नाम रिज(cid:13)Sीकृत ह,ै 7कए जाना वाला नामांकन इन िविनयम(cid:26) क(cid:17) अनुसूची 1 म(cid:6) 7दए गए (cid:20)Jप ‘क’ म(cid:6) 7कया जाएगा ।

(2) जहा ं नामिनदिGशती अवय(cid:13)क ह,ै वहां, यथाि(cid:13)थित, अंशधारक या सभी संयु(cid:25) अंशधारक एक साथ, एक ऐसे Pि(cid:25) का नाम और पता (cid:20)(cid:13)तुत कर सकते ह,(cid:16) जो अवय(cid:13)क न हो और नामिनदिGशती क(cid:17) अवय(cid:13)कता के दौरान, यथाि(cid:13)थित, अंशधारक या सभी संयु(cid:25) अंशधारक(cid:26) क(cid:17) मृ;यु क(cid:17) दशा म (cid:6) अंशधारक के Jप म (cid:6) उसका एकल नाम रिज(cid:13)Sीकृत 7कया जाएगा ।¹Hkkx IIIµ[k.M 4º Hkkjr dk jkti=k % vlk/kj.k 7

(3) नामिनदिGशती कोई Pि(cid:25) होगा और िनगिमत िनकाय, <यास, सोसाइटी, साझेदारी फम(cid:4) और _हद ू अिवभ(cid:25) कुटुंब के कता(cid:4) के प/ म(cid:6) नामांकन (cid:13)वीकार नहK 7कया जाएगा ।

(4) अंशधारक (अंशधारक(cid:26)) के जीवनकाल के दौरान अंश(cid:26) का अंतरण करने पर नामांकन िवखंिडत हो जाएगा ।

(5) अंशधारक या सभी संयु(cid:25) अंशधारक िमलकर 7कसी भी समय नामांकन को रM कर सकते ह (cid:16) या उसम (cid:6) प(cid:30)रवत(cid:4)न कर सकते ह(cid:16) और 7कसी Pि(cid:25) के प/ म(cid:6) नया नामांकन िन‘पा7दत कर सकते ह,(cid:16) जैसा वे उिचत समझे ।

(6) 7कसी Pि(cid:25)गत अंशधारक या सभी संयु(cid:25) अंशधारक(cid:26) (cid:18)ारा िमलकर नामांकन म(cid:6) प(cid:30)रवत(cid:4)न या िनर(cid:13)तीकरण इन िविनयम(cid:26) क(cid:17) अनुसूची 1 म(cid:6) 7दए गए (cid:20)Jप ‘ख’ म (cid:6) होगा ।

(7) उपरो(cid:25)ानुसार, यथाि(cid:13)थित, नामांकन का िनर(cid:13)तीकरण या नामांकन म(cid:6) प(cid:30)रवत(cid:4)न, ऐसा िनर(cid:13)तीकरण या प(cid:30)रवत(cid:4)न करने वाल े Pि(cid:25) या Pि(cid:25)य(cid:26) (cid:18)ारा उस दौरान, जब उनके (cid:18)ारा अंशधारण 7कया (cid:28)आ है, 7कसी भी समय 7कया जा सकता ह ै ।

(8) जहा ं एक या अिधक Pि(cid:25)य(cid:26) न े संयु(cid:25) Jप से अंश(cid:26) को धारण 7कया (cid:28)आ ह,ै वहां नामांकन का िनर(cid:13)तीकरण या प(cid:30)रवत(cid:4)न तब तक िविधमा<य नहK होगा, जब तक नामांकन म(cid:6) िनर(cid:13)तीकरण या प(cid:30)रवत(cid:4)न के समय सभी उ(cid:22)रजीवी अंशधारक(cid:26) (cid:18)ारा नामांकन का िनर(cid:13)तीकरण या प(cid:30)रवत(cid:4)न नहK 7कया गया हो।

(9) यथाि(cid:13)थित, नामांकन िनर(cid:13)त करने या नामांकन म(cid:6) प(cid:30)रवत(cid:4)न करने संबंधी फाम(cid:4) को स?यक् Jप से फाइल 7कए जान े क(cid:17) पावती (cid:13)टेट ब(cid:16)क िलिखत म(cid:6) दगे ा ।

(10) नामांकन या नामांकन का िनर(cid:13)तीकरण या नामांकन म(cid:6) प(cid:30)रवत(cid:4)न को (cid:13)टेट ब(cid:16)क (cid:18)ारा इस (cid:20)योजन के िलए रखे गए रिज(cid:13)टर म(cid:6) रिज(cid:13)Sीकृत 7कया जाएगा ।

(11) इन िविनयम(cid:26) म(cid:6) अंतTवD 7कसी बात के होते (cid:28)ए भी, 7कसी अंश को डीमैट खात े म(cid:6) एक Pि(cid:25) (cid:18)ारा Pि(cid:25)गत Jप से या अ<य Pि(cid:25)य(cid:26) के साथ िमलकर संयु(cid:25) Jप से धारण 7कए जान े के संबंध म (cid:6) सुसंगत उपबंध(cid:26) के अनुसार ऐसे डीमैट खाते म(cid:6) रिज(cid:13)Sीकृत 7कसी िविधमा<य नामांकन को ऐसे अंश(cid:26) के संबंध म(cid:6) िविधमा<य नामांकन समझा जाएगा । (cid:13)पDीकरण.—7कसी Pि(cid:25) (cid:18)ारा भौितक Jप से धा(cid:30)रत अंश(cid:26) के संबंध म(cid:6) कोई नामांकन ऐसे अंश(cid:26) के डीमैट (cid:13)वJप म(cid:6) प(cid:30)रवत(cid:4)न पर िनर(cid:13)त समझा जाएगा और उसी (cid:20)कार, डीमैट (cid:13)वJप से भौितक Jप म(cid:6) प(cid:30)रवTतत 7कए गए अंश(cid:26) के संबंध म(cid:6) 7कसी डीमैट खाते का कोई नामांकन िविधमा<य नहK होगा । 16ख. नामांकन क(cid:17) दशा म(cid:6) अंश(cid:26) का पारेषण— (1) यथाि(cid:13)थित, 7कसी अंशधारक क(cid:17) मृ;यु होने पर या सभी अंशधारक(cid:26) क(cid:17) मृ;यु होने पर, कोई भी Pि(cid:25), जो िविधमा<य नामांकन के कारण अंश(cid:26) के िलए हकदार है, क(cid:6)(cid:7)ीय बोड(cid:4) या उसक(cid:17) काय(cid:4)पािलका सिमित (cid:18)ारा क(cid:17) गई अपे/ानुसार ऐसे साWय (cid:20)(cid:13)ततु 7कए जान े पर और इसम(cid:6) इसके प"ात् उपबंिधत 7कए गए िवषय के अधीन रहते (cid:28)ए,— (क) (cid:13)वयं को अंशधारक के Jंप म (cid:6) रिज(cid:13)Sीकृत 7कए जान े ; या (ख) अंश का इस (cid:20)कार, जैसा मृतक अंशधारक कर सकता था, अंतरण करने, का चयन कर सकेगा ।

(2) ऐसा Pि(cid:25), जो उप िविनयम (1) के अधीन अंश के अंतरण का हकदार है और अंशधारक के Jंप म (cid:6) रिज(cid:13)Sीकृत होने का चयन करता है, (cid:13)टेट ब(cid:16)क को यह कथन करते (cid:28)ए 7क अंशधारक ने ऐसा चयन कर िलया ह,ै अपने ह(cid:13)ता/र (cid:18)ारा िलिखत सूचना भजे ेगा या सुपुद(cid:4) करेगा, िजसके साथ, यथाि(cid:13)थित, मृतक अंशधारक का या संयु(cid:25) मृतक अंशधारक(cid:26) के मृ;यु (cid:20)माणप2 संलa होगा या ह(cid:26)गे ।8 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC. 4]

(3) उप िविनयम (2) के अधीन क(cid:6)(cid:7)ीय बोड(cid:4) या उसक(cid:17) काय(cid:4)पािलका सिमित (cid:18)ारा सूचना या अ<य द(cid:13)तावेज (द(cid:13)तावेज(cid:26)) के (cid:20)ा0 होने पर, क(cid:6)(cid:7)ीय बोड(cid:4) या उसक(cid:17) काय(cid:4)पािलका सिमित, ऐसी जाचं करने और ऐसे िनबंधन(cid:26) और शत@ के अधीन रहते (cid:28)ए, जैसा वह उिचत समझे, ऐसे Pि(cid:25) के प/ म(cid:6) अंश(cid:26) को रिज(cid:13)Sीकृत कर सकेगी, जो मृतक अंशधारक (cid:18)ारा 7कए गए नामांकन के अनुसार अंश(cid:26) के िलए हकदार है।

(4) अंश(cid:26) के अंतरण के अिधकार और अंश(cid:26) के अंतरण के रिज(cid:13)Sीकरण से संबंिधत सभी प(cid:30)रसीमाएं, िनबbधन और इन िविनयम(cid:26) या अिधिनयम के उपबंध, उपरो(cid:25) ऐसी 7कसी सूचना या अंतरण को इस (cid:20)कार लाग ू ह(cid:26)ग े मानो अंशधारक क(cid:17) मृ;यु न (cid:28)ई हो और सूचना या अंतरण उस अंशधारक (cid:18)ारा ह(cid:13)ता/(cid:30)रत 7कए गए थ े ।

(5) कोई Pि(cid:25), जो उप िविनयम (1) के अधीन अंश(cid:26) के िलए हकदार ह,ै लाभाशं और अ<य फायद(cid:26) के िलए इस (cid:20)कार से हकदार होगा, मानो वह अंश का रिज(cid:13)Sीकृत अंशधारक रहा है, परंतु वह अपने अंश(cid:26) के संबंध म (cid:6) अंशधारक के Jप म(cid:6) रिज(cid:13)Sीकृत होने के पूव(cid:4), अंशधारक(cid:26) के अिधवेशन म(cid:6) उसके संबंध म(cid:6) मत दने े के अिधकार के (cid:20)योग का हकदार नहK होगा :

परंतु क(cid:6)(cid:7)ीय बोड(cid:4) या उसक(cid:17) काय(cid:4)पािलका सिमित, 7कसी भी समय ऐसे Pि(cid:25) से (cid:13)वयं को रिज(cid:13)Sीकृत 7कए जाने या अंश के अंतरण के चयन 7कए जान े क(cid:17) सूचना दने े क(cid:17) अपे/ा कर सकेगा, और य7द सूचना साठ 7दन(cid:26) के भीतर नहK दी जाती है, तो क(cid:6)(cid:7)ीय बोड(cid:4) या उसक(cid:17) काय(cid:4)पािलका सिमित उस सूचना क(cid:17) अपे/ाc का पालन नहK 7कए जान े तक सभी लाभांश, बोनस या अंश के संबंध म(cid:6) दये अ<य रािश के भुगतान को रोक सकती ह।ै

7. मूल िविनयम के िविनयम 19 म(cid:6), उप िविनयम (1) के परंतुक के प"ात,् िन(िलिखत परंतुक अंत:(cid:13)थािपत 7कया जाएगा, अथा(cid:4)त् : — “परंतु यह और 7क इस उपिविनयम म(cid:6) अंतTवD कोई भी बात ऐसे 7कसी भी Pि(cid:25) के अिधकार को (cid:20)भािवत नहK करेगी, जो िविधमा<य नामांकन के कारण अंश(cid:26) के िलए हकदार ह।ै ’’ ।

8. मूल िविनयम के िविनयम 20क के (cid:13)थान पर, िन(िलिखत िविनयम रखा जाएगा, अथा(cid:4)त ् : — 20क. क(cid:6)(cid:7)ीय बोड(cid:4) या उसक(cid:17) काय(cid:4)पािलका सिमित (cid:18)ारा शि(cid:25)य(cid:26) और कृ;य(cid:26) का (cid:20);यायोजन-- क(cid:6)(cid:7)ीय बोड(cid:4) या उसक(cid:17) काय(cid:4)पािलका सिमित, िविनयम 12 के उपिविनयम (3), िविनयम 13, िविनयम 15 के उपिविनयम (3), िविनयम 16 के उपिविनयम (1), िविनयम 16ख के उपिविनयम (3) और िविनयम 19 के उपिविनयम (2) म(cid:6) उपवTणत शि(cid:25)य(cid:26) और कृ;य(cid:26) को, साधारण या िवशेष िनदशे (cid:18)ारा, समय-समय पर, 7कसी अिधकारी, कंपनी या अिभकरण को (cid:20);यायोिजत करने के िलए स/म होगी और क(cid:6)(cid:7)ीय बोड(cid:4) और उसक(cid:17) काय(cid:4)पािलका सिमित, (cid:20)ितभूित और िविनमय बोड(cid:4) के सुसंगत िविनयम(cid:26) म(cid:6) यथा प(cid:30)रभािषत “िनग(cid:4)म रिज(cid:13)Sार” और “अंश अंतरण अिभकता(cid:4)”, ऐसे िनबंधन(cid:26) पर, जो वह उिचत समझ,े िनयु(cid:25) करने के िलए भी स/म होगी ।’’ ।

18. मूल िविनयम के िविनयम 40 के (cid:13)थान पर, िन(िलिखत िविनयम रखा जाएगा, अथा(cid:4)त् :— “40. अXयTथय(cid:26) क(cid:17) सूची का (cid:20)काशन.— (1) 7कसी िनदशे क के िनवा(cid:4)चन क(cid:17) दशा म(cid:6), अAय/ (cid:18)ारा (cid:20)ािधकृत (cid:20)बंध िनदशे क, नामांकन क(cid:17) (cid:20)ाि0 के िलए िनयत अंितम तारीख के प"ात् के (cid:20)थम काय(cid:4)-7दवस को, ऐसी जाचं के प"ात्, जो वह ठीक समझ,े िविनयम 39 के उपबंध(cid:26) के संबंध म(cid:6) (cid:13)वयं का समाधान करेगा और (cid:20);येक अXयथL के नामांकन को (cid:13)वीकार या अ(cid:13)वीकार, जैसा उसे <यायोिचत (cid:20)तीत हो, करेगा और अ(cid:13)वीकृित क(cid:17) दशा म,(cid:6) वह ऐसा करने के कारण(cid:26) को संि/0 म(cid:6) लेखब> करेगा ।

(2) अAय/ (cid:18)ारा (cid:20)ािधकृत (cid:20)बंध िनदशे क का इस बारे म (cid:6) िविन"य, 7क कोई नामांकन िविधमा<य है या अिविधमा<य, िविनयम 42 के अधीन 7कसी िनदशG के पा(cid:30)रणाम के अधीन रहते (cid:28)ए, अंितम होगा।

(3) य7द िनवा(cid:4)चन (cid:18)ारा भरी जान े वाली 7कसी (cid:30)रि(cid:25) के संबंध म (cid:6) केवल एक िविधमा<य नामांकन है, तो ऐसी (cid:30)रि(cid:25) के िलए िविधमा<य Jप से नामां7कत अXयथL तुरंत िनवा(cid:4)िचत समझा जाएगा और उसका नाम और पता इस (cid:20)कार िनवा(cid:4)िचत अXयथL के Jप म(cid:6) (cid:20)कािशत 7कया जाएगा तथा ऐसी अव(cid:13)था म (cid:6) इस (cid:20)योजन के िलए बुलाए गए अिधवेशन म(cid:6) कोई िनवा(cid:4)चन नहK होगा और य7द अिधवेशन केवल उपयु(cid:4)(cid:25) िनवा(cid:4)चन के (cid:20)योजन के िलए बुलाया गया ह ै तो वह रM हो जाएगा ।

(4) य7द 7कसी िविशD (cid:30)रि(cid:25) के िलए िविधमा<य नामांकन(cid:26) क(cid:17) संeया एक से अिधक है, तो अAय/ (cid:18)ारा (cid:20)ािधकृत (cid:20)बंध िनदशे क, ऐसी (cid:30)रि(cid:25) के िलए िविधमा<य Jप से नामां7कत अXयTथय(cid:26) के नाम और पते (cid:20)कािशत कराएगा और ऐसी अव(cid:13)था म(cid:6) इस (cid:20)योजन के िलए बुलाए गए अिधवेशन म(cid:6) िनवा(cid:4)चन मतप2 (cid:18)ारा होगा, न 7क हाथ उठाकर ।

(5) उपिविनयम (3) और उपिविनयम (4) के अनुसरण म(cid:6) सभी सूचनाएं भारत के राजप2 म(cid:6) और भारत म(cid:6) Pापक Jप से (cid:20)चािलत दो से अ<यून समाचार प2(cid:26) म(cid:6) (cid:20)कािशत क(cid:17) जाएगी ।

(6) अAय/ (cid:18)ारा (cid:20)ािधकृत (cid:20)बंध िनदशे क, उसके (cid:18)ारा जारी (cid:20);येक सूचना क(cid:17) एक (cid:20)ित अAय/ को भेजेगा ।’’ ।

19. मूल िविनयम के िविनयम 42 के उपिविनयम (1) और उपिविनयम (2) म,(cid:6) या “उपाAय/” शHद(cid:26) का लोप 7कया जाएगा ।

20. मूल िविनयम के िविनयम 44 के (cid:13)थान पर, िन(िलिखत िविनयम रखा जाएगा, अथा(cid:4)त् :— “44. क(cid:6)(cid:7)ीय बोड(cid:4) का अिधवेशन.—(1) क(cid:6)(cid:7)ीय बोड (cid:4) का अिधवेशन अAय/ (cid:18)ारा, या उसक(cid:17) अनुपि(cid:13)थित म (cid:6) अAय/ (cid:18)ारा (cid:20)ािधकृत (cid:20)बंध िनदशे क (cid:18)ारा, (cid:20);येक वष(cid:4) म(cid:6) कम से कम छह बार और (cid:20);येक ितमाही म(cid:6) कम से कम एक बार बुलाया जाएगा ।10 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC. 4]

(2) 7कसी भी समय, कोई भी तीन िनदशे क अAय/ से क(cid:6)(cid:7)ीय बोड(cid:4) का अिधवेशन बुलान े क(cid:17) मांग कर सक(cid:6)गे और अAय/, ऐसी मांग (cid:20)ा0 होने पर, पया(cid:4)0 सूचना दते े (cid:28)ए क(cid:6)(cid:7)ीय बोड(cid:4) का अिधवेशन बुलाएगा, परंतु इस (cid:20)कार बुलाए गए अिधवेशन क(cid:17) तारीख, मांग (cid:20)ा0 होने क(cid:17) तारीख से 21 7दन के प"ात ् क(cid:17) नहK होगी ।

(3) क(cid:6)(cid:7)ीय बोड(cid:4) का अिधवेशन (cid:13)टेट ब(cid:16)क के मुeय काया(cid:4)लय पर या ऐसे अ<य (cid:13)थान पर होगा, िजसका अAय/ या उसक(cid:17) अनुपि(cid:13)थित म(cid:6) अAय/ (cid:18)ारा (cid:20)ािधकृत (cid:20)बंध िनदशे क (cid:18)ारा िविन"य 7कया जाए ।

(4) क(cid:6)(cid:7)ीय बोड(cid:4) के (cid:20);येक अिधवेशन के िलए साधारणतया प<(cid:7)ह 7दन से अ<यून क(cid:17) सूचना दी जाएगी और ऐसी सूचना (cid:20);येक िनदशे क को उसके रिज(cid:13)Sीकृत पते पर भेजी जाएगी और य7द आपात अिधवेशन बुलाना आवdयक समझा जाता है, तो भारत म(cid:6) (cid:20);येक िनदशे क को, उसे उसम(cid:6) उपि(cid:13)थत होने म(cid:6) स/म बनाने के िलए, पया(cid:4)0 सूचना भेजी जाएगी ।

(5) क(cid:6)(cid:7)ीय बोड(cid:4) के अिधवेशन म,(cid:6) अAय/ और उपि(cid:13)थत िनदशे क(cid:26) के ब(cid:28)मत क(cid:17) स?मित के िसवाय, िजस कारबार के िलए अिधवेशन बुलाया गया था, उसके िसवाए 7कसी अ<य िवषय पर िवचार-िवमश (cid:4) नहK होगा, जब तक 7क उसक(cid:17) एक स0ाह क(cid:17) सूचना िलिखत Jप म(cid:6) अAय/ को न द े दी गई हो।

(6) कामकाज करने के िलए गणपूTत पांच िनदशे क(cid:26) से होगी, िजनम(cid:6) से कम से कम तीन ऐसे िनदशे क ह(cid:26)ग,े जो अिधिनयम क(cid:17) धारा 19 के खंड (ग) के अधीन िनवा(cid:4)िचत या उ(cid:25) धारा के खंड (घ) के अधीन नामिनदिGशत (cid:28)ए ह(cid:26) ।

(7) क(cid:6)(cid:7)ीय बोड(cid:4) के (cid:20);येक अिधवेशन क(cid:17) काय(cid:4)वाही क(cid:17) एक (cid:20)ित, उसके प"ात् यथाश]य शीf िनदशे क(cid:26) क(cid:17) जानकारी के िलए प(cid:30)रचािलत क(cid:17) जाएगी और उस पर उस अिधवेशन या उसके ठीक बाद के अिधवेशन के अAय/ (cid:18)ारा ह(cid:13)ता/र 7कए जाएगं े ।’’ ।

21. मूल िविनयम के िविनयम 44 के प"ात,् िन(िलिखत िविनयम अंत:(cid:13)थािपत 7कया जाएगा, अथा(cid:4)त ् :— “44क. क(cid:6)(cid:7)ीय बोड(cid:4) के अिधवेशन म (cid:6) िनदशे क(cid:26) क(cid:17) वीिडयो का<g(cid:6)_सग या अ<य इलै]Sािनक माAयम से भागीदारी—क(cid:6)(cid:7)ीय बोड(cid:4) के 7कसी अिधवेशन म (cid:6) 7कसी िनदशे क क(cid:17) वीिडयो का<g(cid:6)_सग के माAयम से भागीदारी तभी िविधमा<य होगी, य7द ऐसी भागीदारी क(cid:6)(cid:7)ीय बोड(cid:4) (cid:18)ारा िविनCदD (cid:13)टेट ब(cid:16)क के 7कसी काया(cid:4)लय से क(cid:17) जाती है ।’’ ।

22. मूल िविनयम के िविनयम 46 के उपिविनयम (1) म(cid:6), “उपाAय/” शHद का लोप 7कया जाएगा ।

23. मूल िविनयम के िविनयम 47 के उपिविनयम (2) के (cid:13)थान पर, िन(िलिखत उपिविनयम रखा जाएगा, अथा(cid:4)त् :— “(2) कामकाज करने के िलए गणपूTत चार िनदशे क(cid:26) से होगी, िजनम (cid:6) से कम से कम दो ऐसे िनदशे क ह(cid:26)ग,े जो अिधिनयम क(cid:17) धारा 19 के खंड (ग) के अधीन िनवा(cid:4)िचत या उ(cid:25) धारा के खंड (घ) के अधीन नाम िनदिGशत (cid:28)ए ह(cid:26) :

परंतु जहां अिधिनयम क(cid:17) धारा 31 क(cid:17) उपधारा (3) के साथ प(cid:30)ठत उपिविनयम (4) के उपबंध(cid:26) के कारण कोई िनदशे क, काय(cid:4)पािलका सिमित के 7कसी अिधवेशन म(cid:6) उपि(cid:13)थत होने और मतदान करने म(cid:6) असमथ(cid:4) है या जब काय(cid:4)पािलका सिमित (cid:18)ारा कोई िविशD कामकाज 7कया जा रहा ह ै और इसके प(cid:30)रणाम(cid:13)वJप उपि(cid:13)थत और मतदान करने के िलए अTहत िनदशे क(cid:26) क(cid:17) संeया चार से कम होती है, तो यथाि(cid:13)थित, ऐसे अिधवेशन या उसका कामकाज करने के िलए गणपूTत तीन िनदशे क(cid:26) से होगी, िजनम(cid:6) से कम से कम एक ऐसा िनदशे क होगा, जो अिधिनयम क(cid:17) धारा 19 के खंड(ग) के अधीन िनवा(cid:4)िचत या उ(cid:25) धारा के खंड (घ) के अधीन नामिनदिGशत (cid:28)ए ह(cid:26) ।’’ ।

NOTIFICATION Mumbai, the 3rd March, 2014 F. No. LAW/F-207/2013.—In exercise of the powers conferred by section 50 of the State Bank of India Act, 1955 (23 of 1955), the Central Board, after consultation with the Reserve Bank and with the previous sanction of the Central Government, hereby makes the following regulations, further to amend the State Bank of India General Regulations, 1955,

namely:-

1. (1)These regulations may be called the State Bank of IndiaGeneral (Amendment) Regulations, 2013.

(2)They shall come into force on the date of their publication in the Official Gazette.

2. In regulation 2 of the State Bank of India General Regulations, 1955 (hereinafter referred to as the principal regulation), -

(i) after sub-clause (a), the following shall be inserted, namely : — ‘(aa) “Company” means a company as defined in section 2 of the Companies Act, 2013 (18 of 2013), or a body corporate incorporated under any other law for the time being in force, and unless there is anything repugnant in the subject or context, includes a Co-operative Society;’;

(ii) after sub-clause (b), the following shall be inserted, namely :—18 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC. 4] ‘(c) “SEBI” means Securities and Exchange Board of India established under the Securities and Exchange Board of India Act, 1992 (15 of 1992);

(d) “SEBI regulation” means any regulations or guidelines made or issued by the SEBI in accordance with the Securities and Exchange Board of India Act, 1992 (15 of 1992).’.

3. In the principal regulation, after regulation 3, the following regulations shall be inserted, namely:- “3A. Share Capital.– (1) The share capital of the State Bank shallconsist of equity share capitalor equity and preference share capital.

(2) Equity share capital is that part of share capital, which is not preference share capital.

(3) Preference share capitalis that part of share capital which fulfils the following conditions namely:–

(a) that as respects dividends, it carries a preferential right to be paid a fixed amount or an amount calculated at fixed rate or floating rate, which may be either free of or subject to income-tax; and

(b) that as respect capital, it carries or will carry, on winding up, to repayment of capital, a preferential right to be repaid the amount of the capital paid-up or deemed to have been paid up, whether or not there is preferential right to the payment of either or both of the following amounts, namely:-

(i) any money remaining unpaid, in respect of the amounts specified in clause (a) up to the date of winding up or repayment of capital, and

(ii) any fixed premium or premium on any fixed scale, specified by the Central Board or its Executive Committee with the previous sanction of the Central Government.

3B. Procedure for increasing issued capital by the issue of equity or preference shares.– The issued capital may be increased in accordance with the procedure, determined by the Central Board with due reference to the relevant SEBI

regulation in respect of issue of capital:

Provided that the issue of preference shares shall be in accordance with the guidelines framed by the Reserve Bank.

3C. Manner of accepting money for issued capital, forfeiture and reissue of shares.– (1) The Central Board or its Executive Committee may, from time to time, make such calls as it thinks fit upon the shareholders in respect of all monies remaining unpaid on the shares held by them whether on account of nominal value of shares or by way of premium, which are by the conditions of allotment not made payable at fixed times, by giving not less than fourteen days notice for payment thereof and each shareholder shall pay the amount of every call so made on him at the time and place appointed by the Central Board or its Executive Committee or on such subsequent date as may be fixed by the Central Board or its Executive Committee. A call may be made payable by instalments and shall date back to the time when the resolution of the Central

Board or its Executive Committee authorising such call was passed:

Provided that before the time fixed for payment of such call the Central Board or its Executive Committee may by notice in writing to the shareholder extend the time fixed for the payment or revoke the notice of call.

(2) If the sum payable in respect of any call or instalment is not paid on or before the day appointed for payment thereof, the holder for the time being or allottee of the share in respect of which a call has been made or the instalment is due, shall pay interest on such sum at such rate as the Central Board or its Executive Committee may fix from time to time, from the day appointed for the payment thereof to the time of actual payment, but the Central Board or its Executive Committee may for reasons to be recorded in writing, waive wholly or in part, payment of such interest.

(3) (a) If any shareholder fails to pay the whole or any part of any call or instalment or any money due in respect of any shares either by way of principal or interest up to the day appointed for the payment thereof, the State Bank may at any time thereafter, if the call or instalment or any part thereof or other monies remain unpaid in whole or in part, serve a notice¹Hkkx IIIµ[k.M 4º Hkkjr dk jkti=k % vlk/kj.k 19 of forfeiture on such shareholder or on the person (if any) entitled to the share by transmission, requiring him to pay such call or instalment or such part thereof or other monies which remain unpaid together with any interest that may have accrued due.

(b) A notice of forfeiture shall statea date not being less than fourteen days from the date of notice and the time and place at which such call or instalment or interest remaining unpaid are to be paid and in the event of non-payment of the amount due upto the date fixed for payment, the share or shares in respect of which the call was made and the amount was due, shall be liable to be forfeited.

(4) If the shareholder or any other person on whom a notice of forfeiture has been served fails to comply with the same, the shares in respect of which the notice of forfeiture was given, may at any time after the date fixed for payment may be forfeited by a resolution of the Central Board or its Executive Committee and such forfeiture shall include all unpaid dividends in respect of the forfeited shares.

(5) Any share so forfeited shall be deemed to be the property of the State Bank and may be sold, re-allotted or otherwise disposed of to any person upon such terms and in such manner as the Central Board or its Executive Committee may decide.

(6) The State Bank may receive the consideration, if any, given for the share on any sale, re-allotment or other disposition thereof and the person to whom such share is sold, re-allotted or disposed of may be registered as the holder of the share and shall not be bound to see to the application of the consideration, if any, nor shall his title to the share be affected by any irregularity or invalidity in the proceedings in reference to the forfeiture, sale, re-allotment or other disposal of the share and the remedy of any person aggrieved by the sale shall be in damages only and against the State Bank exclusively.

(7) The Central Board or its Executive Committee may, at any time, before any share so forfeited under sub-regulation (4), have been sold, re-allotted or otherwise disposed of, annul the forfeiture thereof upon such conditions as it may think fit.

(8) Any shareholder whose shares have been forfeited shall, notwithstanding the forfeiture, be liable to pay and shall forthwith pay to the State Bank all calls, instalments, expenses and other monies owing upon or in respect of such shares at the time of forfeiture with interest thereon from the time of forfeiture until payment at such rate as may be specified by the Central Board or its Executive Committee and the Central Board or its Executive Committee may enforce the payment of the whole or a portion thereof.

(9) Neither a judgment nor a decree in favour of the State Bank for calls or other monies due in respect of any shares nor any payment or satisfaction thereunder nor the receipt by the State Bank of a portion of any money which shall be due from any shareholder from time to time in respect of any shares either by way of principal or interest nor any indulgence granted by the State Bank in respect of payment of any money shall preclude the forfeiture of such shares under these regulations.

(10) A certificate in writing signed by the person duly authorised by the State Bank, that the forfeiture of the share was made by a resolution of the Central Board or its Executive Committee to that effect, shall be conclusive evidence of the fact stated therein as against all persons entitled to such shares.

(11) When any share has been forfeited under sub-regulation (4), an entry of the forfeiture with the date thereof shall be made in the register.

(12) The forfeiture of a share shall extinct, at the time of the forfeiture, all interest in and all claims and demands against the State Bank, in respect of the share and all other rights incidental to the share, except only such of those rights expressly waived by these regulations.

(13) Upon any sale, re-issue, re-allotment or other disposal of forfeited shares in accordance with the sub-regulations, certificate(s) originally issued in respect of the relative shares shall (unless the same shall on demand by the State Bank have been previously surrendered to it by the defaulting shareholder) stand cancelled and become null and void and be of no effect.

(14) The Central Board or its Executive Committee shall be entitled to issue a new certificate or certificates in respect of the said shares to the person or persons entitled thereto.20 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC. 4]

(15) The joint holders of a share shall be jointly and severally liable to pay all calls in respect thereof.

(16) Subject to other provisions of these regulations, no shareholder shall be entitled to receive any dividend or to exercise any right of a shareholder until he has paid all calls for the time being due and payable on every share held by him, whether singly or jointly with any person, together with interest and expenses, as may be levied or charged.

(17) If by the terms of issue of any share or otherwise any amount is payable at any fixed time or by instalments at fixed times, every such amount or instalment shall be payable as if it were a call duly made by the Central Board or its Executive Committee and of which due notice had been given and all the provisions herein contained in respect of the calls shall relate to such amount or instalment accordingly.

(18) (a) The State Bank shall have a first and paramount lien, –

(i) on every share (not being a fully-paid share), for all monies (whether payable or not) called, or payable at a fixed time, in respect of that share;

(ii) on all shares (not being fully-paid shares), standing registered in the name of a single person, for all monies payable by him or his estate to the State Bank;

(iii) upon all the shares (not being fully-paid shares) registered in the name of each person (whether solely or jointly with others) and upon the proceeds of sale thereof for his debts, liabilities, and engagements, solely or jointly with any other person to the State Bank, whether the period for the payment, fulfilment, or discharge thereof shall have actually arrived or not and no equitable interest in any share shall be recognised by the State

Bank over its lien:

Provided that the Central Board or its Executive Committee may at any time declare any share to be wholly or in part exempt from provisions of this clause.

(b) The State Bank’s lien, if any, on a share shall extend to all dividends payable thereon.

(19) (a) The State Bank may sell, in such manner as the Central Board or its Executive Committee thinks fit, any shares on which the State Bank has a lien,-

(i) if a sum in respect of which the lien exists is payable; and

(ii) after the expiration of fourteen days after a notice in writing stating and demanding payment of such part of the amount in respect of which the lien exists as is payable, has been given to the registered holder for the time being of the share or the person entitled thereto by reason of his death or insolvency.

(b) To give effect to any sale as above, the Central Board or its Executive Committee may authorise any officer to transfer the shares sold to the purchaser thereof.

(20) The net proceeds of any sale of shares under sub-regulation (19) after deduction of costs of such sale, shall be applied in or towards the satisfaction of the debt or liability in respect whereof the lien was enforced so far as the same is payable and the residue, if any, be paid to the shareholders or the person, if any, entitled by transmission of the shares so sold.

(21) (a) The State Bank may serve a notice or a document on any shareholder either personally, or by ordinary post at his registered address or if he has no registered address in India, at the address, if any, within India supplied by him to the State Bank.

(b) Where a document or a notice is sent by post, the service of such document or notice shall be deemed to be effected by properly addressing, prepaying and posting a letter containing the document or notice:

Provided that where a shareholder has intimated to the State Bank in advance that documents should be sent to him by registered post, with or without acknowledgement due or by courier service or in an electronic mode and has deposited¹Hkkx IIIµ[k.M 4º Hkkjr dk jkti=k % vlk/kj.k 21 with the State Bank a sum sufficient to defray the expenses of doing so, service of the document or notice shall not be

deemed to be effected unless it is sent in the manner intimated by the shareholder:

Provided further that any notice sent by post shall be deemed to have been served on the third day following that on which the envelope or wrapper containing the same is posted, and in proof of which service it shall be sufficient to prove that the envelop or wrapper containing the notice was properly addressed, pre-paid and put into post office, and a certificate in writing signed by an employee of the State Bank that the envelope or wrapper containing the notice was properly addressed, pre-paid and posted shall be conclusive evidence thereof and in any other case, at the time at which the letter would have been delivered in the ordinary course.

(c) A notice or a document advertised in a newspaper having wide circulation in India shall be deemed to be duly served on the day on which the advertisement appears on every shareholder of the State Bank who has no registered address in India and has not supplied to the State Bank an address within India for giving of notice to him;

(d) A notice or document may be served by the State Bank on the joint holder of a share by effecting service on the joint holder named first in the register in respect of the share and notice so given shall be sufficient notice to all the holders of the said shares;

(e) A notice or a document may be served by the State Bank on the persons entitled to a share upon death or in consequence of the insolvency of a shareholder by sending it through post in a prepaid letter addressed to them by name, or by the title of representatives of the deceased, or assignees of the insolvent, or by any like description, at the address, if any, in India supplied for the purpose by the persons, claiming to be so entitled, or until such an address has been so supplied, by serving the document in any manner in which it might have been served if the death or insolvency had not occurred;

(f) The signature to any notice to be given by the State Bank may be written or printed.”.

4.In the principal regulation, in regulation 7, after the words “except the transfer of the shares”, the words “and right to make nomination” shall be inserted.

5. In the principal regulation, in regulation 9, in sub-regulation (2), for the words “on prepayment therefore at the rate of rupees two for every hundred words or fractional part thereof required to be copied”, the words “on payment of charges at such rate as may be decided by the Central Board or its Executive Committee from time to time” shall be substituted.

6. In the principal regulation, after regulation 16, the followingregulations shall be inserted, namely:– “16A. Manner of nomination by a shareholder.– (1)The nomination to be made by every individual shareholder or the joint holders together where the shares are registered in the name of more than one individual, shall be in Form A set out in Schedule - I to these regulations.

(2) Where the nominee is a minor, the shareholder or as the case may be, all the joint holders together, may furnish the name and address of another person who is not a minor whose name alone shall be registered as the shareholder in the event of the death of the shareholder or all the joint holders as the case may be, during the minority of the nominee.

(3) The nominee shall be an individual and nomination in favour of a body corporate, trust, society, partnership firm and Karta of Hindu Undivided Family shall not be accepted.

(4) The nomination shall stand rescinded upon transfer of shares during the lifetime of the shareholder(s).

(5) The shareholder or all the joint shareholders together may cancel or vary the nomination at any time and execute a fresh nomination in favour of any individual as deem fit.

(6) A variation or cancellation of the nomination by an individual shareholder or by all the joint shareholders together shall be in Form B set out in Schedule - I to these regulations.

(7) A cancellation of nomination or variation of nomination may be made as aforesaid at any time during which the shares are held by the person or persons making the cancellation or variation, as the case may be.22 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC. 4]

(8) Where the shares are held by more than one person jointly, the cancellation or variation of nomination shall not be valid unless it is made by all the shareholders surviving at the time of cancellation or variation of the nomination.

(9) The State Bank shall acknowledge in writing to the concerned shareholder the filing of duly completed form of nomination or cancellation of nomination or variation of nomination, as the case may be.

(10) A nomination or cancellation of nomination or variation of nomination shall be registered by the State Bank in the register kept for the purpose.

(11) Notwithstanding anything contained in these regulations, in respect of any shares held by a person individually or jointly with any other person in a demat account, any valid nomination registered in such demat account as per the relevant provisions shall alone be deemed as a valid nomination in respect of such shares.

Explanation: Any nomination in respect of shares held by a person in physical form shall be deemed to have been cancelled on conversion of such shares into dematerialised form and similarly any nomination in a demat account shall not be valid in respect of shares converted from demat form to physical form.

16B.Transmission of shares in case of nomination. – (1) On the death of the shareholder or on death of all the jointholders, as the case may be, any person who is entitled to the shares by virtue of a valid nomination, upon the production of such evidence as may be required by the Central Board or its Executive Committee and subject as hereinafter provided, elect, either –

(a) to be registered himself as holder of the share; or

(b) to make transfer of the share as the deceased shareholder could have made.

(2) Any person who is entitled to the share under sub-regulation (1) and elects to be registered as holder of the share shall deliver or send to the State Bank a notice in writing signed by him stating that he so elects and such notice shall be accompanied with the death certificate(s) of the deceased shareholder or joint shareholders, as the case may be.

(3) Upon receipt by the Central Board or its Executive Committee of the notice and other document(s) under sub- regulation (2), the Central Board or its Executive Committee may upon such enquiry and subject to such terms and conditions as it deems appropriate cause the shares to be registered in favour of such person who is entitled to the shares as per the nomination made by the deceased share holder.

(4) All the limitations, restrictions and provisions of these regulations or Act relating to the right to transfer and the registration of transfer of shares shall be applicable to any such notice or transfer as aforesaid as if the death of the shareholder had not occurred and the notice or transfer were signed by that shareholder.

(5) A person, who is entitled to the shares under sub-regulation (1) shall be entitled to the dividend and other advantages as if he were the registered holder of the share except that he shall not, before being registered as a shareholderin respect of his share, be entitled in respect of it to exercise any voting rights in the meetings of the shareholders:

Provided that the Central Board or its Executive Committee may, at any time, give notice requiring any such person to elect either to be registered himself or to transfer the share, and if the notice is not complied with within sixty days, the Central Board or its Executive Committee may thereafter withhold payment of all dividends, bonus or other monies payable in respect of the share, until the requirements of the notice have been complied with.”.

7.In principal regulation, in regulation 19, insub-regulation (1), after the proviso, the following proviso shall be inserted,

namely:– “Provided further that nothing contained in this sub-regulation shall affect the right of any person who is entitled to the shares on account of a valid nomination.” .

8. In the principal regulation, for regulation 20A, the following regulation shall be substituted, namely:–¹Hkkx IIIµ[k.M 4º Hkkjr dk jkti=k % vlk/kj.k 23 “20A. Delegation of powers and functions by Central Board or its Executive Committee.– It shall be competent for the Central Board or its Executive Committee by general or special direction, from time to time to delegate its powers and functions set out in sub-regulation (3) of regulation 12, regulation 13, sub-regulation (3) of regulation 15, sub-regulation (1) of regulation 16, sub-regulation (3) of regulation 16B and sub-regulation (2) of regulation 19 to any officer, company or agency and it shall also be competent for the Central Board or its Executive Committee to appoint “Registrars to an issue” and “Share transfer agents” as defined in the relevant SEBI regulation on such terms as it may deem fit.”

9.In the principal regulation, in regulation 20B, for the words “managing director”, the words “managing director authorized by the chairman” shall be substituted.

10.In the principal regulation, inregulation 20C, for the words “managing director” wherever itoccur, the words “managing director authorized by the chairman” shall be substituted.

11.In the principal regulation, in regulation 20D, for the words “managing director”, the words “managing director authorized by the chairman” shall be substituted.

12.In the principal regulation, in regulation 21, in sub-regulation (1), for the words “or the vice-chairman or in their absence managing director”, the words “or the managing director authorized by the chairman” shall be substituted.

13.In the principal regulation, in regulation 22, insub-regulation (1), for the words “or in his absence vice-chairman or in their absence managing director”, the words “or in his absence managing director authorized by the chairman” shall be substituted.

14.In the principal regulation, in regulation 25, insub-regulation (1), forthe words “the vice-chairman” whereverit occur, the words “the managing director authorisedby the chairman” shall be substituted.

15. In the principal regulation, regulation 30 shall be omitted.

16. In the principal regulation, in regulation 34, in sub-regulation (1), in the proviso, for the words “an Officer of or the State Bank”, the words “an officer of the State Bank” shall be substituted.

17. In the principal regulation, regulation 36 shall be omitted.

18. In the principal regulation, for regulation 40, the following regulation shall be substituted, namely:– “40. Publication of list of candidates.– (1) In the case of election of a director, on the first working day following the last date fixed for the receipt of nominations, the managing director authorised by the chairman, shall after such enquiry, as he thinks necessary, satisfy himself in regard to the provisions of regulation 39, and shall accept or reject the nomination of each candidate as may appear to him to be justified, and, in the case of rejection shall briefly record his reasons for so doing.

(2) The decision of the managing director authorised by the chairman that a nomination is valid or invalid shall subject to the result of any reference under regulation 42 be final.

(3) If there is only one valid nomination for any particular vacancy to be filled by election, the candidate validly nominated for such vacancy shall be deemed to be elected forth with and his name and address shall be published as so elected and in such an event there shall not be any election at the meeting convened for the purpose and if the meeting had been called solely for the purpose of the aforesaid election, it shall stand cancelled.

(4) If the number of valid nominations for any particular vacancy exceeds one, the managing director authorised by the chairman shall cause to be published the names and addresses of candidates validly nominated for such vacancy and in such an event there shall be an election by ballot and not by show of hands at the meeting convened for the purpose.

(5) All notices in pursuance of sub-regulation (3) and (4) shall be published in the Gazette of India and in not less than two newspapers having wide circulation in India.24 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC. 4]

(6) The managing director authorised by the chairman shall send a copy of every such notice issued by him to the chairman.”.

19. In the principal regulation, in regulation 42, in sub-regulations (1) and (2), the words “or to the vice-chairman” shall be omitted.

20. In the principal regulation, for regulation 44, the following regulation shall be substituted, namely:- “44. Meetings of the Central Board.– (1) Meetings of the Central Board shall be convened by the chairman or in his absence, by the managing director authorised by the chairman at least six times in each year and at least once in each quarter.

(2) Any three directors may require the chairman to convene a meeting of the Central Board at any time, and the chairman shall, on receipt of the requisition, convene a meeting of the Central Board giving sufficient notice, provided that the date of the meeting so convened shall not be later than 21 days from the date of receipt of the requisition.

(3) Meetings of the Central Board shall be held at the Central Office of the State Bank, or at such other place as the chairman, or in his absence, the managing director authorised by the chairman may decide.

(4) Ordinarily not less than 15 days’ notice shall be given of each meeting of the Central Board, and such notice shall be sent to every director at his registered address and if it is found necessary to convene an emergency meeting, sufficient notice shall be given to every director in India to enable him to attend.

(5) No business other than that for which the meeting was convened shall be discussed at a meeting of the Central Board except with the consent of the chairman and a majority of the directors present unless one weeks’ notice has been given of the same in writing to the chairman.

(6) Five directors of whom not less than three shall be the directors elected under clause (c) of section 19 of the Act or nominated under clause (d) of the said section shall form a quorum for the transaction of business.

(7) A copy of the proceedings of each Central Board meeting shall be circulated as soon as possible thereafter for the information of the directors, and shall be signed by the chairman of that or the next succeeding meeting.”.

21. In the principal regulation, after regulation 44, the following regulation shall be inserted, namely:- “44A. Participation of the directors in the meeting of the Central Board through videoconferencing or other electronic means. – Participation of a director in a meeting of the Central Board through videoconferencing shall be valid only if such participation is made from any office of the State Bank specified by the Central Board.”.

22. In the principal regulation, in regulation 46, in sub-regulation (1), the words “vice-chairman,” shall be omitted.

23. In the principal regulation, inregulation 47, for sub-regulation (2), the following sub-regulation shall be substituted,

namely:- “(2) Four directors of whom not less than two shall be the directors elected under clause (c) of section 19 of the Act or nominated under clause (d) of the said section shall form a quorum for transaction of business:

Provided that where, by reason of the provisions of sub-regulation (4) read with sub-section (3) of section 31 of the Act, any director is unable to be present and vote at a meeting of the Executive Committee, or while some particular business is being transacted by the Executive Committee, and in consequence thereof the number of directors present and eligible to vote is less than four, the quorum for such meeting or, as the case may be, for the transaction of that business¹Hkkx IIIµ[k.M 4º Hkkjr dk jkti=k % vlk/kj.k 25 shall be three of whom one shall be a director elected under clause (c) of section 19 of the Act or nominated under clause

(d)of the said section.”.

24. In the principal regulation, for regulation 47A, the following regulation shall be substituted, namely:– “47A. Jurisdiction of local head offices. – (1)Local head offices specified in column (2) of the Table below shall have jurisdiction over the branches falling within the territorial areas respectively specified in column (3).

11. Mumbai The States of Maharashtra and Goa.

12. New Delhi The States of Rajasthan and Uttarakhand, the Western Zone of the State of Uttar Pradesh as specified in clause (b) of sub- regulation (2), the districts of Faridabad, Gurgaon and Sonepat in the State of Haryana and the National Capital Territory of Delhi.

13. Patna The States of Bihar and Jharkhand.

14. Thiruvananthapuram The State of Kerala, the Union territory of Lakshadweep and Mahe in the Union territory of Puducherry.

(2) (a) The Central and Eastern Zones of the State of Uttar Pradesh shall consist of all that part of the State of Uttar Pradesh as has not been included in the Western Zone of that State as defined in clause (b) below.26 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC. 4]

(b) The Western Zone of the State of Uttar Pradesh shall consist of the following districts of that State, namely, Agra, Aligarh, Bulandshahar, Etah, Ghaziabad, Mainpuri, Mathura, Meerut, Muzaffar Nagar, Saharanpur, Firozabad, Hathras, Baghpat and Gautam Budhnagar. ”.

25.In the principal regulation, in regulation 56, insub-regulation (1), for the words “the vice-chairman of the State Bank, if the vice-chairman is a member of such Local Board”, the words “the managing director, if the managing director is a member of such Local Board” shall be substituted.

26. In the principal regulation, for regulation 58, the following regulation shall be substituted, namely:– “58. Chapter VIII not to apply to chairman. – The provisions of this Chapter shall not apply to the chairman.”.

27. In the principal regulation, in regulation 61, in clause (c),for the word “schedule”, the word “Schedule –II” shall be substituted.

28. In the principal regulation, in regulation 67, in clause (a),the words “the vice-chairman” shall be omitted.

29. In the principal regulation, in regulation 76, insub-regulation (1),for the words “The vice-chairman, the managing directors”, the words “The managing directors” shall be substituted.

30.In the principal regulation, for regulation 78,the following regulation shall be substituted, namely:– “78. Joint responsibility of managing directors in administrative and staff matters.– The chairman shall, whenever, managing directors are in office, endeavour to promote as large a measure as possible of joint responsibility among them in administrative and staff matters of the State Bank.” .

31. In the principal regulation, in regulation 80, –

(a) in sub-regulation (1), the words “vice-chairman” shall be omitted;

(b) in sub-regulation (2), for the words “Calcutta, Madras and Bombay”, the words “Mumbai, Kolkata and Chennai” shall be substituted.

32. In the principal regulation, in regulation 83, after sub-regulation (4),the following sub-regulation shall be inserted,

namely:— “(4A).Notwithstanding anything contained in sub-regulation (4), the State Bank may make payment of dividend to any person entitled thereto under the Act or these regulations, either by direct credit to the bank account of such person or by electronic payment system or by any other mode of electronic fund transfer recognised by the Reserve Bank.”
