(1) इन ननयमों का संक्षिप्त नाम कंपनी (ननिेशकों की ननयुक्तत और अहहता) संशोिन ननयम, 2025 है। 8855 GI/2025 (1)2 THE GAZETTE OF INDIA : EXTRAORDINARY [PART II—SEC. 3(i)] (2) ये 31 माच,ह 2026 को प्रवत्तृ होंगे। 2. कंपनी (ननिेशकों की ननयुक्तत और अहहता) ननयम, 2014 में, (क) ननयम 11 में – (i) उप-ननयम (1) में, “िेत्रीय ननिेशक (उत्तरी िेत्र), नोएडा” शब्िों और कोष्िकों के स्थान पर “प्रािेलशक ननिेशक, उत्तरी िेत्र ननिेशालय-I” शब्ि और अिर रख े जाएंगे। (ii) उप-ननयम (2) में – (I) “िेत्रीय ननिेशक (उत्तरी िेत्र)” शब्िों और कोष्िकों के िोनों स्थानों पर, जहां कहीं ये आत े हैं, “प्रािेलशक ननिेशक, उत्तरी िेत्र ननिेशालय-I” शब्ि रखे जाएंगे। (II) “ननयम 12-क के अनुसरण में ननिारह रत समय के भीतर, ई-प्ररूप डीआईआर-3-केवाईसी या वेब सेवा डीआईआर-3-केवाईसी-वेब, जैसा भी मामला हो, में अपनी ववलशक्ष्िया”ं शब्िों, अिरों और अंकों के स्थान पर “ननयम 12-क के अनुसार प्ररूप संख्या डीआईआर-3-केवाईसी वेब में अपनी ववलशक्ष्िया”ं शब्ि, अिर और अकं रख े जाएंग।े (iii) उप-ननयम (3) में, “केवल ई-प्ररूप डीआईआर-3-केवाईसी या वेब सेवा डीआईआर-3-केवाईसी-वेब, जैसा भी मामला हो”, शब्िों, अिरों और अंकों” के स्थान पर “प्ररूप संख्या डीआईआर-3-केवाईसी-वेब” शब्ि, अिर और अंक रखे जाएंगे। (ख) ननयम 12क के स्थान पर, ननम्नललखखत ननयम रखा जाएगा, अथाहत—् “12क : ननदेशकों का केवाईसी तथा उसका अद्र्तन.- (1) प्रत्येक व्यक्तत, क्जसके पास ककसी ववत्तीय वर् ह की 31 माच ह को ननिेशक पहचान संख्या है, उसे प्रत्येक तीसरे लगातार ववत्तीय वर् ह के तुरंत पश्चात आने वाली 30 जून को या उससे पहले केन्द्रीय सरकार को प्ररूप संख्या डीआईआर-3-केवाईसी वेब में केवाईसी सूचना फाइल करेगा। (2) प्रत्येक वह व्यक्तत, क्जसके पास ननिेशक पहचान संख्या है, अपने व्यक्ततगत मोबाइल नंबर, ई-मेल पता अथवा आवासीय पते में पररवतनह होने की क्स्थनत में, ऐस े पररवतनह की तारीख स े तीस दिनों की अवधि के भीतर, कंपनी (रक्जस्रीकरण कायाहलय और फीस) ननयम, 2014 के अिीन यथा उपबधं ित फीस के साथ प्ररूप संख्या डीआईआर-3-केवाईसी वेब प्रस्तुत करेगा।” (ग) उपाबिं में, ववद्यमान प्ररूप डीआईआर-3-केवाईसी तथा डीआईआर-3-केवाईसी-वेब के स्थान पर ननम्नललखखत प्ररूप रखे जाएंगे, अथाहत—्[भाग II—खण् ड 3(i)] भारत का रािपत्र : असाधारण 3 प्ररूप सं. डीआईआर-3-केवाईसी-वेब प्ररूप की भाषा अंग्रेज़ी हहर्दं ी डीआईएन के पररवर्नत या पुनर्क्रत ियन की र्चू ना [कंपनी (ननिेशकों की ननयक्ु तत और अहहता) ननयम,2014 के ननयम 11 एव ं 12क के अनुसरण में] * चिह्नित सभी फ़ील्ड का भरा जाना अनिवार् यहैं प्ररूप फाइल करि ेके लिए निर्देश ककट र्देखें उद्र्देश्र्: डीआईएन का पुनसकह ियन केवाईसी अनुपालन मोबाइि संख्या का अद्यतन ईमेि आईडी का अद्यतन स्थार्ी आवासीर् पत े का अद्र्ति वतमय ाि आवासीर् पते का अद्र्ति 1. र्हर्द कोई हो अचधकतम 2 एमबी फाइि िुिें हिाए ं र्त्यापन म ैं यह घोर्णा करता/करती हूूँ कक इस प्ररूप में ऊपर िी गई ववलशक्ष्ियां सही हैं तथा इस प्ररूप के साथ संलग्न ककए जा रहे िस्तावजे ों के अनुरूप हैं। म ैं यह भी घोर्णा करता/करती हूूँ कक ये ववलशक्ष्ियां ननयम 12क में उपबंधित अवधि के भीतर सधू चत की जा रही हैं। यदि इस आवेिन में दिया गया कोई वववरण लमथ्या पाया जाता है या ककसी महत्वपूण ह सूचना का लोप ककया हुआ पाया जाता है तो म ैं इस अधिननयम की िारा 448 और भारतीय न्द्याय संदहता, 2023 के संबंधित उपबंिों के अिीन और यथा लागू ककसी अन्द्य ववधि के अिीन िायी रहूंगा/रहूंगी। डीएर्र्ी बॉक्र् डीआईएन धारक द्वारा डडजिटल रूप र्े हस्र्ािररर् होना व्र्वसानर्क ववृिक द्वारा प्रमाण पत्र म ैं यह घोर्णा करता/करती हूूँ कक इस प्ररूप के प्रमाणीकरण के उद्िेश्य से मझु े सम्यक रूप स े ननयुतत ककया गया है। यह प्रमाखणत ककया जाता है कक मनैं े इस प्ररूप के ववर्य-वस्त ु तथा उसस े आनुर्ंधगक ववर्यों के संबिं में कंपनी अधिननयम, 2013 तथा उसके अिीन बनाए गए ननयमों के उपबिं ों का[भाग II—खण् ड 3(i)] भारत का रािपत्र : असाधारण 7 अवलोकन ककया है और मनैं े ऊपर दिए गए वववरणों (संलग्नक/संलग्नकों सदहत) का सत्यापन कंपनी/आवेिक द्वारा अनुरक्षित मूल/प्रमाखणत अलभलखे ों से ककया है, जो इस प्ररूप की ववर्य-वस्तु हैं, और उन्द्हें सत्य, सही तथा पूण ह पाया है तथा इस प्ररूप से संबंधित कोई भी महत्वपूण ह जानकारी निपाई नहीं गई है। म ैं यह और प्रमाखणत करता/करती हूूँ कक— 1. उतत अलभलखे ों को समुधचत रूप से तैयार ककया गया है, कंपनी के अपक्षे ित अधिकाररयों द्वारा हस्तािररत ककया गया है तथा कंपनी अधिननयम, 2013 के सुसंगत उपबंिों के अनुसार अनुरक्षित ककया गया है और उन्द्हें सही पाया गया है। 2. सभी अपेक्षित संलग्नक इस प्ररूप के साथ पूणतह ः तथा स्पष्ि रूप से संलग्न ककए गए हैं। 3. यह समझा जाता है कक ककसी भी स्तर पर यदि कोई गलत प्रमाणीकरण पाया जाता है, तो म ैं कंपनी अधिननयम, 2013 की िारा 448 के अिीन कारहवाई के ललए िायी रहूूँगा/रहूूँगी। डीएर्र्ी बॉक्र् द्वारा डडजिटल रूप र्े हस्र्ािररर् ककर्ा जाना श्रेणी िाटयड य एकाउंटेंट (पूणकय ालिक प्रैक्तिस में, िागत िखे ाकार (पूणकय ालिक प्रक्ै तिस में, कंपनी सचिव (पणू कय ालिक प्रक्ै तिस में) सहर्ोगी है र्ा फेिो एसोलसएि फेलो सर्दस्र्ता संख्र्ा प्रैक्तिस संख्र्ा का प्रमाण पत्र सहेज ें प्रस्तुत करें टटप्पण: कंपनी अधधननयम, 2013 की धारा 448 और धारा 449 के उपबंिों की ओर ध्यान आकर्षर्त क्रकया जाता है, िो िमशः ममथ्र्ा कथन/प्रमाण पत्र के ललए दंड और ममथ्र्ा र्ाक्ष्य के ललए दंड का उपबंि करर् े हैं।8 THE GAZETTE OF INDIA : EXTRAORDINARY [PART II—SEC. 3(i)] केवल कायातलय उपयोग के ललए: सेवा अिुरोध संख्र्ा (एसआरएि) फाइल करि े क़ी नतचथ (दिन/माह/वर्)ह यह प्ररूप कंपननयों के रजिस्रार द्वारा इलेक्रॉननक माध्यम र्े और डीआईएन धारक और ववृिक द्वारा टदए गए सत्र्ता के र्ववरण के आधार पर रखी गई फाइल में रख मलर्ा गया है। [फा. स.ं 8/4/2018-सीएि-I] बालामुरुगन डी., संर्ुक्त सचिव टटप्पण: कंपनी (ननिेशकों की ननयुक्तत और अहहता) ननयम, 2014, भारत के राजपत्र, असाधारण, भाग II, खंड 3, उप-खंड (i) में संख्यांक सा.का.नन. 259 (अ), तारीख 31 माच,ह 2014 के द्वारा 2 अप्रैल 2014 को प्रकालशत ककए गए थे और अचधसूििा संख्यांक सा.का.नन. 412(अ), तारीख 16 जुिाई, 2024 द्वारा अंनतम बार सशं ोधित ककए गए थे।[भाग II—खण् ड 3(i)] भारत का रािपत्र : असाधारण 9 MINISTRY OF CORPORATE AFFAIRS NOTIFICATION New Delhi, the 31st December, 2025 G.S.R. 943(E).—In exercise of the powers conferred under second proviso to sub-section (1), sub-section (4), clause (f) of sub-section (6) of section 149, sub-sections (3) and (4) of section 150, section 151, sub-section (5) of section 152, sections 153, 154, 157 and 160, sub-section (1) of section 168 and section 170 read with section 469 of the Companies Act, 2013 (18 of 2013), the Central Government hereby makes the following rules further to amend the Companies (Appointment and Qualification of Directors) Rules, 2014, namely: — 1. (1) These rules may be called the Companies (Appointment and Qualification of Directors) Amendment Rules, 2025. (2) They shall come into force on the 31st day of March, 2026. 2. In the Companies (Appointment and Qualification of Directors) Rules, 2014, - (a) in rule 11,— (i) in sub-rule (1), for the words and brackets “Regional Director (Northern Region), Noida”, the words and letter “Regional Director, Northern Region Directorate I” shall be substituted; (ii) in sub-rule (2),— (I) for the words and brackets "Regional Director (Northern Region)”, at both the places where they occur, the words and letter “Regional Director, Northern Region Directorate I” shall be substituted; (II) for the words, letters and figures “particulars in e-form DIR-3-KYC or the web service DIR-3 KYC-WEB, as the case may be, within stipulated time in accordance with rule 12A”, the words, letters and figures “particulars in Form No. DIR-3-KYC-Web in accordance with rule 12A” shall be substituted; (iii) in sub-rule (3), for the words, letters and figures “only after e-form DIR-3-KYC or the web service DIR- 3-KYC-WEB, as the case may be, is filed”, the words, letters and figures “only after Form No. DIR-3-KYC- Web is filed” shall be substituted; (b) for rule 12A, the following rule shall be substituted, namely:- “12A. Directors KYC and updation thereof.— (1) Every individual who holds a Director Identification Number as on the 31st March of a financial year, shall file KYC intimation in Form No.10 THE GAZETTE OF INDIA : EXTRAORDINARY [PART II—SEC. 3(i)] DIR-3 KYC Web to the Central Government on or before the 30th June of the immediately following every third consecutive financial year.
