और, िबदक, कंपनी ऄतधतनयम, 1956 की धारा 424घ म ें ईन योिनाओं के पुनर्ववलोकन या मॉनीटर करने का ईपबंध ह ैिो मंिरू ी दी गइ ह ैंया कायायन्वयनाधीन हैं; और, िबदक कंपनी ऄतधतनयम, 1956 तनरस्ि कर ददया गया ह ै और कंपनी ऄतधतनयम, 2013 (2013 का 18) के रूप म ें पुनः ऄतधतनयतमि दकया गया ह,ै तिसमें ऄन्य बािों के साथ-साथ, कंपनी ऄतधतनयम, 2013 की धारा 261 से धारा 264 के ऄधीन पुनः प्रवियन और पनु रूद्धार की योिना, योिना की मंिूरी, योिना को बाध्यकारी बनाने और योिना के दियान्वयन करने के तलए ईपबधं दकए गए ह;ैं और, कंपनी ऄतधतनयम, 2013 की धारा 253 से धारा 269 का ददवाला एवं शोधन ऄक्षमिा संतहिा, 2016 की ग्यारहवीं ऄनुसूची द्वारा लोप दकया गया ह;ै और, िबदक, रूग्ण औद्योतगक कंपनी (तवशेष ईपबंध) तनरसन ऄतधतनयम, 2003 की धारा 4 के खंड (ख) को संतहिा की अठवीं ऄनुसूची से प्रतिस्थातपि दकया गया ह,ै तिसमें यह ईपबंध दकया गया ह ैदक रूग्ण औद्योतगक कंपनी (तवशेष ईपबंध) 3344 GI/2017 (1)2 THE GAZETTE OF INDIA : EXTRAORDINARY [PART II—SEC. 3(ii)] ऄतधतनयम, 1985 के ऄधीन ऄपील प्रातधकारी को भेिी गइ कोइ ऄपील या बोडय के पास या बोडय के समक्ष लंतबि कोइ संदभय या िांच या दकसी भी प्रकार की कोइ काययवाही िो ऄपील प्रातधकरण या बोड य के समक्ष लंतबि ह,ै को ईपशतमि हो िाएगी। आसके ऄतिररक्त यह ईपबंध दकया गया था दक वह कंपनी तिसके संबंध में ऐसी ऄपील या संदभय या िांच आस खंड के ऄधीन ईपशतमि हो िािी ह,ैं संतहिा के प्रारंभ की िारीख से एक सौ ऄस्सी ददनों के भीिर आस संतहिा के ऄधीन राष्ट्रीय कंपनी तवतध ऄतधकरण को संदभय प्रस्िुि कर सकिी ह;ै और, िबदक, रूग्ण औद्योतगक कंपनी (तवशेष ईपबंध) ऄतधतनयम, 1985 के तनरसन, को रूग्ण औद्योतगक कंपनी (तवशेष ईपबंध) तनरसन ऄतधतनयम, 2003 की धारा 4 के खडं (ख) के प्रतिस्थापन और कंपनी ऄतधतनयम, 2013 की धारा 253 से धारा 269 के लोप को देखिे हुए रूग्ण औद्योतगक कंपनी (तवशेष ईपबंध) ऄतधतनयम, 1985 (1986 का 1) की धारा 18 की ईपधारा (4) के ऄधीन मंिूरी की गइ योिनाओं या ईपधारा (12) के ऄधीन कायायन्वयनाधीन दकसी योिना के पुनर्ववलोकन या मानीटररग के संबंध में करठनाआयां ईत्पन्न हुइ ह;ैं ऄि:, ऄब, केन्रीय सरकार, ददवाला एवं शोधन ऄक्षमिा संतहिा, 2016 (2016 का 31) की धारा 242 की ईप- धारा (1) द्वारा प्रदत्त शतक्तयों का प्रयोग करि े हुए ईपयक्तुय करठनाआयों को दरू करने के तलए तनम्नतलतखि अदशे करिी ह,ै ऄथायि ्: — 1. संतक्षप्त नाम और प्रारंभ- (1) आस अदशे को ददवाला एव ं शोधन ऄक्षमिा संतहिा (करठनाआयां दरू करना) अदशे , 2017 कहा िाएगा। 2. रूग्ण औद्योतगक कंपनी (तवशषे ईपबंध) तनरसन ऄतधतनयम, 2003 के संशोधन से संबंतधि ददवाला एवं शोधन ऄक्षमिा संतहिा, 2016 की अठवीं ऄनुसूची में धारा 4 म ें खंड (ख) के तद्विीय परन्िुक के पश्चाि्, तनम्नतलतखि परन्िकु ऄंिस्थातपि दकए िाएगं े, ऄथायि्: — “परन्िु यह भी दक रूग्ण औद्योतगक कंपनी (तवशेष ईपबंध) ऄतधतनयम, 1985 की धारा 18 की ईप-धारा (4) के ऄधीन मंिरू ी दी गइ कोइ योिना या ईप-धारा (12) के ऄधीन कायायन्वयनाधीन कोइ योिना ददवाला एवं शोधन ऄक्षमिा संतहिा, 2016 की धारा 31 की ईपधारा (1) के ऄधीन एक ऄनुमोददि समाधान योिना मानी िाएगी और ईस पर ईक्त संतहिा के भाग II के ईपबंधों के ऄनुसार काययवाही की िाएगी : परंिु यह भी दक यदद आस ऄतधतनयम की ऄतधसूचना की िारीख िक वह कानूनी ऄवतध समाप्त नहीं हुइ थी तिसके भीिर बोडय के दकसी अदशे के तवरुद्ध रूग्ण औद्योतगक कंपनी (तवशेष ईपबंध) ऄतधतनयम, 1985 के ऄधीन कोइ ऄपील ऄनुज्ञाि की गइ थी, िो ऐसी दकसी मातनि ऄनुमोददि संकल्प योिना के तवरुद्ध दकसी भी व्यतक्त द्वारा आस अदेश के प्रकाशन की िारीख से नब्बे ददनों के भीिर राष्ट्रीय कंपनी तवतध ऄपील ऄतधकरण के समक्ष ऄपील की िा सकिी ह।ै ” [फा. सं. 30/7/2016-ददवाला-भाग II] ऄमरदीप ससह भारटया, संयुक्त सतचव MINISTRY OF CORPORATE AFFAIRS ORDER New Delhi, the 24th May, 2017 S.O. 1683(E).—Whereas, the Insolvency and Bankruptcy Code, 2016 (31 of 2016) (hereinafter referred to as the said Code) received the assent of the President on 28th May, 2016 and was published in the official Gazette on the same date; And, whereas, section 252 of the said Code amended the Sick Industrial Companies (Special Provisions) Repeal Act, 2003 (1 of 2004) in the manner specified in the Eighth Schedule to the said Code; And, whereas, the un-amended second proviso to clause (b) of section 4 of the Sick Industrial Companies (Special Provisions) Repeal Act, 2003 provides that any scheme sanctioned under sub-section (4) or any scheme under implementation under sub-section (12) of section 18 of the repealed enactment i.e., the Sick Industrial Companies (Special Provisions) Act, 1985 (1 of 1986) shall be deemed to be a scheme under implementation under section 424D ofII (ii) 3 the Companies Act, 1956 (1 of 1956) and shall be dealt with in accordance with the provisions contained in Part VIA of the Companies Act, 1956; And, whereas, section 424D of the Companies Act, 1956 provided for review or monitoring of schemes that are sanctioned or are under implementation; And, whereas the Companies Act, 1956 has been repealed and re-enacted as the Companies Act, 2013 (18 of 2013) which, inter alia, provides for scheme of revival and rehabilitation, sanction of scheme, scheme to be binding and for the implementation of scheme under sections 261 to 264 of the Companies Act, 2013; And, whereas, sections 253 to 269 of the Companies Act, 2013 have been omitted by Eleventh Schedule to the Insolvency and Bankruptcy Code, 2016; And, whereas, clause (b) of section 4 of the Sick Industrial Companies (Special Provisions) Repeal Act, 2003 has been substituted by the Eighth Schedule to the Code, which provides that any appeal preferred to the Appellate Authority or any reference made or inquiry pending to or before the Board or any proceeding of whatever nature pending before the Appellate Authority or the Board under the Sick Industrial Companies (Special Provisions) Act, 1985 shall stand abated. Further, it was provided that a company in respect of which such appeal or reference or inquiry stands abated under this clause may make a reference to the National Company Law Tribunal under the Code within one hundred and eighty days from the date of commencement of the Code; And, whereas, difficulties have arisen regarding review or monitoring of the schemes sanctioned under sub- section (4) or any scheme under implementation under sub-section (12) of section 18 of the Sick Industrial Companies (Special Provisions) Act, 1985 (1 of 1986) in view of the repeal of the Sick Industrial Companies (Special Provisions) Act, 1985, substitution of clause (b) of section 4 of the Sick Industrial Companies (Special Provisions) Repeal Act, 2003 and omission of sections 253 to 269 of the Companies Act, 2013; Now, therefore, in exercise of the powers conferred by the sub-section (1) of the section 242 of the Insolvency and Bankruptcy Code, 2016 (31 of 2016), the Central Government hereby makes the following Order to remove the above said difficulties, namely:— 1. Short title and commencement.—(1) This Order may be called the Insolvency and Bankruptcy Code (Removal of Difficulties) Order, 2017. 2. In the Insolvency and Bankruptcy Code, 2016, in the Eighth Schedule, relating to amendment to the Sick Industrial Companies (Special Provisions) Repeal Act, 2003, in section 4, in clause (b), after the second proviso, the following provisos shall be inserted, namely:— “Provided also that any scheme sanctioned under sub-section (4) or any scheme under implementation under sub-section (12) of section 18 of the Sick Industrial Companies (Special Provisions) Act, 1985 shall be deemed to be an approved resolution plan under sub-section (1) of section 31 of the Insolvency and Bankruptcy Code, 2016 and the same shall be dealt with, in accordance with the provisions of Part II of the said Code: Provided also that in case, the statutory period within which an appeal was allowed under the Sick Industrial Companies (Special Provisions) Act, 1985 against an order of the Board had not expired as on the date of notification of this Act, an appeal against any such deemed approved resolution plan may be preferred by any person before National Company Law Appellate Tribunal within ninety days from the date of publication of this order.” [F.
